175 Terence Matthews Crescent (the Property) is located in the Kanata South Business Park off Eagleson

Road. The Property is comprised of two buildings situated on a 10.04 acre site (estimated). The first

building is a single storey office building with an area of 12,000 sq. ft. (estimated) constructed in 2001.

The second building is a larger 41,204 sq. ft. (estimated) building which consists of one single storey

wing and one two storey wing..The buildings were constructed in four phases from 1987 to 1996. The

original phase of the construction (constructed in 1987 and 1989) was renovated in 1993. The site is

approximately 10 acres with frontage on both Michael Cowpland Drive and Terence Matthews Crescent.

MEMORANDUM CONTENT

This Confidential Information Memorandum (“CIM”) is being delivered to prospective purchasers to assist them in deciding whether they wish to acquire the Property. This CIM does not purport to be all inclusive or to contain all the information that a prospective purchaser may require in deciding whether or not to purchase or invest in the Property. This CIM is for information and discussion purposes only and does not constitute an offer to sell or the solicitation of any offer to buy the Property. The CIM provides selective information relat-ing to certain physical, locational and financial characteristics of the Property. The information on which this CIM is based has been obtained from various sources. Neither the Vendor nor CBRE make any representa-tions, declarations or warranties, express or implied, as to the accuracy or completeness of the information or statements contained herein or otherwise and such information or statements should not be relied upon by prospective purchasers without independent investigation and verification. INDEMNIFICATION

In exchange for specific good and valuable consideration provided by the Vendor and CBRE, including with-out limitation, the delivery of this CIM, the receipt and sufficiency of which are hereby acknowledged by the prospective purchasers, prospective purchasers hereby agree to indemnify the Vendor and CBRE, and their affiliates against any compensation, liability or expense (including attorneys’ fees), arising from claims by any other party the purchaser had dealings with (excluding CBRE) in connection with the sale of, or investment in the Property, or in connection with a breach by the prospective purchaser of its obligations as described herein. In no event shall any prospective purchaser, investor or any of its agents or contractors contact any governmental authorities concerning the Property, or make any physical inspection or testing of the Property, without the prior consent of the Vendor or CBRE.

CONFIDENTIALITY

By accepting this CIM, prospective purchasers agree to hold and treat this CIM and its contents in the strict-est confidence. Prospective purchasers will not, directly or indirectly, disclose or communicate or permit anyone else to disclose or communicate this CIM or any of its contents or any part thereof to any person, firm or entity without the prior written consent of the Vendor and CBRE. Prospective purchasers will not use or permit this CIM to be used in any manner detrimental to the interests of the Vendor, CBRE, or their affiliates or for any other purpose than a proposed purchase of, or investment in, the Property. The recipi-ent of this CIM agrees to provide CBRE with a list of those persons to whom this CIM or any information contained herein is provided and to provide each of such persons with express notice of this confidential-ity obligation. The terms and conditions in this Section with respect to confidentiality and the disclaimer contained under the heading “Memorandum Content” will relate to all Sections of the CIM as if stated independently therein. The CIM shall not be copied, reproduced or distributed, in whole or in part, to other parties at any time without the prior written consent of the Vendor and CBRE. It is made available to pro-spective purchasers for information purposes only and upon the express understanding that such prospec-tive purchasers will use it only for the purposes set forth herein. Upon request, the recipient will promptly return all material received from the Vendor and CBRE (including the CIM) without retaining any copies thereof. In furnishing the CIM, the Vendor and CBRE undertake no obligations to provide the recipient with access to additional information. The division of the CIM into sections, paragraphs, sub paragraphs and the insertion or use of titles and headings are for convenience of reference only and shall not affect the construction or interpretation of this CIM.

SUBMISSION GUIDELINES

A proposal should include purchase price for the Property. The Vendor preference is to sell the Property in its entirety to a single purchaser. However, the Vendor will also consider bids for individual buildings on the Property. Proposals will be evaluated primarily on the consideration offered for the Property, the method of payment of the consideration, the prospective purchaser’s ability to complete the transaction, and the proposed date and conditions of closing.

The offering process will be based on information contained in this CIM, information contained in the Data Room, and other infor-

mation that may be made available by CBRE upon request. Interested parties are invited to submit offers using their own form of

non-binding Letter of Intent (“LOI”). The LOI should outline the terms for the purchase of or investment in the Property and should

include the following information:

1. The purchase price for the Property;

2. An indication of any material terms or conditions required by the purchaser;

3. A timeline indicating the time requested to complete due diligence and closing;

4. Names of the ultimate beneficial owners of the Property, including their respective percentage interests;

5. An address and fax number for the delivery of notices.

Neither the Vendor nor CBRE make any representation, warranty, or any agreement whatsoever, that the Vendor will accept any of

the LOIs, before or after negotiations, which may be extensive, or, that the Vendor, or CBRE, shall compensate any participant for

any costs incurred in its participation in the process. Offers will be evaluated, among other criteria, on the consideration offered

for the Property, the prospective purchaser’s ability to complete the transaction and the proposed terms of closing. Prospective

Following submission of offers, the Vendor and CBRE may negotiate with the prospective purchaser whose agreement is judged

to be most attractive to the Vendor, in its sole discretion. At any time prior to entering into a Purchase and Sale Agreement, Joint-

Venture Agreement or other such agreement, the Vendor may request additional information from interested parties relevant to

the transaction. Failure to provide such information on a timely basis may result in termination of discussions. The Vendor reserves

the right to end this process or to cease discussions with any and all parties at any time prior to entering into an agreement without

liability. In its sole discretion, the Vendor reserves the right to remove the Property from the market and to alter the offering process

described above and timing thereof, at any time or times.
