Round Hole Property Development Analysis

August 15, 2014 APN: 09-690-37 Site Location: Whispering Pines Lane (corner of Brunswick and Idaho-Maryland Roads, access from Whispering Pines Lane. Property Description The Round Hole Property (“the Property”) is a 7.13 acre undeveloped property that is part of the Whispering Pines Business Park (the “Park”) located in Grass Valley, CA. The Park was developed in the 1980’s to establish a “Corporate Community” in Grass Valley for large, intermediate, and small firms, particularly hi-tech, seeking to build facilities on improved sites with the highest quality environment. Specific land use requirements associated with the Park are outlined in the Whispering Pines Specific Plan, adopted by the City in 1984. While the Property itself is undeveloped, it has road, sewer, water, power, natural gas, phone, and internet infrastructure available to it as part of the Park, making it an ideal development property. In addition, several adjacent properties are currently for sale, which could be acquired as part of any development. The Property is ideally suited for administrative and research facilities, restricted light industry, employment center support, and office/professional use. It can be conditionally developed for urban medium residential use. The Property is zoned as SP-1A subarea, which foresaw the Park as having a “campus” type character. This was defined to include landscaped open space between buildings, screened service areas, uniform sign and street lighting standards, and maintenance of the “Whispering Pines Theme” throughout. The Whispering Pine Theme refers to the Ponderosa Pine forest that covers much of the site and surrounding area, which the City of Grass Valley would like to preserve. High standards of appearance were foreseen, with restrictions on outdoor storage and activities with obnoxious characteristics. Parcel sizes could range from 1.5 acres to 15 acres or more. Property History The Property was originally part of the historic Idaho-Maryland Mine, the second largest gold producer in California, operating from 1861 to 1956. The Property was the location of the historic Round Hole Shaft, a unique 5 foot diameter borehole that was drilled with a Newsom Drill, developed by J. B. Newsom in Grass Valley in 1936 at Idaho-Maryland Mine. The core from this shaft represents a the unique mining history of Grass Valley and pieces are located at the Empire Mine State Park, the Nevada County Fair Grounds, Nevada City, Grass Valley, UC Davis, and other locations. The shaft is covered with a concrete structure and, with core that remains on site, could be made

into a unique feature as part of the landscaping for the Property and to preserve the local history. Development Potential The Property is located at the corner of Idaho-Maryland Road and Brunswick Road. Access is from Whispering Pines Lane. Across the Idaho-Maryland Road, the 450 acre Loma Rica Special Development Area has been approved for commercial, retail, and residential development (700 homes) by the City of Grass Valley. This makes the location of the Round Hole Property ideal to take advantage of its location in the Park and also the proposed Loma Rica development. Note the Property has excellent access to Highway 49 as well as the Nevada County Airport. The Property could be developed as a stand alone property or with adjacent properties. Currently, three additional properties adjacent to the Round Hole Property are on the market. In particular, combining the Round Hole Property with the adjacent property at the corner of Whispering Pines and Brunswick Road would create an excellent development opportunity. The Round Hole Property has a flatter area at the top, and slopes to the northwest. Development could be easily done by terracing the property. The Property has dedicated open space and slope easements along Brunswick Road and Idaho-Maryland Road, designed to protect the Whispering Pines Theme of the Ponderosa Pines. About 4.28 acres of the 7.13 acres are developable and could easily support warehouse, office/warehouse, office/professional, or other uses. Building Design Standards:

Height - maximum of 2 stories plus high bay, not to exceed 25 feeet in height except that heating, cooling, other roof equipment and fire storage facilities my extend above 25 feet provided they are screened and integrated into the architecture of the building.

Materials – exterior building walls may be of tilt-up concrete, textured concrete, brick or stone masonary, ornamental concrete block, wood, stucco, or flush metal panels. Sheet, ribbed, or corrugated metal panels, or prefabricated buildings should not be allowed.

Development Code Information The City of Grass Valley adopted a Development Code dated April 10, 2007. This Development Code is available on the City. It lays out additional information that would be required for a development such as parking. Rand Sperry and Mark Van Ness first met while working on opposing sides of an investment deal in 1977. Mark'sclient wanted to purchase a property listed by Rand, whose firm did not cooperate with outside brokers.

Sperry Van Ness was created in 1987 with a new philosophy: putting the client's interest first, by aggressively
