WARNING - Section 48(1)(c) of the Travel Agents Ordinance makes it an offence punishable by a fine of $100,000 and to imprisonment for 2 years on conviction upon indictment or by a fine of $10,000 and to imprisonment for 6 months on summary conviction for a person who makes any false or misleading statement or furnishes any false or misleading information in connection with any application for the issue of a licence.

WHATISTHECONSEQUENCEOFNOTAPPLYINGFORALICENCE

Section9of theTravelAgentsOrdinance (Cap.218)provides thatnopersonshallcarryon thebusiness as a travel agentwithout a licence. Section 48(1)(a)of theOrdinanceprovides that anypersonwho contravenes Section9of theOrdinancecommitsanoffenceandisliableonconvictionuponindictmenttoafineof$100,000andtoimprisonmentfor2years,oronsummaryconvictiontoafineof$10,000andtoimprisonmentfor6months.

AMIELIGIBLETOAPPLYFORALICENCE

AccordingtotheTravelAgentsOrdinance(Cap.218),alicencewillbegrantedtoanapplicantwhosatisfiesthefollowingconditions:(a) theapplicantandthecontrolleroranypersonresponsibleforthemanagement

of the company (such as partner, director, secretary or officer), must bedeemedtobeafitandproperpersonbytheRegistrarofTravelAgentstocarryonbusinessasatravelagentortobeassociatedwiththebusinessofatravelagent. Considerations include whether that person has been convicted,whether inHongKongorelsewhere,ofanoffencewhich involves fraudulent,corruptordishonestact;whetherthatpersonisanundischargedbankruptorinthecaseofabodycorporate, is in liquidationor isthesubjectofawindinguporder;orisotherwisenotafitandproperperson.

(b) whether the premises to which the application relates are suitable for theoperationofthebusinessofatravelagent.

WHICHAPPLICATIONFORMSHOULDIUSE

There are two types of licence application forms. Applicantmust complete andsubmit to the Travel Agents Registry one of the following application forms asappropriate,andsubmitittogetherwiththerequisitedocumentsforprocessing:(a) An individual or an unincorporated body use Form 2 (the

ApplicationForm)andForm4(theStatementofParticulars).(b) AbodycorporateuseForm3 (theApplicationForm)andForm5

(theStatementofParticulars).Thetypeofapplicationformtobeusedisdependentonthetypeofbusinessentityofyourcompanyandnot the typeofbusinessyourcompany intends tocarryon. You may complete the forms in either English or Chinese. The completedapplicationformsmustbesubmittedtotheTravelAgentsRegistrytogetherwiththerequisitedocuments(seeAnnexesIandII).(a) Applicationbyanindividualoranunincorporatedbody:seeAnnexI.(b) Applicationbyabodycorporate:seeAnnexII.

(II) WHENSHOULDISUBMITANAPPLICATIONFORRENEWALOFLICENCE

LICENCEVALIDYPERIODANDWHENTOSUBMITAPPLICATION

A licence isvalidonlywithinthevalidityperiodstatedonthe licence. Applicationforrenewalofa licenceshallbemadetotheTravelAgentsRegistryforprocessingnotmorethantwomonthsandnot lessthanonemonthpriortotheexpirationofthelicenceorwithintheperiodpriortotheexpirationthereofastheRegistrarmayinwritingpermit. Forlateapplications,theTravelAgentsRegistrymaynotbeableto complete the processing before the expiration of the licence. Hence, travelagents submitting application beyond the specified deadline should be solelyresponsiblefortheconsequences.InaccordancewiththeTravelAgentsOrdinance(Cap.218),applicationsforrenewalof licencesubmittedaftertheexpirationofthe licencewillnotbeprocessed. Anapplication for new licencewill need to bemade instead. Travel agentswhichcontinue tocarryonbusinessasa travelagentafter theexpirationof the licencecommitanoffenceandare subject to criminalprosecution. Theyare liable toafineof$100,000andtoimprisonmentfortwoyears.

WHICHFORMTOUSEFORLICENCERENEWAL

There are two types of application forms for licence renewal for use by travelagents.(a) Iftheapplicantisanindividualoranunincorporatedbody,pleaseuse:

(i) Application for renewal of a licence by an individual or by anunincorporatedbody(i.e.Form6);and

(ii) Statement of particulars in support of an application for renewal of alicencebyanindividualorbyanunincorporatedbody(i.e.Form8).

(b) Iftheapplicantisabodycorporate,pleaseuse:(i) Applicationforrenewalofalicencebyabodycorporate(i.e.Form7);and(ii) Statement of particulars in support of an application for renewal of a

licencebyabodycorporate(i.e.Form9).Applicationforlicencerenewalmustbeaccompaniedbythefollowingdocuments:(a) Auditedfinancialstatementsand/ormanagementaccounts(asspecifiedbythe

Registry);(b) Valid membership certificate of the Travel Industry Council of Hong Kong

(certifiedtruecopy);and(c) Validbusinessregistrationcertificate(certifiedtruecopy).Besides,theRegistrywilltakeintoaccountcircumstancesofindividualtravelagentsand require the applicant concerned to submit other specified documents tofacilitateprocessingoftheapplicationforlicencerenewal. Applicantsmustsubmittherequisitedocumentswithinthespecifieddeadline;otherwisetheprocessingoftherenewalapplicationmaybedelayed/withheld.

CHANGEOFBUSINESSADDRESS

If a travel agentwould like to change thebusiness address, including thatof theheadofficeand thebranchoffices, itmustobtainpriorwrittenapproval from theRegistrarofTravelAgents. Tofacilitatetheprocessingofyourapplication,pleasecompletetheprescribedapplicationform(AnnexIII)andsubmitittogetherwiththefollowingdocuments:(a) Amendedmembershipcertificateof theTravel IndustryCouncilofHongKong

(certifiedtruecopy);(b) Amendedbusinessregistrationcertificateornotificationofchangeofbusiness

addressfiledwiththeInlandRevenueDepartment(certifiedtruecopy);and(c) Stampedtenancyagreementorrecordofownershipoftheproposednewoffice

premises(certifiedtruecopy).

OPENINGOFNEWBRANCHIf a travel agentwould like to open a new branch, itmust obtain priorwrittenapproval from the Registrar of Travel Agents. To facilitate processing of yourapplication,pleasecompletetheprescribedapplicationform(AnnexIII)andsubmitittogetherwiththefollowingdocuments:

(a) Branchcertificate issuedbytheTravelIndustryCouncilofHongKong(certified

truecopy);(b) Branch registration certificate issued by the Business Registration Office or

notification of change of business address filed with the Inland RevenueDepartment(certifiedtruecopy);and

(c) Stampedtenancyagreementorrecordofownershipoftheproposednewofficepremises(certifiedtruecopy).

CHANGEOFOWNERSHIPORCONTROL

If a travel agent would like to change or addshareholders/directors/controllers/partners/sole proprietors/officers, etc., orchangethecontrolofthecompany, itmustobtainpriorwrittenapprovalfromtheRegistrarofTravelAgents. PleasesubmittheapplicationinwritingsettingoutthedetailstogetherwiththedocumentsassetoutinAnnexIV.

CHANGE/INCREASEINPAIDUPCAPITAL

Ifa travelagentwould like tochange/increase thepaidupcapital, itmustobtainprior written approval from the Registrar of Travel Agents. Please submit theapplicationinwritingtogetherwiththefollowingdocuments:(a) The board resolution passing the increase of paidup capital (certified true

copy);and(b) FormSC1 reporting theallotmentofall sharesof thecompany (certified true

copy).

Note: In relation to Part II 1 of this statement, your attention is drawn to the provisions of

sections 2 and 4 of the Rehabilitation of Offenders Ordinance (Chapter 297) of the Laws of Hong Kong.
