I have received some information from St. Thomas to-day which might be of assistance to you in placing your proposition for the rental of our premises before the Council.

The City of St. Thomas is renting the Thomas Brothers* property fo r one year from October 1st at a rental of $200.00 per month to be paid quarterly. The City removes machinery and equip­ment and stores everything in a place satisfactory to the Company, provides fo r the premiums of the insurance in force on the plant and pays a ll taxes, arranges for the engineer, the nightwatchinan and coal. The City further undertakes to keep the plant in good repair, to indemnify the Estate for a ll damage done to machinery and equipment in the process of removing, storing and otherwise, to properly clean and o il a l l machines and belting, to replace a ll machinery and equipment and hand back to the Company the plant, after the expiry of the lease, as they found it .

A ll manufacturing premises to be re whitewashed, a ll o ffice portions of the plant to be repainted and revamished, buildings to be repaired where necessary, and the whole plant to be le ft in a clean and healthy condition so that the se llin g and renting value thereof shall not have been depreciated in any way, by in fection or infectious diseases, or otherwise, by reason of their occupation by troops.

I believe that the City turns over to the government the factory free of charge, and the government is making a ll alterations and changes that may be necessary, a fter the City Authorities at their expense have removed a ll the stock, machinery and equipment, and the government, I understand, arranges now fo r the engineer, nightwat chinan and the coal.

You w ill see by the above that the City of St. Thomas is assuming a burden of probably not less than $4,000.00.

Another matter that I should like to draw your attention ot is that the rate fo r rent on the premises which have just been taken for the Twin City Khaki Club, that is the fla ts at the front of the Auditorium occupying an area of, I should think, not more than 1®, 000 square fee t, is $145.00 per month including heat, which would

mean about $14,50 per month per thousand square fee t .I am simply giving you the above information as I thought

i t might be useful to you in answering the arguments brought forth in th is connection.

Referring to water rate in connection with our old plant, on account of the very large quantity of water that we consume we have a very reasonaole rate. I think it is 6 cents per thousand gallons, and on that account we might be able to turn the water over to you for a l i t t l e less than you could buy it otherwise, or i t may happen that the Water Commissioners would give you your water free of charge. In tnat event in order to save the installation of a metre for Six months they could probably make su ffic ien t deductions.from our b i l l to make it equal to what we paid at the same time last year.

When the Inspector of the Mutual Insurance Companies went through the building on Queen Street last week he said they would have to in sist that there be no smoking permitted on the premises, and also requested that you caution that care be taken in leaving windows wide open in severe weather. Thi3 is due to the fact that there would be danger of the sprinkler pipes freezing.

Might we suggest that a Thermometer be placed in each room, and that the temperature be not allowed to get below 40 degrees.

As we understand that your night guards w ill take over our watchman^ clock for that portion of the building occupied by the troops, we presume that this could be made a part of their duties.

In view o f the appropriations which are being made to meet the expense o f the Recruiting League we suppose that the incurring o f personal l ia b i l i t y by any o f the O fficers on this lease is not a very serious matter and they would very possibly have no objection to this but i t would be well to receive their consent for the lease being drawn in this form before anything further was done in the way o f preparing the Lease.

In connection with your instructions for a Lease from the Holding Company

Recruiting League and in considering the draft o f that Lease which we have prepared, a slight d if fic u lty arises which was not discussed this morning but which we mentioned to yoti ever the phone

, this afternoon.The d ifficu lty is that the Recruiting League

is not a legal entity. It is not a corporation nor a partnership nor so far as I am aware is it an Association with By-laws authorizing any of its O fficers to pledge the credit o f a ll its members nor has i t in fact any membership, the individual members o f which are capable of iden tifica tion outside o f the O fficers o f the Association who are known to have actively interested themselves in the objects and work o f the League.

It seems to U3 therefore that the Lease in question should be made to some one or more o f the O fficers o f the Association such for instance as the President and Secretary but this of course would involve a personal l ia b i l i ty upon these O fficers and before completing the Lease in this or any form we think i t ve il that you should take this matter up with

Sir,Undoubtedly you are already familiar with the

arrangements that led tc the leasing and f it t in g up o f the Headquarters in this c ity fo r the housing and feeding of the men o f the 118th Battalion, C. 3# F,By these arrangements the M ilitia Department meet the expense o f nrenaring the building for the troops, con­tinue tc pay the rental o f that part c f the building previously occupied by the 108th Regiment and 1b come responsible for a ll maintenance expense, except the items c f heat, light and water.

The loca l Recruiting League on their part, have agreed tc meet the rental c f the new quarters for a period cf six months from December 1st 1915, this rental amounting tc $285. per month, including heat and tc provide free light and water.

Tc simplify the arrangements, the Recruiting League suggest that the Department sign one lease for the whole building and receive from the Recruiting League a guarantee that they w ill meet their share c f the rental as above provided for, the payments from the Recruiting League on account cf rental tc be made

which the building w ill he subjected, the extra fire risk and the extra heat required fu lly warrant came. For this extra £-35 per month, hewover, the Holding Company agree to furnish gratis a ll hefc water that w ill be required for the kitchen, shew er baths, e tc ., thus saving the insta llation cf jacket heaters and a l l fche expense cf maintaining same.

I f , therefore the Department w ill lease the entire premises for six months at £325, per month, the Becruit- ing League w ill undertake tc pay $225, cf same and w ill furnish guarantees tc that e ffe c t .

Again, si nee the lease w ill urevide for a monthly renewal c f same a fter the six months* period, for as long as required, it w ill undoubtedly be tc the advant­age c f the Department tc thus possess control c f the whole building* ^Jhat is , i f i t is desirable tc quarter troops in Berlin, a fter the axpiraticn c f the six months1

lease, i t certainly w ill be tc the economic advantage c f the department tc continue in occupation c f this build­ing, especia lly since the expense in preparing the same fer occupation by the troops has been vory considerable.

From s t i l l another point o f view this arrangement appears to he desirable,and that is that a ll the ccnditions o f the occupancy o f the building could he ent­er©1 in the lease, i f hut one lease were entered into by the Department tc cover the whole building. Other­wise the Recruiting League would he required tc sign cne lease for one r-crticn cf the building, the Separt- ment would be required tc sign another lease ffcr the remninder c f the building, and ■ *» ;t fto r :ndl t i c n , the Department would be reouired tc execute ancth er paper covering the terms aiffd conditions cf the occupation cf theentiro building, as the Recruiting League is called upon tc give no guarantees in th is dlrecti on.

In order tc be in a position tc afford you any fur­ther information in th is ccnnecti on that you may desire and, since I wish tc see you in regard tc seme ether items, I shall probably proceed tc London on Tuesday or Wednesday c f th is week and personally present th is communication. At the same time, I shall have in my possession the different papers that have been prepared by the s o lic ito rs cf the leesees. I have the hcncur tc advise that I hare had the lease prepared as per terms and conditions outlined in my favor o f the 20th, and you w ill find oepy of same in tr ip lica te with th is, duly executed by the trustee o f the Holding Company, I w ill, therefore, thank you tc take up th is important matter with headquarters at Ottawa as scon as possible in order that i t may be brought tc a satisfactory con­clusion, The Holding Company would like tc have one ocpy o f the lease when exeouted, and I presume that you w ill acccr dingly return one c f the completed copies fo r delivery tc them.

Referring to matter of placing guards around our plant on Queen Street, we think that in order to properly protect this Building at night, i t should he patrolled on a ll sides. We do not want to appear unreasonable in any way in this connection, hut, as we have explained to you before, we have at risk over $100, 000. in addition to the risk of our other tenants, and of course our f ir e insurance would not cover any damage to property by bomb or anything of that nature. After the experience of thePeabody plant and the fact that somebody tried to set f ir e to the Club Quarters of the Regiment at Owen Sound, the other day, we fe e l that i t is only good business on our part to have the plant thoroughly protected.

Ur. Rumpel has considered i t necessary to take out special insurance against injury to his plant by explosion, and I understand that similar insurance has been taken out by our other tenants, Mr. Macklin and Mr. Brandt of the Lloyd Mfg. Co.

While our agreements or leases have not been signed, you ’/rill remember that there is a clause in th is agreement to the e f fe c t that ar\y extra insurance premium which is required to be paid by our tenants or ourselves should be addea to the cost of the rental. I n t he meantime, we have not taken out apy bomb insurance, but we are considering doing so, and meanwhile we fe e l t hit there should be one armed mn patrolling each side of the building at night.

As you yourself pointed out, a man makes i . round of the factory, so that he is on the Court land Avenue ride once every fiv e minutes, but th is would be ample time for anybody desiring to do any damage to get in his 'work. A party could come up in an automobile and get away without being seen at a l l .

We have placed outselves entirely in your hands in th is natter and we apxoreciate your actions in the past, and know i t is your desire to satisfy us in everyway. We do no t want to be unduly nervous, but we do fe e l that the actions of the members of the 118th Battalion have created a great deal of resentment in the c ity and i t is log ica l to assume that i f anyone wished to injure the men, that their quarters might be attacked by f ir e , bomb or sonething of that kind.

While in Ottawa yesterday I made it a point to interview the Contract Department and, while I found that they had net taken any action since the receipt of ray communication I yet stirred them up and found*cut as to the manner in which they desire to have the lease con­summated.

'V’cu w ill remember that I suggested in my commun­ication that they draw the 3b ase, but they assured me that the leaser must always draw the lease and requested that I suggest to you that you have another lease drawn, in accordance with a go minimi cation which **»«/ have forwarded me. It is agreed between the sender of the message on the face of this form and this Company, that said Company shall not be liable for damages arising from failure to transmit or deliver, or for any error in the transmission or delivery of any unrepeated telegram, whether happening from negligence of its servants < r otherwise, or for delays from interruptions in the working of its lines, for errors in cypher or obscure messages, or f.ir errors from illegible writing, beyond the amount received for sending the same.

To guard against errors, the Company will repeat back any telegram for an extra payment of one- half the regular rate, and in that case it shall not be liable for damages beyond fifty times the amount received for sending and repeating.

Correctness in the transmission of messages can be insured by contract in writing, stating agreed amount of risk, and payment of premium thereon at the following rates, in addition to the usual charge for repeated messages, viz.: one per cent, for any distance not exceeding 1,000 miles, and two per cent, for any greater distance.

This Company shall not be liable for the act or omission of any other Company, but will endeavor to forward the telegram by any other Telegraph Company necessary to reaching its destination, but only as the agent of the sender and without liability therefor. The Company shall not be responsible for messages until the same are presented and accepted at one of its transmitting offices; if a message is sent to such office by one of the Company’s messengers, he acts for that purpose as the sender’s agent; if by telephone, the person receiving the message acts therein as agent of the sender, being authorized to assent to these conditions for the sender. This Company shall not be liable in any case for damages, unless the same be claimed, in writing, within sixty days after receipt of the telegram for transmission.

No employee of the Company shall vary the foregoing.
