TERMS AND CONDITIONS APPLICABLE TO PURCHASE OF GENERAL PURPOSE COMMERCIAL INFORMATION TECHNOLOGY EQUIPMENT (SPECIAL ITEM NUMBER 132-8)

1. MATERIAL AND WORKMANSHIP

All equipment furnished hereunder must satisfactorily perform the function for which it is

intended.

2. ORDER

Written orders, EDI orders (GSA Advantage! and FACNET), credit card orders, and

orders placed under blanket purchase agreements (BPA) agreements shall be the basis for

purchase in accordance with the provisions of this contract. If time of delivery extends

beyond the expiration date of the contract, the Contractor will be obligated to meet the

delivery and installation date specified in the original order.

For credit card orders and BPAs, telephone orders are permissible.

3. TRANSPORTATION OF EQUIPMENT

FOB DESTINATION. Prices cover equipment delivery to destination, for any location

within the geographic scope of this contract.

4. INSTALLATION AND TECHNICAL SERVICES

a. INSTALLATION. When the equipment provided under this contract is not

normally self-installable, the Contractor's technical personnel shall be available to

the ordering activity, at the ordering activity's location, to install the equipment

and to train ordering activity personnel in the use and maintenance of the

equipment. The charges, if any, for such services are listed below, or in the price

schedule:

b. INSTALLATION, DEINSTALLATION, REINSTALLATION

The Davis-Bacon Act (40 U.S.C. 276a-276a-7) provides that contracts in excess

of $2,000 to which the United States or the District of Columbia is a party for

construction, alteration, or repair (including painting and decorating) of public

buildings or public works with the United States, shall contain a clause that no

laborer or mechanic employed directly upon the site of the work shall received

less than the prevailing wage rates as determined by the Secretary of Labor. The

requirements of the Davis-Bacon Act do not apply if the construction work is

incidental to the furnishing of supplies, equipment, or services. For example, the

requirements do not apply to simple installation or alteration of a public building

or public work that is incidental to furnishing supplies or equipment under a

supply contract. However, if the construction, alteration or repair is segregable

and exceeds $2,000, then the requirements of the Davis-Bacon Act applies.

The ordering activity issuing the task order against this contract will be

responsible for proper administration and enforcement of the Federal labor

standards covered by the Davis-Bacon Act. The proper Davis-Bacon wage

determination will be issued by the ordering activity at the time a request for

quotations is made for applicable construction classified installation,

deinstallation, and reinstallation services under SIN 132-8.

c. OPERATING AND MAINTENANCE MANUALS. The Contractor shall furnish

the ordering activity with one (1) copy of all operating and maintenance manuals

which are normally provided with the equipment being purchased.

5. INSPECTION/ACCEPTANCE

The Contractor shall only tender for acceptance those items that conform to the

requirements of this contract. The ordering activity reserves the right to inspect or test

any equipment that has been tendered for acceptance. The ordering activity may require

repair or replacement of nonconforming equipment at no increase in contract price. The

ordering activity must exercise its postacceptance rights (1) within a reasonable time after

the defect was discovered or should have been discovered; and (2) before any substantial

change occurs in the condition of the item, unless the change is due to the defect in the

item.

6. WARRANTY

a. Unless specified otherwise in this contract, the Manufacturer’s standard

commercial warranty as stated in the manufacturer’s commercial pricelist will

apply to this contract.

b. The Manufacturer warrants and implies that the items delivered hereunder are

merchantable and fit for use for the particular purpose described in this contract.

c. Limitation of Liability. Except as otherwise provided by an express or implied

warranty, the Contractor will not be liable to the ordering activity for

consequential damages resulting from any defect or deficiencies in accepted

items.

d. If inspection and repair of defective equipment under this warranty will be

performed at the Contractor's plant, the address is as follows:

7. PURCHASE PRICE FOR ORDERED EQUIPMENT

The purchase price that the ordering activity will be charged will be the ordering activity

purchase price in effect at the time of order placement, or the ordering activity purchase

price in effect on the installation date (or delivery date when installation is not

applicable), whichever is less.

8. RESPONSIBILITIES OF THE CONTRACTOR

The Contractor shall comply with all laws, ordinances, and regulations (Federal, State,

City or otherwise) covering work of this character, and shall include all costs, if any, of

such compliance in the prices quoted in this offer.

9. TRADE-IN OF INFORMATION TECHNOLOGY EQUIPMENT

When an ordering activity determines that Information Technology equipment will be

replaced, the ordering activity shall follow the contracting policies and procedures in the

Federal Acquisition Regulation (FAR), the policies and procedures regarding disposition

of information technology excess personal property in the Federal Property Management

Regulations (FPMR) (41 CFR 101-43.6), and the policies and procedures on

exchange/sale contained in the FPMR (41 CFR part 101-46).

TERMS AND CONDITIONS APPLICABLE TO PURCHASE OF TRAINING COURSES FOR GENERAL PURPOSE COMMERCIAL INFORMATION TECHNOLOGY EQUIPMENT AND SOFTWARE (SPECIAL ITEM NUMBER 132-50)

1. SCOPE

a. The Contractor shall provide training courses normally available to commercial

customers, which will permit ordering activity users to make full, efficient use of

general purpose commercial IT products. Training is restricted to training courses

for those products within the scope of this solicitation.

b. The Contractor shall provide training at the Contractor's facility and/or at the

ordering activity's location, as agreed to by the Contractor and the ordering

activity.

2. ORDER

Written orders, EDI orders (GSA Advantage! and FACNET), credit card orders, and

orders placed under blanket purchase agreements (BPAs) shall be the basis for the

purchase of training courses in accordance with the terms of this contract. Orders shall

include the student's name, course title, course date and time, and contracted dollar

amount of the course.

3. TIME OF DELIVERY

The Contractor shall conduct training on the date (time, day, month, and year) agreed to

by the Contractor and the ordering activity.

4. CANCELLATION AND RESCHEDULING

a. The ordering activity will notify the Contractor at least seventy-two (72) hours

before the scheduled training date, if a student will be unable to attend. The

Contractor will then permit the ordering activity to either cancel the order or

reschedule the training at no additional charge. In the event the training class is

rescheduled, the ordering activity will modify its original training order to specify

the time and date of the rescheduled training class.

b. In the event the ordering activity fails to cancel or reschedule a training course

within the time frame specified in paragraph a, above, the ordering activity will be

liable for the contracted dollar amount of the training course. The Contractor

agrees to permit the ordering activity to reschedule a student who fails to attend a

training class within ninety (90) days from the original course date, at no

additional charge.

c. The ordering activity reserves the right to substitute one student for another up to

the first day of class.

d. In the event the Contractor is unable to conduct training on the date agreed to by

the Contractor and the ordering activity, the Contractor must notify the ordering

activity at least seventy-two (72) hours before the scheduled training date.

5. FOLLOW-UP SUPPORT

The Contractor agrees to provide each student with unlimited telephone support for a

period of one (1) year from the completion of the training course. During this period, the

student may contact the Contractor's instructors for refresher assistance and answers to

related course curriculum questions.

6. PRICE FOR TRAINING

The price that the ordering activity will be charged will be the ordering activity training

price in effect at the time of order placement, or the ordering activity price in effect at the

time the training course is conducted, whichever is less.

7. INVOICES AND PAYMENT

Invoices for training shall be submitted by the Contractor after ordering activity

completion of the training course. Charges for training must be paid in arrears (31 U.S.C.

3324). PROMPT PAYMENT DISCOUNT, IF APPLICABLE, SHALL BE SHOWN

ON THE INVOICE.

8. FORMAT AND CONTENT OF TRAINING

a. The Contractor shall provide written materials (i.e., manuals, handbooks, texts,

etc.) normally provided with course offerings. Such documentation will become

the property of the student upon completion of the training class.

b. **If applicable** For hands-on training courses, there must be a one-to-one

assignment of IT equipment to students.

c. The Contractor shall provide each student with a Certificate of Training at the

completion of each training course.

d. The Contractor shall provide the following information for each training course

offered:

(1) The course title and a brief description of the course content, to include the

course format (e.g., lecture, discussion, hands-on training);

(2) The length of the course;

(3) Mandatory and desirable prerequisites for student enrollment;

(4) The minimum and maximum number of students per class;

(5) The locations where the course is offered;

(6) Class schedules; and

(7) Price (per student, per class (if applicable).

e. For those courses conducted at the ordering activity’s location, instructor travel

charges (if applicable), including mileage and daily living expenses, must comply

with the Federal Travel Regulation or Joint Travel Regulations, as applicable, in

effect on the date(s) the travel is performed. Contractors cannot use GSA city pair

contracts.

Terms and Conditions Applicable to Information Technology (IT)

Professional Services (Special Item Number 132-51)

1. Scope

a. The prices, terms and conditions stated under Special Item Number 132-51 Information

Technology Professional Services apply exclusively to IT Services within the scope of this

Information Technology Schedule.

b. The Contractor shall provide services at the Contractor’s facility and/or at the ordering

activity location, as agreed to by the Contractor and the ordering activity.

2. Performance Incentives I-FSS-60 Performance Incentives (April 2000)

a. Performance incentives may be agreed upon between the Contractor and the ordering activity

on individual fixed price orders or Blanket Purchase Agreements under this contract.

b. The ordering activity must establish a maximum performance incentive price for these

services and/or total solutions on individual orders or Blanket Purchase Agreements.

c. Incentives should be designed to relate results achieved by the contractor to specified targets.

To the maximum extent practicable, ordering activities shall consider establishing incentives

where performance is critical to the ordering activity’s mission and incentives are likely to

motivate the contractor. Incentives shall be based on objectively measurable tasks.

3. Order

a. Agencies may use written orders, EDI orders, blanket purchase agreements, individual

purchase orders, or task orders for ordering services under this contract. Blanket Purchase

Agreements shall not extend beyond the end of the contract period; all services and delivery

shall be made and the contract terms and conditions shall continue in effect until the

completion of the order. Orders for tasks which extend beyond the fiscal year for which

funds are available shall include FAR 52.232-19 (Deviation – May 2003) Availability of

Funds for the Next Fiscal Year. The purchase order shall specify the availability of funds and

the period for which funds are available.

b. All task orders are subject to the terms and conditions of the contract. In the event of conflict

between a task order and the contract, the contract will take precedence.

4. Performance of Services

a. The Contractor shall commence performance of services on the date agreed to by the

Contractor and the ordering activity.

b. The Contractor agrees to render services only during normal working hours, unless otherwise

agreed to by the Contractor and the ordering activity.

c. The ordering activity should include the criteria for satisfactory completion for each task in

the Statement of Work or Delivery Order. Services shall be completed in a good and

workmanlike manner.

d. Any Contractor travel required in the performance of IT Services must comply with the

Federal Travel Regulation or Joint Travel Regulations, as applicable, in effect on the date(s)

the travel is performed. Established Federal Government per diem rates will apply to all

Contractor travel. Contractors cannot use GSA city pair contracts.

5. Stop-Work Order (FAR 52.242-15) (AUG 1989)

(a) The Contracting Officer may, at any time, by written order to the Contractor, require the

Contractor to stop all, or any part, of the work called for by this contract for a period of

90 days after the order is delivered to the Contractor, and for any further period to which the

parties may agree. The order shall be specifically identified as a stop-work order issued under

this clause. Upon receipt of the order, the Contractor shall immediately comply with its terms

and take all reasonable steps to minimize the incurrence of costs allocable to the work

covered by the order during the period of work stoppage. Within a period of 90 days after a

stop- work is delivered to the Contractor, or within any extension of that period to which the

parties shall have agreed, the Contracting Officer shall either-

(1) Cancel the stop-work order; or

(2) Terminate the work covered by the order as provided in the Default, or the Termination

for Convenience of the Government, clause of this contract.

(b) If a stop-work order issued under this clause is canceled or the period of the order or any

extension thereof expires, the Contractor shall resume work. The Contracting Officer shall

make an equitable adjustment in the delivery schedule or contract price, or both, and the

contract shall be modified, in writing, accordingly, if-

(1) The stop-work order results in an increase in the time required for, or in the Contractor's

cost properly allocable to, the performance of any part of this contract; and

(2) The Contractor asserts its right to the adjustment within 30 days after the end of the

period of work stoppage; provided, that, if the Contracting Officer decides the facts

justify the action, the Contracting Officer may receive and act upon the claim submitted

at any time before final payment under this contract.

(c) If a stop-work order is not canceled and the work covered by the order is terminated for the

convenience of the Government, the Contracting Officer shall allow reasonable costs

resulting from the stop- work order in arriving at the termination settlement.

(d) If a stop-work order is not canceled and the work covered by the order is terminated for

default, the Contracting Officer shall allow, by equitable adjustment or otherwise, reasonable

costs resulting from the stop- work order.

6. Inspection of Services

In accordance with FAR 52.212-4 CONTRACT TERMS AND CONDITIONS--

COMMERCIAL ITEMS (MAR 2009) (DEVIATION I - FEB 2007) for Firm-Fixed Price

orders and FAR 52.212-4 CONTRACT TERMS AND CONDITIONS −COMMERCIAL

ITEMS (MAR 2009) (ALTERNATE I − OCT 2008) (DEVIATION I – FEB 2007) applies to

Time-and-Materials and Labor-Hour Contracts orders placed under this contract.

The Contractor shall comply with all laws, ordinances, and regulations (Federal, State, City, or

otherwise) covering work of this character. If the end product of a task order is software, then

FAR 52.227-14 (Dec 2007) Rights in Data – General, may apply.

8. Responsibilities of the Ordering Activity

Subject to security regulations, the ordering activity shall permit Contractor access to all

facilities necessary to perform the requisite IT Professional Services.

9. Independent Contractor

All IT Professional Services performed by the Contractor under the terms of this contract shall

be as an independent Contractor, and not as an agent or employee of the ordering activity.

10. Organizational Conflicts of Interest

a. Definitions

“Contractor” means the person, firm, unincorporated association, joint venture, partnership,

or corporation that is a party to this contract.

“Contractor and its affiliates” and “Contractor or its affiliates” refers to the Contractor, its

chief executives, directors, officers, subsidiaries, affiliates, subcontractors at any tier, and

consultants and any joint venture involving the Contractor, any entity into or with which the

Contractor subsequently merges or affiliates, or any other successor or assignee of the

Contractor.

An “Organizational conflict of interest” exists when the nature of the work to be performed

under a proposed ordering activity contract, without some restriction on ordering activities

by the Contractor and its affiliates, may either (i) result in an unfair competitive advantage to

the Contractor or its affiliates or (ii) impair the Contractor’s or its affiliates’ objectivity in

performing contract work.

b. To avoid an organizational or financial conflict of interest and to avoid prejudicing the best

interests of the ordering activity, ordering activities may place restrictions on the Contractors,

its affiliates, chief executives, directors, subsidiaries and subcontractors at any tier when

placing orders against schedule contracts. Such restrictions shall be consistent with FAR

9.505 and shall be designed to avoid, neutralize, or mitigate organizational conflicts of

interest that might otherwise exist in situations related to individual orders placed against the

schedule contract. Examples of situations, which may require restrictions, are provided at

FAR 9.508.

11. Invoices

The Contractor, upon completion of the work ordered, shall submit invoices for IT Professional

services. Progress payments may be authorized by the ordering activity on individual orders if

appropriate. Progress payments shall be based upon completion of defined milestones or interim

products. Invoices shall be submitted monthly for recurring services performed during the

preceding month.

12. Payments

For firm-fixed price orders the ordering activity shall pay the Contractor, upon submission of

proper invoices or vouchers, the prices stipulated in this contract for service rendered and

accepted. Progress payments shall be made only when authorized by the order. For time-and-

materials orders, the Payments under Time-and-Materials and Labor-Hour Contracts at FAR

52.212-4 (MAR 2009) (ALTERNATE I – OCT 2008) (DEVIATION I – FEB 2007) applies

to time-and-materials orders placed under this contract. For labor-hour orders, the Payment

under Time-and-Materials and Labor-Hour Contracts at FAR 52.212-4 (MAR 2009)

(ALTERNATE I – OCT 2008) (DEVIATION I – FEB 2007) applies to labor-hour orders

placed under this contract. 52.216-31(Feb 2007) Time-and-Materials/Labor-Hour Proposal

Requirements—Commercial Item Acquisition As prescribed in 16.601(e)(3), insert the

following provision:

(a) The Government contemplates award of a Time-and-Materials or Labor-Hour type of

contract resulting from this solicitation.

(b) The offeror must specify fixed hourly rates in its offer that include wages, overhead, general and

14. Incidental Support Costs

Incidental support costs are available outside the scope of this contract. The costs will be

negotiated separately with the ordering activity in accordance with the guidelines set forth in the

FAR.

15. Approval of Subcontracts

The ordering activity may require that the Contractor receive, from the ordering activity's

Contracting Officer, written consent before placing any subcontract for furnishing any of the

work called for in a task order.

Terms and Conditions Applicable To Commercial Satellite Communications

(COMSATCOM) Transponded Capacity (Special Item Number 132-54) and

Commercial Satellite Communications (COMSATCOM) Subscription

Services (Special Item Number 132-55)

1. COMSATCOM Capacity and Coverage.

The Ordering Activity shall specify the capacity and coverage required as part of the initial

requirement.

2. Information Assurance

a. The Ordering Activity is responsible for ensuring to the maximum extent practicable that

each requirement issued is in compliance with either the Committee on National Security

Systems Policy (CNSSP) 12, “National Information Assurance Policy for Space Systems

used to Support National Security Missions,” or the Department of Defense Directive

(DoDD) 8581.1, “Information Assurance (IA) Policy for Space Systems Used by the

Department of Defense.”

b. The Ordering Activity shall assign an impact level (per Federal Information Processing

Standards Publication 200 (FIPS 200), “Minimum Security Requirements for Federal

Information and Information Systems”) prior to issuing the initial statement of work.

Evaluations shall consider the extent to which each proposed service accommodates the

necessary security controls based upon the assigned impact level, command

encryption/authentication, and other requirements in CNSSP 12 or DODD 8581.1. The

Contractor awarded SIN 132-54 and/or 132-55 is capable of meeting at least the minimum

security requirements assigned against a low-impact information system (per FIPS 200).

c. The Ordering Activity reserves the right to independently evaluate, audit, and verify the IA

compliance for any proposed or awarded COMSATCOM services. All IA security

assessments and authorization activities are the responsibility of the ordering activity.

3. Delivery Schedule.

The Ordering Activity shall specify the delivery schedule as part of the initial requirement. The

Delivery Schedule options are found in Information for Ordering Activities Applicable to All

Special Item Numbers, paragraph 6. Delivery Schedule.

4. Portability.

When an Ordering Activity requires portability, this requirement shall be included as part of the

initial requirement. When portability is exercised, evidence of equivalent net present value

(NPV)1 shall be provided by the contractor. Ordering Activities may propose additional terms

and conditions within the requirement (example: specific predefined, guaranteed terms and

conditions for portability and related services). However, if the supplemental terms and

conditions contradict the contract, the contract takes precedence. Portability provides the

Ordering Activity the ability to relocate or “port,” COMSATCOM Services resources as user

requirements change. Descriptions of portability may include moving from one transponder/

satellite to another, one managed service area to another, transponded capacity redeployment

between beams or transponders on a single satellite, redeployment from one frequency band to

another, physical relocation of a satellite to a new orbital position, re- routing of teleport services

from one teleport to another predefined teleport, re-routing of traffic from one terrestrial

infrastructure to another predefined infrastructure, and movement of Network Operations Center

(NOC) services from one NOC to another NOC.

5. Flexibility/Optimization.

When an Ordering Activity requires re-grooming resources for spectral, operational, or price

efficiencies, this requirement shall be included as part of the initial requirement. When

flexibility/optimization is exercised, evidence of equivalent net present value (NPV)2 shall be

provided by the contractor. Ordering Activities may propose additional terms and conditions

within the requirement (example: specific pre-defined, guaranteed terms and conditions for re-

grooming). However, if the supplemental terms and conditions contradict the contract, the

contract takes precedence. Flexibility/optimization/re-grooming allows the Contractor to

redistribute resources currently used to provide COMSATCOM Services (example: space

segment, network, teleport, terminal resources) or customers sharing the COMSATCOM

Services resources (example: customer one with typical peak usage at 9:00 a.m. and customer

two with typical peak usage at 3:30 p.m.), enabling the Ordering Activity to gain spectral,

operational, and/or price efficiencies.

6. Net Ready (Interoperability)

When an Ordering Activity requires interoperability, this requirement shall be included as part of

the initial requirement. Interfaces may be identified as interoperable on the basis of participation

in a sponsored program acceptable to the Ordering Activity. Any such access or interoperability

with teleports/gateways and provisioning of enterprise service access will be defined in the

individual requirement.

7. Network Monitoring (NET OPS)

The Ordering Activity shall specify the Network Monitoring (Net Ops) collection and delivery

requirements (example: format, frequency) as part of the initial statement of work. The

Contractor awarded SIN 132-54 and/or 132-55 is capable of collecting and delivering the near

real-time monitoring, fault/incident/outage reporting, and information access required to ensure

effective and efficient operations, performance, and availability consistent with commercial best

practices. Ordering Activities may propose additional terms and conditions within the

requirement (example: specific pre-defined terms and conditions for Net Ops collection and

delivery.) However, if the supplemental terms and conditions contradict the contract, the contract

takes precedence.

8. EMI/RFI Identification, Characterization, and Geo-Location

When an Ordering Activity requires Electro Magnetic Interference (EMI)/Radio Frequency

Interference (RFI) identification, characterization, and geo-location, it shall be included as part

of the initial requirement. The Ordering Activity shall establish and use with the Contractor a

mutually agreed upon media and voice communications capability capable of protecting

“Sensitive, but Unclassified” data.

9. Security

The Ordering Activity is responsible for assigning the personnel and facility clearance levels for

each requirement. If required, the Ordering Activity is responsible for issuing the appropriate

security forms (e.g., a DD-254) for any special clearance requirements and indoctrinations, such

as Sensitive Compartmented Information (SCI). Ordering Activities shall ensure the Contractor

“masks” or “protects” Ordering Activity customers against unauthorized release of identifying

information to any entity that could compromise the customer’s operations security. Identifying

information includes but is not limited to personal user and/or unit information including tail

numbers, unit names, unit numbers, individual names, individual contact numbers, street

addresses, etc.

10. Third Party Billing for COMSATCOM Subscription Services.

The Ordering Activity shall make every effort to educate the terminal owners or operators on

usage of the approved network infrastructure to avoid third party charges.

11. Additional Terms and Conditions.

a. The Ordering Activity is responsible for determining the number of approaches each

Contractor may offer in response to a statement of work.

b. If guidance is required, Ordering Activities may contact the GSA Satellite Communications

Services Program Management Office (SATCOM PMO), [email protected].

c. For each Subscription Service requirement, the Ordering Activity shall negotiate with the

Contractor any required Committed Information Rates (CIR). CIR is the average dedicated

bandwidth data transfer rate (example: megabits per second) for an individual

COMSATCOM Subscription Services network that the Contractor commits to delivering

over a period of time. The Contractor may exceed the CIR if the network has capacity at any

time.

Description of COMSATCOM Transponded Capacity and Pricing (SIN 132-54)

Artel provides all necessary services to allow customers to use the capacity effectively including

link budget analysis, transmission planning, basic training, management and control of the

capacity. Artel’s M&C system monitors the space segment and other services provided by Artel.

Artel provides RF carrier and spectrum monitoring utilizing 22 monitoring sites or nodes

strategically located around the world to monitor more than 800 circuits globally. Each node is

connected back to the Artel Network Operations Centers (NOCs) in three locations: Chantilly,

VA; Elkridge, MD; and the Artel headquarters in Herndon, VA. The Chantilly and Herndon

facilities are staffed 24x7x365; the Elkridge facility is the backup. Artel can provide trouble

reporting function via the Remedy ticket system, or using the XML format.

Artel will provide 24x7 end-to-end monitoring and electronic reporting to the Government for

EMI/RFI Identification, Characterization, and Geo-location. Satellite telemetry data is used to

verify transponder operations and all downlink carrier signals are monitored on a continuous

basis. Artel measures the following parameters as a part of the bandwidth management services:

Although network monitoring identifies and reports service outages with 10 minutes with status

updates every 30 minutes until restoration, due to the complexity of interference detection and

required analysis – initial reports for interference will be made within 1 hour of identification

and updates reported every 2 hours until resolution.

Artel will provide space segment frequency band portability on a space available basis that will

allow operators of multi-Band user terminals to select and/or change operating frequency bands

and/or satellites in the same or different regions to adapt to changing mission requirements.

Artel currently provides bandwidth optimization services on several DSTS-G tasks and other

contracts. Artel will work with the designated Government Points of Contact (POCs) to provide

a plan to redistribute and optimize all the available bandwidth and power between the active

users. Artel will provide bandwidth optimization and regrooming services at request. The

bandwidth redistribution will optimize the leased bandwidth and allow the Government to take

full advantage of all available bandwidth and power.

Pricing for SIN 132-54 is provided in the following pages in the section IT Schedule Price List.

Please note that the space segment prices can vary depending on the supply and demand

situation. Supply and demand and prices for commercial satellite transponder capacity are

extremely sensitive to international economic and geo-political conditions. If a national crisis or

international incident occurs that affects the availability of transport capacity, the Offeror

reserves the right to petition the GSA and its customer for price considerations at the time of task

order issuance. If an adjustment in pricing is needed, Artel will request such adjustment via

Transponded capacity pricing is followed by prices for Host Nations agreement, Bandwidth

portability, and Flexibility/Optimization, Regrooming prices. The price to the Government for

worldwide HNA services will be quoted on a case-by-case basis due to the widely varying nature

of the effort required in each country. HNA CLINs apply to all frequency bands for each region.

All necessary landing rights and frequency clearances are included in the CLIN pricing.

Description of COMSATCOM Subscription Services and Pricing (SIN 132-55)

Artel offers COMSATCOM subscription services integrated with satellite capacity from

commercial satellites. Artel subscription services are available globally in multiple regions and

multiple frequency bands on a per- month-per site basis. Subscription services include pre-

existing, pre-engineered fixed and mobile satellite services. We bundle all of the satellite

capacity, teleports, terminals and access devices to deliver end-to-end data, voice, video and

imaging applications. Artel subscription services include the necessary integration,

configuration, and testing needed to ensure remote terminals can access the service once

deployed in the field. The data rates are Committed Information Rates (CIRs) and the availability

is 99.5%. The services can be delivered for a small network with few users to networks with

hundreds of end-users.

Artel’s M&C systems monitor the space segment and other services provided to customers. Artel

provides RF carrier and spectrum monitoring utilizing 22 monitoring sites or nodes strategically

located around the world to monitor more than 800 circuits globally. Each node is connected

back to the Artel Network Operations Centers (NOCs) in three locations: Chantilly, VA;

Elkridge, MD; and the Artel headquarters in Herndon, VA. The Chantilly and Herndon facilities

are staffed 24x7x365; the Elkridge facility is the backup. Artel can provide alarms and reporting

function via the Remedy ticket system, or using the XML format.

Artel will provide 24x7 end-to-end monitoring and electronic reporting to the Government for

EMI/RFI Identification, Characterization, and Geo-Location. Satellite telemetry data is used to

verify transponder operations and all downlink carrier signals are monitored on a continuous

basis. As part of this service, Artel provides M&C of not only the space segment, but also the

equipment. Monitored parameters include:

Artel will provide space segment frequency band portability on a space available basis that will

allow operators of multi-Band user terminals to select and/or change operating frequency bands

and/or satellites in the same or different regions to adapt to changing mission requirements.

Artel services are billed on a per-site, per-month basis. The billing unit depends on the

subscription service. Shipping, installation, and commissioning are included. Services come

bundled with engineering, network management, and monitoring to ensure our services are of the

highest quality. Artel subscription services pricing includes the Activation fees and Monthly

subscription, all applicable taxes and fees and 24x7 support costs.

The following is a brief description of subscription services:

Internet Access Services

Artel’s Internet Access services are available on worldwide basis. These services are available

for different data rates and include equipment, gateways, and space segment.

VSAT Connectivity Services

VSAT Connectivity services are shared VSAT services on different platforms. The services are

available at different data rate and monthly data allowances.

iDirect Services

These are dedicated satellite services on iDirect platform. These services are available at

different data rates.

Managed Teleport Services

Artel’s Managed Teleport Services provide teleport resources on a worldwide basis for

customers needing to land satellite-based connections at commercial facilities. The elements

comprising these services include access to the necessary antennas, uplink/downlink equipment

and support resources to interface customer satellite traffic with terrestrial facilities. The leased

line connections and Internet connectivity are not included. These subscription services are

priced on a per Mbps basis per month.

Managed Connectivity Services

Artel’s Managed Connectivity Services provide customers with worldwide connectivity between

remote sites using satellite capacity, commercial teleports and terrestrial backhauls or Internet

connections. These subscription services are priced on a per Mbps basis per month and include

the necessary antennas, uplink/downlink equipment and support resources to interface customer

satellite traffic with terrestrial interconnections via leased line, PSTN, or the Internet. The leased

line connections and Internet connectivity are included.

Mobile Satellite Services

Artel’s Mobile Satellite Services (MSS) provide voice, data, video, SMS and Internet services to

connect mobile users and end-user remote locations worldwide using industry standard

protocols. All Artel MSS services are based on proven services utilizing existing networks

including Inmarsat, Iridium, Globalstar, Thuraya, Yonder and Orbcomm. The elements

comprising these MSS services include highly portable satellite terminals, and airtime service

plans. Artel’s MSS Services include the following:

▪ Two-way voice and data communication between mobile or fixed handsets or subscriber units

and other mobile and fixed devices

▪ One-way (simplex) data transmissions between a mobile or fixed device, that transmits its

location or other telemetry information, and a central monitoring station

BGAN, FLEET and SWIFT Broadband Services

These voice and data services, available worldwide, utilize the Inmarsat geosynchronous

satellites and core network to transport voice and IP data. Data is available as Standard IP (per

megabyte pricing) or as dedicated Streaming Services (per minute pricing). Voice is priced per

minute and SMS is priced per message.

For BGAN, Artel offers a standard service that enables users to activate the service and then pay

for ad hoc use of voice, data and SMS. Four monthly Allowance Rate Plans (Entry, Mid, High

and Super) are also offered. Under these plans, the user pays a monthly subscription fee (Per

Subscriber Unit) and is allocated a data allowance in megabytes (MB). Once the monthly

allowance has been “spent”, additional charges will be applied for the amount of data (in MB) in

excess of the allowance during each specific month.

FLEET Broadband is an enhanced maritime voice and data service utilizing the Inmarsat

satellites. Similar to BGAN, for FLEET Broadband, Artel offers a standard service that enables

users to activate the service and then pay for ad hoc use of voice, data and SMS. Three monthly

Allowance Rate Plans (Entry, Mid, and High) are also offered. Under these plans, the user pays a

monthly subscription fee (Per Subscriber Unit) and is allocated a data allowance in megabytes

(MB). Once the monthly allowance has been “spent”, additional charges will be applied for the

amount of data (in MB) in excess of the allowance during each specific month.

SWIFT Broadband is an enhanced aeronautical voice and data service utilizing the Inmarsat

satellites. Two classes of user terminals are available, termed Class 6 (high gain antenna) and

Class 7. For SWIFT Broadband, Artel offers a standard rate plan that enables users to activate

the service and then pay for ad hoc use of voice, data and SMS. Three monthly Allowance Rate

Plans (Entry, Mid, and High) are also offered. The prices for SWIFT broadband services vary

depending on the user terminal (UT) type (e.g., Class 6 or Class 7). Under these plans, the user

pays a monthly subscription fee (Per Subscriber Unit) and is allocated a data allowance in

megabytes (MB). Once the monthly allowance has been “spent”, additional charges will be

applied for the amount of data (in MB) in excess of the allowance during each specific month.

ISatPhone Service

This satellite phone service, available worldwide, utilizes the Inmarsat geosynchronous satellites

and core network infrastructure to deliver voice and SMS services. Voice is priced per minute

and SMS is priced per message.

Iridium Voice and Data Service

This satellite phone service, available worldwide, utilizes the Iridium low earth orbit satellites

and core network infrastructure to deliver voice and low-rate, circuit-switched data services. The

Iridium System is a satellite-based, wireless communications network providing a robust suite of

data services to virtually any destination anywhere on earth. The design of the Iridium network

allows data to be routed virtually anywhere in the world. Data calls are relayed from one satellite

to another until they reach the Iridium Subscriber Unit (ISU) or a commercial or government

gateway in the U.S. Voice and data calls are priced per minute and SMS is priced per message.

Iridium Short Burst Data (SBD) Service

This Short Burst Data (SBD) service uses an Iridium proprietary network protocol to transfer

data messages two- way from remote terminals for logistics and asset tracking as well as

personnel tracking. The L-band service currently supports two way messaging anywhere in the

world with a round trip time of 10-20 seconds. Artel offers a basic data plan that includes

30kbytes per month for a single monthly subscription fee per remote device. Additional message

data is priced on a per kilobyte basis.

Globalstar Voice and Data Service

This satellite phone service, available worldwide, utilizes the Globalstar low earth orbit satellites

and core network infrastructure to deliver voice and low-rate, circuit-switched data services. The

Globalstar system provides voice and data services worldwide. Voice and data calls are priced

per minute and SMS is priced per message.

Globalstar Simplex Service

This data service uses the Globalstar network and small, cost-effective devices for sending data

(such as geographic coordinates) from assets in remote locations to a central monitoring station.

The service provides for low rate burst data transmission from a simplex device using

Globalstar’s satellite and ground equipment. The small size of the devices make them attractive

for use in tracking asset shipments, monitoring unattended remote assets, trailer tracking and

mobile security. Artel offers a basic data plan that includes a low monthly access fee per remote

device. Message data is priced on a per message basis.

Personnel Tracking Service

This service provides for personnel tracking, emergency location and messaging solutions

beyond the traditional range of terrestrial and wireless communications. Artel offers a basic

service plan that can be augmented with “type and send” message services including message

allowance.

Thuraya Voice and Data Services

These services, available throughout Europe, Asia, the Pacific Rim and most of Africa, utilize

the Thuraya geosynchronous satellites and core network infrastructure to deliver satellite phone

services and broadband IP data services. Thuraya voice service is available using two different

models of satellite phones and is priced per minute and SMS is priced per message. Broadband

IP data services are offered by Artel in three plans (Basic, Basic Plus and Unlimited).

Orbcomm Tracking, Monitoring and Messaging Services

This service, available worldwide, utilizes the ORBCOMM network of low-Earth-orbit (LEO)

satellites to provide cost-effective asset tracking, monitoring and messaging. Similar to two-way

paging or e-mail, the system is capable of sending and receiving two-way alphanumeric packets

of data. These short, economical messages increase the efficiency of remote operations by

making critical information readily available, even from locations far beyond the geographic and

economic reach of traditional systems. Artel offers a suite of price plans that vary according to

the total number of message units required by a Subscriber Unit (SU) in any given month. Each

Airborne Services
