Roles of the Board of Directors The Board of Directors of every nonprofit plays many important roles in furthering the purpose of the organization. These may include but are not limited to the following:

v Planner: For the organization’s future

v Monitor: Of the current goals and objectives

v Evaluator: Of management efficiency and

program effectiveness

v Organizer: Of community constituencies to assist the

organization

v Employer: Of the personnel at the organization

v Motivator: Of the staff and volunteers

v Fundraiser: To ensure that all necessary funds

are available

v Catalyst: For long-term organizational change

v Promoter: Of the total organization as well as

its activities

v Supporter: Of the organization’s programs and

services

v Protector: Of the public interest in exchange for

tax-exempt

v Advocate: For issues or positions which may

affect the organization or its

constituents

v Advisor: To the Executive Director on issues

which fall within the executive’s

purview

and not allow it to stagnate

Govern Not Manage•The Board’s role is to provide oversight and guidance.

•The Board’s role is not to manage the organization.▪Good Example: The Board reviews results from recent evaluation and

determines that the program needs to be modified or restructured and recommends that the Executive Director develop a plan.

▪Bad Example: Three or four members of the Board meet with staff to revise the curriculum and work on developing lesson plans.

▪The Board should focus on the “ends” and let staff handle the “means”.
