On March 16, 2020, in accordance with section 418.016 of the Texas GovernmentCode, Governor Abbott has suspended various provisions of the Texas Open Meetings Act that requiregovernment officials and members of the public to be physically present at a specified meetinglocation (the “Order”). Minutes of Meeting of Board of DirectorsSeptember 10, 2020

The Board of Directors (“Board”) of Harris County Municipal Utility District No.

261 (“District”) met on September 10, 2020 by telephone conference and in accordance with the

duly posted notice of said meeting and the March 16, 2020 Order by Governor Abbott, with a

quorum of Directors present as follows:

and the following absent:

None.

Also present were Mr. Deano Wright and Mr. Nathan White, District operators;

Ms. Jennifer Landreville, District bookkeeper; Ms. Pat Hall, tax assessor-collector for the

District; Mr. Troy Bordelon, District engineer; Mr. Loren Morales and Ms. Leslie Cook, the

District’s financial advisors; Mr. Shane Stuckey with Stuckey’s Inc.; and Mr. W. James

Murdaugh, Jr., attorney for District.

President Whitaker called the meeting to order and declared it open for such

business as might regularly come before it.

1. The Board reviewed the minutes of the meeting held on August 13, 2020.

Upon motion duly made, seconded and unanimously carried, the Board approved the minutes as

presented.

2. The Board opened the floor for public comment. No public comment was

presented.

3. Mr. Morales approached the Board to discuss the proposed tax rate for

2020 and recommended a debt service rate of $0.13 and a maintenance and operations rate $0.36.

The Board reviewed the analysis and recommendation, as well as the 2020 voter-approval tax

rate worksheet. The Board considered the attached Resolution Finding District to be Low Tax

Rate, Developed, Developing, or Developed District in a Declared Disaster Area, Calling Public

Hearing on 2020 Tax Rate, and Authorizing Tax Assessor-Collector to Prepare and Publish

Notice of the Public Hearing. After discussion, upon unanimous vote, the Board found that the

District is a developed district under Texas Water Code §49.23602 and adopted the attached

Resolution so stating. The Board also authorized publication of a Notice of a Public Hearing at

which the Board will consider adoption of a total 2020 tax rate of $0.50 per $100 assessed

valuation, which the Board noted consists of a debt service tax of $0.13 and a maintenance tax of

$0.37. The attorney noted that after considering a proposed tax rate, the District must update the

transparency report required by Tax Code § 26.18. Upon unanimous vote, the Board authorized

the attorney to update the compliance document and post it on the internet.

4. Ms. Hall presented the tax assessor-collector’s report, copy attached,

which showed 99.1% collections for 2019 taxes and certified taxable value in the District of

$138,481,085. Upon motion duly made, seconded and unanimously carried, the Board approved

the tax assessor-collector’s report and payment of the checks listed thereon.

5. Ms. Landreville presented the bookkeeper’s report, copy attached. The

Board noted the energy usage report as well as the investment report, which was approved

unanimously. Upon motion duly made, seconded and unanimously carried, the Board approved

the bookkeeper’s report and the checks listed thereon. The Board discussed the required review

of the District’s investments in compliance with Senate Bill 253. The Board requested that the

District’s bookkeeper and investment officer review the list promulgated by the State

Comptroller and monitor it periodically to prevent violations of Senate Bill 253.

6. Mr. Wright presented the operator’s report, copy attached, which showed

484 connections with 100% water accountability. Three bacteriological samples had been taken,

all with good results. Mr. Wright requested the Board to consider a valve survey at an estimated

cost of $6,000 to $8,000. The survey had not been conducted for approximately three years, and

after discussion the Board approved the valve survey and additionally requested that the

operator, for the future, provide a schedule of this type of maintenance. The Board and operator

also reviewed recent sewer line repairs on Andante. The operator then submitted a list

delinquent accounts to the Board for termination of utility service and stated that the accounts in

question had been given written notification of the opportunity to appear, either in person or in

writing, at the Board meeting to contest, explain, or correct the charges, services, or

disconnection. The operator noted that the accounts listed had neither attended the Board

meeting nor contacted the operator’s office or the District to contest or explain the charges.

After discussion, upon motion duly made, seconded and unanimously carried, the Board

authorized the District’s operator to proceed with termination of utility service to said accounts

pursuant to the provisions of the District’s Rate Order.

7. The attorney stated that he and the operator had completed their annual

review of the District’s Rate Order, and no changes were necessary at this time.

8. Mr. Bordelon presented the engineer’s report, copy attached. On his

recommendation the Board approved the certificate of final completion for the sewer

rehabilitation project. The engineer also stated that design continued on the rehabilitation project

for the joint sewage treatment plant with Rolling Fork PUD. Mr. Bordelon discussed

maintenance along Rolling Fork Creek to be performed by Harris County Flood Control District.

The engineer agreed to correspond with a resident of the District concerning the necessary

removal of a wrought iron fence currently located in the Flood Control District’s easement.

9. Mr. Stuckey discussed recent significant sink hole repairs which had been

performed. He was of the opinion that the problem in this particular area of the District had now

been solved, and the Board expressed its satisfaction with the way work had been performed, and

stated that several residents had also voiced their pleasure in the work. Accordingly, after a brief

discussion the Board unanimously approved the invoice for the project submitted by Mr.

Stuckey. The Board also considered a proposal for cleaning and clearing at a District reserve

adjacent to the Rolling Fork sewage treatment plant site. After a review and discussion the

Board approved the proposal for initial clearing work at a bid of $4,150, and agreed to consider

the additional proposal for quarterly maintenance at a time in the future.

10. Finally, President Whitaker stated that he hoped to have additional

information concerning the District’s claim for damages against Comcast in the very near future.

There being no further business to come before the Board, the meeting was

adjourned.

Order Setting Tax Rate, Approving Tax Roll, and Levying Debt Service Taxand Maintenance and Operation Tax for the Year 2020

At a meeting of the board of directors (the “Board”) of Harris County Municipal

Utility District No. 261 (the “District”) held on October 8, 2020, at which a quorum of said

Board was present, as follows:

The Order set out below was introduced and considered by the Board. It was then

moved, seconded and unanimously carried that the following Order be adopted:

Whereas, the Chief Appraiser of the Appraisal District in which the District

participates has certified the tax roll of the District for the year 2020.

Whereas, in determining the tax rate to be levied, the Board has considered 1) the

amount which should be levied for maintenance and operation purposes; 2) the amount which

should be levied for the payment of principal, interest, and redemption price of each series of

bonds or notes payable in whole or in part from taxes; and 3) the percentage of anticipated tax

collections and the cost of collecting taxes, all in accordance with § 54.602(b) of the Texas

Water Code.

Whereas, a majority of the electors voting in an election held for and within the

District have heretofore approved and authorized the levy and collection of a tax for operations

and maintenance purposes.

Therefore be it ordered by the Board of Directors as follows:

I.

The Board hereby directs that there be levied on all taxable property within the

District an ad valorem tax for the year 2020 at the rate of $0.37 per $100 of assessed valuation

for maintenance and operations.

II.

The Board hereby directs that there be levied on all taxable property within the

District an ad valorem tax for the year 2020 at the rate of $0.13 per $100 of assessed valuation

for debt service.

III.

The Board hereby approves the tax roll of the District as prepared by the tax

assessor-collector for the year 2020.

IV.

Taxes shall be due and payable when billed and shall be paid on or before January

31, 2021. All taxes not paid before February 1, 2021 shall become delinquent on that date, and

penalty and interest will be added in accordance with the Texas Property Tax Code.

V.

The Board hereby authorizes and instructs the District’s tax assessor-collector to

assess and collect the taxes authorized by the Board in this Order.

VI.

The Board hereby authorizes the President or Vice President to execute this Order

District, and to do any and all things necessary to give effect to the intent hereof.

Amendment to Statement of Directors Furnishing InformationRequired by Section 49.455(b), Texas Water Code, as Amended

Whereas, the governing body of Harris County Municipal Utility District No. 261 has heretofore filed with the County Clerk of the County (or Counties) in which said District is located a Statement of Directors Furnishing Information Required by Section 49.455(b), Texas Water Code, as amended (hereinafter called the “Statement”).

Whereas, certain changes have recently been made in the information contained in said Statement, and an amendment should be filed setting forth such changes, as required by Section 49.455(e) of said Code.

Now, therefore, the undersigned, who constitute a majority of the directors of District, file the following amendment to said Statement, hereby affirming and acknowledging that the following information is true and correct:

1. Sections 3 and 9 of said Statement are hereby amended in their entirety and shall hereafter read as follows:

“Section 3. The most recent tax levied by the District on property located within the District is that for the year 2020, and the rate is $0.50 per $100 assessed valuation.”

The real property which you are about to purchase is located in the Harris County Municipal Utility District No. 261. The District has taxing authority separate from any other taxing authority, and may, subject to voter approval, issue an unlimited amount of bonds and levy an unlimited rate of tax in payment of such bonds. As of this date, the rate of taxes levied by the District on real property located in the District is $0.50 on each $100 of assessed valuation. The total amount of bonds, excluding refunding bonds and any bonds or portion of bonds issued that are payable solely from revenues received or expected to be received under a contract with a governmental entity, approved by the voters and which have been or may, at this date, be issued is $8,850,000, and the aggregate initial principal amount of all bonds issued for one or more of the specified facilities of the District and payable in whole or in part from property taxes is $8,465,000.

The district is located in whole or in part in the extraterritorial jurisdiction of the City of Houston. By law, a district located in the extraterritorial jurisdiction of a municipality may be annexed without the consent of the district if the municipality complies with the procedures and

requirements of Chapter 43, Texas Local Government Code, as amended. The law also providesthat, except in very limited circumstances, a municipality may not annex land in its extraterritorial jurisdiction without the consent of the landowners and/or voters in the area proposed to be annexed. If all of the area in a district is annexed, the district is dissolved. If the district and a municipality are parties to a strategic partnership agreement specifying the procedures for full purpose annexation of all or a portion of the district, the terms of that agreement will apply concerning annexation.

The purpose of the District is to provide water, sewer, drainage and flood control facilities and services within the District through the issuance of bonds payable in whole or in part from property taxes. The cost of these utility facilities is not included in the purchase price of your property, and these utility facilities are owned or to be owned by the District. The legal description of the property which you are acquiring is set forth in the Exhibit which is attached hereto and by this reference made a part hereof.
