SUBCONTRACTOR PURCHASE ORDER TERMS and CONDITIONS

1. PAYMENT SCHEDULE 1. Delivery Schedule:

(a) Payment Terms: Subject to the terms of this Subcontract, AIM shall pay the Subcontractor the amount of each Payment Invoice prepared and submitted in accordance with these payment terms, less any holdbacks, within 35 days after date of such Payment Invoice.

(b) Final Payment: The Subcontractor shall not be entitled to final payment in relation to the Subcontract Work until it has fully completed all requirements of the Subcontract and provided: (i) an executed release; (ii) a clearance letter from the Workers’ Compensation Board of British Columbia acknowledging that the Subcontractor

has fully paid all of its assessments pursuant to the Laws in respect of the Subcontract Work to the date of the final invoice;

(iii) assignment of any warranties provided by the Sub-subcontractors, as requested by the Contractor; and (iv) any other documents and submittals for which the Subcontractor is responsible for

2. REPRESENTATION, WARRENTIES AND COVENANTS a. Other Representations: During the term of this Purchase Order, the Subcontractor represents and warrants to AIM on an ongoing

basis, and acknowledges and agrees that AIM is relying on such representations and warranties, as follows (i) it has the necessary qualified personnel, with the skills and expertise, to provide the Purchase Order Work and who are experienced, ready and willing to provide the Purchase Order Work in accordance with the terms and provisions of this Purchase Order, (ii) it has exercised and shall continue to exercise the skill and care required or any other term of this Purchase Order in relation to the provision of the Purchase Order Work, (iii) all information supplied by the Subcontractor for the purposes of this Purchase Order, the Purchase Order Work and otherwise in relation to the Project has been (and shall continue to be) provided in good faith and is true, correct, complete and not misleading, and (iv) goods or materials generally known in the industry to be deleterious or otherwise not in accordance with Good Industry Practice have not been and shall not be specified, selected or supplied by it, or anyone acting on its behalf, for use on the Project or otherwise in connection with the Purchase Order Work

b. Covenants: The Subcontractor covenants to and with AIM as follows: (i) it has or shall obtain and maintain, at its cost, all required permits, permissions, consents, approvals, licences, inspections, certificates, fees and all other agreements from any third parties which are necessary for carrying on its business or the performance of its obligations under this Purchase Order, including the supply and provision of the Purchase Order Work, (ii) the Subcontractor, the Subcontractors and their respective employees and agents are and shall be fully knowledgeable of and comply with all applicable laws, and (iii) the Purchase Order Price includes the cost of complying

3. DELIVERY a. Delivery: The Subcontractor agrees to deliver the Purchase Order Work in accordance with the delivery schedule to the location.

Time is of the essence of this Purchase Order, and in the performance of the Purchase Order Work under this Purchase Order. The Subcontractor shall perform the Purchase Order Work and make deliveries hereunder to comply with the Delivery Schedule, unless otherwise authorized in writing by AIM. The Subcontractor agrees to notify AIM immediately, if at any time it appears that the Delivery Schedule may not be met. Such notification shall include the reasons for any possible delays, and steps being taken by the Subcontractor to remedy any such problems. The Subcontractor shall take such action as AIM directs or as the Subcontractor considers appropriate to regain the Delivery Schedule including the performance of overtime, weekend, holiday work, or the establishment of additional shift work, to the extent such actions are permitted by applicable laws. Such actions shall be taken at no additional cost to AIM. Subcontractor acknowledges that if it fails to make deliveries according to the Delivery Schedule, AIM shall suffer damages as a result of the delayed delivery of the Purchase Order Work.

4. PAYMENT a. Purchase Order Price: Subject to the terms and conditions herein set out, AIM shall pay the Subcontractor the amount specified

for the supply and provision of the Purchase Order Work and performance, observance and discharge of all other obligations and liabilities of the Subcontractor under this Purchase Order. The Purchase Order Price excludes GST. All other applicable taxes and duties, including without limitation all federal and provincial sales and use taxes and all customs duties, are included in the Purchase Order Price. The Purchase Order Price and all dollar figures in this Purchase Order are in Canadian dollars. AIM shall not be liable for any foreign currency exchange rate risk suffered or incurred by the Subcontractor.

5. WARRANTY a. Warranty: The Subcontractor warrants that all Purchase Order Work shall be supplied in accordance with this Purchase Order,

free from defects in material, in workmanship and in any design, engineering or services furnished by or on behalf of the Subcontractor.

6. INSURANCE a. Without limiting any of the Subcontractor’s obligations or liabilities under this Purchase Order, the Subcontractor shall, at its sole

cost and expense, obtain and maintain, or cause to be obtained and maintained, during the performance of its obligations under this Purchase Order, the following insurance policies:

b. Workers’ Compensation coverage for all employees engaged in the performance of its obligations under this Purchase Order in accordance with the Workers Compensation Act (British Columbia);

c. As a single “Operator” the Subcontractor must provide proof of Personal Optional Protection coverage available through the Workers’ Compensation Board of British Columbia for all employees engaged in the performance the obligations under this Purchase Order who are not covered by the Workers Compensation Act (British Columbia);

d. Commercial General Liability Insurance in an amount of $5,000,000 per occurrence, and annually in the aggregate with respect to Products and Completed Operations Liability. Such coverage to include, but not be limited to, Blanket Contractual Liability, including liability assumed under the Contract, Tortious Liability, Contractual Liability, Subcontractors Protective Liability, Non Owned Automobile Liability, Attached Equipment Cross Liability, Broad Form Property Damage Liability, Products and Completed Operations Liability, and, when applicable to the Purchase Order Work, Hook Liability, Sudden and Accidental Pollution Liability and Explosion, Collapse and Underground Damage Liability and Forest Fire Fighting Expense Liability, and, in any event, such Commercial General Liability Insurance shall provide coverage not less than the insurance required by IBC Form 2100 or its equivalent replacement. The policy shall name BC MOTI and AIM as additional insured in respect of liability arising out of the Subcontractor’s operations or its employees outside of the Project site, and shall contain cross liability and severability of interest clauses, or equivalent wording;

e. Automobile Liability Insurance for owned, non-owned, leased, operated or licensed automobiles, trucks, trailers, tractors and all-terrain vehicles with limits of $5,000,000 for accidental injury to or death of one or more persons or damage to or destruction of property as a result of one accident or occurrence;

f. Subcontractor’s Equipment Property Insurance covering loss or damage to, or loss of use of, tools, property and equipment of the Subcontractor and its Subcontractors, if any, or for which the Subcontractor and its Subcontractors, if any, are legally liable or responsible, in an amount equal to the full replacement value, if available, or such other value basis as is commercially available, of the tools, property and equipment. The policy shall include a waiver of the insurer’s rights of subrogation in favour of BC MOTI and AIM including employees, officers, directors, shareholders, and agents of the foregoing; and

g. such additional coverage as may be required by applicable laws. 7. GOVERNING LAW a. This Purchase Order shall be governed by and construed in accordance with the laws of the Province of British Columbia and the

federal laws of Canada applicable therein, without regard to any laws or choice of law rules that might direct the application of the laws of another jurisdiction. The parties expressly agree that the United Nations Convention on Contracts for the International Sale of Goods does not and shall not apply to this Purchase Order. This Clause shall survive the expiry or any earlier termination of this Purchase Order.

8. ESTIMATED QUANTITIES a. Quantities indicated in this Purchase Order must not be exceeded by the Contractor without written authorization from AIM. For

greater certainty and to avoid the Subcontractor exceeding the quantities indicated in the Purchase Order without written authorization, the Subcontractor shall notify AIM, IN WRITING when it has reached 75% of the estimated quantities referred to in the Purchase Order. It is further agreed that quantities and pricing contained herein are for Purchase Order issuance purposes only and that Subcontractor shall be reimbursed only for those quantities actually delivered and accepted by AIM, and that such quantities may be less than or greater than the estimated quantities.

11. ACCIONA POLICIES The Subcontractor shall comply with the Quality, Health and Safety and, Environmental policies: QUALITY POLICY STATEMENT Acciona Infrastructure Maintenance (AIM) shall deliver the British Columbia Highway Maintenance Agreements (the Services) with highest regard to the Client’s requirements and conform to relevant quality standards, regulations, codes and specifications. Everybody connected to the Services is expected to participate in achieving these quality commitments and to continually improve our quality management. AIM’s quality management is based on having: a. Competent workforce with a “right-the first-time” attitude b. Managers and supervisors who are relentless quality champions c. Rigorous quality assurance and control processes. AIM shall: i. Identify quality risks of the Services activities and build quality objectives ii. Assign responsibilities for quality management to applicable Services personnel and Subcontractors iii. Apply effective quality plans and instructions iv. Embed quality into work planning and execution at all relevant levels v. Use quality inspections and audits to verify acceptability of workmanship and materials vi. Take timely actions to address deficiencies and opportunities Management will provide the necessary leadership, organization and resources to implement this Policy through an effective Quality Health & Safety and Environmental Management System. Managers, supervisors, staff and subcontractors are required to adhere to this Policy by completing their quality management responsibilities delegated to them.

This Policy shall be communicated to AIM employees and Subcontractors and be available to relevant external parties upon request. This Policy shall be reviewed annually for continued relevance and appropriateness to AIM and the Services. HEALTH & SAFETY POLICY STATEMENT Acciona Infrastructure Maintenance (AIM) shall deliver the BC Highway Maintenance Agreements (BC HMA) (the Services) with highest regard to the health and safety of its most valuable asset: our people. AIM is committed to a Health and Safety System that eliminates or controls situations that may cause injury to its staff, subcontractors or the public, or cause damage to property resulting from workplace accidents. AIM’s Health & Safety Management Plan (HSMP) consists of policies, procedures, training, and other resources. The HSMP is supported by regular inspections, investigations and ongoing supervision and support. All employees are responsible and accountable for Workplace safety initiatives. Active participation by every individual, every day, in every job, is necessary to ensure that the workplace is a safe environment. All employees who have authority over other employees must ensure that all work is done safely and demonstrate a commitment to safety by example. Every member of the AIM management team is required to adhere to this policy and is accountable for the maintenance of the standards necessary to ensure the success of the AIM HSMP. The AIM management team must ensure that instruction and appropriate job training are provided to all employees. Each employee must have access to a copy of the Occupational Health and Safety Regulations and the HSMP. Employees must have the necessary qualifications and training before they are permitted to commence work. Immediate corrective action is to be taken to correct or mitigate observed or reported hazardous conditions or activities. No work shall be permitted if there is a reasonable probability that employee(s) may be exposed to undue hazard. Every employee has the right to education on the regulations and procedures which are applicable to their job. Employees are to correct any unsafe or hazardous condition(s) that they can and report to their immediate supervisor unsafe or hazardous conditions that they cannot correct. AIM is committed to work in a spirit of consultation and cooperation with the Joint Health and Safety Committee and workers. All employees are encouraged to consult with Committee members on health and safety matters or concerns. In accordance with the Occupational Health and Safety Regulations, AIM will review and if necessary, update its Health and Safety Policy on an annual basis. The Canadian Director of Health, Safety & Environment will annually review and approve the review of the Health and Safety Policy on behalf of AIM in order to adhere to legislation. ENVIRONMENTAL POLICY STATEMENT AIM shall deliver the BC Highway Maintenance Agreements (BC HMAs) (the Services) in an environmentally sound and legally compliant fashion. In doing so we are determined to continually improve our effectiveness in pollution prevention, carbon footprint reduction, resource conservation and care for the natural environment. These commitments require everybody connected to this Services scope to embrace their role in environmental management and to be empowered to act in order to protect the environment from undue harm. AIM proactively manages the Service/Operations Contract environmental risks through a competent workforce and established processes under the Quality, Health & Safety and Environmental management system. This requires us to: a. Define environmental responsibilities and accountabilities for all employees and subcontractors b. Assess and effectively control environmental risks as we plan and deliver Services work c. Provide the framework for environmental objectives and target d. Maintain adequate environmental awareness and competencies e. Foster constructive environmental communication f. Monitor and audit environmental performance g. Take timely action to address deficiencies and opportunities AIM management will provide the necessary leadership, organization and resources to implement this Policy through an effective Management Program (the Program). Managers, supervisors, staff and subcontractors are required to adhere to this Policy by completing the Environmental responsibilities defined in the Program This Policy shall be communicated to AIM employees and subcontractors, and be available to relevant external parties upon request. This Policy shall be reviewed annually for continued relevance and appropriateness to AIM and the Services. BINDING AGREEMENT The Purchase Order shall become a binding agreement upon the Subcontractor signing and returning an executed copy of this Purchase Order or upon the Subcontractor otherwise acknowledging acceptance of the Purchase Order or commencing performance of the Purchase Order Work, whichever occurs first.
