FROM THE CHAMBERIT’S COMING, BUT HOW FAST SHOULD YOU MOVE?There have been three significant events in the last few weeks that show how important it is to understand what sustainability really means for your business sector. And all three events fit neatly with a true story I recently heard.

The story goes like this… A NZX listed company was contacted by an institutional shareholder based in Europe. The investor wanted to see the company’s strategy for transition to a sustainable business model. That is, the plan for eliminating any negative impacts on people and the environment while remaining financially profitable. If the request had come through just a few months earlier, the company would have been totally on the back foot. Fortunately, it had just been through the highly regarded Adding Sustainable Value training programme which set some solid strategic goals for sustainability, and a real plan for getting there. The strategy is not just to improve efficiency, but to redesign for long-term sustainability.

The three related events I mentioned happened in the space of just a few weeks. First, in early June Norway announced that its $990bn state pension fund would divest around $10bn from fossil fuel investments. Just days later, the G7 group of nations declared an agreement to phase out fossil fuels completely by the end of the century. And, just over a week later, Pope Francis released his encyclical (the highest form of Catholic teaching), framing climate change as a moral issue and the most pressing concern for

humanity. The influential knock-on effects of these events should not be underestimated.

As this article goes to press, the New Zealand government is presenting its new climate change targets to the UN conference in Paris. Whatever you think of the target, there is currently no stated plan to achieve it. So how fast should you move? Should you do anything different at all?

Well, a few things are clear. The future will be low carbon and will probably need to be carbon negative. The future economy will be highly circular, cycling materials constantly to eliminate the idea of waste through smart design. And customers will want healthy and environmentally safe choices that align with their personal values. These are significant changes with big design implications. So perhaps rather than how fast to move, the better question to ask might be how long can you afford to wait?

Figuring out what these changes will mean for your industry is the first step to seeing the opportunities for new ideas and innovation that can shape the future of your business. And if you don’t pursue these opportunities—someone, somewhere, surely will.

Inland Revenue has been active in the Hutt Valley over the last few months, chasing late returns, collecting tax arrears and conducting audits.

Crowe Horwath has been asked by several people to help them prepare late tax returns, including some from years ago. Often IRD has been chasing the returns for some time, has lost patience and is now threatening prosecution.

IRD has also been chasing tax arrears. This includes requiring employers to deduct tax from wages and banks to deduct tax out of accounts, and pursuing bankruptcy.

We have had consistent success resolving outstanding returns and tax arrears. Inland Revenue has provided time to prepare tax returns, has agreed to payment by instalments and has written off significant penalties and core tax, recognising financial hardship or where realistic lump sums are offered.

Inland Revenue has a targeted approach to tax audits. Recent cases we have dealt with include FBT on cars (work vehicles seen at the beach), use of look through companies (LTCs), consistent and unusual GST refunds, large GST refunds, comparing sales reported for GST and income tax, matching tax information from overseas to New Zealand tax returns and risk reviews, where IRD asks for information to determine whether to conduct an in-depth audit.

Successfully resolving IRD requests, whether for returns, tax arrears or audits, requires a few key things:

• A system for keeping tax information. Xero, MYOB or organised paper records make it much easier to prepare tax returns. Someone we helped had IRD chasing eight years of outstanding tax returns. These were all filed within a month as they had a good manual filing system.

• Robust records to support the figures and calculations in your tax returns. It’s difficult to justify returns if there are inadequate explanations as to where the figures came from.

• Always pay PAYE. As PAYE is deducted from your employees, IRD is very aggressive in collecting it. IRD will often seek to prosecute you and impose punitive penalties, unless it is paid.

• Pay core tax before penalties and interest. IRD normally applies installment payments to the oldest tax, including penalties. This means newer core tax can remain unpaid, which is unhelpful if your circumstances change and you cannot continue the instalments.

• Well considered and documented reasons for borderline tax positions. For example it’s easier to consider whether renovations are repairs or improvements at the time they’re done, rather than years later when IRD asks about them. Considering tricky tax issues at the time also provides an opportunity to create or collect supporting documentation.

• Respond to IRD promptly. Ignoring tax issues will only make them worse.

• Build rapport with IRD auditors. While some auditors are difficult, most are reasonable and respond well to timely and polite approaches.

• Get professional help early. Any IRD contact, especially audits, outstanding tax returns and arrears, can be scary. Knowing the rules and how IRD operates helps minimise your direct IRD contact, the time an audit takes and obtaining a good result.

• Insure the cost of a tax audit. We offer clients Audit Shield insurance which pays for the professional costs of an IRD audit. Even a simple IRD request for information can incur a significant cost. Audit Shield insurance is particularly recommended where you receive regular GST refunds or operate a business subject to Inland Revenue’s compliance focus (www.ird.govt.nz/taxagents/compliance/key-focus-areas).

Following the merger with Harkness Law in late 2014, which saw commercial property experts John Harkness and John Steel join the firm’s Wellington office, 2015 has continued to see changes for long-standing Hutt Valley/Wellington-based law firm Gibson Sheat.

Change can be unnerving, but it can also be exciting and rewarding. There are often so many negative emotions associated with change that people overlook the positives. However, as George Bernhard Shaw once said — “Progress is impossible without change”.

The most recent changes at Gibson Sheat certainly fall into the exciting and progressive category.

A new practice area—Overseas Investment Advice In May Catherine Reid joined the firm to head this new practice area. Catherine is a recognised specialist in New Zealand’s foreign investment regime, including the Overseas Investment Act 2005 and the Overseas Investment Office (OIO) consent process.

Catherine has a close working relationship with the OIO having spent the previous four years as a senior solicitor and team manager there. In that capacity she advised the OIO and Ministers on how to decide overseas investment applications. Her role involved:

• assessing numerous foreign investment applications (including significant business assets, sensitive land, and fishing quota investments)

• personally deciding a number of applications, and directly advising Ministers on how to decide New Zealand’s largest overseas investment applications

• undertaking enforcement responsibilities under the Overseas Investment Act 2005

• presenting seminars to national law firms, investors, and real estate agents on the requirements for consent and how to prepare a successful application.

Expanding into WairarapaOn 1 August, Gibson Sheat merged with Wairarapa-based firm Logan Gold Walsh. The merged firm will continue to be known as Gibson Sheat.

Both firms consider this to be an extremely positive step forward. By combining resources they see an opportunity to enhance the depth and breadth of services throughout the wider Wellington region, and further afield, through a greater regional presence and increased expertise.

Gibson Sheat was already the largest firm in Wellington without offices in other centres. The addition of a Masterton office reinforces this position across the greater Wellington region.

Boulcott Hospital is now in its 31st year of business and is a far cry from the life it began as a small, free-standing day surgical unit in 1984.

Back then it was home to the Argentinian ambassador, that was until the Rob Muldoon Government severed ties with that country during the Falklands war.

When the property went on the market, Dr Grenfell, a specialist anaesthetist, and six other consultants joined forces to buy the premises with a view to turning them into consulting rooms and a theatre.

“Private surgery was carried out in Wellington in those days, which meant surgeons had to drive into the city every day, and so did their patients, but establishing Boulcott has changed all that.”

Over the past 30 years Boulcott has undergone huge development, expanding into two other adjacent sites and making way for a day

unit, three hi-tech operating theatres, a new block with in-patient beds, and a fully equipped endoscopy suite.

Let’s not forget the specialist consulting centre which, as the name suggests, accommodates more than 40 consultants and visiting specialists.

The addition of the Joint Replacement Centre has meant Boulcott Hospital has established itself as a quality centre for joint replacement in the region, with exceptional specialists, facilities and methodologies.

The main advantage for patients is the end-to-end care they receive from one site, from consultation, radiology and surgery right through to post-operative care.

There are eight orthopaedic surgeons specialising in hips, knees, shoulders, hands and ankles, working out of the centre, which attracts patients from the greater Wellington region, including the Hutt Valley, Kapiti, the Wairarapa and Wellington city.

“We have the whole spectrum of surgeons here, orthopaedic surgeons, plastic surgeons, ear, nose and throat specialists, urologists, general surgeons, ophthalmologists, gynaecologists, gastroenterologists, oral and maxillofacial surgeons, veins surgeons and a fertility specialist, which is a comprehensive service,” says Dr Grenfell.

“We really have grown from a small clinic in 1984 to become one of the region’s most successful surgical hospitals and we are delighted to be working with some of the most respected, skilled and experienced specialists in the region,” says Dr Grenfell.

From small beginnings, Boulcott now employs more than 100 staff, treating about 4500 patients a year.

And there’s no doubt Boulcott has built up a reputation for being a modern, hi-tech hospital with state-of-the-art technology.

It’s all about patient care, and earning the prestigious Quality Health New Zealand accreditation, which endorses the hosptial’s levels of care and service as of the highest standard internationally, well and truly backs that up.

Patient feedback also speaks volumes.

It’s not only patients who enjoy the Boulcott experience - principal nurse Lorraine Craig is one of many long-standing staffers who loves all of what Boulcott stands for.

So much so, it’s been 30 years since she first started work as an operating theatre nurse and plastics nurse, just a year after the hospital first opened.

HOW HEALTHY IS YOUR BUSINESS? As business owners, we get caught up in the day to day running of our business. Business owners wear many hats including; being the Boss, Leader, Sales Person, Business Development Manager and more. The job description of a business owner is never ending. Being busy

servicing clients is good (and necessary) for business success, but what about your business, who services your internal requirements? It’s like the typical mechanic’s story; they fix everyone else’s cars, but when it comes to their own, it’s last on the list. The same happens to our accounts. Unless you enjoy doing the accounts yourself or you have a trustworthy, qualified Bookkeeper or Accountant maintaining your accounts, how do you know the real state of them?

It is often not until a sudden illness, leave of absence or a death in the family occurs that problems in your businesses finances are uncovered. Emergency cover is required, other staff get involved and a “what the..” moment happens, making you wonder what has been going on in your business!

So what can you do to avoid that situation? One way of restoring “peace of mind” in this area is a worksite assessment and review of your ledger by a GoFi8urine. Consider it a “Warrant of Fitness Finance” in your business’s risk management plan. You review your insurances annually – so why not do the same with your accounts?

What is a Warrant of Finance (WOF)?Warrant of Fitness checks are a legal requirement. And so they should be. Annual or six monthly inspections are important to ensure road worthiness and safety for motorists. By comparison, business health checks aren’t required by law. Just because we don’t “have to” doesn’t mean that we shouldn’t. In fact, every business owner would be wise to apply the principles of the WOF to their own financial engines and repair and replace parts and processes if they’re not working effectively – or efficiently.

The ultimate question is: Do you want your company to run like a fine-tuned engine, purring along the road to profit?

If you are unsure that you need a WOF and want to further investigate the situation for yourself, then you may to ask yourself the following questions;

ü Have you asked about old debtors and how they are being chased up or are they left because there is an issue that’s just too hard for a staff member to deal with?

ü How much money do you really owe to suppliers and are you making payments? This is your reputation here so it pays to check.

ü Do you know if your GST returns and PAYE returns are being

filed and more importantly paid on time? Late payment penalties and interest mount up and staff can try to hide this from you!

ü Do you know the latest situation for the business’s current assets, debtors, creditors, cash flow, budget variances, and year to date wages, accruals, forecasting and your shareholders current account?

ü When was the last time the general ledger was checked for its coding and classification? Once a year by the CA is not enough - it needs to be reviewed at least monthly!

ü Do you know how the income and expenditure is coded and with correct GST etc - you would be surprised how mistakes creep in and if you don’t check it won’t get corrected unless someone like a qualified, certified GoFi8urine comes along and says “Goodness, 3 months of coding and it’s all NT for GST; lets reconcile this correctly shall we!”

ü Petty Cash, company credit cards, business mobiles, petrol card, company vehicles - if you are letting staff use these are they being used appropriately? And you are not leaving yourself wide open for misappropriation? Who checks?

If you want to know the true state of your accounts then you need a WOF. One of our mantras is ‘you didn’t go into business to be a Bookkeeper, but we did’. And it’s true. You started your business because you had a great idea and the drive and ambition to make it happen. You didn’t do it because you love working out your tax credits, GST and payroll – unlike our GoFi8urines.

FraudAs an employer you can’t always prevent fraud but you can minimise the chance of such incidents occurring – similar to malaria tablets, they won’t stop you getting it, but reduce the symptoms considerably if you do! Get on top of your business, don’t bury your head in the sand, watch the cash controls and internal checks and balance system, vigilantly follow through on procedures, lead by example and when you feel that something is not quite right, trust your gut instincts and investigate immediately.

A pro-active, strategic approach to economic development, coupled with confidence and more than a little tenacity, are sure to go a long way to strengthening future prospects for a person, a business, a city, and a region.

The Upper Hutt City Council has taken this pro-active approach. Our economic development stimulus policy has marked a turning point in Upper Hutt’s economic future. Our local economy, like many others worldwide, was not performing as we wanted. We knew that employment opportunities were down, the city centre was stagnating and despite the vast expanse of realty available, land opportunity seemed low.

Council resolved to incentivise local investment which was supported through consultation with the community. These incentives provide grants for relocation, fit out, and earthquake strengthening, with additional support to reduce rates and consent fees.

Distributed under stringent guidelines, the criteria for success will measure the creation of local employment opportunities, complementary ventures and sustainability. The initiative has proven successful so far with new businesses from a diverse array of sectors setting up in Upper Hutt.

Like the Chamber, WREDA (Wellington Economic Development Agency) and other business support agencies, Council has taken its responsibility to support contributors to our local economy seriously. This strategic focus is testament to our commitment to prosperity. This goes beyond the core service traditional to a territorial authority where infrastructure, compliance and civic administration typically rule. We are not unique in this stance and most councils now actively participate in this field.

It is a sign of the times that matters of local GDP reflect on a council’s performance. Competing against domestic economic powerhouses such as Auckland, is never going to be an easy task. They can simply offe: more opportunities, more jobs, more potential customers, more connections. But what Auckland lacks in lifestyle, character and creativity, the Wellington region offers in droves.

The job of attracting business to Wellington should be collaborative. Collectively, particularly through the work of WREDA, the region can compete making future prosperity something we can all determine. Local incentives should be offered as part of a regional story and we should leverage off each other’s success securing a more positive, sustainable, vibrant and prosperous future.

Council’s Long Term Plan sets the direction for Lower Hutt. We will continue to build on the progress we are making in revitalising the city with a programme of exciting projects and initiatives.

Major projects such as the upgrade of the Civic Precinct and development of a new events centre, and other community facilities such as the Taita Centre are going to plan. We also continue with our development incentives to stimulate building and business development.

This growth remains affordable. Residential rates have increased at an average of 2.7 per cent, the lowest of the region. A slight reduction in business rates, at an average of 0.6 per cent, encourages economic growth.

These figures, combined with debt levels less than Council’s annual income, show our plans to revitalise the city have not been at the expense of sound financial management.

Our overarching strategies remain a touchstone for this development and investment. For example, our Urban Growth Strategy sets out clear targets for population growth and Council is developing supporting plans for how this will be achieved, such as residential development.

Science and technology remains a focus area as Council sees great opportunities in this for Lower Hutt. This Long Term Plan saw an additional $500,000 allocated to science and technology projects.

Good walk and cycle ways are a fast growing component of good urban design. Walk and cycle ways were one of the most popular proposed projects in the Long Term Plan. Through allocating funding in the Long Term Plan we showed our community’s commitment to these projects and also put forward a strong case for central Government’s Urban Cycle Ways Programme Funding. Four major walk and cycle projects for Lower Hutt have been given total funding of $13 million from this Government programme. The four projects are a valley floor beltway track, a Wellington CBD to Melling cycle link, the Eastern Bays shared pathway, and the Wainuiomata Hill shared pathway.

WHAT DOES IT TAKE TO BE EXTRAORDINARY?

We know the Hutt Valley has many extraordinary people doing extraordinary things and that some of those extraordinary people are our students at the New Zealand Centre for Gifted Education.

The Centre is a national organisation providing specialist services to gifted children and their support networks. Our national office is based in Central Lower Hutt and in the Hutt Valley community we operate our pre-school (started in July 2015) and primary-aged programmes based at Rata Street School, Naenae – since 2002!

To be extraordinary you need the right support in place. This ensures you can maximise your potential and have the creative license to explore the possibilities of your talents and passions. We are one specialist part of that support for gifted children in New Zealand. We believe in a future New Zealand where extraordinary minds, do extraordinary things – but our students need you to be part of this journey.

Most people have someone who made a difference, who changed their life. Maybe a teacher or mentor or a programme like ours that helped shape they are today.

Our kids, our next generation, just like you, need people in their lives they can look up to, be inspired by, be challenged by and to learn from.

Our programmes are designed with the gifted child in mind and these kids are thirsty to learn more and keen to push mainstream boundaries. Through the right support we can make a difference to these kids. Perhaps you have a talent or passion you would like to share, or have a project in mind that could enhance the learning experiences of our young gifted New Zealanders. Perhaps you would just like to come and hang out a bit to see more of what we’re about. So, what does it take to be extraordinary? A little extra from you.

PLAN TO SUCCEED BY BEING PREPARED.When I am teaching people how to eat naturally the first thing I focus on is mindfulness. You have to be aware of those negative habits that are holding you back, so you can make some

different choices to move forward. Then once we are mindful, we need to be prepared so we can give our body what it needs when it needs it. Some key strategies in preparing to eat naturally are:

• Knowing when you are likely to be hungry so you can plan in advance.

• Carry food with you, so you don’t get over hungry and don’t have to settle for something you don’t like.

• Make time to eat, schedule in breaks for snacks and lunch.

• Allow plenty of time to eat, so you don’t have to rush it or settle for something you don’t want.

• Double cook on the weekends so you have nutritious meals in the fridge/freezer that are easy to heat up during the week.

• Use a crockpot or bread maker so your meal can be cooking while you are out.

• Allow yourself to eat “treat” type food so you don’t crave it and overindulge on it.

All these suggestions will ensure that you eat exactly what you want when you are hungry. It means you are eating regularly throughout the day, are satisfied with what you are eating, and won’t get over hungry so therefore you won’t overeat.

As well as the physical steps we have to take to be prepared, we also need to feel positive and empowered so we can simply listen to our body and respond to its needs. When we are happy, confident and energised it is easy to put any plan into place. Some suggestions are:

• Regular meditation or quiet time,

• Some form of movement that you love

• Daily self-help or personal development.

• Regular stimulation

• Doing things you love as often as you can.

• Adequate sleep

So I encourage you to be prepared both physically and emotionally so eating simply becomes a positive natural experience that you don’t even have to think about.

I DON’T LIKE NETWORKING – DO YOU?People are usually surprised when I tell them this... I like people and once I’m talking with someone I have a great time – it’s the getting started part of networking that I’ve never really felt comfortable with.

Some people seem to be naturally good at networking. I’m not sure I’m one of them so I don’t tend to do as much as I could.

You and I both know all the reasons why attending the many Chamber networking events is a good idea, so I won’t repeat them. For many chamber members though, there are two main reasons why they don’t attend. Maybe these apply to you?

Reason #1: “I’ve actually got enough business and don’t need to network for more clients. In fact I’m so busy now that I can’t handle any more clients”.

That in itself presents a very different and very important reason to start attending. Instead of attending to look for clients, start attending to look for support! There are a vast range of incredibly helpful suppliers that regularly attend events. Maybe you’ll meet someone like Peter Couchman from Dale Cargnegie Training who delivers fantastic programmes on how to live the principles in the famous book ‘How to Win Friends and Influence People’. Or maybe you’ll meet Hayden Kirk from Layer 3, who along with providing all the IT and cloud computing support to the Chamber itself, helps dozens of businesses in the Wellington region.

Alternatively, you might get some honest feedback from other members in the room about a supplier you’re already considering using.

Perhaps if you are an owner of a successful established business and you’re the bottleneck - where you’re carrying too much stress, working too many hours (and you yourself are the barrier to the growth of your business) - you might even meet a great business coach. (Excuse the shameless plug.)

Reason #2: “I don’t enjoy networking, I feel exposed or uncomfortable and the idea of walking up to strangers is not my idea of fun”.

If that’s you - join the club. The silent majority of the room at every networking function are just like you. That’s why they congregate around the people they already know. Remembering that fact can make it a lot easier to start a new conversation.

So if you think there could be benefit in attending some more of our networking events, and you’re still uncomfortable with the idea, just come and find me. I’ll be feeling the same way and we can feel a little bit uncomfortable together!

SIGNING A LEASE? – WHAT TO LOOK FOR FIRSTIf you are setting up in business, chances are you will take on a lease for premises. A hasty sign-up could endanger your future financial security.

Negotiating the right lease can be a significant step in your business plan. Signing up for rent of $1000 per week is a commitment in itself, but over a six year term it’s even more significant, totalling $312,000.

Be sure you can afford the total commitment before you sign and if possible, avoid having your spouse or partner sign a personal guarantee. If a guarantee is required and you can’t negotiate your way around it, then limit it to say three, or six months’ rent.

Understanding what your lease covers is critical. Look for and work through:• Terms of the lease

• Rights of renewal clauses

• Rent reviews/renewal periods and how they are calculated

• Who pays for outgoings

• Responsibilities for common areas and exterior maintenance

• Whether the lease is assignable i.e. can you sell the business and pass the lease with it?

• Is there a disputes resolution clause?

What’s your investment in leasehold improvements?On the termination of the lease, the landlord may retain your fit-out, or they might invoke a make-good clause. This means that the cost may be yours to remove, redecorate and return the space to its starting condition.

Know the tax implications of lease inducements / incentives.Often there are significant offerings made to entice a sign-up. Have your chartered accountant check for any tax implications to ensure there are no surprises.

Lease suitability and your landlord.Have you considered all aspects of this particular site in terms of zoning, council planning, parking, accessibility, your competitors and neighbours? Developing a good relationship with your landlord could make resolving any issues easier.

I work with a great sales professional that nurtures his long term leads effectively. He regularly reaches out to them. He offers them valuable information each time and this keeps him top of mind for them. So when the client is ready, he is called because they have built a relationship over time.

Choose how you want to do business - The Company you work for will have a particular culture based on the methods they use to obtain new business. If you would rather work with less clients but provide a higher value product/service then the emphasis will need to be on a more target specific approach to obtaining business because you are looking for a niche clientele. When adopting a quality versus quantity approach, determining your qualification criteria is important so you are certain you have the right prospect to work with. Profile Fred and Clare:After spending 10 years overseas in various parts of the world, Fred and Clare came home in mid-2013 to be closer to family.

MEMBERSHIP CORNERSince our last hardcopy newsletter there has been a lot happening at the Hutt Valley Chamber of Commerce.

One exciting evening was the Inaugural Wellington Region Business Hall of Fame where eight regional businesses were inducted into the hall of fame. It was wonderful to see these humble, hardworking and successful businesses being rewarded.

The Wellington Region Business Hall of Fame was created by the Hutt Valley Chamber of Commerce with the support of principal sponsors Deloitte Private. These inaugural eight companies are incredible examples of businesses that have not only contributed to the regional economy but have also contributed to the overall health of their respective local communities. There was great feedback so it will be a popular event next year.

There are two other important events where your participation is needed. One is the Business Expo 2015 which is another regional event. There may be a few stands left at this late stage so give me a call to see if you can be an exhibitor, I am happy to offer members the early bird price. If you do not wish to exhibit please come and visit. There will be over 80 exhibitors at the Petone Club on Tuesday the 22 September between 9am and 7pm. There will be a Business After Five here so finish work early, come and visit the expo and then stay and network with the exhibitors and visitors till 7pm.

The other important matter is the Wellington Region Business

Excellence Awards. These awards, formerly the Hutt Valley Business Excellence Awards are, for the first time, open to any business in the Wellington region. Tickets for this prestigious event will be advertised in mid-September.

A new member function held on the 21 July was another enjoyable evening where enthusiastic new members met and networked. They got to understand more about each other’s businesses and many left the event with new business connections.
