“HVAC Service Contract “B” 1.0 INTENT

1.1 It is the intent of this invitation and by the executing of this contract to secure the services of a certified, qualified HVAC contractor to perform the following minimum tasks: b. To make all necessary repairs and/or replacements, thereof, any equipment and all

apparatus listed under this contract as defined in Section 6, thereof. c. To make short term and long term planning recommendations. d. To ensure proper and continuous operation of the HVAC equipment and all apparatus under

this contract. e. To review and make proper recommendations on new designs and/or upgrade of equipment.

The HVAC contractor shall provide all labor, tools, and equipment necessary to perform the requirements of this contract.

1.2 All interested firms are invited to attend a public meeting to be held on June 22, 2017 at 2nd

Floor Conference Room, Municipal Building, 427 Patton Street, Danville, VA 24541. Representatives of the City will be on hand to review the bid invitation and answer any questions. Bring a copy of this solicitation with you. Any changes resulting from this conference will be issued in a written addendum to this solicitation to all attendees.

2.0 CONTRACT PERIOD

2.1 The initial contract issued as a result of this RFP will be for the period July1, 2017 to June 30, 2022, with the option to extend for three additional one (1) year periods if mutually agreeable to both parties (22/25).

2.2 In the event that sufficient funds are not appropriated by the Council of the City of Danville,

Virginia; or, if appropriated, are not allocated or available; or, in the event the amounts due hereunder are to be paid with funds given to the City by another private or government entity, and such funds are not sufficient for continuation of this agreement during any fiscal year after the City’s first fiscal year; the City may, without breech, upon prior written notice to Contractor, terminate the contract in whole or in part.

3.0 CONTRACTOR QUALIFICATIONS 3.1 Overall Firm Qualifications

3.1.1 The Contractor shall have been actively involved in the repair and maintenance of comparable equipment for a minimum of five (5) years. The importance of maintaining this equipment in line with its original design performance and in proper operating condition requires the service to be performed by an experienced and competent HVAC Contractor who has satisfactorily maintained equipment of this type and to the degree included in these specifications. The Contractor must be able to demonstrate considerable expertise in the repair and maintenance of HVAC systems components as described below:

3.1.2 The Contractor must demonstrate considerable expertise in the repair and maintenance of

components or practices found in the following HVAC systems. The City of Danville may require the bidder to demonstrate this knowledge and ability prior to award.

Centrifugal Chiller

b. Ability to service, diagnose, repair, and overhaul. c. Provide rigging and teardown equipment and rigging experience. d. Oil analysis. e. Refrigerant analysis. f. Tube analysis and Eddy current analysis g. Centrifugal motor, shaft and impeller repair facilities. h. Centrifugal chiller reduced voltage starter. i. Electrical troubleshooting control system. j. Cooling tower operation, maintenance, & troubleshooting.

Reciprocating Chiller

b. Service, diagnose, repair and overhaul semi-hermetic compressors. c. Service, diagnose, and repair reciprocating chillers and large direct expansion Systems. d. Electrical troubleshooting control system.

Boiler Expertise (Steam and Hot Water)

b. Service, diagnose, repair, and overhaul burner and related controls. c. Run efficiency test on boiler combustion gases (electronic instruments required) and make

adjustments as required. d. Gas and oil fired units.

Air Handling and Supply Displacement

b. Service, diagnose, repair, and overhaul air-handling equipment. c. Understand modulating air equipment, delivery systems and controls related to the

equipment such as static pressure controls, variable pitched fans, etc. d. Must have air-balancing expertise for large commercial systems. e. Understand and have the ability to repair variable air volume systems. f. Understand and have the ability to repair, diagnose, and program frequency drives.

Pneumatic Control

b. Service, diagnose, repair and overhaul pneumatic control systems. c. Overhaul and repair air compressors. d. Expertise for retrofitting, sizing and selection of pneumatic controls.

Electronic Control

b. Service, diagnose and repair electronic control systems. c. Diagnose and repair problem with software firmware and hardware on building automation

system process controls. d. Programming abilities of the Trane Control systems including custom control panels and

programming. e. Abilities to interconnect personal computers to building control processing. f. Ability to diagnose building automation system from remote location using the Trane Control

systems. g. Capable of interfacing with the manufacturer to diagnose and correct problems with the

Building Automation systems.

Electrical Controls

b. Ability to service, diagnose and repair/replace controls, starters, safeties, wiring and motors as related to HVAC equipment and their support equipment.

c. Understand electrical control circuits as related to HVAC equipment and their support equipment.

Heat Pump and Light Commercial HVAC Equipment

b. Ability to service, diagnose, and repair heat pump and light commercial HVAC equipment. c. Understand the heat pump cycle. d. Understand light commercial systems as to air conditioning, heating (gas fired unit and

electrical heat) and ventilation. Systems Analysis

b. Ability to diagnose all system problems as related to air and water movement, refrigerant and control systems (the whole building concept).

b. Ability to service, diagnose and repair computer room systems. c. Understand humidification, dehumidification, reheat and humidifiers as related to computer

room environment control. Other Service Expertise Required as Related to the HVAC Industry

b. In-house expertise and equipment for vibration analysis and fan balancing. c. Ability to service, diagnose, and repair water pumps. d. In-house expertise and equipment for chiller retubing. e. Oil analysis, refrigerant analysis and tube analysis services. f. Ability to service, diagnose, and repair low temperature refrigeration systems. g. Refrigerant Reclaim Services. h. Water treatment analysis and operation of treatment systems, boiler (w/s), chilled water

closed and open loop systems, etc. i. Ability to diagnose and correct indoor air quality.

3.2 SERVICE PERSONNEL

3.2.1 The Contractor shall provide a minimum of three (3) qualified service personnel available for

this agreement certified as masters in building-related mechanical operations by the Commonwealth of Virginia. Each personnel shall be certified in Refrigerant Handling, Universal Level. Each personnel shall have the ability to operate a laptop computer to access and diagnose problems with the HVAC systems.

3.2.2 The Contractor shall maintain this certified staff at all times. Should there be a change in

personnel, which would affect these requirements, the Contractor shall submit the replacement person’s name, home address, telephone number, and Certification of training experience.

3.2.3 As a minimum, it is expected that the Service personnel assigned to this contract shall have quick excess to the following tools and equipment:

b. HVAC service tools such as manifold gages, voltmeters, amp meters, and hand tools. c. Wheel Puller d. Megger e. Vibration Analyzer f. Retubing Tools (Pullers and Rollers) g. Electronic Combustion Analyzer h. Electronic Overload Tester i. Audio Analyzer j. A-Frames and Special Rigging Equipment k. Portable Lap Top Computers l. Heavy Tools - required for disassemble service such as large sockets, pull bars, electric and

air-driven impact wrenches. m. Oxygen and Acetylene Torches n. Dry Nitrogen Regulators o. Tube Cleaning Tool p. Special Tools - as related to Trane and Carrier Reciprocating and Centrifugal Compressors q. Air Balance Hood r. Water Balance Instruments s. Portable Refrigerant Recover C Recycle Equipment - for use on refrigerants. t. All Personal Protective Equipment as required by OSHA and other governing agencies.

3.2.4 All personnel performing the requirements of this contract shall comply and abide by the

City’s policies and procedures. 3.3 SUPERVISION

The Contractor shall provide professional supervision of Service personnel. The supervisor will meet all requirements of Service personnel as stated above, plus have a minimum of five (5) years experience in the supervision of HVAC Service personnel.

3.4 ENGINEERING SUPPORT

The Contractor shall have a Virginia licensed Professional Engineer on staff for the duration of the contract. The engineer must have a minimum of five (5) years experience in design of HVAC systems.

3.4.1 Technical Support – The contractor shall have a staff capable of assisting the City in the

constant improvement of the comfort systems in the City’s buildings. This includes but is not limited to the diagnoses of HVAC related problems including IAQ problems, energy audits and institution of energy savings programs, review of existing and proposed building plans and specifications, and the monitoring of the HVAC systems and components. To assure the highest quality services, the contractor shall have on its staff for the duration of the contract the following certified personnel:

b. Professional Engineer licensed in the Commonwealth of Virginia c. NEBB Certified Commissioning Agent d. Certified Energy Engineer per the Association of Energy Engineers e. Certified Indoor Environmentalist by the Indoor Air Quality Association

3.5 AUTOMATED SYSTEMS SUPPORT

The Contractor shall have personnel experienced in programming, reprogramming, installation, and operation of building automation systems. Contractor will provide all programming and reprogramming required for the operation of existing equipment and will provide any programming or reprogramming needed to add or delete equipment or functions

to the Building Automation System. The building automation system shall be programmed as directed by the contract manager to ensure the max energy savings including but not limited to: night set-back, time of day schedule, and morning start-up at no cost to the owner.

4.0 SCOPE OF WORK 4.1 The Contractor shall provide all labor, tools and equipment necessary to perform a

comprehensive preventive maintenance program, as well as all labor, tools and equipment for repair and other services, as required by this contract, at the following locations. Each location shall have its own accounting system and be billed individually. All Invoice formats must be approved by the Contract Manager.

4.2 Service personnel shall respond to the job site within 30 minutes of notification of a service call during regular business hours and one hour outside of regular business hours, and make the necessary repairs. The Contractor shall respond to any alarms, as directed by the contract manager.

4.3 The Contractor may be required to make repairs to equipment not covered by this contract.

In this event, the City will be billed the rate for labor and materials needed to make such repairs per billing rate established in this contract.

4.4 In many situations the Contractor may be requested to provide parts needed to repair equipment which is to be billed to the City; however, the City reserves the right to provide parts, material, or supplies to be installed by the service Contractor. If the Contractor provides parts, any warranty will be passed on to the City. If the City elects to provide parts or materials, the Contractor will provide labor to install or reinstall these materials or parts at no cost to the City. The Contractor will maintain a stock of critical parts for equipment covered by this contract readily available as required by the Contract Manager.

i. Parts Purchasing Agreement

b. The Contractor agrees to seek maximum competition for needed approved parts and

accessories, and guarantees to pay the lowest price available for each purchase. The contractor shall obtain and submit three (3) prices for items over $300.00 and two (2) prices for items from $25.00 to $299.00. The Contractor shall bill monthly and each billing shall be separate per building account.

c. Contractor shall submit invoice from parts manufacturer substantiating actual charge for each item.

d. Pricing to the City must be exclusive of Federal Excise Tax and Virginia State Sales and Use Tax.

e. Contractor shall mark-up manufacturer’s invoices no more than 10% for handling/overhand and 10% profit. Pricing shall be all inclusive and include transportation, insurance, uncrating charges, etc.

f. Purchases shall require written authorization from the City’s Contract Manager before proceeding to place orders. The City reserves the right to solicit bid invitation when determined to be in the best interest of the City.

g. All other provisions of the aforesaid agreement are to remain in full force and effect.

4.5 The contractor’s supervisor shall meet with the City’s Building Maintenance Superintendent each regular working day at a time and place specified by the Contractor Manager.

4.6 The Contractor will provide a minimum of 300 hours per year of engineering or technical

assistance for each year of the contract. The Contractor may use in-house support personnel, other than the engineer, to help resolve equipment or system problems, if they should arise.

4.7 The Contractor shall post on each Job site a City approved “Service Card”. All inspections

and/or Service Calls shall be noted and initialed by the Contractor’s service representative. In addition, the Contractor shall maintain a log book readily accessible to the City that shall document the following: date, job site, work performed, materials used, condition of equipment, recommendations for necessary repairs, and signature of service representative.

4.8 The Contractor shall reprogram the Building Automation system as required and shall

provide training to City personnel as required to keep them abreast of all changes and upgrades at no additional cost to the City.

4.9 The Contractor shall formal training to the City’s personnel in the Building Automation

System and building related trades, as approved by the Contractor Manager at no additional cost.

4.10 The Contractor shall provide and maintain a complete and current set of control drawings

and control software. These documents shall be backed up with two additional copies. The Contractor shall safeguard one copy and maintain a second copy to be safeguarded by the City.

5.0 DAILY INSPECTION

5.1 The Contractor shall perform a walk through inspection each working day at the following locations to ensure proper operation of the equipment at each of these sites:

a) Health Department b) Danville Social Services c) Squire Armory

During this daily inspection the equipment identified in Section # 6.0 of the site listed in Section 5.1 shall be visually, checked for proper operation of motors, fans, bearings, controls, and related equipment. Contractor shall report to the City any improper operation of equipment and make the necessary repairs.

6.0 PREVENTATIVE MAINTENANCE – SCOPE OF COVERAGE a. LOCATIONS – Exhibit #1

See Exhibit 1 – LOCATIONS, EQUIPMENT LIST, SCOPE OF WORK, & SERVICE SCHEDULE. See Exhibit 2 – PREVENTIVE MAINTENANCE PROGRAM. 7.0 WATER TREATMENT PROGRAM 7.1 LOCATIONS – See Section 6 for locations of equipment covered under the agreement.

7.2 The Contractor shall provide all labor, materials (including chemicals), equipment and services required for the complete installation and continuous operation of a water treatment system to control corrosion, scale, slime, algae, bacterial and sludge in closed recirculating chill water loop, open recirculating condensing water systems and boilers both steam and hot water for the period of the agreement within twenty-one days of award, the Contractor shall submit details; of the proposed water treatment system to the City‘s Contract Manager for approval.

7.3 Chemicals and equipment shall comply with the requirements set forth by the manufacturer

of all apparatus equipment, including but not necessarily limited to the equipment and location as specified in the Preventive Maintenance Program and scope of work a listed in Section 6; Exhibits #1 & 2:

7.4 Complete chemical treatment system and disposal methods shall comply with any and all applicable state and local health and environmental control codes. The Contractor shall maintain a written record of all chemicals used as required by OSHA and or the Virginia Department of Health. The contractor shall provide MSDS sheets on a timely basis when chemicals are purchased before they are delivered to the site for the approval of the contract manager.

7.5 The Contractor shall conduct monthly inspections and chemical tests on all systems

conforming to the minimum standards as set forth by the equipment manufacturer. The testing shall be performed by a certified laboratory. All testing shall be forwarded directly to the City’s contract manager. These tests shall indicate the following water properties:

Inspection and test results shall be submitted to the City’s contract manager once per month.

7.6 SHUT DOWN: The contract manager may require the contractor to take any HVAC apparatus off line as needed, the Contractor shall provide the necessary labor and recovery equipment to shut down, drain and refill either loop system and/or boiler. Contractor may choose to refill the systems with fresh water, which shall be treated and tested within three (3) days after refilling. These test results should be within the same parameter as Section # 7.5.

8.0 BID EVALUATION CRITERIA In addition to cost, each bid proposal shall be evaluated on the following factors:

8.1 BIDDER’S EXPERIENCE: Measured in terms of bidder’s performance in HVAC management and maintenance for major corporate and/or municipal clients to include:

8.2 RESPONSIVENESS T0 CONTRACT REQUIREMENTS: Measured in terms of bidder’s

proposed approach to meeting the bid requirements including but not limited to:

8.3 QUALIFICATIONS OF KEY PERSONNEL: Measured in terms of relevant experience of

proposed key personnel and their professional ability to execute the project. (Insufficient management experience and/or support services as determined by the City may be deemed a cause for rejection of bid.)

SELECTION CRITERIA AND AWARD 8.4.1 Selection Criteria: Proposals will be evaluated by the City of Danville using the following: CRITERIA MAXIMUM

8.4.2 Award: Selection shall be made of two or more offerors deemed to be fully qualified and best

suited among those submitting proposals on the basis of the evaluation factors included in the Request for Proposals, including price, if so stated in the Request for Proposals. Negotiations shall be conducted with the offerors so selected. Price shall be considered, but need not be the sole determining factor. After negotiations have been conducted with each offeror so selected, the City of Danville shall select the offeror which, in its opinion, has made the best proposal, and shall award the contract to that offeror. The City of Danville may cancel this Request for Proposals or reject proposals at any time prior to an award, and is not required to furnish a statement of the reason why a particular proposal was not deemed to be the most advantageous. (Section 11-65D, Code of Virginia) Should the City of Danville determine in writing and in its sole discretion that only one offeror is fully qualified, or that one offeror is clearly more highly qualified than the others under consideration, a contract may be negotiated and awarded to that offeror. The award document will be a contract incorporating by reference all the requirements, terms and conditions of this solicitation and the contractor’s proposal as negotiated.

9.0 AWARD PROCEDURES

9.1 The City shall make such investigation as it deems necessary to determine the ability of bidder to furnish the required services, and the bidder will furnish to the City all such information and data for this purpose as the City may request. The City reserves the right to reject any bid proposal if the evidence submitted by, or investigation of, such bidder fails to satisfy the City that such bidder is properly qualified to carry out the obligations of the Contract, and to deliver the equipment and services contemplated herein.

9.2 The City reserves the right to reject any or all proposals submitted, and to waive any

informality in the proposals. The right is also reserved to award the contract where it appears to be in the best interest of the City of Danville.

9.3 The City may reject any or all proposals submitted if the proposals are found to be miss

leading or falsified information contained in or attached to the contractor’s proposal.

10.0 STANDARD CONDITIONS

10.1 DEFINITIONS: The following terms and expressions used in the bid invitation shall be understood as follows:

10.1.1 Wherever the word “City” is used, it shall be understood to mean the City of Danville, VA. 10.1.2 Wherever the word “Contractor” is used, it shall be understood to mean the party engaged to

perform all work described herein. The contract shall appoint an authorized representative to conduct and execute the requirements of this contract.

10.1.3 Wherever the word “Contract” or “Contract Documents” are used, it shall mean and include

this contract, advertisement for bids, information for bidders, proposal, contract provisions, specifications, plans, agreement, bond and addenda.

10.1.4 Wherever the word “Contract Manager” is used, it shall be understood to mean the Director

of Public Works of the City of Danville or his duly appointed successor, or representative, doting within the scope of the duties entrusted to them and as stated in the contract.

10.1.5 Wherever in the specifications the words “Was Directed”, “Was Required”, “Was Permitted”,

or words of like effect are used, it shall be understood that the direction, requirement or permission of the Contract Manager is intended and similarly the words “approved”, “acceptable”, “satisfactory”, or words of like import, shall mean approved or acceptable or Satisfactory to the Contract Manager.

10.1.6 Wherever the word “Subcontractor” is used, it shall be understood to mean persons, firms or

corporations having a direct contract with the Contractor, and including those who furnish materials worked to a special design in accordance with the plans and specifications, but not including those who merely furnish materials not so worked.

10.2 AUTHORITY

10.2.1 The Director of Purchasing as the designee of the City Manager has the sole responsibility and authority for negotiating, placing, and when necessary modifying each and every invitation to bid, purchase order or other award issued by the City of Danville. In the discharge of these responsibilities, the Director of Purchasing may be assisted by assigned buyers. No other City officer or employee is authorized to order supplies or services, enter into purchase negotiations, or in any way obligate the government of the City of Danville for indebtedness. Any purchases contrary to these provisions and authorities shall be void and the City shall not be bound thereby.

10.2.2 This procurement process, including withdrawal of bids and appeals or protests, is governed by the statement “CODE OF THE CITY OF DANVILLE, VIRGINIA”. Copies of the Procurement Code may be obtained by writing the City of Danville Purchasing Department, P. O. Box 3300, Danville, VA 24543.

10.3 BID PREPARATION

10.3.1 Bid proposals must be written in ink or typewritten and shall be submitted on the forms issued. Unsigned bids will not be accepted. No bid may be considered if received after the time shown on the title page. Bidders are expected to examine all instructions, specifications, sites, installations, etc. Failure to do so will be at the Contractor’s risk. Erasures or other changes must be initialed by the person signing the bid.

10.3.2 Envelopes containing bids must be sealed and marked in the lower left hand corner with the

invitation number and submitted to the office indicated on title page.

10.4 BIDDER ELIGIBILITY

Bids will only be accepted from manufacturers, authorized dealers, or contractors who are actively engaged in the service called for in the bid. No proposal will be accepted from or contract awarded to any person, firm or corporation that is in arrears or is in default to the City upon any debt or contract, or that is a defaulter, as surety or otherwise, upon any obligation to said City or had failed to perform faithfully any previous contract with the City. Where an installation or assembly 18 to be performed by a Subcontractor, the bidder must name the Subcontractor and the City reserves the right to determine whether the named Subcontractor is fit and capable to perform the required work.

10.4.1 BIDDER LICENSE

All bidders must be completely licensed under the Federal, State, and Local Laws & Regulation requirements to conduct and perform the requirements of this contract.

10.5 BIDS BINDING 60 DAYS

Unless otherwise specified all formal bids submitted shall be binding for sixty (60) calendar days following bid-opening date.

10.6 BONDS- None 10.6.1 All bidders are required to submit with their proposal a Bid Bond issued by a surety licensed

in Virginia in the amount of five percent (5%) of the bid total. 10.6.2 The Contractor shall be required to provide approved Performance and Labor C Material

Bonds equivalent to the first year’s contract amount. 10.7 CLEANUP

10.7.1 The Contractor at all times shall keep the premises free from accumulation of waste materials or rubbish caused by his operations. At the completion of any work, he shall remove all his waste materials and rubbish from and about the project as well as all his tools, equipment, machinery and surplus materials.

10.7.2 If the Contractor falls to clean up at the completion of the work, the City may do so and the

cost thereof shall be charged to the Contractor. 10.8 CONTROL OF WORK

10.8.1 On all questions relating to quantities, the acceptability of materials, equipment, or work, and the interpretation of the contract document, the decision of the Contract Manager i.e.; final and binding, and shall be precedent to any payment under the contract.

10.8.2 Neither the final certificate or payment nor any provision in the contract documents, nor

partial or entire occupancy of the premises by the City, shall constitute an acceptance of work not done in accordance with the contract documents or relieve the Contractor of liability in respect to any express warranties or responsibility for faulty materials or workmanship. The Contractor shall remedy any defects in the work and pay for any damage to other work resulting thereof, which shall appear within a period of one year from the date of final acceptance of work unless a longer period is specified. The City will give notice of observed defects with reasonable promptness.

10.8.3 Standards: All work shall be performed accordingly to all federal, state and local codes and requirements, as well as the standards of the following agencies, whichever is more stringent: - current edition.

Uniform Statewide Building Code (USBC) American National Standards Institute (ANSI) American Society of Mechanical Engineers (ASME) American Society of Testing Materials (ASTM) Building Officials and Code Administrators (BOCA) Environmental Protection Agency (EPA) Sheet Metal and Air Conditioning Contractors National Association (SMACNA) Occupational Health & Safety Administration 10.9 DEFECTIVE OR DAMAGED WORK

Any defective or damaged work found to exist shall be promptly corrected or removed and replaced with non-defective work by the Contractor at no expense to the City. Upon failure of the Contractor to correct the deficiency within a reasonable time, the City may correct same and deduct the costs from any monies due the Contractor.

10.10 EQUAL EMPLOYMENT During the performance of this contract, the Contractor agrees as follows: 10.10.1 The Contractor will not discriminate against any employee or applicant for employment

because of race, religion, color, {sex or national origin, except where religion, sex or national origin is a bona fide occupational qualification reasonably necessary to the normal operation of the Contractor. The Contractor agrees to post in conspicuous places, available to employees and applicants for employment, notices setting forth the provisions for this nondiscrimination clause.

10.10.2 The Contractor, in all solicitations or advertisements for employees placed by or on behalf of

the Contractor, will state that such Contractor is an equal opportunity employer.

10.10.3 Notices, advertisements and solicitations placed in accordance with Federal law, rule or regulation shall be deemed Sufficient for the purpose of meeting the requirements of this Section.

10.10.4 The Contractor will include the provisions of the foregoing paragraphs in every Subcontract

or purchase order over $10,000 that the provisions will be binding upon each Subcontractor or vendor.

10.11 GUARANTY

10.11.1 The Contractor shall guarantee that all the materials used and all the work done under the contract shall fully comply with the requirements of the contract document and the instructions of the City.

10.11.2 All expenses covering return or replacement of defective or improper merchandise will be assumed by the Contractor. In no instance shall the Contractor refer the City to any distributor or manufacturer for settlement of any claim arising from defective or improper merchandise. If the Contractor shall fail to replace or repair any defective or improper merchandise within the time allowed by the contract manager, the City may make the necessary corrective arrangements and charge the cost to money due the Contractor or bill the Contractor. The Contractor agrees to reimburse the City in such instance. Samples of any warranties which will apply to the goods being offered for sale shall be included as part of the bid.

10.11.3 Any defects in the completed work or failure of the construction to fully perform or endure the service for which it is intended, which in the opinion of the Contract Manager are caused by or due to the use of materials, skill or workmanship not in compliance with the said contract document and contract manager’s instruction, that may appear in the work within a period of twelve (12) months after acceptance by the City shall be regarded as prima facie and conclusive evidence that the Contractor has failed to comply with the said contract document and contract manager’s instruction. The Contractor in this event, shall at his own expense, at such time and in such manner as the contract manager may direct, repair or take up and reconstruct any such defective work, in full compliance with the contract document and contract manager’s instruction. The repairs required to be made by the Contractor shall extend only to making good and inherent defects which become manifested in the materials and workmanship under ordinary conditions, and shall not be held to cover any breakage or damage caused by improper use or by accident resulting from Circumstances over Which the Contractor has no control.

10.12 INDEMNIFICATION

10.12.1 The Contractor shall indemnify, keep and save harmless the City, its agents, officials and employees, against all injuries, deaths, loss, damages, claims, patent claims, suits, liabilities, judgments, costs and expenses, which meet in anywise accrue against the City or its agents, officials and employees in consequence of the granting of this contract or which may in anywise result thereof, whether or not it shall be alleged or determined that the act was caused through negligence or omission of the Contractor or his employees, or of the subcontractor or his employees, if any, and the Contractor shall, at his own expense, appear, defend and pay all charges of attorneys and other expenses arising thereof or incurred in connection therewith, and, if any judgment shall be rendered against the City and/or any agent, official or employee of the City in any such notion, the Contractor shall, at his own expense, satisfy and discharge the same. The Contractor expressly understands end agrees that any performance bond or insurance protection required by this contract, or otherwise provided by the Contractor, shall in no way limit the responsibility to indemnify, keep and save harmless and defend the City, its agents, officials, and employees as herein provided.

10.12.2 The Contractor shall assume all risks and responsibilities for casualties of every description in connection with the work, except that he shall not be held liable or responsible for delays or damage to the work caused by acts of God, acts of public enemy, acts of government, quarantine restrictions, general strikes through the trade, or by freight embargoes not caused or participated in by the Contractor. The Contractor shall have charge and control of the entire work until completion and acceptance of the same by the City.

10.12.3 The Contractor shall alone be liable and responsible for, and shall pay, any and all loss or damage sustained by any person or party either during the performance or subsequent to the completion of the work under this agreement, by reason of injuries to persons and damage to property, buildings and adjacent work, that may occur either during the performance of the work covered by thing contract or that may be sustained as a result of or in consequence thereof, irrespective of whether or not such injury or damage be due to negligence or the inherent nature of the work.

10.12.4 The Contractor shall bear all losses resulting from the amount or character of the work being different, or because the nature of the premises on which the work is done is different from what was expected, or on account of the weather, or similar other causes.

10.13 INSURANCE

The Contractor shall not commence work under this contract until he has obtained all the insurance required hereunder and each insurance has been approved by the City; nor shall the Contractor allow any Subcontractor to commence work on his subcontract until all similar

insurance has been so obtained and approved. Approval of the insurance by the City shall not relieve or decrease the liability of the Contractor hereunder.

10.13.1 Worker’s Compensation including Occupational Disease and Employers Liability Insurance: The Contractor shall take out and maintain during the life of this contract Workers’ Compensation and Employers Liability Insurance for all of his employees to be engaged in work on the Project under this Contract in an amount no less than the minimum allowed by the state Corporation Commission, and in case any such work is sublet, the Contractor shall require the Subcontractor similarly to provide Workers‘ Compensation and Employer’s Liability Insurance for all of the latter’s employees to be engaged in such work.

10.13.2 Comprehensive General Liability Insurance:

The Contractor shall maintain during the life of this contract comprehensive general liability insurance as shall protect him and the City of Danville and its officers, agents and employees from claims for damages for personal injury, including death, as well as from claims for property damage, which may arise from operations under this contract, whether such operations be by himself or by any Subcontractor, or by anyone directly or indirectly employed by either of them. The amount of such insurance shall be not less than a combination single limit of $1,000,000.00 per occurrence on bodily injury and property damage and $1,000,000.00 aggregate on completed operations. The comprehensive general liability insurance shall provide the following coverages:

a. Comprehensive b. Premises-Operation c. Products/Completed Operations Hazard d. Contractual Insurance e. Independent Contractor and Subcontractor f. Broad Form Property Damage g. Personal Injury

10.13.3 Automobile liability insurance with minimum combined single limits of $1,000,000 per occurrence. This insurance shall include bodily injury and property damage for the following vehicles:

a. Owned vehicles b. Non-owned Vehicles c. Hired Vehicles

10.13.4 Umbrella Policy: At the option of the Contractor, primary limits may be less than required, with an umbrella policy providing the additional limits needed. This form of insurance will be acceptable provided that the primary and umbrella policies both provide the insurance coverage herein required. However, any such umbrella policy must have minimum coverage limits of $3,000,000.

10.13.5 All policies shall name the City of Danville, its officers, agents, and employees as additional insurers. This coverage shall be reflected on the Certificates of Insurance, which will be provided to the City along with any endorsements or riders thereto. Each Certificate of Insurance shall require that notice be given thirty (30) days prior to cancellation or material change in the policies to the Director of Purchasing.

10.13.6 The insurance required by this Article shall include Contractual Liability Insurance applicable to the Contractor’s obligations under 9. 11.

10.14 INTERPRETATION

10.14.1 If any person contemplating the submission of a bid on this invitation is in doubt as to the true meaning of any part of the Invitation For Bid or other document, he should submit a written request for an interpretation thereof to the Director of Purchasing. An interpretation of

the bid invitation document will be made only by written addendum issued to each potential bidder. THE CITY WILL NOT BE RESPONSIBLE FOR EXPLANATIONS OR INTERPRETATIONS OF BID INVITATION ACCENTS EXCEPT AS ISSUED IN ACCORDANCE HEREWITH.

10.14.2 All notices, demands, requests, instructions, approvals, proposals and claims must be in writing.

10.15 NOVATION

The Contractor shall not assign or transfer, whether by as Assignment or Notation, any of its rights, duties, benefits, obligations, liabilities or responsibilities under this Contract without the written consent of the City; provided, however, that assignments to banks, trust companies or other financial institutions for the purpose of securing bond may be made without the consent of the City. Assignment or Notation of this Contract shall not be valid unless the Assignment or Notation expressly provides that the assignment of any of the Contractor‘s rights or benefits under the Contract is subject to a prior lien for labor performed, services rendered and materials, tools and equipment supplied for the performance of the work under this Contract in favor of all persons, firms or corporations rendering Such labor or services or supplying such materials, tools, and equipment.

10.16 OBSERVANCE OF LAWS

The Contractor at all times shall observe and comply with all Federal, State and City laws, bylaws, ordinances and regulations in any manner of affecting the conduct of the work or applying to employees on the project, as well as all orders or decrees which have been promulgated or enacted, by any legal bodies or tribunals having authority or jurisdiction over the work, materials, employees or contract.

10.17 PERFORMANCE

In case of default by the Contractor, the City may procure the commodity or services from other sources and hold the Contractor responsible for any excess costs occasioned thereby.

10.18 DEBITS

The Contractor shall, at his own expense, secure any business or professional licenses, permits or fees required by the City of Danville, Commonwealth of Virginia, and other governing agencies.

10.19 REMUNERATION

Annual payment shall be divided into twelve (12) equal monthly payments. The Contractor shall each month submit to the City a statement for the proportionate part of the total services required for the project which are rendered, provided and completed by the Contractor during the preceding calendar month and for any additional services, and expenses related thereto, rendered during such calendar month, which statement the City shall pay within thirty (30) days after receipt thereof, otherwise the amount owing therefore shall be increased at the rate of l% per month from the due date until paid.

10.20 SUSPENSION OF WORK

The work may be suspended by the Contract Manager when deemed in the best interest of the City.

10.21 TERMINATION

If the Contractor fails to begin the work under this contract within the time specified, or fails to perform the work with sufficient workmen and equipment or with sufficient materials to insure the completion of said work within the specified time, or shall perform the work in an unsatisfactory manner, or shall neglect or refuse to remove materials or perform anew such work as shall be reflected as defective or unsuitable, or shall discontinue the prosecution of the work, or if the Contractor shall become insolvent or be declared bankrupt, or shall commit any act of bankruptcy or insolvency, or shall make an assignment for the benefit of creditors, or from any other cause whatsoever shall not carry on the work in an acceptable manner, the City shall give notice in writing to the Contractor and his Surety of such failure, delay, neglect, refusal, or default, specifying the same, and if the Contractor, within a period of seven days after such notice, shall not proceed in accordance therewith, then the Contract Manager acting for and on behalf of the City shall, upon receipt of a written certificate from the Contract Manager of the fact of such failure, delay, neglect, refusal, or default and of the failure of the Contractor to comply with such notice, have full power and authority to declare the forfeiture of this contract, and to forfeit the rights of the Contractor in this contract, and the Contract Manager at his option may call upon the surety to complete the work in accordance with the terms of this contract or may have the City take over the work, including any or all materials and equipment on the ground as may be suitable and acceptable to the City and may complete the work by or on its own employees, or may enter into a new contract for the completion of the work, or may use such other methods as in the opinion of the Contract Manager shall be required for the completion of the work in an acceptable manner. All costs and charges incurred by the City, together with the cost of completing the work, shall be deducted from any moneys due or which may become due on this contract.

In case the expense so incurred by the City shall be less than the sum which would have been payable under this contract if it had been completed by the Contractor and had not been forfeited by the City, then the Contractor shall be entitled to receive the difference, subject to any claims or liens thereon which may have been filed with the City or any prior assignment filed with it. In case such expense shall exceed the sum which would have been payable under this contract, the Contractor and the surety shall be liable and shall pay to the City the amount of such excess.

10.22 WORK CHANGES

10.22.1 The City without invalidating the contract, may order changes in the work within the general scope of the Contract consisting of additions, deletions or other revisions, providing the total amount added or eliminated does not exceed twenty-five (25) percent of the total contract price, or Fifty Thousand Dollars ($50,000), whichever is greater. All such changes in the work shall be authorized by change order, and shall be executed under the applicable conditions of the contract documents.

10.22.2 The cost or credit to the City resulting from a change in the work shall be determined by prices subsequently agreed upon or by mutual acceptance of a lump sum properly itemized.

11.0 ADDITIONAL CONTRACT CLAUSES REQUIRED BY THE VIRGINIA PUBLIC PROCUREMENT ACT

11.1 Contractor does not, and shall not during the performance of the contract for goods and services in the Commonwealth knowingly employ an unauthorized alien as defined in the Federal Immigration Reform and Control Act of 1986.

11.3 Payments to Subcontractors:

1. The contractor to take one of the two following actions within seven days after receipt of amounts paid to the contractor by the state agency or local government for work performed by the subcontractor under that contract:

a) Pay the subcontractor for the Proportionate share of the total payment received from the agency attributable to the work performed by the subcontractor under that contract; or

b) Notify the agency and subcontractor, in writing, of his intention to withhold all or a part of the subcontractor’s payment with the reason for nonpayment.

c) Individual contractors must provide their social security numbers and (ii) proprietorships, partnerships, and corporations to provide their federal employer identification numbers.

d) Contractor must pay interest to the subcontractor on all amounts owed by the contractor that remain unpaid after seven days following receipt by the contractor of payment from the state agency or agency of local government for work performed by the subcontractor under that contract except for amounts withheld as allowed in subdivision 1.

e) Unless otherwise provided under the terms of this contract, interest shall accrue at the rate of one percent per month.

Contractor must include in each of its subcontracts a provision requiring each subcontractor to include or otherwise be subject to the same payment and interest requirements with respect to each low-tier subcontractor.

A contractor’s obligation to pay an interest charge to a subcontractor pursuant to the payment clause in this section shall not be construed to be an obligation to the state agency or agency of local government. A contract modification shall not be made for the purpose for providing reimbursement for the interest charge. A cost reimbursement claim shall not include any amount for reimbursement for the interest charge.

Centrifugal Chillers Preventive Maintenance Program

Schedule 10 1. ANNUAL MAINTENANCE - Once a year a thorough preventive maintenance will be

performed to include the following procedures. (See “Equipment / Service Schedule” under “Scope of Coverage” for month and frequency.)

A. A thorough refrigerant leak check of machine when required. Determination to be made by contract manager. Inspecting machine, reviewing oil analysis and purge rate data shall be submitted by the contractor with recommendation quarterly.

B. A detailed inspection and testing of purge system, replacement of filter drier cores and gaskets, clean purge refrigeration unit condenser coil.

C. Disassemble and inspect all starter contacts for wear and pitting. Clean as required. D. Inspect all motor starter wire terminals for tightness and overheating, tighten where

required. E. Inspect starter current overloads. F. Inspect all control panel control contacts and wire terminals for tightness and overheating.

Correct as required. G. Inspect all operating controls, safety controls, sensors, and oil pump for visual condition and

wiring integrity. H. Perform motor winding integrity test with meg-ohm meter on chiller motor and oil pump

motor. I. Inspect oil sump heater, check voltage and current draw against name plate. J. Clean oil strainer, replace oil filter and gasket. K. Drive vane actuator motor full open to full close. Verify that vanes operate smoothly with

no binding, lubricate applicable linkages. On pneumatic operators, calibrate pilot positioner for correct vane position to pneumatic signal.

L. Verify correct operation of all safety, operating controls, and sensors. Calibrate as required. M. Carefully review oil analysis, checking any potential problems indicated in this report.

Review all stored service alarms from UCP2 panel. N. Oil change is performed on an as needed basis by special price quote. Determination of

need for oil change is left to the discretion of Virginia Trane service technician and oil analysis report.

to verify design operating parameters of chiller. Print hard copy of this report or complete manual log sheet if printer option is not available. (Note: Chillers not equipped with clear language display control panel must be manually logged.)

D. Verify proper operation of purge unit. Record purge rate and pump-out time.

E. Verify proper operation of chill water and condenser water pumps. Verify correct pressure drops across evaporator and condenser.

F. Inspect chiller starter panel. G. Perform programming and control calibration changes where required. H. Review operator logs where available. I. Review findings of inspection with owner personnel.

NOTE: Adequate water treatment by the contractor must be furnished for the equipment covered under this agreement. See Section #7 in its entirety and PMP 19C, 20A, and 21 for requirements thereof.

and tightness. Correct as required. G. Test and confirm correct operation of chiller capacity control devices. H. Perform on site oil acid test for all compressors annually. I. Verify correct operation of phase reversal control if so equipped. Verify correct rotation

Check all wiring terminals for tightness, tighten as required. 6. Inspect condition and verify correct operation of combustion air fan and its

associated safety interlocks, oil motor (where installed). 7. Inspect flower housing and fan wheel for physical integrity, straightness, and

balance and dirt accumulation. Inspect V-belt for condition, alignment, and tension if so equipped. Oil blower motor per manufacturer’s recommendations.

8. Inspect air filters, replace as needed. 9. Test and calibrate all safety controls to include but not limited to: burner

high limit, discharge air high limit, combustion air fan interlock, air flow switch, burner roll-out control, fan delay timer, pilot failure, etc.

10. Test and calibrate where applicable all operating controls, including thermostat or temperature sensor.

11. Test and adjust to manufacturers specifications manifold gas pressure. 12. Start unit and observe burner flame for color, sharpness of flame points, and

lifting. Adjust air/fuel ratio for correct flame control. 13. Verify correct operation of gas valve and pilot/igniter control. Verify clean,

blue spark across pilot electrodes or even heating of hot surface igniter. 14. Check and record temperature rise across burner and discharge air

temperature.

B. ELECTRIC HEATING UNITS 1. Check and record all line voltages. 2. Test all power and control circuit fuses

11. Inspect air filters, replace as needed. 12. Observe operation and coloration of heating elements in air stream where

possible to confirm even and minimum air flow requirements. 13. Check and record temperature rise over heating elements and discharge air

temperature. 14. Report all findings to owner personnel.

C. HEAT PUMP 1. Perform all procedures listed in Section 1, pre-cooling, plus the additional

procedures listed below. 2. Check all defrost control sensors for a tight, clean attachment to refrigerant

tubing. Verify sensors are located in the correct spot and position in unit. 3. Perform diagnostic test on defrost control to include the following:

a. Initiate a defrost cycle per manufacturer’s instructions. b. Verify correct operation of reversing valve with no leakage. c. Confirm that outdoor unit fan ceases to run. d. Confirm supplemental heat initiates. e. Confirm outdoor unit drain holes are free from obstruction. f. Verify correct defrost termination by temperature and timing.

D. OIL HEAT 1. Inspect heat exchanger for excessive rust, overheating, and cracks. 2. Inspect condition of refractory material inside firebox of heat exchanger. 3. Inspect flue box, flue pipe and cap for condition and flue gas leakage. 4. Remove burner from heat exchanger, inspect and clean fire cones, replace

oil nozzle, clean/replace, gap, and set electrodes, clean flame guard scanner

Perform smoke-spot test for correct air/fuel ratio and adjust as required. 10. Test and calibrate all safety and operating controls to include but not limited

E. HOT WATER OR STEAM HEAT COILS 1. Inspect all heating control valves for full range operation, stem and stem

packing condition, diaphragm leakage, drive motor operation. 2. Verify correct operation of applicable steam trap. Verify absence of steam

leakage through observance of condensate receiver vent line. 3. Test T across steam coil and trap. 4. Inspect coils for dirt accumulation and blockage. 5. Check and record temperature rise across coil. 6. Inspect coil carefully for steam or water leaks. 7. Check automatic air vents for proper operation. 8. Inspect air filters, replace as needed. 9. Report all findings to owner personnel.

3. OPERATING MAINTENANCE AND INSPECTION (See “Equipment/Service Schedule”

to determine coverage and frequency. A. Check and record discharge air temperatures, operating refrigerant pressures,

secureness of hub to shaft. B. Inspect fan shaft for fractures and straightness. C. Inspect fan shaft, bearings, lubricate per manufacturers recommendations. D. Inspect drain pan if so equipped for water leaks, insulation integrity, and dirt and

algae accumulation. Clean as required. E. Inspect drive belts; verify condition, alignment and tension. Adjust or replace as

needed. F. Inspect motor for secureness, alignment, operating voltage and current draw.

Lubricate bearings per manufacturer’s specifications. G. Inspect motor starter for correct overloads, contact pitting and erosion, wire

In all cases, minimum requirements are mandated by State regulatory agencies and the Contract Manager. The Service Contractor will assist and provide the necessary service to perform the Annual State Inspections.

The Service Contractor will assist and provide the necessary services to perform the Annual State Inspections.

NOTE: Adequate water treatment by the contractor must be provided for the equipment covered under the terms of

B. Inspect, clean and adjust make-up water float assembly for correct operating water level, if so equipped.

Confirm operation and timing of blow down timers for all applicable humidifier types.

4. Check and clean where necessary all water feed troughs or atomization nozzles where applicable.

5. Verify operation, voltage, current draw, and condition of infra-red lamps where applicable. Check operation and condition of contactors controlling infra-red lamps.

6. Remove and clean all lime and scale deposits from humidifier water pans where applicable. Check and adjust water reservoir float assembly.

7. Confirm all humidifier drain lines drain properly and are free of obstruction. Clean as required.

8. Verify voltage, current draw, water level, and performance of cylinder on steam generator models.

All alarms shall be abated and properly addressed within a reasonable amount of time, to prevent any additional cost or damage to the building, equipment and/or occupancies. 1. BUILDING SYSTEMS OPTIMIZATION SERVICES

The contractor will review operating sequences and practices for covered systems to assure effective environmental conditioning while minimizing the cost to operate the equipment. Any changes required are the responsibility of the contractor. All items listed below shall be surveyed by the contractor at discretion of contract manager.

A detailed report shall be submitted to contract manager. 2. ANNUAL MAINTENANCE:

A. Programmable Control Modules (PCM, UPCM)

1. Verify that equipment is being controlled at the appropriate value(s).

2. Change one set point value and verify smooth transition and stable control at the new set point.

3. Return set point to original value. 4. Repeat for each additional control loop. 5. Verify that all controlled valves and dampers will stroke fully in

both directions. 6. Verify the proper operation of critical control processes and

points associated with this unit. Make adjustments if necessary.

B. Unit Control Modules (UCP, TUC, TCM) 1. Verify that the Unit Control Module is being controlled at the

appropriate values(s). 2. Change one set point value; verify smooth transition and stable

control at the new set point. 3. Return set point to original value.

A. Summit Workstation: 1. Contact appropriate customer personnel. 2. Review Summit for critical follow-up and off-line status

indications, i. e. system error encountered items. 3. Review System Event Log with customer and discuss Summit

operational concerns. 4. Based on contract coverage perform or schedule Corrective

Maintenance procedures as appropriate to resolve situations noted in the preceding reviews.

5. Install appropriate Summit Software refinement and problem correction revisions as per this agreement.

B. Summit Workstation: 1. Check monitor for clarity, focus, and color. 2. Clean Read/Write heads of removable disk drives. 3. Cycle power; listen for unusual motor bearing noises. 4. Verify proper system restart; check system date, time and hardware

status. 5. Save/Copy/Backup Summit Workstation Database, including custom
