MEMORANDUM OF AGREEMENT

The DEVELOPMENT BANK OF THE PHILIPPINES (DBP), a government financial institution, created and operating pw-suant to the provisions of Executive Order No.81 dated December 03, 1986 as amended by Republic Act No. 8523 dated February 14, 1998. With principal office at DBP Building, Sen. Gil Puyat Avenue, corner Makati Avenue, Makati City, represented herein by SM DINAH P. ORENDAIN-GUIAO, Head, DBP Sta. Rosa Branch, holding office at DBP Sta. Rosa Branch, Maerix Terrace, Barangay Tagapo, City of Sta. Rosa, Laguna, hereinafter refetTed to as "BANK".

The CITY GOVERNMENT OF STA. ROSA, LAGUNA, a Local Government Unit (LGU) created and operating under Philippine laws, with principal office at Rizal Blvd., City of Sta. Rosa, Laguna, represented herein by MAYOR ARLENE B. ARCfLLAS, hereinafter refe1Ted to as the "DEPOSITOR".

Witnesseth:

WHEREAS, the DEPOSITOR has opened Current Account Nos. 0-5020-660-2, 0-5028-660-3 and 0-5 I 16-660-0 on various dates under the name City of Sta. Rosa, Laguna;

WHEREAS, the DEPOSITOR has agreed to maintain a minimum AVERAGE DAILY BALANCE with the BANK of One Million Pesos (Pl ,000,000.00);

WHEREAS, the BANK and the DEPOSITOR has agreed to enter into a DEPOSIT/PICK-UP COLLECTION AGREEMENT;

NOW THEREFORE, for and in consideration of the above premises, the BANK and the DEPOSITOR have mutually agreed as follows;

1. · The BANK shall act as the depository bank of the DEPOSITOR for its cash and check deposits.

2. In the implementation of this agreement, the following procedures shall be observed:

I. DEPOSIT/PICK-UP ARRANGEMENT

The BANK shall pick-up cash and check deposits of the DEPOSITOR upon request of the DEPOSITOR which must be communicated to the BANK one day prior to the date of pick-up schedule a DAILY AVERAGE DEPOSIT of Three Hundred Thousand Pesos (P300,000.00).

The BANK shall pick-up cash deposits of the DEPOSITOR only once during banking hours from 9:00 a.m. to 3:30 p.m.

The BANK shall indicate the authorized roving teller in the· Deposit Pick-up Notice (DPN) who shall receive from the DEPOSITOR's Teller the accomplished triplicate copy of the Deposit Slip together with the cash and check collection. After the authorized roving teller has verified the con-ectness of the deposit, he/she shall immediately acknowledge receipt of the amount, retain two copies of the deposit slip and leave the third copy to the DEPOSITOR's Teller.

The Bank shall assume full responsibility for the collection after the authorized roving teller has duly acknowledge receipt of the deposit slip and upon receipt by the DEPOSITOR's te11er of the thitd • copy of the deposit slip.

- -The authorized roving teller shall, upon reaching the BANK's office, have deposit slip validated for the actual amount received.

The BANK's authorized roving teller shall return the duplicate copy of the validated deposit slip to the DEPOSITOR's teller on the following day after the pick-up date. The DEPOS ITOR's teller shall acknowledge receipt of the validated deposit slip.

II. CREDITING OF COLLECTIONS

The BANK shall credit the DEPOSITOR's Current account Nos. 0-5020-660-2, 0-5028-660-3 and 0-5116-660-0 for the amounts col.lected on the date of receipt as shown in the BANK's Deposit Slip received by the authorized roving teller.

Deposit in checks shall be availabl.e after the Bank's reglementary clearing period.

Ill. ST A TEMENT OF ACCOUNT

The BANK shall regularly forward to DEPOSITOR's Accounting Department the DEPOSITOR's monthly bank statement showing the amount of collection credited to the DEPOSITOR's Current Account from the first to the last day of the covering month before the 1 oth of succeeding month.

IV. OTHERS

Upon approval of this contract, the BANK shall submit to the DEPOSITOR a list of its duly authorized roving teller and security officers together with their recent 2x2 photographs and specimen signatures. The D.EPOSlTOR's shall remit its collection only to the authorized roving teller whose name appears in the Deposit Pick-up Notice (DPN). The BANK shall not be liable for any remittance by the DEPOSITOR of its collection to a person other than the BANK's authorized roving teller indicated in the DPN.

The BANK shall at any time during banking hours, make available its collection record for the inspection by DEPOSITOR's officials.

This Agreement shall be subject to the Bangko Sentral ng Pilipinas regulations and other applicable Philippine laws.

Each party shall hold the other party free and harmless against any Joss or liability, from any legal or other cost or expense arising from or resulting from the perfonnance or failure by any party to perform its obligation under this Agreement except, insofar such loss liability cost or expense has been caused by gross negligence or willful misconduct of any of the said pa11ies, in which case the injured party shall be indemnified by the other based on the actual loss, liability, cost or expense incurred prior to the tennination of the Agreement.

Any change or modification in the terms and conditions herein setforth shall be deemed incorporated hereto by way of addendum/addenda.

This agreement shall take effect immediately reviewable annually, upon its execution and shall be in force from said date, unless sooner revoked by either party through prior written notice of at least 30 calendar days.
