Pursuant to Administrative and Financial Regulation 4(4), I hereby submit to the Administrative Council for its approval the Annual Report on the operation of the International Centre for Settlement of Investment Disputes required by Article 6(1 )(g) of the Convention on the Settlement of Investment Disputes between States and Nationals of Other States. This Seventeenth Annual Report covers the fiscal year July 1, 1982 to June 30, 1983.

The report includes the audited financial statements of the Centre. presented pursuant to Administrative and Financial Regulation 18.

Introduction by the Secretary-General This is the third annual report I have the

honor to submit to the Administrative Council. It is at the same time my last report.

The Administrative Council entrusted me, in 1980, with the role of Secretary-General for the regular period of six years. Having re­cently joined a private law firm in Washington , D.C., I have decided to resign as Secretary­General as of September 30, 1983.

During the three years of my responsibili­ties at ICSID, I have witnessed an increased significance of ICSID as a dispute settlement forum. Together with my colleagues I have tried, to the best of my abilities, to favor such a development by appropriate promotional ac­tivities and by advice to governments and in­vestors alike as to the structure and rules of the Centre.

I acted in this direction not only because of my current official association with ICSI 0 , but also because I am personally convinced that ICS ID offers the most appropriate balanced and effective framework for dispute settle­ment on investments. And as the present eco­nomic situation world-wide will certainly en­hance the importance of investment abroad, so will ICSID gain in practical importance.

As ind icated in th is report, the number of disputes submitted to ICSID for settlement has significantly increased during the last year. Yet, one should not measure the effective­ness and the efficiency of ICSID only by the number of cases registered or decided upon. Much more important is the incentive for ami­cable settlement provoked by ICSID dispute settlement clauses or the mere filing of a re­quest for settlement.

ICSID membership has continued to grow in FY1983. Most notable was the ratif ication of the ICSI D Convention by Paraguay, the first

country from the Latin American region to join ICSID. I am confident that othe r countries in that region will soon follow. I have also discussed the advantages of ICSI D with repre­sentatives of the People's Republic of Ch ina.

I remain devoted to conciliation and arbitra­tion, in particular within ICSID, as a means of dispute settlement, and hope to be able to support the goals of the ICSID Convention in other capacities.

Membership On January 7, 1983, Paraguay deposited its

instrument of ratification and became the first Latin American State to adhere to the Conven­tion. On June 22, 1983. Israel deposited its instrument of ratification , bringing the num­ber of Contracting States to 83. The number of Signatory States stands at 88. A complete list of Contracting States and other Signato­ries of the Convention appears in Annex 1.

Sixteenth Annual Meeting of the Administrative Council

The Sixteenth Annual Meeting of the Admin­istrative Council was held on September 8, 1982, in Toronto, Canada. in conjunct ion with the Annual Meeting of the Board of Governors of the World Bank. At this meeting the Council approved the Sixteenth Annual Report on the operation of the Centre and the budget for Fiscal Year 1983. The resolutions are repro­duced in Annex 5.

Disputes Submitted to the Centre1

During the past fiscal year three requests for the insti tution of arbitration proceedings and one request for the inst itution of conci liation proceedings were registered by the Secretary-

General. The two arbitration proceedings which were instituted in 1981 are continuing.

(A) Arbitration Proceedings

(1) AMCO Asia Corporation, Pan American Development Ltd. and P. T. AMCO Indo­nesia v. Government of Indonesia (Case ARB/81/1)

On June 25, 1982, Claimants submit their memorial and supporting documentation.

On September 28, 1982, Respondent re­quests further documentation from Claimants.

On December 30, 1982, Respondent sub­mits its counter-memorial and supporting doc­umentation. The counter-memorial raises ob­jections to jurisdiction.

On January 21, 1983, the proceedings on the merits are suspended in accordance with Rule 41 (3) of the Arbitration Rules and the Tribunal grants Claimants until February 21, 1983 (extended by seven days on February 18, 1983) for submission by Claimants of their answer to the objections to jurisdiction.

On February 28, 1983, Claimants submit their reply and documentary submissions to the counter-memorial.

On April 1, 1983, the Tribunal issues a deci­sion according to which the objections to juris­diction raised by Respondent will be dealt with as a preliminary matter and sets the fol­lowing time limits: April 25, 1983, for the filing by Respondent of its reply to Claimants' an­swer to objections to jurisdiction; May 23, 1983, for the filing by Claimants of their rejoinder. A hearing will be held in Paris starting June 28, 1983.

On April 26, 1983, Respondent files its ob­servations to jurisdiction.

On May 23, 1983, Claimants file their rejoin­der and documentary submissions.

From June 28-30, 1983, hearings are held in Paris to consider the objections to the juris­diction of the Tribunal.

(2) Klockner lndustrieAnlagen GmbH, Klbck­ner Beige, S.A. and Klockner Handelsma­atschappij B. V. v. United Republic of Cameroon and Societe camerounaise des engrais (SOCAME) S.A. (Case ARB/81 /2)

On July 16, 1982, the Tribunal issues Proce­dural Order No. 2.

On November 8, 1982, the Centre receives Claimants' reply to the counter-memorial and supporting documentation.

On December 8, 1982, the Tribunal issues Procedural Order No. 3.

On March 23, 1983, the Centre receives the Respondents' rejoinder and supporting doc­umentation.

On April 8, 1983, the Tribunal issues Proce­dural Order No. 4.

On April 25, 1983, the second session of the Tribunal is held in Paris in the presence of the parties. The Tribunal issues Procedural Order No. 5.

(3) Societe Quest Africaine des Betons ln­dustriels (SOABI) v. The State of Senegal (Case ARB/8211)

On November 5, 1982, the Secretary-Gen­eral registers a request for the institution of arbitration proceedings.

On March 1, 1983, Mr. Keba M'Baye (Sene­galese). appointed by Senegal, accepts his appointment as arbitrator.

On March 15, 1983, Baron Jean Van Houtte (Belgian), appointed by SOABI, accepts his appointment as arbitrator.

On February 17, 1983, the Centre receives a communication from both parties designat­ing Mr. Pierre Lalive (Swiss) as third arbitrator. On April 18, 1983, Mr. Lalive declines his designation. On the same day the Secretary­General requests both parties to again nomi­nate a third arbitrator.

(4) Swiss Aluminium Limited (ALUSUISSEJ and Icelandic Aluminium Company Lim­ited (ISALJ v. the Government of Ice­land (Case ARB/ 83/ 1)

On June 16, 1983, the Secretary-General registers a request for the institution of arbi­tration proceedings.

(5) The Liberian Eastern Timber Corporation v. the Government of the Republic of Li­beria (Case ARB/ 83/ 2)

On June 21, 1983, the Secretary-General registers a request for the institution of arbitra­tion proceedings.

(B) Conciliation Proceedings

ation proceedings. In its request SEDITEX designates Mr. David McGovern (United States) as conciliator. On February 25, 1983, Mada­gascar nominates Mr. Honore Rakotomanana (Madagascan) as conci liator. On March 13, 1983, proceedings are suspended at the re­quest of SEDITEX. On June 20, 1983, the Centre receives a request from SEDITEX for termination of the proceedings.

Promotional Activities The Centre has published a full collection

of bilateral investment promotion and protec­tion treaties (see Annex 4 ).

The Secretary-General participated in and made presentations on ICSI D at the following meetings:

• October 1982, New Delhi, International Bar Association;

• December 1982 , Madrid, Hispanic­American Seminar on international com­mercial arbitration sponsored by the Supe­rior Counsel of the Spanish Official Cham­bers of Commerce , Industry and Naviga­tion and the Inter-American Development Bank;

• February 1983, Cologne. German Feder­ation of Industries;

• May 1983, New York, Law and Business Institute.

The Centre has published two separate book­lets containing the Regulations and Rules per­taining to arbitration and conciliation respec­tively, with relevant excerpts from the Admin­istrative and Financial Regulations and from the Institution Ru les. The booklets do not in­clude the Notes as contained in ICSID/ 4/ Rev. 1.

The Centre has been approached by gov­ernments and potential investors alike for ad­vice in drafting dispute settlement clauses and connected changes in national law. ICSI D is also advising non-Contracting States on ques­tions which need to be resolved for the pur­poses of signature and ratification of the Con­vention .

In January 1983, ICSI D issued its first News­letter, to update the information contained in the Annual Report.

Regulations and Rules Pursuant to Administrative and Financial Reg­

ulation 13(1) the Secretary-General has, with the approval of the Chairman, on April 1, 1983. increased the daily fees of conciliators and arbitrators to SDR600. The fees will continue to be payable in US dollars. The US dollar equivalent of any amount in SOR due in re­spect of any calendar quarter will be deter­mined as of the first day of such quarter as published by the International Monetary Fund.

ICSID as Designating Authority for non-ICSID Arbitration

The Secretary-General has accepted to act as designating authority for the third arbitra­tor in ad hoc arbitration proceedings provided for mainly in agreements on borrowing on the Euro-currency market.

Finance The Financ ial Statements of the Centre for

Fiscal Year 1983 are set forth in Annex 6. The expenditures of the Centre were again cov­ered entirely by the services and facilities made available by the World Bank free of charge pursuant to the Memorandum of Administra­tive Arrangements concluded between the Bank and the Centre in February 1967, 2 and by income from the sale of publications. Thus it was not necessary to assess any excess expenditures to Contracting States pursuant to Article 17 of the Convention.

The Centre's expenses which are attribut­able to the pending arbitration proceed ings are borne by the parties in accordance with the Centre's Administrative and Financial Reg­ulations. In accordance with these Regulations. the Secretary-General calls on the parties from time to time to make advance deposits to de­fray the expenses of the proceedings.

The Centre has compiled a collection of bilateral investment promotion and protection treaties, which includes nearly 200 treaties concluded since 1960. This collection consists at present of two loose-leaf volumes published in 1983 by Oceana Publications. Inc., Dobbs Ferry, N.Y. 10522 (USA). Volume I contains treaties from 1960 to 1974. Volume II includes treaties from 1975 on.

The Memorandum of Administrative Arrangements between the Centre and the International Bank for Reconstruction and Development (the Bank) which became effective as of October 14, 1966, provides, inter alia, that , except to the extent that the Centre may be reimbursed by the parties to proceedings for fees and expenses of members of Conciliation Commissions. Arbitral Tribunals or Committees of Arbi trators, the Bank shall provide the following services and facili­ties to the Centre:

(1) the services of staff members and consultants; and (2) other administrative services and facil ities, such as travel , communications, office accom­

modations. furniture . equipment. suppl ies and printing.

The Centre does not have resources of its own. The reported expenditures on behalf of the Centre represent the value of the services provided by the Bank and include only those amounts identified by the Bank as being directly related to the Centre, and, accordingly, do not include any indirect or overhead costs of the Bank. The reported contributions of $246,929 and S238,268 in 1983 and 1982, respectively, are equal to the value of services provided by the Bank, less reimbursements by the Centre from its sale of publications and registration fees. The expend­itures made on behalf of the Centre by the Bank are shown below:

The Centres expenses which are attributable to arbitration proceedings are borne by the parties in accordance with the Centre·s Administrative and Financial Regulations. In our opinion. the accompanying statement of compos1t1on of fund balance and the related statement of changes in fund balance present fairly the composition of fund balance of the International Centre for Settlement of Investment Disputes for the years ended June 30, 1983 and 1982. and the changes in fund balance for the years then ended. in conformity with generally accepted accounting principles applied on a basis consistent with that of the preceding year and in accordance with the Administrative Arrangements between the International Bank for Reconstruction and Development and the International Centre for Settlement of Investment Disputes. as discussed in the Note to the accompanying statements. Our examinations of these statements were made 1n accordance with generally accepted auditing standards and accordingly included such tests of the accounting records and such other auditing procedu res as we considered necessary in the circumstances.
