Audit and Risk Management Committee1.Check all financial reports against their compliance with both the internal finacial management handbook and pertinentaccounting standards, including regulatory requirements.2.Perform oversight financial management functions specifically in the areas of managing credit, market, liquidity,operational, legal and other risks of the Company, and crisis management.3.Pre-approve all audit plans, scope and frequency one (1) month before the conduct of external audit.4.Perform direct interface functions with the internal and external auditors.5.Elevate to international standards the accounting and auditing processes, practices and methodologies and develop thefollowing in relation to this reform: (a) A definitive timetable within which the accounting system of the Company will be100% International Accounting Standard (lAS) compliant; and (b) An accountability statement that will specifically identifyofficers and/or personnel directly responsible for the accomplishment of such task.
Develop a transparent financial management system that will ensure the integrity of internal control activities throughoutcompany through a step-by-step procedures and policies handbook that will be used bt the entire organization.
Education and Employee Welfare Committee1. Establish a formal and transparent procedure for developing a policy on executive renumeration and for fixing therenumeration packages of corporate officers and directors, and provide oversight over renumeration of senior managementand other key personnel ensuring that compensation is consistent with the Company's culture, strategy and control
Designate amount of renumeration, which shall be in a sufficient level to attract and retain directors and officers who areeded to run the Company successfully.Establish a formal and transparent procedure for developing a policy on executive renumeration and for fixing theiumeration packages of individual directors, if any, and officers.Develop a form on Full Business Interest Disclosure as part of the pre-employment requirements for all incomingicers, which among others compel all officers to declare under the penalty of perjury all their existing business interestsshareholdings that may directly or indirectly conflict in their performance of duties once hired.Disallow any director from deciding on his or her own renumeration.Provide in the Company's annual reports, information and proxy statement a clear, concise and understandableclosure of compensation of its executive officers for the previous fiscal year and the ensuing year.Review of the existing Human Resources Development or Personnel Handbook, to strengthen provisions on conflict oferest, salaries and benefits policies, promotion and career advancement directives and compliance of personnelncerned with all statutory requirements that must be periodically met in their respective posts.Review and evaluate the education and welfare benefits of the Company.
9. Pursuant to Executive Order Mc. 24 (EQ 24) dated February 10, 2011 providing forthe rationalization of the compensation of the Members of the Board of Directors ofGOCCsIGFIs and the Memorandum of PNQC dated 21 March 2011 sighed by itsCorporate Secretary, Atty. Graciela M. Barieta, enjoining the PNOC subsidiaries toadopt the guidelines implemented by the parent company, PNOC EC hereby issuesthe following guidelines for the compensation of the members of the Board ofDirectors for 2011. Effective April 1, 2011, the Members of the Board shall beentitled to the following:
1. Maximum per diem for Regular or Special Board meetings actually attendedunder Classification C of EQ 24 of P15000 per meeting but no to exceedP360,000 per year.
2. Maximum per diem for Committee meeting actually attended underClassification C of EQ 24 of P9,000 per meeting but no to exceed P216000per year.
3. Reimbursable Expenses in tlie performance of their official function subject tothe submission of receipts and compliance with budgeting, accounting andauditing rules and regulations such as:
a. Actual travel expenses when attending Board Meetings representingcosts of p lane fare, food and lodg ing of Members of the Boadresiding in the provinces accessible by airplane. The reimbursablelodging expense is for a maximum period of 3 days per trip.However, when the board meetings are conducted for more than oneday, the number of days allowable for reimbursement will also beadjusted accordingly. Aside from the Official Receipt, a Statement ofAccount shall be required in order to determine the reimbursablelodging cost.
b. Transportation expenses for Members of the Board, in going to andfrom the place of meeting, up to a maximum of P15,000 per month
c. Communication expenses covered by cellphone Plan 1200 providedby the company. The company will shoulder charges for official usein excess of the fixed minimum charge of P1,200 but not to exceedP5,000 per month.
d. Representation expenses provided the attendees and purpose ofmeetings are specified in The DES up to a maximum of P20,000 permonth.
4. Payment of Per Diem will be made every Regular Meeting for attendance inthe previous month's meeting, while reimbursable expenses will be paid onthe next meeting following the submission of receipts.
