ADDENDUM NO.1

October 9, 2019

Dear Prospective BIDDERS:

The purpose of this addendum is to make revisions to and answer questions for subject

Invitation for Bid (IFB). The revisions, answers to questions, and exhibits are hereby

incorporated in the IFB, and the ensuing contract. All other provisions and requirements as

originally set forth in the IFB, except as amended by an addendum, remain in full force and

are binding.

The IFB requires that all BIDDERS must appropriately acknowledge this addendum in

their BID submission. Failure to do so may render the BID nonresponsive and therefore

disqualified.

Any questions related to this addendum shall be submitted in writing to

[email protected]. Failure of a BIDDER to submit questions or request

for information or changes by the questions due date shall constitute the BIDDER’s

acceptance of all the terms, conditions and requirements set forth in the IFB.

Revisions

1. Article E, Section 6 of the IFB is revised to read:

E. Warranty, Service & Support:

1. All hardware and software shall include a warranty of five (5) years for parts and labor. Two

(2) years as base contract requirement and three (3) single year options, that is subject to

article 30, Section 3 of the IFB.

2. System Maintenance Plan with the following coverages. Two (2) years as base contract

requirement and three (3) single year options, that is subject to article 30, Section 3 of the

IFB.

Onsite support that includes labor to inspect, diagnose, and resolve any hardware or

software issues related to the system.

Responsible to handle and manage warranty products and related services such as

uninstalling the equipment, shipment to the OEM, tracking of repaired shipment,

receiving the repaired item, inspect, and install the repaired item.

Replace and configure any defective item(s) that is covered under warranty with the same

or equivalent item until the original defective item is repaired or exchanged and available

for use.

3. Unlimited telephone and email technical support shall be provided at no additional charge for

the life of the system.

4. Warranty and Maintenance plan shall commence after completion and acceptance of the

system installed in all forty-five (45) buses.

2. Bid Sheet in Section 7 of the IFB is revised.

Questions and Answers

Question 1: Would NICE Bus be able to provide technical and network specifications for the

external Digi WR44 router to confirm compatibility?

Answer: Technical specifications for Digi WR44 is in Exhibit B of this addendum.

Question 2: Will NICE Bus accept a 5MP camera as an alternative for the 4K camera

which maintains quality and crisp images to ensure efficient space for the full

30 days of recorded video?

Answer: No.

Question 3: Our exterior cameras are IP67 dust and water spray resistant, adding a

microphone hole would compromise the IP rating leading to potential

damage; would NICE Bus accept an exterior camera without audio?

Answer: No.

Question 4: We have an 8TB hard drive option, that would meet the specifications listed

in IFB No.V-1880; would NICE Bus accept 8TB as an alternative?

Answer: Yes.

Question 5: Would NICE Bus be accepting of a mixture of Analog HD and IP cameras

well maintaining 1080P/1920P?

Answer: The technical requirements of the camera system defined in the IFB document

remain the same.

Question 6: What facility recording system is used or is there a possibility of future use of

a facility recording system?

Answer: Question is not clear.

Question 7: OEM* Systems DVR is 9.37” x 4.55” x 12.78”. Will NICE Bus allow this?

Answer: Yes.

Question 8: (Section 3-General Conditions, #6-Risk of Loss, page 12) OEM* would like to

request the approval of alternative language to say:

“Title and risk of loss shall not pass from the Contractor to NICE Bus until

the Goods have been received by NICE Bus. The Contractor shall bear the

risk of loss if acceptance is rejected by NICE Bus.”

OEM* requests the words “and accepted” be deleted from the original

section.

Answer: Request is denied. For the purposes of the IFB and the ensuing contract, NICE

Bus will only receive and accept deliverables that are installed, tested, and

functioning per the requirements of the IFB.

Question 9: (Section 3-General Conditions, #9-Indemnification/Insurance, page 13)

OEM* Technology would like to request the approval of alternative language

to say:

“The Contractor shall indemnify, protect, defend and hold Transdev

Services, Inc., and their respective directors, officers, agents, employees,

volunteers, Board Members and the successors and assigns of each (referred

to collectively and individually as “Indemnitees") harmless from and against

all claims, actions, suits, proceedings, costs, expenses, damages, injuries,

death and liabilities; including legal expenses and reasonable attorney's fees,

and to pay and satisfy any judgments of any kind or nature whatsoever;

imposed upon, incurred by or asserted against Indemnitees by any person,

persons or entity arising out of intentional misconduct or actions or failures

to act connected with or caused, by any of the Contractor’s Personnel or the

Contractor’s services or activities, actions or failure to act resulting from this

Contract.

OEM* requests that “Transdev North America, Inc., and the Funding

Entity” be deleted as OEM* would only be entering into a contract with

Transdev Services, Inc. Also, in the last sentence, OEM* requests deleting

“directly or indirectly.”

Answer: Request is denied. Title of the equipment and services performed under the

ensuing contract passes to Nassau County.

Question 10: (Section 6-Technical Specifications, #1, page 65) Under camera view, please

define which camera views are required for interior and exterior views.

Answer: Camera positioning and viewing angles are in Exhibit C of this addendum.

Question 11: There is no stated percentage goal for Disadvantaged Business Enterprises

(DBEs) requirements in this IFB, so please confirm that there is no DBE goal

for this project?

Answer: IFB is conducted race neutrally. All DBE and minority business participation is

encouraged. Any DBE participation will be acknowledged and credited.

Question 12: (Section 6-Technical Specifications, Warranty, Services & Support on page

71 and Bid Sheet) The section requires “All hardware and software shall

include a warranty of five (5) years for parts and labor.” OEM* warranty

includes the labor it takes to either repair or replace parts that were shipped

to OEM* and, after repair and testing (or replacement), OEM* will ship the

product back to the customer. Under the Standard Warranty, the customer

is responsible for uninstalling the product, shipping it to OEM*, and then

reinstalling the replacement product shipped by OEM*.

Please confirm that this is the understanding of NICE Bus as to what is

covered under the Standard Warranty.

Answer: The requirements for warranty are revised. See revisions’ section in this

addendum.

Question 13: (Section 6-Technical Specifications, Warranty, Services & Support on page

71 and Bid Sheet) In addition to the Standard Warranty, OEM* also offers

fleet-wide system maintenance checks.

Are regular maintenance checks required, and therefore be added to the bid

sheet?

Answer: The requirements for onsite maintenance plan is included. See revisions’ section

in this addendum.

Question 14: (Section 4 – Special Provisions, 6 – Invoicing & Payment, #6 – Final Payment

(c), page 23) 3. There are references in the bid document to retainage, please

confirm retainage does not apply to this project.

Answer: Retainage will not apply to the contract provided that payment requests are made

per line item as stated in the Purchase Order. All items listed in the bid sheet will

be listed in the Purchase Order. Items installed on the buses must be ready for use

per the requirements of the IFB. Payment requests shall be submitted for items

that are installed, tested, and is functioning per the requirements of the IFB.

Question 15: If awarded the project, we anticipate submitting requests for partial

payment based upon product deliveries and completion of work. Please

confirm this is acceptable per the terms on page 22.

Answer: Partial payment requests are allowed on per unit price as set in the Purchase

Order. Payment on delivered material(s) to the site that are not installed are not

allowed.

Question 16: Page 66, item 10 states: “The system shall record onto a removable hard disk

drive of a 6 TB, minimum”. Utilizing a 4.0TB hard drive, the system will

exceed the recording duration of 30 days, and will support the recording of

all cameras at HD and 4K quality at 30 images per second, per camera, for

364 hours (30 days, recording 12 hours per day).

a. Please advise the total number of operating hours per day.

b. Is a smaller drive acceptable, if it will support the 30 days of retention

based on the number of operating hours?

Answer: No. NICE Bus is a 24/7/365 day operation. 4.0 TB Hard Drive is not acceptable.

Question 17: (Section 6 – Technical Specifications, Surveillance System Requirements,

page 65) Item #8 indicates that each bus will have an onboard external Digi

WR44 router to utilize for network connection. Does the router have an

available Ethernet port to transmit video data?

Answer: Technical specifications for Digi WR44 is in Exhibit B of this addendum.

Question 18: Can the Digi WR44 pass NMEA GPS data to the video system, or will vendor

have to supply a GPS antenna?

Answer: Technical specifications for Digi WR44 is in Exhibit B of this addendum. The

camera GPS will not be used.

Question 19: Do the forty-five (45) Orion VII buses currently have any existing

surveillance equipment that will need to be removed by the vendor before

installation of the new onboard surveillance system?

Answer: No.

Question 20: How many of the 45 buses will be available each day for installation work,

and what hours/days will be available for the installation work?

Answer: A minimum of 2 – 3 and a maximum of 5 – 6 buses per day will be made

available. NICE Bus is a 24/7/365 operation. Work should be scheduled during

the hours on Monday to Friday from 10am to 2pm, and Saturday and Sunday

from 9am to 3pm.

Question 21: (Bidder’s Checklist) – The item “Certification of Compliance with

NYSDOT” is checked and NYSDOT references are in Appendix A-1:

Supplemental Title VI Provisions (Civil Rights Act), but there is not a place

in the Appendix A-1 for a certification signature. How would you like for us

to acknowledge our compliance with NYSDOT provisions?

Answer: The listed certification is not required. Nonetheless, the system shall comply with

all applicable Federal, New York State and Local regulations and standards.

Question 22: Section 6 – Technical Specifications is not mentioned on the Bidder’s

Checklist. Do you want affirmation that we meet all of the section

requirements in the bid we submit, and, if so, where in the order of the

checklist (or as an attachment)?

Answer: The form “Bidder’s Affirmation of Bid” covers all aspects of the IFB including

the technical conformance to the IFB specifications. In addition, per the

instructions in the bid sheet we request the technical specifications of the product

that is being offered. Therefore, BIDDERS are required to submit the technical

specification of the product that they are offering.

Question 23: Should we include a Cover Letter at the beginning of our bid (summarizing

our bid and acknowledging our ability to meet all requirements), or just start

with the Bidder’s Affirmation form as indicated in the Bidder’s Checklist?

Answer: The form “Bidder’s Affirmation of Bid” covers all aspects of the IFB including

the technical conformance to the IFB specifications. In addition, per the

instructions in the bid sheet we request the technical specifications of the product

that is being offered. Therefore, BIDDERS are required to submit the technical

specification of the product that they are offering.

Question 24: Both questions are in regards to optional equipment that aren’t noted in the

technical specifications / requirements:

Does NICE Bus have a requirement for (or desire the option for) on-board

monitors to show any live camera feeds?

If yes, please advise how this option should be presented on the bid form.

If yes, please advise the desired size and mounting location, as well as desired

camera views.

Answer: No.

Question 25: For interior mounted cameras, we offer a 360 degree camera that provides a

wider field of view and better coverage – eliminating blind spots.

Additionally, this camera can often reduce the total number of cameras

mounted in the interior of the bus. Would NICE Bus like to receive an option

for this camera configuration with the bid?

If yes, please advise how this option should be presented on the bid form.

Answer: No.

Question 26: Is the federal funding including the National Defense Authorization Act

which bans products from China such as Hikvision, Dahua and any Chinese

products that use chipsets from Telecom companies such as Huawei?

Answer: Yes. Applicable Federal, New York State and Local provisions are listed in

Section 5 of the IFB, that includes Buy America provisions as regulated in 49

CFR Part 661.
