In light ofthe FEZANA World Body Working Group completing all three
mandates (that includes the publication of three reports)the outcome of the Mumbai Meeting in January 2003 a working draft of the proposed structure for the World Body being
built on the agreed to guidelines of the Mumbai Meetingthe likely acceptance by WZO, ZTFE, FPZAI and FEZANA of this
structure as a starting point to attain consensus
we, the members of the FEZANA World Body Working Group recommend
• that no mandate for continuation of FEZANA World Body Working Group is needed
• that it is time for the elected officials to take over.

5Mumbai Meeting – Sense of Meeting OneOne World Body with two independent "Councils" be
launched simultaneously under one umbrella (WZO).Each Council to be totally independent of each other.One to be truly representative of Individuals. The other to
be truly representative of Federations.There will be no common boards, no common general
body.Both Councils to be registered separately as not-for-profit
organizations; not under Company's Act.The two Councils will exchange information, views and
recommendations which will be considered by the other Council with no obligation to agree or implement.
Objectives well defined in the original constitution of WCZF and the WZO 2001 … mechanism for resolution of differences should be spelled out.

“The concept of One World Umbrella will give us the best possible model and will comply with FEZANA resolutions. Since the Coordinating Group needs to work with WZO which includes elements of the WCZF2002 model the FEZANA WG is requested to continue in that direction and work with the promoters of that model towards supporting the activity of the coordinating group.”
Post-Meeting ContributionThe umbrella WZO can be registered in New York, the WZO (Individuals) in London and the WZO (Federations) in Mumbai.

WZOFAt the request of the affected Region or emerging Region and recognizing the autonomy of Regions
WZOIAt the request of individuals or people who are not members of any Zoroastrian organization and recognizing the autonomy of Regions
• deal with matters pertaining to assets of defunct Zoroastrian organizations anywhere in the world.
• develop, promote and implement Zoroastrian well-researched and scholarly viewpoints on critical issues such as the environment, war, peace, human rights, human dignity, etc. that face humankind in the 21st century and centuries to come.

Presence and ActivityThere must be clear evidence of a Zarathushti presence and activity within a particular Region.
Presence is demonstrated through the identification and verification of a minimum number of Zoroastrians within a Region. The minimum number of Zoroastrians needed to form a new region is a percentage of Zoroastrians represented in the World Body at the time of application. Example: Say there are 100,000 Zoroastrians represented in the World Body through say 4 Regions. Say we adopt the minimum necessary for demonstrating presence to be 1 percent. Then for a new Region to be created it must have at least 1000 Zoroastrians.
Activity may be demonstrated through the formation of Associations and a Federation of Associations.

Shifting PopulationsOver time, it will be necessary to recognize new Regions and
disband old Regions. Once every five years the IZO will be responsible for(use facilitating) undertaking this activity.
Maximum Number of Regions• There is always the possibility of there being too many
Regions for the model under which the World Body would operate. Example: Say there are 100,000 Zoroastrians represented in the World Body. Theoretically, we could have 100 Regions. From the standpoint of efficiency it is necessary to place an upper limit on the number of Regions with a provision that this be revisited at least once every 10 years.

31World Body - Closing RemarksMany, many people have worked to make the World Body a reality.
The WG has offered a model for One World Body today. The WG hopes that the elected leaders will get behind this model and bring it to reality.
The WG hopes that after a long courtship between the two arms of the World Body a marriage will take place that will bring happiness to the community.
Chances of a marriage that will endure will be enhanced if:• The governing principles are clearly spelled out, understood and
accepted by all parties. • The structures of the IZO, WZOF and WZOI
• are correct (not flawed) at the start, AND• are compatible with each other at the start.
• Provision is made for continuous improvement of processes through• transparency of operation, and • periodic review.
• The elected leaders get behind what has been suggested by the WG.• The people who have been involved over many, many years put the past
behind them, put aside personal interests and look to tomorrow as a new beginning.

A breakthrough was achieved when it was mooted that both “ Councils ” could be launched
simultaneously under the WZO umbrella but with no overlap. Both would be registered separately, there will no common International Board and no common AGM. This breakthrough resulted in the following Sense of the meeting:
SENSE OF M EETING IN MUMBAI (1)
One World Body with two independent “Councils” be launched simultaneously under one umbrella (WZO).
Each Council will be totally independent of each other. One will be truly representative of individuals . The other will be truly representative of federations. There will be no common boards, no common general body. Both Councils will be registered separately as not-for profit organizations (not under Company’s Act). Each will be considered an independent arm of the WZO. The two Councils will exchange of information, views and recommendations which will be considered
by the other Council with no obligation to agree or implement. The objectives have been well defined in the original constitution of WCZF and the WZO 2001 and
any misunderstanding should resolved through amicable discussion. Mechanism for resolution of differences should be spelled out. We request a response ASAP but no later than March 31, 2003.

COMMENT FIRDOSH MEHTA, PRESIDENT OF FEZANA The concept of One World Umbrella will give us the best possible model and will comply with FEZANA resolutions. Since the Coordinating Group needs to work with WZO which includes elements of the WCZF2002 model the FEZANA WG is requested to continue in that direction and work with the promoters of that model towards supporting the activity of the coordinating group.
FIRDOSH M EHTAPOST-MEETING SUGGESTION The umbrella WZO can be registered in New York, the WZO (Individuals) in London and the WZO (Federations) in Mumbai. Firdosh will discuss the Sense of this meeting with Rumi Sethna in London and will also try to liaise with Dorab in this context in London.
CLOSING COMMENT The particpants sincerely thank Rohinton Rivetna for conceiving and promoting this meeting, the BPP for hosting this meeting and Minoo Shroff for chairing the discussions in a manner that resulted in a harmonious and positive outcome.

SUBJECT Joint Communiqué from Members of Coordinating Committee DATE May 24, 2003 This is a Joint Communiqué from the elected leaders from North America, UK and India who participated in the Meeting in Mumbai on January 21 and 22, 2003 to discuss the World Body issue and to map the way forward. This communiqué is intended as a joint and positive response by the leaders to the leadership of the WZO so as to move forward the very fruitful dialogue currently being undertaken. The Mumbai meeting was conceptualized and coordinated by Rohinton Rivetna, who has contributed vision, perseverance and countless hours of hard work. We are grateful for the venue and arrangements for this meeting hosted by Minoo Shroff, Chairman of the BPP, and his staff. The fruition of this meeting was underpinned by a detailed presentation on the various models for a World Body by Khorshed Jungalwalla and Farrokh Mistree on behalf of the FEZANA Working Group. There were articulate presentations also from Roshan and Rohinton Rivetna and explanatory statements from Dinshaw Tamboly, Dadi Engineer, Firdosh Mehta, Keki Gandhi, Dorab Mistry and indeed all the participants. After much open and frank discussion, as a consequence of the sterling and incisive work presented by the World Body Working Group, an Ad-Hoc Committee of FEZANA, Chaired by Khorshed Jungalwala, a break-through was achieved - a testimonial to the power of collective thinking in a congenial atmosphere. The Sense of the Meeting, faithfully transcribed by Farrokh Mistree instantaneously on the screen was as follows : One World Body with two independent "Councils" be launched simultaneously under one umbrella
(WZO). Each Council will be totally independent of each other. One will be truly representative of Individuals. The other will be truly representative of Federations. There will be no common boards, no common general body Both Councils will be registered separately as not-for-profit. organizations; not under Company's Act. Each will be considered an independent arm of the WZO. The two Councils will exchange information, views and recommendations which will be considered by
the other Council with no obligation to agree or implement. The objectives have been well defined in the original draft constitution of the WCZF and the
Memorandum of Association and CoF Clauses in WZO 2001; and any misunderstanding should be resolved through amicable discussion.
Mechanism for resolution of differences should be spelled out. We request a response ASAP but no later than March 31, 2003.
After the Mumbai meeting, two of the leaders Firdosh Mehta and Dorab Mistry briefed the ZTFE managing committee in London and subsequently, Firdosh Mehta briefed the WZO committee in London and in particular their leaders Ru mi Sethna, Chairman WZO and Rustom Dubash, President WZO . The warmth of the response from the WZO and their reasonable proposal prompted another meeting between Firdosh Mehta, Rumi Sethna and Dorab Mistry in London and led to a request to the WZO to present their proposal in outline format by 31st March 2003. These London discussions enjoyed the full support of Minoo Shroff and Keki Gandhi. The WZO proposal as set out by Rustom Dubash is included in Appendix A.

The proposal outlined by Rustom Dubash respects the "Sense of the Mumbai meeting" and offers a workable framework for Federations and Individuals to realise their goals under One World Body. The concept of the IZO is quite acceptable as a body providing linkage between the WZO-I and WZO-F serving as the community's high-level guardian in a broad sense - its eyes and ears; while yet making sure that it does not impinge on the complete autonomy of the WZO-I and the WZO-F. It is suggested that the WZO Leaders now begin to obtain acceptance of this concept within their organisation and that the parties to this communiqué will also begin to seek acceptance of this concept within their own respective organisations. As regards the participation of other constituencies, at this point in time it is important to note that they were invited to the Mumbai meeting, and their absence at that meeting should not be construed as a negative stand on their behalf. It is the clear intention of the undersigned that if this Joint Communiqué will encourage the WZO leadership to proceed with obtaining approval from your Board, and thereby come close to the need to have another coordinated World summit in the near future, at a convenient location, then all constituencies would again be invited to present their views on the discussions, deliberations and decisions regarding the Charter of the IZO, the Constitution of WZOF and the related Memorandum of Association of the WZOF and WZOI with respect to IZO. It now remains to finalise the charter of the WZO-F and to craft a new charter for the IZO in conjunction with the leaders of the WZO. It is also a commitment that leaders of other Associations will be invited to participate (as they were for the Mumbai meeting) in the drafting of the charter of the WZO-F and the IZO. We shall draw on community resources in this mission. Knowing that there were many who made this outcome possible, express our inability to thank each and every one individually. We thank all those who participated in this momentous effort to bring our worldwide community closer together.

APPENDIX A COMMUNICATION FROM RUSTOM DUBASH OF WZO
Dated: March 17th 2003 Dear Dorab, Further to our telephone discussion about 10 days ago, I am sending you a flow chart that Rumi and I have prepared. This is based on the discussion we had with Firdosh when he was in London. As requested by you it is sent on a non-committal basis and we at WZO would need to get international board approval for Rumi's suggestion. However, as the WZO international board have in Sept. 2002 approved the draft WZO 2001 constitution, for us to put forward another proposal makes no sense, if the Federations, Associations and Anjumans do not in principle agree to the structure in the flow chart. The flow chart can also be an inverted triangle, but I personally prefer it this way to show that there is a "unifying body" at the top. Please circulate to others as appropriate. … Dated: March 18th 2003 Hi, To clarify the point on the Charity Commission. WZOI (the present WZO) will remain a charity. IZO will be a company limited by shares and will not be a charity and therefore no need for Charity approval. WZOI will own shares in IZO which will be allowed by the Charity Commission. In my personal view, the major regions need to be behind this proposal and the crux to their agreement will be an agreed constitution for the WZOF. This is for the Federations, Anjumans etc. to sort out and we at WZO will not interfere unless you want any input from us. Regards Rustam S Dubash
