Brown Rudnick LLP (“Brown Rudnick”), co-counsel for the Official Committee of

Unsecured Creditors (the “Committee”) of PES Holdings, LLC, et al. (the “Debtors”), hereby

submits its Final Fee Application (the “Application” or “Final Fee Application”) for allowance

of compensation for professional services rendered and reimbursement of actual and necessary

expenses incurred for the period August 1, 2019 through February 13, 2020 (the “Final

Compensation Period”).

INTRODUCTION

1. On July 21, 2019 (the “Petition Date”), the Debtors filed voluntary petitions for

relief under chapter 11 of the Bankruptcy Code in the United States Bankruptcy Court for the

District of Delaware (the “Court”), thereby commencing these chapter 11 cases (the “Cases”).

The Debtors continue in possession of their property and are operating and managing their

business as debtors-in-possession pursuant to the provisions of 11 U.S.C. §§ 1107(a) and 1108.

No trustee or examiner has been appointed in the Debtors’ Cases.

2. On August 1, 2019 (the “Formation Date”), the United States Trustee appointed

the Committee in the Debtors' bankruptcy case pursuant to Section 1102 (a)(1) of the Bankruptcy

Code. [See Notice of Appointment dated August 5, 2019, D.I. 152]. The Committee is

comprised of the following members: (i) Baker Hughes, a GE company LLC; (ii) CSX

Transportation, Inc.; (iii) Fisher Tank Company; (iv) J J White, Inc.; (v) OSG Bulk Ships Inc.;

(vi) Trinity Industries Leasing Company; and (vii) United Steel, Paper and Forestry, Rubber,

Manufacturing, Energy, Allied Industrial and Service Workers International Union. On August

1, 2019, the Committee selected Brown Rudnick and Elliott Greenleaf, P.C. (“Elliott Greenleaf”)

as its proposed co-counsel, subject to the Court’s approval.

3. On August 28, 2019, the Committee filed an application to employ and retain

Brown Rudnick as its counsel (the “Retention Application”), nunc pro tunc to August 1, 2019.

The Retention Application was approved by the Court on September 18, 2019 [Docket No. 398].

4. On August 20, 2019, the Court entered the Order (I) Establishing Procedures for

Interim Compensation and Reimbursement of Expenses for Retained Professionals and (II)

Granting Related Relief of this Court [Docket No. 215] (the “Interim Compensation Order”).

Pursuant to the Interim Compensation Order, the Court established a procedure for interim

compensation and reimbursement of disbursements for professionals appointed in these cases. In

particular, the Court authorized the filing and service to certain notice parties of monthly interim

fee applications by professionals appointed in these cases (including professionals employed by

the Committee) and payment by the Debtors of 80% of fees and 100% of expenses, in the

absence of an objection made within twenty-one (21) days of service of the pertinent application.

5. On November 21, 2019 Brown Rudnick filed the First Interim Fee Application of

Brown Rudnick LLP, as Counsel for the Official Committee of Unsecured Creditors, for Payment

of Interim Compensation and Reimbursement of Expenses Incurred for the Period from August 1,

2019 through September 30, 2019 [Docket No. 598]. Brown Rudnick does not hold a retainer in

respect of its services as counsel to the Committee.

6. Pursuant to the Interim Compensation Order, Brown Rudnick submits this Final

Fee Application seeking interim approval and allowance of compensation in the amount of

$4,573,483.62 and actual and necessary expenses in the amount of $82,338.33, incurred during

the Final Compensation Period from August 1, 2019 through February 13, 2020, as detailed in

the chart below.

COMPENSATION PAID AND ITS SOURCE

7. Brown Rudnick submits this Application for (a) payment of reasonable

compensation for actual, reasonable, and necessary professional services performed by it as

counsel for the Committee during the Final Compensation Period, and (b) for reimbursement of

actual, reasonable, and necessary disbursements made to pay expenses incurred in representing

the Committee during the Final Compensation Period. This Final Fee Application is made

pursuant to the provisions of Sections 328, 330, and 331 of the Bankruptcy Code, Fed. R. Bankr.

P. 2016, the Local Rules, the UST Guidelines, and the Interim Fee Order. This is Brown

Rudnick’s Final Fee Application.

8. During the Final Compensation Period, Brown Rudnick rendered legal services to

the Committee having a value of $4,573,483.62 in fees, calculated at Brown Rudnick’s usual and

customary hourly rates as more specifically set forth herein. In addition, Brown Rudnick made

disbursements to pay expenses in the amount of $82,338.33 during the Final Compensation

Period. In addition to the above amounts, Brown Rudnick anticipates incurring $15,000 of

allowable fees and disbursements during period commencing February 14, 2020 through

September1, 2020 relating to (a) approval of this Application, including attending any final fee

hearing; and (b) the wind-down of the Debtors’ chapter 11 cases.

9. Professional services and disbursements for which compensation and

reimbursement are sought were rendered and expended on behalf of the Committee pursuant to

Chapter 11 of the Bankruptcy Code. Brown Rudnick believes it is appropriate that it be

compensated for the time spent and be reimbursed for the disbursements incurred in connection

with these matters. All fees and disbursements sought to be paid or reimbursed in this

Application were actual, necessary, and reasonable, and benefited the Debtors’ estates and

creditors.

10. The monthly fee statements (the “Monthly Fee Statements”) for the period August

1, 2019 through February 13, 2020 of Brown Rudnick have been filed and served pursuant to the

Interim Compensation Order. Attached hereto as Exhibit A1 through A5 are copies of the

Monthly Fee Applications filed by Brown Rudnick in the Debtors’ cases which have not yet

been approved by the Court.

11. As set forth in the Retention Application, the Committee retained Brown Rudnick

as its counsel to provide the following professional services:

i. assisting and advising the Committee in its discussions with the Debtors and other parties-in-interest regarding the overall administration of these cases;

ii. representing the Committee at hearings to be held before this Court and

communicating with the Committee regarding the matters heard and the issues raised as well as the decisions and considerations of this Court;

iii. assisting and advising the Committee in its examination and analysis of the conduct of the Debtors’ affairs;

iv. reviewing and analyzing pleadings, orders, schedules, and other documents filed and to be filed with this Court by interested parties in these Cases; advising the Committee as to the necessity, propriety, and impact of the foregoing upon these Cases; and consenting or objecting to pleadings or orders on behalf of the Committee, as appropriate;

v. assisting the Committee in preparing such applications, motions, memoranda, proposed orders, and other pleadings as may be required in support of positions taken by the Committee, including all trial preparation as may be necessary;

vi. conferring with the professionals retained by the Debtors and other parties-in-interest, as well as with such other professionals as may be selected and employed by the Committee;

vii. coordinating the receipt and dissemination of information prepared by and received from the Debtors’ professionals, as well as such information as may be received from professionals engaged by the Committee or other parties-in-interest in these cases;

viii. participating in such examinations of the Debtors and other witnesses as may be necessary in order to analyze and determine, among other things, the Debtors’ assets and financial condition, whether the Debtors have made any avoidable transfers of property, or whether causes of action exist on behalf of the Debtors’ estates;

a. Case Administration. This category includes all matters related to work regarding administration of the case. Time in this category includes communicating with Kirkland & Ellis and the Committee’s financial advisors regarding pending issues and tasks to be undertaken, maintaining the case calendar, dealing with the day to day administration of the case and preparing for hearings.

b. Meetings and Communications with Creditors. This category includes in-person and telephonic meetings of the Committee throughout the pendency of the case as well as responding to inquiries of individual creditors as necessary.

c. Employment and Fee Applications. This category includes the preparation of Brown Rudnick’s retention application as well as the preparation of monthly fee applications. Brown Rudnick also assisted the Committee’s financial advisors with various aspects of its retention and fee applications as necessary.

d. Plan and Disclosure Statement. This category included review of the Debtors’ plan and disclosure statement, preparation of any pleading in opposition, preparation for contested confirmation, including depositions and discovery, negotiations related to resolutions on objections to the plan and disclosure statement, and involvement in drafting of final plan and confirmation order.

e. Business Operations. This category includes all matters relating to the operation of the Debtors’ business. Time in this category includes work in connection with negotiating the terms of the KERP and KEIP. On behalf of the Committee, Brown Rudnick negotiated a number of revisions to the Debtors’ proposed KEIP which better aligned the interests of the proposed KEIP bonus participants with the interests of creditors.

f. Corporate Governance and Board Matters. This category includes the review of any corporate governance and board issues related to the Debtors.

g. Employee Benefits and Pensions. This category includes the review of all key employee incentive plans and key employee retention plans, including the preparation to the opposition thereof. This category also included an analysis of prepetition bonus payments.

h. Assumption and Rejection of Leases. This category includes all time spent in connection with contract and lease analysis, and review of the Debtors’ omnibus objection motions.

i. Asset Disposition/363 Sale. This category includes all matters relating to the proposed asset sale. Brown Rudnick reviewed the Debtors’ motion for an order approving bidding procedures and conducted an extensive review of the asset purchase agreement. This category also included Brown Rudnick’s involvement in the auction.

j. Non-Working Travel. This category includes all non-working travel needed for these cases for meetings, witness preparation, depositions, and hearings. This category is billed at half-time.

k. Avoidance Action Analysis. This category included the analysis of potential avoidance actions available to the estate. Most notably, this category included a lien review of the Debtors’ secured prepetition lenders.

l. Contested Matters and Adversary Proceeding. This category includes all matters relating to litigation, specifically addressing various issues related to the proposed sale, and conducted settlement communications with respect to the sale process.

m. Claims Administration and Objections. This category includes the review of claims against the debtors excluding those of ICBCS.

n. Tax. This category includes all tax diligence work related to the debtors. o. DIP Financing and Cash Collateral. This category includes all matters

relating to the review and analysis of the Debtors’ motion for an order authorizing post-petition debtor-in-possession financing, the related credit agreements and interim orders, and the Budget attached thereto.

p. Perfection Analysis This category includes all time spent in connection with investigation into the perfection and enforceability of the secured debt asserted against the Debtors and any potential defenses and claims the Debtors held with respect to such debt.

q. Hearings. This category involved any time associated with the preparation and attendance of hearings with the Court.

r. Political Matters/Lobbying. This matter includes efforts to understand the political and lobbying landscape surrounding the Debtors’ approach to its reorganization/sale. This category did not include any actual lobbying by Brown Rudnick or the Committee generally.

s. Insurance/Litigation. This category includes a review and analysis of the lien priority litigation involving the debtors’ insurance proceeds, the Committee’s intervention into the litigation, and all activity related to the Committee’s involvement in the litigation such as, drafting of pleadings and summary judgement motion and oppositions thereof, and preparations for argument on the same.

t. Environmental Issues. This category involved a review and analysis of all environmental issues involving the Debtors. Notably, the analysis included a review of any cleanup liability and proper disposition of remaining hydrocarbons in the Debtors’ possession.

u. Union Issues/Warn Claim. This category involved a review and analysis of any WARN Act or union issues that has or may arise in these chapter 11 cases.

v. ICBCS. This category involves the review of claims asserted by ICBCS against the Debtors and discussions and negotiations with ICBCS regarding the same.

12. To the best of Brown Rudnick’s knowledge, this Application complies with

sections 330 and 331 of the Bankruptcy Code, Rule 2016-2 of the Local Bankruptcy Rules, the

Interim Compensation Order, and complies with the UST’s Guidelines for Reviewing

Applications for Compensation. and Reimbursement of Expenses Filed under 11 U.S.C. §330 by

Attorneys in Larger Chapter 11 Cases Effective as of November 1, 2013.

13. Attached hereto as Exhibit A1-A5 are the October, November, December,

January and February Fee Application, each in its entirety as originally filed.

14. Attached hereto as Exhibit B is a summary of Timekeepers included in the Final

Compensation Period.

15. Attached hereto as Exhibit C is a schedule and an itemized description of

disbursements incurred during the of the disbursements for the Final Compensation Period.

16. Attached hereto as Exhibit D is the Customary and Comparable Compensation

Disclosure with respect to the Application.

17. Brown Rudnick has previously applied for payment of monthly fees and

reimbursement of disbursements pursuant to the Interim Fee Order as previously set forth herein.

Brown Rudnick does not hold a retainer in respect of its services as counsel to the Committee.

18. In accordance with Section 504 of the Bankruptcy Code and Fed. R. Bankr. P.

2016(a), no agreement or understanding exists between Brown Rudnick and any other person for

the sharing of compensation received or to be received for services rendered in or in connection

with these cases.

19. No agreement or understanding prohibited by 18 U.S.C. § 155 has been or will be

made by Brown Rudnick.

20. The undersigned has reviewed the requirements of Local Rule 2016-2 and

certifies that this Application complies with that Local Rule.

21. Brown Rudnick reserves all rights and claims. Without limiting the generality of

the foregoing, Brown Rudnick reserves its right to submit future monthly fee applications,

interim fee applications, and Final Fee Applications, including, without limitation, fee

applications seeking final allowance of all amounts sought to be paid or reimbursed herein and in

respect of any amounts held back pursuant to the Interim Fee Order or otherwise.

22. At all relevant times, Brown Rudnick has been a disinterested person as that term

is defined in Section 101(14) of the Bankruptcy Code and has not represented or held an interest

adverse to the interest of the Committee.

23. Notice of this Final Fee Application has been provided in accordance with the

Interim Compensation Order. Brown Rudnick submits that no other or further notice need be

provided.

SUPPLEMENTAL DISCLOSURES REQUIRED BY UST GUIDELINES

24. Pursuant to section C.3 of the United States Trustee’s Guidelines for Reviewing

Applications for Compensation and Reimbursement of Expenses in Larger Chapter 11 Cases (the

“UST Guidelines”), Brown Rudnick’s hourly rates for bankruptcy services are comparable to the

hourly rates charged in complex chapter 11 cases by comparably skilled bankruptcy attorneys.

In addition, Brown Rudnick’s hourly rates for bankruptcy services are comparable to the rates

charged by the firm, and by comparably skilled practitioners in other firms, for complex

corporate and litigation matters, whether in court or otherwise, regardless of whether a fee

application is required. The blended hourly rates for the professionals who performed services

included in the are provided herein.

25. The following statements address the information required pursuant to section

C.5. of the UST Guidelines:

§§ 328, 330, and 331, Fed. R. Bankr. P. 2016, the Local Rules of the United States Bankruptcy

Court for the District of Delaware (the “Local Rules”), the United States Trustee Fee Guidelines

– Guidelines for Reviewing Applications for Compensation and Reimbursement of

Disbursements Filed under 11 U.S.C. § 330 (Appendix A to 28 C.F.R. § 58) (the “UST

Guidelines”), and the Order (I) Establishing Procedures for Interim Compensation and

Reimbursement of Expenses for Retained Professionals and (II) Granting Related Relief of this

Court dated August 20, 2019 [Docket No. 215] (the “Interim Compensation Order”). In support

of this Application, Brown Rudnick hereby states as follows:

BACKGROUND

1. On July 21, 2019 (the “Petition Date”), the Debtors filed voluntary petitions for

relief under chapter 11 of the Bankruptcy Code in the United States Bankruptcy Court for the

District of Delaware (the “Court”), thereby commencing these chapter 11 cases (the “Cases”).

The Debtors continue in possession of their property and are operating and managing their

business as debtors-in-possession pursuant to the provisions of 11 U.S.C. §§ 1107(a) and 1108.

No trustee or examiner has been appointed in the Debtors’ Cases.

2. On August 1, 2019 (the “Formation Date”), the United States Trustee appointed

the Official Committee of Unsecured Creditors (the "Committee") in the Debtors' bankruptcy

case pursuant to Section 1102 (a)(1) of the Bankruptcy Code. [See Notice of Appointment dated

August 5, 2019, D.I. 152]. The Committee is comprised of the following members: (i) Baker

Hughes, a GE company LLC; (ii) CSX Transportation, Inc.; (iii) Fisher Tank Company; (iv) J J

White, Inc.; (v) OSG Bulk Ships Inc.; (vi) Trinity Industries Leasing Company; and (vii) United

Steel, Paper and Forestry, Rubber, Manufacturing, Energy, Allied Industrial and Service Workers

International Union. On August 1, 2019, the Committee selected Brown Rudnick and Elliott

Greenleaf, P.C. (“Elliott Greenleaf”) as its proposed co-counsel, subject to the Court’s approval.

3. On August 28, 2019, the Committee filed an application to employ and retain

Brown Rudnick as its counsel (the “Retention Application”), nunc pro tunc to August 1, 2019.

The Retention Application was approved by the Court on September 18, 2019 [Docket No. 398].

4. Pursuant to the Interim Compensation Order, the Court established a procedure

for interim compensation and reimbursement of disbursements for professionals appointed in

these cases. In particular, the Court authorized the filing and service to certain notice parties of

monthly interim fee applications by professionals appointed in these cases (including

professionals employed by the Committee) and payment by the Debtors of 80% of fees and 100%

of expenses, in the absence of an objection made within twenty-one (21) days of service of the

pertinent application.

PAYMENT AND REIMBURSEMENT REQUESTED

5. Brown Rudnick submits this Application (a) for payment of reasonable

compensation for actual, reasonable, and necessary professional services performed by it as

counsel for the Committee during the Application Period, and (b) for reimbursement of actual,

reasonable, and necessary disbursements made to pay expenses incurred in representing the

Committee during the Application Period. This Application is made pursuant to the provisions

of Sections 328, 330, and 331 of the Bankruptcy Code, Fed. R. Bankr. P. 2016, the Local Rules,

the UST Guidelines, and the Interim Compensation Order. This is Brown Rudnick’s third

monthly fee application.

6. During the Application Period, Brown Rudnick rendered legal services to the

Committee having a value of $521,967.00 in fees, calculated at Brown Rudnick’s usual and

customary hourly rates as more specifically set forth herein. In addition, Brown Rudnick made

disbursements to pay expenses in the amount of $13,812.44 during the Application Period. Thus,

the total amount of fees (80% of the aggregate amount of fees for the Application Period) and

disbursements for which Brown Rudnick seeks approval and payment on an interim basis for the

Application Period is $431,386.04.

7. Professional services and disbursements for which compensation and

reimbursement are sought were rendered and expended on behalf of the Committee pursuant to

Chapter 11 of the Bankruptcy Code. Brown Rudnick believes it is appropriate that it be

compensated for the time spent and be reimbursed for the disbursements incurred in connection

with these matters. All of the fees and disbursements sought to be paid or reimbursed in this

Application were actual, necessary, and reasonable, and benefited the Debtors’ estates and

creditors.

8. As set forth in the Retention Application, the Committee retained Brown Rudnick

as its counsel to provide the following professional services:

i. assisting and advising the Committee in its discussions with the Debtors

and other parties-in-interest regarding the overall administration of these

cases;

ii. representing the Committee at hearings to be held before this Court and

communicating with the Committee regarding the matters heard and the

issues raised as well as the decisions and considerations of this Court;

iii. assisting and advising the Committee in its examination and analysis of

the conduct of the Debtors’ affairs;

iv. reviewing and analyzing pleadings, orders, schedules, and other

documents filed and to be filed with this Court by interested parties in

these Cases; advising the Committee as to the necessity, propriety, and

impact of the foregoing upon these Cases; and consenting or objecting to

pleadings or orders on behalf of the Committee, as appropriate;

v. assisting the Committee in preparing such applications, motions,

memoranda, proposed orders, and other pleadings as may be required in

support of positions taken by the Committee, including all trial preparation

as may be necessary;

vi. conferring with the professionals retained by the Debtors and other parties-

in-interest, as well as with such other professionals as may be selected and

employed by the Committee;

vii. coordinating the receipt and dissemination of information prepared by and

received from the Debtors’ professionals, as well as such information as

may be received from professionals engaged by the Committee or other

parties-in-interest in these cases;

viii. participating in such examinations of the Debtors and other witnesses as

may be necessary in order to analyze and determine, among other things,

the Debtors’ assets and financial condition, whether the Debtors have

made any avoidable transfers of property, or whether causes of action exist

on behalf of the Debtors’ estates;

ix. assisting and advising the Committee in connection with any sale of any or

substantially all of the Debtors’ assets;

x. assisting and advising the Committee in connection with analyzing estate

assets, including, without limitation, any estate causes of action against

any parties;

xi. negotiating and, if necessary or advisable, formulating a plan of

reorganization or liquidation for the Debtors; and

xii. assisting the Committee generally in performing such other services as

may be desirable or required for the discharge of the Committee’s duties

pursuant to section 1103 of the Bankruptcy Code.

REASONABLE AND NECESSARY SERVICES RENDERED

9. Upon the formation of the Committee and Brown Rudnick’s retention, Brown

Rudnick immediately set to work on the critical tasks ahead. Brown Rudnick was required to hit

the ground running as the objection deadlines for the Debtors’ first day relief approached. As

described in more detail below, during the Application Period, Brown Rudnick advised the

Committee on a broad range of issues.

a. Case Administration (25.70 hours). During the Application Period, Brown

Rudnick reviewed pleadings, prepared and maintained the case calendar for the cases, and

consulted with case professionals and committee members regarding case and diligence

issues.

b. Meetings and Communications with Creditors (50.40 hours). During the

Application Period, Brown Rudnick communicated with the Committee regarding

confidentiality, responses to pleadings, and a myriad of other pertinent issues to keep the

Committee well-informed of case issues. Additionally, Brown Rudnick conducted regular

telephonic meetings with the Committee to advise the Committee on key aspects of these

cases and the issues set forth herein.

c. Employment and Fee Applications (3.80 hours). During the Application

Period, Brown Rudnick prepared its Second Monthly Fee Application and prepared the

Committee’s First Interim Expense Reimbursement Application. Brown Rudnick also

reviewed Debtors’ counsel’s invoice.

d. Plan and Disclosure Statement (12.20 hours). During the Application

Period, Brown Rudnick reviewed the Debtors’ plan and disclosure statement and held

discussions with the debtors’ regarding same.

e. Corporate Governance and Board Matters (4.00 hours). During the

Application Period, Brown Rudnick reviewed the Debtors’ corporate governance structure.

f. Employee Benefits and Pensions (95.80 hours). During the Application

Period, Brown Rudnick investigated the payments made to insiders referenced in the

Debtors statements of financial affairs to determine what actions may be taken with respect

to those payments. Brown Rudnick also drafted a letter to the Debtors explaining that it

was beginning an investigation. Brown Rudnick also reviewed the KERP motion and

drafted an objection to the motion to seal the KERP.

g. 363 Sale / Asset Disposition (52.00 hours). During the Application Period,

Brown Rudnick conferred with Conway MacKenzie to receive updates on the Debtors’ sale

and marketing process. Brown Rudnick also reviewed the Debtors’ marketing materials.

Brown Rudnick also drafted an objection to the Bidding Procedures and negotiated the

terms thereof with the Debtors to prevent the filing of the objection.

h. Claims Administration and Objections (.50 hours). During the Application

Period, Brown Rudnick provided explanation and notice of the bar date to the Committee.

Brown Rudnick also corresponded with the Debtors and Conway regarding critical vendor

payments.

i. Tax (51.10 hours). During the Application Period, Brown Rudnick

reviewed and analyzed the Debtors’ excise tax refund litigation. Brown Rudnick prepared a

memorandum discussing the legal issues surrounding the claim for the Committee.

j. DIP Financing and Cash Collateral (24.90 hours). During the Application

Period, Brown Rudnick reviewed and analyzed the Debtors’ motion for an order authorizing

post-petition debtor-in-possession (“DIP”) financing, the related credit agreements and

interim orders, and the Budget attached thereto. Brown Rudnick held several conference

calls with counsel to the DIP lenders and the counsel to the Debtors to discuss issues that

arose from Brown Rudnick’s review. Brown Rudnick also prepared an objection to the

DIP. The objection has not yet been necessary to file due to the continual extension of the

objection deadline. Finally, Brown Rudnick analyzed and commented on the Final DIP

Order.

k. Perfection Analysis (7.80 hours). During the Application Period, Brown

Rudnick reviewed the prepetition loan documents, security agreements, and perfection

documentation to determine whether purported liens have been properly perfected. Brown

Rudnick also began to prepare a memo for the Committee to present its findings.

l. Political Matters / Lobbying (5.30 hours). During the Application Period,

Brown Rudnick made contacts with political and governmental representatives and other

political groups to discuss the Refining Complex and related issues involving the Debtors.

m. Insurance / Litigation (198.10 hours). During the Application Period, Brown

Rudnick continued its intervention into the adversary proceeding between the prepetition

lenders over the priority of certain insurance proceeds. The preparation included extensive

research on myriad of issues including lien avoidance and perfection as well as insurance

law. Brown Rudnick prepared a dispositive motion and legal memorandum on the

pleadings and motion and legal memorandum in opposition to the other parties’ dispositive

motions.

n. Environmental Issues (41.80 hours). During the Application Period, Brown

Rudnick sought to better understand the environmental and other regulatory issues

surrounding the Debtors. In particular, Brown Rudnick held several conferences with the

Debtors and their counsel to discuss potential environmental liability, clean-up and

permitting. Brown Rudnick also reviewed and conferred with Debtors’ counsel regarding

the pipeline settlement. Finally, Brown Rudnick reviewed the requested environmental

documentation received from the Debtors.

o. ICBCS (57.90 hours). During the Application Period, Brown Rudnick

reviewed and commented on the term sheets between ICBCS and the Debtors regarding

hydrocarbon removal. Brown Rudnick also reviewed the term sheets in relation to their

effect on DIP Financing.

10. Attached hereto as Exhibit A is a summary of the value of the services rendered

by Brown Rudnick during the Application Period.

11. Attached hereto as Exhibit B are detailed time entries indicating the daily work

performed by each Brown Rudnick professional with respect to whom compensation is sought

during the Application Period and an itemized description of disbursements incurred during the

Application Period. These disbursements are summarized in Exhibit C.

12. Brown Rudnick has not previously applied for payment of any fees or

reimbursement of any disbursement during these cases. Brown Rudnick does not hold a retainer

in respect of its services as counsel to the Committee.

13. In accordance with Section 504 of the Bankruptcy Code and Fed. R. Bankr. P.

2016(a), no agreement or understanding exists between Brown Rudnick and any other person for

the sharing of compensation received or to be received for services rendered in or in connection

with these cases.

14. No agreement or understanding prohibited by 18 U.S.C. § 155 has been or will be

made by Brown Rudnick.

15. The undersigned has reviewed the requirements of Local Rule 2016-2 and

certifies that this Application complies with that Local Rule.

16. Brown Rudnick reserves all rights and claims. Without limiting the generality of

the foregoing, Brown Rudnick reserves its right to submit future monthly fee applications,

interim fee applications, and final fee applications, including, without limitation, fee applications

seeking final allowance of all amounts sought to be paid or reimbursed herein and in respect of

any amounts held back pursuant to the Interim Compensation Order or otherwise.
