- M/s. Gujarat Alkalies and Chemicals Ltd. v. Union of India through Secretary (Power) and (BEE), SCA No.11227/2017 before
High Court of Gujarat at Ahmedabad - Petitioner filed the petition for seeking the challenge of the legality, validity and vires
of Clause 4(4) of the Procedure for Registration of a Designated Consumer with Registry as Eligible Entity & # 39 issued by

- Lafarge India Pvt. Ltd. v. Union of India & Ors. (BEE), Writ Petition (C) No.481/2015 before High Court of Chhattisgarh at
Bilaspur-Writ Petition under Article 226/227 of the Constitution of India for issuance of writ in nature of certiorari,
mandamus, prohibition and other suitable writ or writs, direction or directions, order or orders. The matter is listed for
arguments.
Coastal Petroleum, a distributor of refined petroleum products throughout South Africa, in its negotiations and documentation
for their JV with Duncan Group and Thai Petroleum for LPG Importation, Storage and Distribution Project in Vishakhapatnam
including development of port project relating thereto.
GAIL (India) Limited for the review and opinion on enforceability of Gas Sale and Purchase Agreement with Sabine Pass
Liquefaction Lender’s Legal Counsel for purchase of 3.5 MMTPA over a 20 years period. Also opined on the enforceability of the
Direct Agreement with the lender of the Gas Seller for assignment of the benefits under the agreement. Also, assisted the client
for review of various agreements and issues related to providing guarantee by Indian parent to its overseas subsidiary. Advise
relating to international gas supply contract, vetting of joint operating agreement relating to liquefied natural gas.
Review of Gas Supply Agreement between Harriet Gass Sellers and Oswal Projects Limited in Australia for manufacturing of
Ammonia.
Indraprastha Gas Limited, a leading clean energy solutions provider, for various regulatory approvals for its Initial Public Offering
in India.
Jindal Steel and Power, one of India's major steel producers, for review and vetting of the Coking Coal Sales Purchase Contract
between Jindal Steel and Power Limited, Gujarat NRE Coking Coal Limited and an Australian company, Advised on INCOTERMS
2010, Price Adjustment Formula, Damages and Indemnification by the Seller. Comparative study of the Coal Purchase and Sale
Agreement of various countries, such as, Master Coal Purchase and Sale Agreement approved by U.S.A based Coal Trading
Association, Contract for Sale and Purchase of Indonesian Non-Coking Coal and Coal Supply Agreement of Coal India Limited.
Karam Chand Thapar Group (KCT) was awarded the work for construction of Tehri Hydro Power Plant, civil works in Uttrakhand.
The firm is representing KCT in Arbitrations against Tehri Hydro Development Ltd in disputes relating to the construction of the
Tehri Hydro Power Plant amounting to US$* 52.2 million (` 350 Crore).
Nuclear Power Corporation Ltd. (NPCL) entering into a Joint Venture for its Kaiga Unit 3 & 4 having private equity participation
and determining the necessary amendments to the relevant legislation that may be required for making such Joint Venture viable
with Power Finance Corporation and Fieldstone Financials (USA) as consortium partners. Further analyzing the
combination/circumstances possible for NPCL in forming a Joint Venture with Public Private Participation in the venture along
with the Government.
Power Finance Corporation (PFC) for "Selection of Developers" for Coal based thermal power plants in Punjab, through Tariff
Based Competitive Bidding. Advised the client on the Electricity Act 2003, Central/State Electricity Regulatory Compliance;
Drafted project documents and agreements, conducted due diligence of bidders' credentials and finally transferring the special
purpose vehicle to the selected developers Punjab State Electricity Board.
- Advised the consortium of lenders comprising of Power Finance Corporation Limited as lead & Rural Electrification
Corporation Limited in restructuring of the existing deed of pledge to give effect to release and re-pledge of the pledged
shares owing to the acquisition by one of the promoters Tata Steel Limited of the entire shareholding in the borrower
Bhubaneshwar Power Private Limited by the other promoters. The transaction will become effective in the sequence of

Solar Arise India Projects Private Limited, Rays Power Infra Private Limited, Sun Edison Solar Power India Private Limited,
Hindustan Power projects Private Limited, ACME Solar Holdings Private Limited respectively in projects worth a total of US$
56.744 million.
PFC Consulting Ltd. on legal aspects for procurement/purchase of power plant on long term basis under 'Case-1' of "Guidelines
for Determination of Tariff by Bidding Process for Procurement of Power by DistributionLicensees". Also advised the client on
regulatory support in terms of compliance with the Electricity Act 2003 and drafting of documents and agreements with
Rajasthan Rajya Vidyut Prasaran Nigam Ltd.
PFC Consulting Ltd. to advise Ministry of Power on legal & regulatory aspects in a power transmission projects for selection of
Transmission Service Provider on tariff based competitive bidding. Drafted bid documents, reviewed Concession Agreements,
prepared bid evaluation report, selected private sector developer/investor till the signing of the necessary agreements.
REC Transmission Projects Company Limited in modification/ realignment of standard bidding documents and guidelines for

Rural Electrification Corporation Ltd. for legal audit of various legal documents executed for the financing to ACME Solar – 6
Special Purpose Vehicles (SPVs).
Sri Maruti Wind Park Developers in a dispute worth US$ 31.2 million (` 208 Crore) in the attachment application filed by the
Regen Infrastructure and Services Pvt. Ltd seeking interim relief before Madras High Court, Arbitration Centre. The dispute was
raised due to non-commissioning of wind farm in South-West India.
Roads & Highways Karnataka State Highways Improvement Project (KSHIP) for Bid Process Management for BOT (Annuity) projects on PPP basis for reconstruction, finance, operation and maintenance of the existing State Highway, Annuity Bid Documents including Concession Agreements, RFQ, RFP based on Planning Commission's MCA, Model RFQ and RFP. The scope also includes assisting KSHIP in bid evaluation, developing the financial models for annuity packages and other related issues.
Mazars Advisory Pvt. Ltd.,assisting the client in the following matters:
- Advising National Highway Authority of India in EPC (ENGINEERING PROCUREMENT AND CONSTRUCTION) agreement For Construction of Emergency Landing Facility on Phalodi – Jaisalmer Section of NH – 11 (Old NH – 15) near Khara Village in the State of Rajasthan.
- Advising REC Transmission Projects Company Limited (RECTPCL) in bid process management for transmission system strengthening in Jharkhand State (Package-2) through tariff based competitive bidding process.
- Legal vetting of Concession Agreement for Watambare to Manalwedha Hybrid Annuity Project.
Ministry of Road Transport and Highways (MoRTH) for development of Two-laning of selected NH sections (20 projects) through
Public-Private Partnership on Design, Build, Finance, Operate and Transfer (DBFOT) basis. Mandate included drafting/reviewing
of the concession agreement in light of the Model Concession Agreement; Bid documents - RFQ/RFP and other related
documents.
National Highways Authority of India (NHAI), assisted the client in the following matters:
- BOT/BOT (Annuity) projects of 4/6 laning in Tamil Nadu, Andhra Pradesh & Karnataka, Punjab, Madhya Pradesh, Rajasthan
and Uttar Pradesh . The activities included carrying out the "Due Diligence" on behalf of NHAI as the Project Owner's
Consultant; drafting of request for proposal (RFP) documents, concession agreement, O&M concession agreement and
other related documents.
- Also, against Obedullaganj Betul Tollways Pvt. Ltd. in dispute worth US$ 105 million (` 700 Crores) pertaining to a
Concession Agreement and the Common Loan Agreement in State of Madhya Pradesh for 'Four Laning of Obedullaganj-
Betul Section of NH-69 from 2.8 to Km 8.3Km and from 20.7Km to 137Km on BOT (Toll) Project basis.
- Legal counsel to National Highways Authority of India for drafting Tender Documents and Concession Agreement on Hybrid
Annuity Model Basis for Two laning with Paved Shoulder of Kallagam to Meensurutti Section of NH-227 in the State of Tamil
Nadu under National Highways Development Project (NHDP) Phase IV.
- Continued handling of more than 4000 cases pertaining to land acquisition for .NHAI
National High Speed Rail Corporation Ltd.(NHSRCL) - Advising and assisting NHSRCL on the shareholder arrangement between
GOI, State of Maharashtra, and State of Gujarat.
PNC Infratech Ltd. which includes PNC Khajuraho Highways Pvt. Ltd., PNC Chitradurga Highways Pvt. Ltd., PNC Bundelkhand
Highways Pvt. Ltd endered legal opinion on the companies that get into a Concession Agreement with the Government of India ., r
(GOI). The documents such as Memorandum of Association, Board Resolution and Letter of Allocation by the government to the
company were reviewed on the basis of which the Companies could get into a Concession Agreement with the government.
Public Works Department (PWD), Punjab for four laning of Patiala-Sangrur-Bathinda section of NH-64 in the state of Punjab
through Public-Partnership on DFBOT Basis. The assignment involved drafting/reviewing of the concession agreement, bid
documents, provide legal assistance and advisory services to the authority in conducting the bidding process and execution of the
concession agreement.

Patel Infrastructure Private Ltd. (PIPL) for six Laning of existing three lanes highway in Gujarat. Also, successfully represented
PIPL in an arbitration against Government of Punjab in a US$ 13.43million (` 89.5 crore) project where it was awarded Output
and Performance Based Road Contract for improvement, rehabilitation, resurfacing and routine maintenance works of roads.
Road Construction Dept., Govt. of Bihar for Public Private Partnership initiative in road sector by the Government of Bihar for the
two stretches. Rendered legal advisory services in consortium with Infrastructure Development Finance Company for drafting &
finalizing the concession agreement. Mandate also included meetings with Planning Commission (for incorporating specific
deviations from the Model Concession Agreement), review of RFP, Schedules etc.
IJM Corporation, Berhad under Section 9 of the Arbitration and Conciliation Act, 1996 before Delhi High Court seeking
encashment of Bank Guarantees amounting to US$ 23.7 million (` 158 Crore) in a Contract in respect to 'Two/Four Laning of
Talcher-Dubari-Chandikhole Section of NH-200 from Km301.89 to Km.427.885 including km.8.5 to km. 14.886 of NH-23 in the
State of Orissa under NHDP-III on EPC Mode' worth US$ 28.7 million (` 858 Crore).
Airports & Ports Chennai Port Trust for bid process management and vetting of bid documents for the Project, "Development of Rajiv Gandhi Dry Port and Multimodal Logistic Hub of Chennai Port at Mappedu, Sriperumbudur, Tamil Nadu"
Cochin Port in consortium with I-Deck for selection of a private entity through competitive bidding process for
development of General Cargo terminal at Q8 & Q9 Berths of Cochin Port.
Flughafen Munchen GmbH, Germany a limited liability company operating the Munich Airport, Germany, for their
participation in the bid for Restructuring and Modernization of Mumbai and Delhi Airports.
Gujarat Maritime Board (GMB), advised GMB in successful execution of Integrated Ro-Pax Vessel and Terminal Operator
at Gogha – Dahej in Gulf of Cambay, Gujarat, India (Project). This includes EPC Contract executed between GMB and Essar
Projects (India) Limited, for providing Ro-Ro Ferry Terminal for GMB and Concession Agreement executed between GMB
and Indigo Seaway Private Limited (Project SPV created by the Consortium led by M/s Saurashtra Enviro Projects Private
Limited) for the Project.
GMR Hyderabad International Airport, a joint venture company promoted by the GMR Group, in partnership with
Government of India , Government of Andhra Pradesh and Malaysia Airports Holdings Berhad , for legal advice and drafting
of Request for Proposal and License Agreement for Retail Facilities at new Greenfield Hyderabad International Airport. Also
advised on issues relating to Government policies on foreign investment in retail trading pursuant to a Concession
Agreement between GMR Hyderabad International Airport Ltd. and the Ministry of Civil Aviation, Government of India for
Public Private Participation for development of the new airport and for setting up of retail facilities at the airport.
Mormugao Port Trust, Goa, one of the oldest ports on the west coast of India, for transaction advisory services for
development of an 8 MMTPA iron ore Terminal at the west of Breakwater at Mormugao Port Goa, which is a leading major
port of India. The Project was on DBFOT bid process management-both for the selection of the developer and appointment
of independent Engineer for management of the Project.
Mumbai International Airport Ltd. (MIAL) in legal proceedings before the High court of Karnataka against Kingfisher
Airlines and consortium of Banks (led by State Bank of India). MIAL challenged the order passed by Debt Recovery Tribunal
restraining the client to take any further steps against process of disposal of assets of Kingfisher Airlines stored in MIAL’s
premises and mortgaged with banks.
RailwaysIJM Corporation Berhad in an Arbitration petition under Section 11(4) (6) and (8) of the Arbitration and Conciliation Act,
1996 for appointment of the nominee Arbitrator in a dispute of US$ 27.75million (` 185 Crore) against Delhi Metro Rail
Corporation. Also, representing the client in an arbitration matter against Municipal Council of Delhi for disputes arising out
of the construction of Civic Centre Building including claims and counterclaims of US$ 150.7million (` 1,000 Crore).
Indian Railway Manufacturing Facilities Project, Ministry of Railways, which has the largest rail network in Asia in consortium
with PwC for conceptualization of the project including review of various acts, drafting of RFQ, RFP and project specific
documents such as procurement agreement, lease agreement, bid process management, evaluation of various models of
development including private public models, and bid evaluation including selection of the private bidder.
Metro Link Express for Gandhinagar and Ahmedabad (MEGA) Company Ltd for advise and drafting of FIDIC based EPC
contracts and tender documents for implementation of the first phase of 111 km Metro Rail project in Ahmedabad.
Ministry of Railways for drafting of model framework agreements/ concession agreements to be executed between Ministry of
Railways and the private developer for operation of- private passenger trains, standalone passenger corridors, existing freight
etc. and providing an appropriate framework for sharing responsibility, risks and revenue between Ministry of Railways and the
private developer in the areas pertaining to concession, operation, maintenance, termination, dispute resolution, etc.
Punj Lloyd, advised and assisted the client in the following matters:
- Writ petitions filed before the Hon'ble High Court of Karnataka at Bengaluru, on behalf of joint venture with – Sembawang-
Sembawang (India)-Joint Venture against the Bangalore Metro Rail Corporation Limited pertaining to the dispute in
respect of Construction of elevated Metro Stations in respect of Reach-1, Reach-2 and Recah-3 in Phase -I of the Metro
Project and successfully obtained interim orders of stay against the invocation of Bank Guarantees to the tune of US$ 4.8
million ( ̀ 32 crore) (approx.)
- Dispute with claims amounting to US$ 37.95 million (` 253 crore) (approx.) /- filed before the Arbitral Tribunal on behalf of
their Joint Venture with – Sembawang-Sembawang (India) against the Bangalore Metro Rail Corporation Limited pertaining
to the dispute in respect of construction of Elevated Metro Stations i.e., Mysore Road Terminal, Deepanjali Nagar and
Magadi Road, Rajajinagar, Kuvempu Road and Malleshwaram in Bangalore Metro rail Project, Phase -1. Counter Claim
raised by the Bangalore Metro Rail Corporation Limited for an amount of US$ 18 million (` 120 crore) (approx.),pending
adjudication before the Arbitral Tribunal.
- Legal Opinion on Phulera-Degana Section of Jodhpur Division of North-Western Railway Zone, Awarded by North-Western
Railways (NWR).
- Dolphin Offshore Enterprise vs. Punj Lloyd - Petition under Section 11 before Bombay High Court to defend our client in the
matter.
- Doosan Infracore vs. Punj Lloyd - Petition under Section 11 before Delhi High Court to defend our client in the matter.
The Dedicated Freight Corridor Corporation of India, a SPV set up under the Ministry of Railways for the purpose of setting up
freight corridors with private participation. Advised on bid documentation, concession agreement and Guarantees/Securities
etc. for PPP projects.

Telecom Brightpoint India Pvt. Ltd., a global leader in the distribution of wireless devices, in all matters relating to the company's operations in India, including agreement with Reliance Infocom for supply of CDMA phones, warehousing agreements, lease agreements, registration and approvals from various Governmental Authorities such as Sales Tax, Factories Act, Shops and Establishments Act, for operating service centre's throughout India.
Marconi Communications UK, a world leading telecommunications manufacturer, for general corporate and regulatory advisory matters, real estate issues, currency control regulations & local enactments applicable for their equipment testing and assembling facility in India.
Powerwave Corporation, a global leader in end-to-end wireless coverage and capacity solutions for wireless communications networks, for setting up local business for supply of telecommunication network components to telecom service providers and their turn key vendors.
RailTel Corporation of India Ltd. (RCIL), a Government of India enterprise focusing on providing broadband and VPN services, for review and drafting of various documents (including transfer of assets from the Indian Railways to the said corporation). We provided legal opinion to the client in following cases:
- Opinion on substitution of consortium partners by the Lead Bidder (Zee Media) after issuance of Letter of Award.
- In RCIL vs Archon Egnicon- RCIL was provided the legal opinion on trust & retention account.
Tourism & Urban InfrastructureAfcons Infrastructure Limited Legal Opinion sought by Afcons in relation to the biggest ongoing project of HRD Jacket
procurements and fabrication in maritime arbitration.
C&C Constructions Limited (C&C) was allotted the work of the construction of the Parliament and Indian Chancery Building at
Kabul, Afghanistan by Union of India through Central Public Works Department (CPWD). C&C along with B. Seenaiah & Co. formed
a JV for the purpose of carrying out the allotted work of construction of Parliament and Indian Chancery Building at Kabul,
Afghanistan and the work has been successfully completed by JV so formed in the said matter. However, a dispute arose between
the JV and CPWD which has been refereed to Arbitral Tribunal and is presently pending adjudication. C&C has made claims
amounting to US$ 64.13 million. C&C has appointed the firm to represent them before the Hon'ble Arbitral Tribunal for the
various disputes arising between the parties in the said matter.
- We are also representing C&C in another matter currently pending adjudication before the tribunal, in regard to extension of
time and Bulk Electro-mechanical services in the Afghanistan Parliament by the Union of India through CPWD. C&C has made
claims amounting to US$ 10.56 million, which are presently pending adjudication before the Hon'ble Arbitral Tribunal.
Directorate of Tourism - Andaman & Nicobar Islands in consortium with IDFC to advise the Tourism Department for development of 4 eco-friendly tourism projects through Private Public Partnerships. The projects involved- project conceptualization, selection of a private sector developer/investor till the signing of the necessary agreements.
Feedback Ventures, assisted in negotiations and drafting/execution of shareholders agreement and share subscription agreement for acquisition of 40% shareholding of the Company by Brisa, an indirect wholly owned subsidiary of Brisa – Auto- Estrada's de Portugal, S.A., the leading concession owner, and operator of road transport infrastructure in Portugal.
- Legal Counsel on the Joint Venture between the client and a Nepalese company to undertake the business of providing consultancy and other services for the Infrastructure sector in Nepal through a Joint Venture Company to be set up in Nepal.
Madhya Pradesh Housing Board (MPHB), Government of Madhya Pradesh for developing 74 acres in Gwalior for redevelopment under the Re-densification Scheme of the Housing and Environment Department in consortium with IDFC. The project included commercial complex/business centre comprising of office space, commercial space, multiplex/entertainment area, hotel and commensurate residential areas, with emphasis on providing public facilities and overall commercial development of the area in partnership with a suitably identified investor through bid-processing.
MBL Infrastructures Ltd. (MBLI),Advised the Insolvency Professional appointed by NCLT, Kolkata for the corporate insolvency resolution process of MBL Infrastructures Ltd. (MBLI) on the issue whether purchase of 100% equity shares by Special Purpose Vehicles of MBLI by a sponsor will increase the exposure of the financial creditors of MBLI and reduce their security interest.
Naya Raipur Development Authority in consortium with the transaction advisor IDFC for development of a Knowledge Park at Raipur on Private Public Partnerships (PPP) model. The project involved – project conceptualization, bid process management for selection of a private sector developer/investor till the signing of the Concession Agreement with the successful bidder.
Progressive Constructions Ltd., assisted in the matter, Hill Tarai Constructions vs Progressive Constructions Ltd- and received an order in favour of our client, Progressive Constructions Ltd. The Hon'ble Additional District Judge was pleased to reject all 11 suits for recovery of money amounting to approximately 6.18 crores in total filed by the Plaintiff.
Government AdvisoryBhubaneshwar Development Authority for drafting of the regulations for regulating - (I) installation of mobile towers, (ii) conditions of service of the employees, (iii) Disposal of Land and Properties, (iv) Neighbourhood shopping and , (v) Land pooling.
Department of Posts, Ministry of Communications and IT, Government of India for Setting up of India Post Payments Bank
(“IPPB”). The legal consultancy services includes facilitating statutory and legal compliances for IPPB, designing regulatory &

Khadi and Village Industries Commission (KVIC) in consortia with PwC for revitalizing the Khadi and Village Industries through
policy level reforms and institutional reforms for inter alia, establishment of the Khadi Mark, promoting and marketing of Khadi
and revitalizing Khadi Institutions. These reforms entail a review of the existing legislation governing the Khadi and Village
Industries Commission (KVIC) and the drafting of the new regulations to enable the KVIC to achieve the reforms. This project is
funded to the tune of US$ 150 million (`1000 crore) by the Asian Development Bank.
