1. NOTICEOFREQUESTFORBID(RFB):DO17/18-003NETWORKCORESWITCHES

EQUIPMENTUPGRADE

InglewoodUnifiedSchoolDistrict(“District”)isseekingbidsfrominterestedandqualifiedvendorsfortheprocurement,warehousing,deliveryandinventorycontrolofnetworkingequipment.ThefinalproposalpricemustincludeanyandallapplicablechargestotheDistrictincluding,butnotlimitedto,labor,shipping,deliveryandtax.ThedistrictseeksproposalsfromProposer’sthatcansupplyBrocadeICX7450seriesswitchesorequivalent,tosupportamajor10GbpsBackboneupgradeand1Gbpswirelessnetworkinalldistrictlocations.AnyequipmentorservicesofferedbytheBidderthatitpurportstobeequivalenttotheequipmentorservicessoughthereinshouldbesubmittedwithadequatedocumentationtoestablishitsequivalency.

TheDistrict’sRequestforBids(RFB)providesfurtherdetailsregardingthespecificspecificationsandrequirementsforthisProjectandthebidprocess.ThisisaRequestforBid(RFB)pursuanttoCaliforniaPublicContractCode20118.1:InaccordancewiththeCaliforniaPublicContractCodesection20118.1,theDistrictmaycontractwithanyoneofthethreelowestresponsibleBidderswho,intheDistrict’ssolediscretion,bestmeetstheneedsoftheDistrictassetforthintheBidDocuments.Section20118.1provides:“ThegoverningboardofanyschooldistrictmaycontractwithanacceptablepartywhoisoneofthethreelowestresponsibleBiddersfortheprocurementormaintenance,orboth,ofelectronicdata-processingsystemsandsupportingsoftwareinanymannertheboarddeemsappropriate.”

ThisProjectisfundedinpartbytheSchoolsandLibrariesDivision(SLD)oftheFederalCommunicationsCommission(FCC)aspartof“E-Rate”UniversalServiceFund(USF).Therefore,allBiddersmustbeknowledgeableof,andcomplywith,allE-Raterequirementsincludingthoseapplicabletobidsandworkprovidedbyserviceprovidersincludinganyandallreportingrequirementsandcompliancewithallapplicablefederallaws.BiddersmustprovideapermanentSLDServiceProviderIdentificationNumber(SPIN)andFCCRegistrationNumberwithitsbid.Bysubmittingabid,theBidderagreesandunderstandsthattheBiddershallbesolelyresponsibleforensuringitsworkontheProjectcomplieswithallapplicablestateandfederalregulationsapplicabletotheE-Rateprogram.BiddersarerequiredtoabidebytherequirementsforServiceProvidersundertheE-rateprogramassetforthbytheE-rateprogramadministrators.Theserequirementsinclude,butarenotlimitedto;filingofallforms,extensionofappropriatediscountstotheparticipatingeligibleentities,carefulrecordkeepingforauditingpurposes,andthesubmissionofanyinformationparticipatingeligibleentitiesmustsubmitaspartoftheirfilingrequirements.TheDistrictshallnotbeheldresponsibleforensuringtheBidderreceivesE-RatefundingandwillnotissueanyadditionalpaymentiftheServiceProviderfailstoreceiveE-Ratefundingforanyreason.

b) PreparationofBidFormandBiddingProcedures.Eachbiddershallreviewandcomplywithallbiddinginstructionsandrequirementssetforthherein.AllblanksintheBidFormmustbeappropriatelyfilledin,andallproposedpricesmustbestatedclearlyandlegiblyinbothwordsandnumerals.Allbidsmustbesignedbythebidderinpermanentinkandsubmittedinsealed

envelopes,bearingontheoutside,thebidder’sname,address,telephonenumber,andthenameoftheProjectforwhichthebidissubmitted.TheDistrictreservestherighttorejectanybidifalloftheaboveinformationisnotfurnished.Itiseachbidder’ssoleresponsibilitytoensureitsbidistimelydeliveredandreceivedatthelocationdesignatedasspecifiedabove.Anybidreceivedatthedesignatedlocationafterthescheduledclosingtimeforreceiptofbidsshallbereturnedtothebidderunopened.

c) BidSecurity.Eachbidmustbeaccompaniedbyoneofthefollowingformsofbidder’ssecurity:(1)cash;(2)acashier’scheckmadepayabletotheDistrict;(3)acertifiedcheckmadepayabletotheDistrict;or(4)abidder’sbondexecutedbyaCaliforniaadmittedsuretyasdefinedinCodeofCivilProcedureSection995.120,madepayabletotheDistrict,intheformsetforthintheContractDocuments.Suchbidder’ssecuritymustbeinanamountnotlessthantenpercent(10%)ofthemaximumamountofsuchbidder’sbidasaguaranteethatthebidderwillenterintotheContract,ifthesameisawardedtosuchbidder,andwillprovidetherequiredPerformanceandPaymentBonds,insurancecertificatesandanyotherrequireddocuments.IntheeventthatabidderisawardedtheContractandsuchbidderfailstoenterintosaidContractorprovidethesuretybondorbondswithinfive(5)calendardaysafterawardoftheContracttobidder,saidsecuritywillbeforfeited.

d) Signature.Thebidform,allbonds,alldesignationsofsubcontractors,theContractor’sCertificate,theAgreement,andallGuaranteesmustbesignedinpermanentinkinthenameofthebidderandmustbearthesignatureinlonghandofthepersonorpersonsdulyauthorizedtosignthebid.

Ifbidderisacorporation,thelegalnameofthecorporationshallfirstbesetforth,togetherwithtwosignatures:onefromthePresidentandonefromtheSecretaryorAssistantSecretary.Alternatively,thesignatureofotherauthorizedofficersoragentsmaybeaffixed,ifacertifiedcopyoftheresolutionofthecorporateboardofdirectorsauthorizingthemtodosoisprovidedtotheDistrict.Suchdocumentsshallincludethetitleofsuchsignatoriesbelowthesignatureandshallbearthecorporateseal.

Ifbidderisapartnership,thetruenameofthefirmshallfirstbesetforth,togetherwiththenamesofallpersonscomprisingthepartnershiporco-partnership.ThebidmustbesignedbyallpartnerscomprisingthepartnershipunlessproofintheformofacertifiedcopyofastatementofpartnershipacknowledgingthesignertobeageneralpartnerispresentedtotheDistrict,inwhichcasethegeneralpartnermaysign.

Bidssubmittedasjointventuresmustsostateandbesignedbyeachjointventurer.

Bidssubmittedbyindividualsmustbesignedbythebidderunlessanuptodatepower-of-attorneyisonfileintheDistrictoffice,inwhichcase,saidpersonmaysignfortheindividual.

Theaboverulesalsoapplyinthecaseoftheuseofafictitiousfirmname.Inaddition,however,whereafictitiousnameisused,itmustbesoindicatedinthesignature.

e) Modifications.Changesinoradditionstothebidform,recapitulationsoftheworkbidupon,

alternativebids,oranyothermodificationofthebidformwhichisnotspecificallycalledforintheContractDocumentsmayresultintheDistrict’srejectionofthebidasnotbeingresponsivetotheNoticeInvitingBids.Nooralortelephonicmodificationofanybidsubmittedwillbeconsidered.

f) Erasures,InconsistentorIllegibleBids.Thebidsubmittedmustnotcontainanyerasures,interlineations,orothercorrectionsunlesseachsuchcorrectioncreatesnoinconsistencyandissuitablyauthenticatedbyaffixinginthemarginimmediatelyoppositethecorrectionthesignatureorsignaturesofthepersonorpersonssigningthebid.Intheeventofinconsistencybetweenwordsandfiguresinthebidprice,wordsshallcontrolfigures.IntheeventthattheDistrictdeterminesthatanybidisunintelligible,inconsistent,orambiguous,theDistrictmayrejectsuchbidasnotbeingresponsivetotheNoticeInvitingBids.

g) ExaminationofContractDocuments.Biddersshallthoroughlyexamineandbefamiliarwiththebiddocumentsassetforthherein(the“ContractDocuments”).ThefailureoromissionofanybiddertoreceiveorexamineanyContractDocumentortobecomeacquaintedwithconditionsthereexistingshallnotrelieveanybidderfromobligationswithrespecttothebidortothecontract.Thesubmissionofabidshallbetakenasprimafacieevidenceofcompliancewiththissection.Biddersshallnot,atanytimeaftersubmissionofthebid,dispute,complain,orassertthattherewereanymisunderstandingswithregardtothenatureoramountofworktobedone.

h) WithdrawalofBids.Anybidmaybewithdrawn,eitherpersonallyorbywrittenrequest,atanytimepriortothescheduledclosingtimeforreceiptofbids.Thebidsecurityforbidswithdrawnpriortothescheduledclosingtimeforreceiptofbids,inaccordancewiththisparagraph,shallbereturnedupondemandtherefor.

Nobiddermaywithdrawanybidforaperiodofninety(90)calendardaysafterthedatesetfortheopeningofbids.

i) InterpretationofPlansandDocuments/Pre-BidClarification.Ifanyprospectivebidderisin

doubtastothetruemeaningofanypartoftheContractDocuments,orfindsdiscrepanciesin,oromissions,awrittenrequestforaninterpretationorcorrectionthereofmaybesubmittedtotheDistrictpursuanttotheBidQuestionprocesssetforthherein.NopersonisauthorizedtomakeanyoralinterpretationofanyprovisionintheContractDocuments,norshallanyoralinterpretationbebindingontheDistrict.IfdiscrepanciesintheContractDocumentsarenotcoveredbyaddenda,biddershallincludeintheirbidmethodsofconstructionandmaterialsforthehigherqualityandcompleteassembly.

j) BiddersInterestedinMoreThanOneBid.Noperson,firm,orcorporationshallbeallowedto

make,orfile,orbeinterestedinmorethanoneprimebidforthesameworkunlessalternatebidsarespecificallycalledfor.Aperson,firm,orcorporationthathassubmittedabidtoabidder,orthathasquotedpricesofmaterialstoabidder,isnottherebydisqualifiedfromsubmittingabidorquotingpricestootherbiddersormakingaprimebid.

k) AwardofContract.TheContractwillbeawardedtotheoneofthethreelowestbiddersasset

forthhereinandauthorizedbyPublicContractCodesection20118.1pursuanttothetermsandconditionsoftheContractDocuments.TheDistrictreservestherighttorejectanyorallbids,ortowaiveanyirregularitiesorinformalitiesinanybidsorinthebidding.Intheeventanawardismadetobidder,andsuchbidderfailsorrefusestoexecutetheContractandprovidetherequireddocumentswithinfive(5)calendardaysafterawardoftheContracttobidder,theDistrictmayawardtheContracttonextlowestresponsibleandresponsivebidderorreleaseallbidders.EachbidmustconformandberesponsivetotheContractDocuments.

l) PreferenceforMaterialsandSubstitutions.

OneProductSpecified.UnlesstheContractDocumentsstatethatnoSubstitutionispermitted,whenevertheContractDocumentsindicateanyspecificarticle,device,equipment,product,material,fixture,patentedprocess,form,method,construction,oranyspecificname,make,tradename,orcatalognumber,withorwithoutthewords,“orequal,”suchspecificationshallbereadasifthelanguage“orequal”isincorporated.

m) DisqualificationofBiddersandBids.Morethanonebidforthesameworkfromanyindividual,firm,partnership,corporation,orassociationunderthesameordifferentnameswillnotbeaccepted;andreasonablegroundsforbelievingthatanybidderisinterestedinmorethanonebidfortheworkwillbecauseforrejectingallbidsinwhichsuchbidderisinterestedandthebidderwillforfeittheirbidsecuritytotheDistrict.

n) UnbalancedorAlteredBids.Bidsinwhichthepricesareobviouslyunbalanced,andthosewhichareincompleteorshowanyalterationofform,orcontainanyadditionsorconditionaloralternatebidsthatarenotcalledfororotherwisepermitted,mayberejected.Abidonwhichthesignatureofthebidderhasbeenomittedmayberejected.If,intheDistrict’ssolediscretion,itdeterminesanypricing,costsorotherinformationsubmittedbyabiddermayresultinanunbalancedbid,theDistrictmaydeemsuchbidnon-responsive.AbidmaybedeterminedbytheDistricttobeunbalancedifthebidisbasedonpricessignificantlylessthancostforsomeworkandpriceswhicharesignificantlyoverstatedinrelationtocostforotherwork,andifthereisareasonabledoubtthatthebidwillresultinthelowestoverallcosttotheDistricteventhoughitmaybethelowevaluatedbid,orifitissounbalancedastobetantamounttoallowinganadvancedpayment.

o) Non-CollusionDeclaration.PublicContractCodeSection7106requiresbidderstosubmitdeclarationofnon-collusionwiththeirbids.Thisformisincludedwiththebiddocumentsandmustbesignedanddatedbythebidderunderpenaltyofperjury.

p) NoTelephoneorFacsimileAvailability.NotelephoneorfacsimilemachinewillbeavailabletobiddersontheDistrictpremisesatanytime.

4. SCOPEOFWORKInglewoodUnifiedSchoolDistrict(IUSD)(District)isrequestingbidsfortheprocurement,warehousing,deliveryandinventorycontrolofnetworkingequipment.Thefinalproposalpricemustincludeanyand

7.4 AllpostingsandresponseproceduresmustsatisfySLDE-Ratesubmissionrequirements,CaliforniastaterequirementsandCityrequirements

7.9 TheDistrict’sBoardofEducationreservestherighttorejectanyandallbidsinwhole,orinpart,orwaiveanyirregularitiesorinformalities,andacceptanybidorportionofthebidthat,intheiropinion,bestservestheinterestsoftheDistrict,evenintheeventE-RATEfundingisapproved.

7.10 AtthediscretionoftheDistrict,equipmentorserviceswillnotbeaccepteduntilafterreceiptoftheFundingCommitmentdecisionletterfromtheUniversalServiceAdministrativeCompany(USAC),SchoolsandLibrariesDivision(SLD)

7.11 AllcontractsenteredasaresultofthisbidproposalandtheassociatedForm470willbecontingentuponfundingapprovalbytheSLDandapprovedamountequaltothefundingamountasrequestedontheForm471,atthediscretionoftheDistrict,andtheBiddermaintainingavalidServiceProviderIdentificationNumber(SPIN)consistentwiththetypeofservicerequestedandacertifiedForm486filledbyIUSDandawrittenNoticetoProceedtothewinningBiddertoinitiateservice.Ifthisdoesnotoccur,allcontractsmaybeterminatedatthesolediscretionoftheDistrictandatnocosttotheDistrict

7.12 Protestsshallbeconsideredwhenwritten,containingtheproposalnumber,andmustbe

submittedwithinfive(5)daysofnoticetoawardletterssenttoallrespondents(award/noaward).Theprotestshallspecifythereasonsandfactsuponwhichtheprotestisbased.

7.13 Resolution.Oncethebidprotestisreceived,theBidderwhoisthesubjectoftheprotest(the“SelectedBidder”)willbenotifiedoftheprotestandtheevidencepresented.Ifappropriate,theSelectedBidderwillbegivenanopportunitytorebuttheevidenceandpresentevidencethattheSelectedBiddershouldbeallowedtoperformtheWork.TheDistrictwillissueawrittendecisionwithinfifteen(15)daysofreceiptoftheprotest,unlessfactorsbeyondtheDistrict'sreasonablecontrolpreventsuchresolution.TheDecisionontheBidProtestwillbecopiedtoallpartiesinvolvedintheprotest.
