§ 1 Name and Head Office of the Association (1) (1) (1) (1) (1) The Association goes under the name „Förderverein INTER- KULTUR e.V.“. It is an association for the promotion of general international music and choral art and has its head office in 35415 Pohlheim. (2) (2) (2) (2) (2) The association was founded on March 14th, 1990 and was registered into the association register of the District Court of Gießen with number 1806 on April 25th, 1990. § 2 Purpose and Duties (1) (1) (1) (1) (1) The association works selflessly; it does not pursue in the first place own economical purposes. Means of the association may only be used for statutory purposes. Members receive no allocations of funds from means of the association. No person may be favoured through expenses alien to the purpose of the corporation or through disproportionately high considerations. (2) (2) (2) (2) (2) Purpose of the association is to promote art and culture. (3) (3) (3) (3) (3) The purpose of the statues and articles is especially achieved through: a) the promotion of cultural exchange on the national and inter- national level, especially between cultural groups from western and eastern European countries, and the arrangement of partnerships, b) the idealistic and material aid for the cultivation of song assets and choral singing, c) the organisation of international music festivals and choral competitions to raise the quality of choral art, d) the awarding of scholarships to talented young artist, especially in the field of vocal music, e) the idealistic and material aid for the promotion and maintenance of vocational and further training facilities in the field of amateur music, f) the assistance of activities aiming to bring young people closer to choral art. (4) (4) (4) (4) (4) Development funds are raised by membership dues, donations and proceeds from held events. (7) (7) (7) (7) (7) The general assembly can appoint honorary members who are non- contributory. (8) (8) (8) (8) (8) All association members inclusive of the members of the managing committee are liable with their membership fee only. (9) (9) (9) (9) (9) The association is not liable towards its members if these come to any harm while carrying out their voluntary activities. § 5 Authorities Bodies of the association are: a) the general assembly b) the managing committee. § 6 The General Meeting (1) (1) (1) (1) (1) The chairman of the association invites all members to the general assembly at least once a year with a fourteen-days grace. The agenda is made known with the invitation. (2) (2) (2) (2) (2) The agenda is to comprise at least: a) the annual report of the managing committee, b) the exoneration of the managing committee c) incentive measures in the new business year, d) various things. (3) (3) (3) (3) (3) Extraordinary general assemblies are also called by the chairman if the thinks them to be necessary in the interest of the association. (4) (4) (4) (4) (4) The managing committee or at least 25 % of the association members can demand the calling of an extraordinary general assembly amid a written specification of the reasons. (5) (5) (5) (5) (5) The general assembly constitutes a quorum if it was called according to the rules. As a matter of principle resolutions are passed by a simple majority. For amendments of the statues and articles a 2/3 -majority of the attending members eligible is necessary. (6) (6) (6) (6) (6) Motions for the general assembly must be proposed in writing to the chairman one week before the meeting at the latest . Excepted from this emergency motions whose occurrence took place after the expiry of the period of acceptance for motions. § 3 Business Year The business year of the association is the calendar year. § 4 Membership, Membership Fees, and Liability (1) (1) (1) (1) (1) The association has full members, honorary members and supporting members. Full members have a voting right as well as franchise and eligibility. Honorary members and supporting members have no voting right, but the right of participation in general assemblies only. Each natural and legal entity can become member of the development association. Persons having not reached the age of majority need a written consent of their parents (legal guardians). (2) (2) (2) (2) (2) The managing committee decides on the admission by a simple majority. The application has to be filed in writing. (3) (3) (3) (3) (3) Memberships comes to an end: a) by withdrawal that has to be announced 3 months before the end of the business year, b) with the death of the member, c) through expulsion from the association for an important reason. (4) (4) (4) (4) (4) The expulsion from the association can take place: a) if a member acts intentionally against the purposes and concerns of the association, b) if a member behaves dishonourably and impairs the estimation of the association, c) if a member is in breach of the statues and articles and the decisions of the association, d) if a member falls into arrears with membership fee for at least six months. The managing committee decides on the expulsion from the association by a simple majority. (5) (5) (5) (5) (5) Persons who have left or have been expelled from the association lose anyrights towards the development association. (6) (6) (6) (6) (6) For the fulfilment of its tasks the association charges membership fees whose amount is assessed by the general meeting.

(7)(7)(7)(7)(7)The general assembly is chaired by the chairman. In case of hisprevention by the secretary.(8)(8)(8)(8)(8)The secretary has to take down the minutes of each generalmeeting which have signed by him/her and the chairman of themeeting.

§ 7 The Managing Committee

(1)(1)(1)(1)(1)The managing committee that must be elected for the threeyears a time consist of:a) the chairman,b) the secretary,c) the cashier,d) two members, utmost four.(2)(2)(2)(2)(2)Re-election of the managing committee is permitted. The generalcommittee carries on official business till a valid election. Themanaging committee settles the current associations matters;it is also especially incumbent on the administration of the assetsof the association.(3)(3)(3)(3)(3)The chairman calls the managing committee as often as requiredby business situation or if at least 3 members of the managingcommittee put in an application for this.(4)(4)(4)(4)(4)Meetings are chaired by chairman.(5)(5)(5)(5)(5)The managing committee constitutes a quorum if more thanhalf of its members are presents. Resolutions are passed by asimple majority; in case of parity of votes the vote of the chairmanis decisive.(6)(6)(6)(6)(6)The secretary has the duty to take down the minutes of allmeetings which have to be signed by him/her and the chairman.(7)(7)(7)(7)(7)All receipts and expenses have to be effected by the cashier.Proper bookkeeping is absolutely necessary.(8)(8)(8)(8)(8)Honorary members to the managing committee may beappointed by the general assembly who, however, have no rightto vote.

§ 8 Representation the Association

The chairman and the secretary are the legal representativesofthe association as defined by § 26 Federal Code of Law.

§ 9 Cash Auditors

(1)(1)(1)(1)(1)At the regular general meeting to cash auditors have to beappointed who before the next annual meeting check themanagement of the funds , the correctness and completenessof the receipts , and the appropriateexpenditure of the means.(2)(2)(2)(2)(2)The cash auditors give a report to the assembly and proposeexoneration of the managing committee in case of propermanagement of the funds.

§ 10 Dissolution Regulations

(1)(1)(1)(1)(1)On the dissolution of the association can only be decided in ageneral meeting on the agenda of which the passing of aresolution about the dissolution of the association is announcedto the members.(2)(2)(2)(2)(2)For the decision to dissolve the association a majority of three-quarters of the votes of the members present is required. Incase of the dissolution of the association or if the fax-deductiblepurposes are dropped the fortune of the association goes to thetown of Pohlheim that has to use it directly and exclusively forpublic welfare, charitable or ecclesiastical purposes.

§ 11 Passing of the Statues and Articles

These statues and articles passed by the general assemblybecome effective with registration into the association registerof the District Court Gießen withnumber 1806.
