REAL ESTATE& INVESTMENT

1. OBLIGATIONS OF THE EXHIBITORa) The exhibitor undertakes to respect all the rules and regulations adopted by S.I.I.I., as well as its sponsors, and agrees that S.I.I.I. decide, as a last resort, to adopt or not any rule or regulation deemed necessary before, during or after the exhibition.b) The exhibitor agrees to respect all contracts and collective agreements in force and the contracts concluded between S.I.I.I. and the official contractors who serve the establishment of the exhibition and the companies operating in the building where the exhibition takes place, and the labor laws applicable to the place where the building is located must be observed. The exhibitor undertakes not to do anything directly or indirectly in his shop window that may violate the laws, regulations, ordinances or prescriptions of any governmental or regulatory body.c) The exhibitor undertakes to obtain, at its own expense, the required licenses or permits, including but not limited to government agencies, trade or industry associations or other third parties, for the purpose of exploitation of its trade during the exhibition, and to pay all the taxes that may be claimed for the operation of his business, in the allocated premises.d) The Exhibitor undertakes not to hold any promotional contest, directly or indirectly in connection with the Exhibition, in which one (or more) prizes of $ 50 are offered, unless (i) convince SIII that the contest is conducted in accordance with the law, and (ii) to offer a credit letter or other satisfactory guarantee to whom the value of the prize (s) is (are).e) The exhibitor undertakes to comply with any anti-smoking regulations that exist in the establishment and to ensure that managers, contractors, employees and the persons for whom they are legally responsible comply with these rulesDISpLAya) The exhibitor undertakes to occupy the premises of the exhibition covered by the contract for the duration of the exhibition and to display only the products described in this contractb) S.I.I.I. reserves the right, in its sole and unrestricted discretion, to (i) determine the eligibility of exhibitors and expositions, (ii) reject or prohibit as contestable, and (iii) relocate exhibitors or exhibits. when, in the opinion of SIII, these displacements are necessary to maintain the character and good order of the exhibition.

ASSIGNMENT AND SUBLETTINGThe exhibitor shall not assign his right under this contract or sub-let the premises without the prior written permission of S.I.I.I., Such permission cannot be arbitrarily refused.

INSURANCEThe exhibitor undertakes to obtain and maintain at his own expense, during the period beginning at the first hour of entry into the premises and ending at the last hour of departure from the 4 premises, an acceptable insurance policy for SIII The insurance policy designates SIII such as the insured and guaranteeing the exhibitor against any claim whatsoever arising from the presence or operation of the exhibitor at the exhibition.The policy provides a guarantee of at least one million dollars ($ 1,000,000) for each claim. At the request of S.I.I.I., the exhibitor must deliver a copy of this policy to S.I.I.I ..

EXHIBITOR’S pROpERTyThe exhibitor is solely responsible for all the goods that are in the exhibition and S.I.I.I. assumes no liability for loss or damage.

BUILDINGThe exhibitor is liable for any damage caused to the establishment or to any property of S.I.I.I., its agents or any other exhibitor. The exhibitor may not apply paint, lacquer, tapes or other coatings to the establishment or property of S.I.I.I. its agents or any other exhibitor.

COMpENSATIONa) The exhibitor accepts all the risks associated with the use of exhibition space and surroundings. The exhibitor may not make a request or a formal notice or institute any legal action against SIII, the sponsors of the exhibition or the establishment where the exhibition is held. loss, damage or injury, regardless of the cause, suffered by the exhibitor, its officers, employees, agents or their propertyb) The exhibitor undertakes to take up the cause of the exhibition and the establishment, and their respective directors, agents and employees, for SIII, in any action and for the costs and charges, whatever they may, as a result of their occupation of exhibition spaces and their surroundings, for bodily injury, death, property damage and any other damage suffered by the exhibitor or by its officers, agents, employees or persons which they are legally responsible or SIII or a visitor to the exhibition

CANCELLATION AND RESILIATION This contract can be canceled only with written notice to S.I.I.I. and approved by the latter. All deposits received prior to the date of cancellation notice are non-refundable. If the notice of cancellation is submitted within 180 days or less before the first day of the show, the exhibitor agrees to pay the full cost of renting its space under this contract. In the event that the exhibitor fails to make the payments as stipulated below, or to respect, in all respects, the conditions of the contract, S.I.I.I. reserves the right to cancel this contract without notice, and all rights of the exhibitor hereunder become null and void. Any payment made by the exhibitor under these terms will be retained by the managers of the show as damages, in case of breach of the contract, and the managers of the show may subsequently rent the space. question. The fact that the exhibitor does not show up at the exhibition does not exempt him from paying the full cost of renting the space.

REMOvAL OF DISpLAySThe exhibitor undertakes not to undo his displays and not to move the merchandise during the entire duration of the exhibition and to leave the places intact until the closing time of the last day of the exhibition. CANCELLATION OR REDUCTION OF THE DURATION OF THE EXHIBITIONIn the event that the establishment or exhibition that is to be held, or in which it takes place, is destroyed or is no longer accessible for use, for reasons beyond the control of S.I.I.I. and sponsors, and for whatever reason, S.I.I.I. can not allow the exhibitor to occupy the establishment or the premises or if the exhibition is canceled or abbreviated, S.I.I.I. and the Sponsors shall not be liable for lost profits, lost profits, damages or any other costs that may be incurred by the Exhibitor. The reasons listed include, but are not limited to, accidents, explosions, fires, lightning, floods, weather, epidemics, earthquakes and other acts of God, acts of insurrection , riots or civil unrest, strikes, lockouts or boycotts.

NO FOUNDING CHECk In the event that the exhibitor’s check is returned by the bank due to a lack of provision, an administration fee of $ 25 will be charged to the exhibitor
