Board of Directors Meeting April 5, 2009

Marriott West Palm Beach, West Palm Beach, Florida

The regularly scheduled Board of Directors meeting of the Florida Water Environmental Association met at the Marriott West Palm hotel, West Palm Beach, Florida. Officers in attendance were Howard Wegis, Pam Holcomb, John Giachino, Nabil Muhaisen, Tom Lothrop, Tom Helgeson, Mike Cliburn, Patti DiPiero, Scott Kelly, Liz Perez, Leslie Samuel, WEF Board of Trustees and Committee Chair Brian Houston.

I. Call to Order: President Wegis called the meeting to order at 10:15-AM. II. Roll Call: Nabil Muhaisen called the roll. A quorum was present.

III. Minutes: Minutes from January 16, 2009 Board meeting were reviewed. John

Giachino made a motion to accept the minutes as presented. Brian Shields seconded and motion carried.

IV. Financial Report:

Nabil Muhaisen reported the Profit and Loss Statement showing low cash balance currently at hand of $ 238,312.29 FWRC anticipated proceeds are about $15000 plus. Summary ending March 31, 2009, shows total combined funds of $273,627.43 and Expenses at $350,500.6. Total Cash and Investments are at $257,179.28. Treasure Nabil Muhaisen presented the 2009-2010 Draft Budgets to be approved during the Annual FWEA Meeting on April 7, 2009. The Board discussed the proposed budget in fine detail. John Giachino stated that financial activities for all Chapters and Committees should be self-sustained. The Board agreed that financial activities undertaken by all FWEA Chapters and Committees should try to make a 15% to 20% profit to offset recent losses resulting from overall activities of the Association. Brian Houston will communicate the Board’s expectations to Chapters and Committees and the Directors at Large will reinforce the Board’s message as well. Tom Helgeson stated that all FWEA contracts, including those associated with the Association Chapters and Committee should only be signed by an officer of the FWEA Board. Nabil Muhaisen explained assumptions used to generate the draft budget 2009-2010. Board members collectively participated in revising the draft budget and Tom Helgeson forwarded the revisions to Nabil Muhaisen who will reflect these revisions on the final budget to be presented in the Annual Meeting on April 7, 2009.

V. WEF Directors Report: Mike Cliburn reported on his participation in the

WEFMAX Meeting held in Alabama during March of 2009. He stressed the need for FWEA officers to participate in such meetings as often as possible.

Cliburn also explained that “Membership Renewal Forms” recently mailed by WEF were mistakenly sent for individual memberships, while the forms were actually intended for renewals of “Utilities Membership” only.

VI. Executive Managers Report: None

VII. Directors at Large Report:

A. Patricia DiPiero reported: • A new FWEA Student Chapter is being established for the Florida Gulf Coast

University (FGCU). The procedures undertaken with WEF to establish this Chapter are in accordance with the Constitution & Bylaws.

• DiPiero needed input on filling vacant chair positions for a number of Chapters/Committees.

B. Scott Kelly reported: • Kelly spoke on the passing of Director Don Maurer (March 20, 2009) during

their trip to open a recently constructed water supply distribution plant on behalf of Water for People (WFP), in the Country of Guatemala.

• Kelly stated that Don Maurer was very active in the on going fund raising

events intended to help in construction projects undertaken by the WFP organization.

• Kelly requested that FWEA’s financial assistance in the proposed construction

of a water supply distribution plant, to be constructed in Guatemala, in memory of Director Don Maurer. Kelly indicated that his request from FWEA is limited to raising $5000 for the project and informed the Board that the First Coast Chapter has committed to raising another $5000 for the same purpose. A motion was made by John Giachino to commit FWEA for contributing $5000 for a "Water for People" project in memory of Don Maurer. Tom Lothrop seconded the motion and motion passed unanimously.

• A "University of Florida Scholarship for Don Mauer will be started by his

widow, as Kelly reported. • Plans to combine both the International and Water for People Committees into

single Committees into an “Intergovernmental Committee” are currently being worked on.

C. Liz Perez Report:

• The fourth “Florida Watershed Journal” issue will be published in late May or early June and it has a “Modeling” Theme. Plans for the 5th Issue, themed “Water Reuse” are also going strong and that issue will be published in July 2009.

VIII. Utility Council Report: None this month IX. Operations Council Report/ Bill Heller: Heller is no longer able to represent the Operations Council and replacement for his

position is being sought. X. Strategic Plan/Membership Action Team:

• Announced Plans to reformulate the “Membership Action Team” • Announced a Policy & Procedures Meeting to be held at 1:30-PM, at the Palm

Beach Convention Center, following the Annual FWEA Meeting on April 7, 2009.

XI. Action Items: President Wegis reassessed Action items;

• DAL’s to continue to work on naming Chair Persons for Committees in need of

leadership • Work on sun setting “ Inactive Committees” to be done in the near future • Pam Holcomb to work on naming new members to lead the MARC • Nabil Muhaisen is to finalize the proposed Budget based on input received during

this meeting. • Strategic Planning Committee is to advise Chapters/Committees on the Boards

policy of holding activities that are self sustaining or produce a net profit. XII. Old Business: None XIII. New Business: None

• John Giachino made a motion to set goal of raising $5000 to start a Scholarship in Don Mauer’s name. Motion seconded by Tom Lothrop and passed unanimously.

• Scott Kelly, made and Amended by Scott Kelly to Dissolve the ad-hoc

Finance Committee and replace it with the Finance Committee to audit the Association’s financial transactions. Committee chaired by Tom Lothrop and has Kart Vaith and Tom Helgeson as other members. Motion seconded by Patricia DiPiero, and unanimously passed.

• Motion to adjourn by Nabil Muhaisen and seconded by Brian Shields, and

President Wegis adjourned the meeting at 12:57-PM.
