1.0 BACKGROUND

The Kaizer Meadow Environmental Management Centre through the Solid Waste Department of the Municipality of the District of Chester (MODC) is seeking to identify interested and qualified Bidders for the transfer of sludge from the septage lagoons and leachate ponds at the Kaizer Meadow Landfill Waste Water Treatment Plant, in Lunenburg County, NS into dewatering bags.

2.0 REQUIREMENTS

The following is an overview of minimum requirements only. Bidders are required to submit a full methodology of their proposed construction plan.

2.1 Scope of Work

Ensure existing pad for dewatering bags on north-western side of primary septage lagoon is adequate. Existing pad is complete with non-permeable liner sloped back into primary septage lagoon.

Supply and place dewatering bags (Geotubes, 30 m X 20 m used previously, approx. 8 Geotubes) on non-permeable liner.

Dredging, excavation, pumping of all septage sludge materials for Septage lagoon 1, Septage lagoon 2, and the Equalization Pond.

o Septage Lagoon 1 – approx. 48m x 48 m and 3.7 m depth (2765 m3 sludge)

o Septage Lagoon 2 – approx. 38 m x 76 m and 2.1 m depth (3466 m3 sludge)

o Equalization Pond – approx. 38 m x 33 m and 4 m depth (1505 m3 sludge)

Estimated at 7700 m3 of sludge (~300-350 BDMT).

Supply of all the chemicals and equipment necessary to condition the septage for optimum dewatering of septage in the dewatering tubes.

Transfer sludge from the lagoons into the dewatering bags (size as appropriate). Assumed approx. 1.2 m sludge (4 ft) within the lagoon(s) and pond.

Enough sampling and testing to ensure the dewatering results are being achieved and quantities are accurate.

Price by BDT (bone dry metric tonne) removed, includes all tools required during this process.

Price each lagoon/pond separately. Pricing will determine if all work can be completed this fiscal year.

Environmental Protection measures.

2.2 Project Considerations

The primary septage lagoon consists of a plastic geomembrane liner topped with a clay liner for added freeboard. The desludging method must not cause damage to the existing liner. If any damage does occur, the successful Bidder shall be

responsible to repair the liner. Proposals must include a detailed description of how the liner will be protected during desludging operations. The second septage lagoon has a clay liner and the equalization pond is fully lined with geomembrane.

The successful contractor must complete the work in a manner acceptable to Nova Scotia Environment (NSE), which is the regulatory agency for the Kaizer Meadow Landfill Facility.

Desludging operations and dewatering bags must not restrict regular operations, access for trucks emptying into the primary septage lagoon must be maintained.

This project does not include removal of vegetation on the surface of the primary septage lagoon. Contractor responsible to prep the site as they require but need approval to do work from MODC.

The dewatering bags were put in place in 2011 and filled. In 2014 the dewatering bags were filled for a second time.

Whether we complete dredging of one, two or three ponds you will only need to price mobilization for first pond. Should we go ahead with additional ponds it’ll be at the same time.

2.3 Safety Certification Submit a copy of Bidder’s current and valid Certificate of Registration issued by

a Worker’s Compensation Board approved audit company. Submit a copy of Bidder’s current valid clearance letter, issued by the Worker’s

Compensation Board of Nova Scotia

2.4 Insurance

o Commercial general liability insurance, two (2) million per occurrence, for all operations and activities of the contractor; including the Municipality as an additional insured;

o Automobile liability insurance with a minimum coverage of at least two (2) million per occurrence, covering all owned, leased and operated vehicles.

o Insurance on their equipment, tools and supplies. The Municipality will not be responsible for any loss or damage to the contractor’s equipment, tools or supplies.

o This insurance shall include the Municipality of the District of Chester as an additional insured and contain both cross-liability and severability of interest clauses. Excess or umbrella insurance may be used to achieve the required insured limits. Any deductible or self-insured retention in such insurance shall be at the sole cost of the Contractor.

o The evidence of coverage supplied MUST specify there is no exclusion contained within the policy applicable to the materials being handled, transported and/or treated in performance of this contract.

o In addition to the previously stated requirements for automobile insurance, for pollution exposures the automobile insurance must not contain any exclusion related

o to the materials and products being transported and contain no exclusion for attached machinery.

o Before the commencement date of work, the Contractor shall provide to the owner current certificates of insurance or, at the request of the Municipality, a certified copy of the policies, as well as renewal certificates or policies thereafter for the duration of the Agreement, evidencing the required insurance and recording that the Municipality

o of the District of Chester shall receive 30 days written notice prior to cancellation, and prior to a material change of coverage detrimental to the Municipality.

o The Contractor shall indemnify and hold harmless the Municipality of the District of Chester, its officers, members of municipal council, employees and volunteers, from and against any liabilities, claims, expenses, demands, loss, cost, damages, actions, suits or other proceedings made, sustained, brought, prosecuted or threatened to be brought or prosecuted that are based upon, occasioned by or attributed to any bodily injury to or death of a person or damage to or loss of property caused by any negligent act or omission on the part of the indemnifying party, its officers, employees, students, agents or volunteers arising out of this agreement.

2.5 Bid Security Provide Bid security in amount of 10% of the Total Amount Payable with Proposal

in the form of a Certified Cheque or Money Order payable to the Owner, or a Bid

Bond on CCDC Form 220

The Bidder shall, prior to commencement of the Work, provide the Owner a Performance Bond and a Labour and Material payment Bond, each in the amount of 50% of the project price. Include the cost of providing security in project price. Should it become apparent the final cost of the project will exceed the project price by more than 10%, the Bidder shall arrange to have the security reissued, based on the projected final cost.

3.0 TERMS AND CONDITIONS

** Note: General Terms and Conditions are found in Appendix A.

4.0 FORM OF AGREEMENT

The successful bidder shall be required to sign the Form of Agreement contained in Appendix B upon Notice to Proceed.

5.0 NON-MANDATORY SITE MEETING A non-mandatory site meeting will be held on Wednesday, September 18, 2019 at 10:00 a.m. at the project site, 450 Kaizer Meadow Road, Highway 14. Proponents are encouraged to attend this site meeting to gain full understanding of existing site conditions and requirements.

6.0 QUALIFICATIONS AND QUOTATIONS

Due to the specialized nature of the work, it is essential that a Bidder of demonstrated capability be chosen. Therefore, the Municipality requires the submission of qualifications

and references in conjunction with bid submissions. Bidders must demonstrate an experience base and proficiency specific to this type of project.

To determine the acceptability of a Bidder, the Municipality requires the following information be provided in the submissions:

Methodology/Equipment/Schedule (30 points) 1. Description of dewatering method and proposed equipment (20 points)

a. Include a list of limitations or assumptions, any items expected to be supplied by MODC.

b. Provide the sampling protocol to determine level of dewatering and quantities and include dewatering bag information and specifications.

2. Project schedule (10 points) Vendor Qualifications/Experience (20 points)

1. Corporate Profile – Include Company Name, Contact Person, Address, Email/Website, Contact Phone Number

2. Project Team – Include key personnel proposed for the job, with qualifications and experience and include a list of sub-bidders and the work they will complete under this contract

3. Related Projects 4. Submit three (3) References from clients requesting similar work within the

last 5 years

Contract Price (50 points) 1. Separate the costs per pond in Appendix B

- Include a unit rate for desludging/transfer of sludge into dewatering bags. If the final quantity differs from the estimated volume of 7700 m3, (~300-350 BDMT) the unit rate will be used for payment

7.0 EVALUATION PROCESS

Bids will be evaluated by Municipal Staff and recommendation provided to Municipal Council. A decision on the successful bid will be based on:

Methodology/Equipment/Schedule – 30 points Vendor Qualifications/Experience – 20 points Contract Price – 50 points

Additional conditions for the evaluation process are presented in the General Terms and Conditions provided in Appendix A of this RFP.

8.0 SUBMISSIONS

All bids shall be provided on company letterhead. Any bids represent an irrevocable offer and shall be valid for a period of 60 days following the closing date for submissions. All bids must be received before 3:00 p.m. local time October 2, 2019. This project is expected to be awarded by October 10, 2019. Upon receipt of the Notice to Proceed, the following milestones shall be observed:

APPENDIX A – RFP General Terms and Conditions

The following is the general terms and conditions for the RFP except as modified by addenda issued by the Municipality of Chester prior to the RFP closing date.

1. NOTICES By submitting a response to the RFP, the Bidder represents and warrants that

such bid is genuine and not false and collusive or made in the interest or in behalf of any person therein named, and that the Bidder has not, directly or indirectly, induced or solicited any other bidder to put in a false bid, or any other person, firm or corporations to refrain from bidding, and that the Bidder has not in any manner sought by collusion to secure to the Bidder and advantage over any other bidder.

If at any time it shall be found that the person, firm or corporation to whom a contract has been awarded has in presenting any bid or bids, colluded with any other party or parties, then the contract so awarded shall be liable to the Municipality for all loss or damage which the Municipality may suffer thereby; and the Municipality may advertise for a new contract and for said labour, supplies, materials, equipment or service. Unauthorized conditions, limitations or provisions attached to an RFP may cause its rejection.

The Bidder, by submitting a bid, shall represent and warrant that he/she has sufficiently informed themselves in all matters affecting the performance of the work or the furnishing of the labour, supplies, materials, equipment, or service called for in the quotation documents; that he/she has checked their bid for errors and omissions; that the amounts stated in his or her bid are correct.

The Bidder shall confirm in their submission that the Bidder agrees to abide by the terms and conditions outlined in the RFP. Submissions which do not have this confirmation will not be considered.

2. CLARIFICATION AND ADDENDA All questions concerning this RFP shall be directed to the following: Christa

Rafuse, P.Eng.; Director of Solid Waste (email: [email protected]). Any attempt by the Proponent or any of its employees, agents, contractors, or representatives to contact members of Municipal Council or Municipal staff not identified in this clause may lead to disqualifications.

Notify Engineer not less than 4 working days before RFP closing of omissions, errors or ambiguities found in RFP terms of reference. If Engineer considers that correction, explanation or interpretation is necessary; a written addendum will be posted on the Municipality’s procurement website- www.chester.ca no later than 48 hours before RFP closing. The Municipality will not maintain a plan takers list; prospective bidders shall be responsible to review the website for any addenda that has been issued.

All addenda will form part of the RFP terms of reference. Any changes to this RFP shall be stated in writing by Addenda. Verbal statements

made by Municipal staff or their representatives shall not be binding. Confirm in Proposal that all addenda have been received.

3. PRIVILEGE The Municipality reserves the right to suspend or cancel any RFP at any time for

any reason without penalty.

The Municipality reserves the right to reject any and all bids or accept aby bid or

part thereof and may award all or a portion of the work to one or more bidders. The Municipality reserves the right to accept other than the lowest fee offered. The Municipality reserves the right to award a contract based on the initial offers

received, without discussions or requests for best or final offers. The Municipality reserves the right to waive any informalities, formalities,

technicalities or to reject any or all RFPs based in the Bidder’s lack of proven experience, performance on similar projects or the suitability of proceeding with the execution of work.

If several suppliers submit bids in substantially the same amount or score, the Municipality may, at its discretion, call upon those bidders to submit further bids.

The Municipality reserves the right to inspect any products supplied as a result of this quotation, either during or after manufacture and delivery, and shall be the sole judge as to whether product supplied meets specifications.

The Municipality reserves the right to reject any bidder if after an investigation of the evidence submitted by the Bidder fails to satisfy the Municipality that the Bidder is properly qualified to carry out the obligations of the contract and to complete the work contemplated therein.

No term or condition shall be implied, based upon any industry or trade practice or custom, any practice or policy of the Municipality or otherwise which are inconsistent with the provisions contained herein.

4. CONFIDENTIALITY

RFP documents (including all the attachments and appendices) y not be used for any purpose other than the submission of a proposal.

By submitting a proposal, the Bidder agrees to public disclosure of its contents subject to the provisions of the Municipal Government Act relating to Freedom of Information and Protection of Privacy. Anything in the submission that the Bidder considers to be “personal information” or “confidential information” of a proprietary nature should be marked confidential and will be subject to appropriate consideration of the Municipal Government Act as noted above.

The work described in any RFP is being conducted with public funds, and the fees and expenses proposed in the Bidder’s submission will be made public.

5. LAW

The law applicable to the RFP and any subsequent agreements shall be law in force in the Province of Nova Scotia.

In responding to the RFP, bidders warrant their compliance with all appropriate Municipal, Provincial and Federal regulations, laws and orders.

Respondents must agree to indemnify the Municipality and its employees if they fail to comply, and the Municipality reserves the right to cancel any agreement arising from the RFP if the proponent fails to comply with the above.

The successful bidder shall indemnify the Municipality, its officers and employees against and damage caused to the Municipality as a result of any negligence or unlawful acts of the successful bidder, its employees, agents or manufacturer of the products sold to the Municipality. Similarly, the successful bidder shall agree to indemnify the Municipality, its officers and employees against any claims or costs initiated by third parties as a result if any negligence or wrongful acts of the

successful bidder, its employees, agents or manufacturer of the products sold to the Municipality.

6. SUBMISSION AND EVALUATION

Preparation: All expenses incurred in the preparation and presentation of submissions of the response to the RFP is entirely the responsibility of the Bidder. This includes but is not limited to labour, materials and the cost of site visits if applicable.

Method of Submission: Hard copy proposals will be the only form accepted. Email, facsimile, or telephone proposals will not be considered.

Completeness: It is the bidder’s responsibility to ensure that their submission is complete and is delivered to the Municipality by the date and time indicated. Proposal submitted after the above noted time will be returned not open.

Changes to Submission: Changes in a submission will only be considered if submitted in writing in a sealed envelope, and providing such change is received from the Solid Waste Section prior to the established closing date and time. Email and fax amendments or withdrawals shall not be accepted. Changes to a submission will not be accepted after the established closing date and time.

Evaluation Process: The evaluation of submittals from eligible bidders will be a two-step process.

o Step #1 is a technical evaluation for the Methodology and Equipment (20 points) with schedule for the work to be completed (10 points). Vendor Qualifications and Experience criteria (20 points) as listed in the RFP document. The technical evaluation will be conducted by Municipal staff. This will count for 50 points out of 100.

o Step #2 is the evaluation of the proposed fee for the work and will count for the remaining 50 points out of 100. The proposal with the lowest cost will receive 50 points, and all other proposals will be ranked on a linear relationship such that a proposal at twice the cost would receive half the points

7. QUOTATIONS Prices must be in Canadian funds, and shall include all handling, freight, duty, and

any other charges, which are applicable at time quotation awarded. It is the responsibility of the Bidder to find out from the appropriate authorities what rates and charges are applicable to this quotation.

8. PAYMENT Reimbursement will be in a lump sum basis that may be invoiced on a percentage

basis throughout the project. The Bidder is to submit a completed “Progress Claim” form provided by the Municipality with the Bidder’s invoice attached. Payment requests submitted without this documentation will not be accepted.

9. DATA AND DOCUMENTS

All data materials, and information collected and work products created (i.e. Drawings, calculations, reports) either directly for, or in support of the work outlined in the RFP is the property of the Municipality. The Bidder shall not be permitted to publish or in any way use said information without the expression or final approval of the Municipality of Chester.

1. We agree to be bound by and comply with the provisions included in this Form and the attached Terms of Reference for the Kaizer Meadow Lagoon/Pond Desludging hereafter referred as the “Contract Documents”.

2. The Contractor shall perform the Work specified in the Contract Documents, for which the Agreement has been signed by the parties.

3. The Contract supersedes all prior negotiations, representations or agreements, either written or oral relating in any manner to the work.

4. Provide the estimated Contract Price per lagoon/pond for the transfer of chemically treated sludge into dewatering bags based on the volumes and scope of work provided in this RFP.

Septage Lagoon 1 - $_________________ Septage Lagoon 2 - $_________________ Equalization Pond - $_________________ (Canadian Funds) excluding HST. This constitutes maximum amounts payable to the Contractor for its performance of the Services, and the Contractor shall not be entitled to any additional compensation for its performance as described in this Agreement.

5. Without limited the generality of Section 4, the Contract Price may be modified if both parties agree in writing to amend the work outlined in the Contract Document including the Contractor performing additional services at the request of the Client.

6. The Contractor is an independent contractor and not the servant, employee, partner or agent of the Municipality.

7. Notices in writing between the parties shall be considered to have been received by the addressee on the date of delivery if delivered to the individual, or to a member of the firm, or to an officer of the corporation for whom they are intended by hand, or by registered post; or if sent by regular post, to have been delivered within five (5) working days of the date of the mailing when addressed as follows:

8. The aforesaid Contract Documents are to be read into and form a part of the Agreement and the whole shall constitute the Contract between the parties and subject to law and the provisions of the Contract Documents shall ensure to the benefit of and be binding upon the parties hereto, their respective heirs, legal representatives, successors and assigns.

9. No action or failure to act by the Client or Contractor shall constitute a waiver of any right or duty afforded any of them under the Contract, nor shall any such action or failure to act constitute an approval of or acquiescence in any breach thereunder, except as may be specifically agreed in writing.

10. Time shall be construed as being of the essence in this Contract.

2019-012 Lagoon Dredging and Dewatering

ADDENDUM 1

Following a site visit at the Kaizer Meadow Landfill, September 18, 2019 we put together a list of Q&A for all bidder’s information.

Are the previous geotextile filter bags still at the Site and on the previous dewatering pad? If so, is the successful bidder to be responsible for disposal?

The existing geotextile bags are being removed by staff on site. This is our responsibility.

Can water be decanted from the surface of the lagoons/pond, to other existing municipal infrastructure, before desludging commences?

We are at capacity and no place to decant on site.

Are we able to make a recommendation of the number and size of Geotubes that we feel is most appropriate for the work or are we obligated to use eight (8) 30m x 20m Geotubes? "Eight (8) 30m x 20m Geotubes" is referenced in two locations within the RFP (Section 2.1 Bullet 1, and Appendix B) but Section 2.1 bullet 5 indicates filter bags should be sized appropriately. Can you please clarify this?

We would prefer if you make a recommendation in your proposal. We have simply used the 8 geotubes (30m x 20m) for cost comparison purposes.

Is there a preferred sequence of sludge removal from the three lagoons/ponds? if so, which lagoon/pond is the top priority of the municipality?

Our first priority is septage lagoon 1, followed by septage lagoon number 2, and then the equalization pond.

What is the target to determine substantial completion of work? When all sludge is removed from individual lagoons/pond, or, until the volumes quoted in the RFP are removed from each lagoon/pond?

Until the ponds are empty and we are looking for bidder’s assistance in benchmarking the bottom of the ponds, which they need to include in methodology.

If there are any limitation or assumptions for this part of the work, please state.

The RFP indicates that the work must be completed by November 30th. Can you please elaborate on that? For example, can desludging work continue until November 30th with demobilization occurring afterwards, or, must the successful bidder be entirely off the Site by November 30th?

The goal is to complete the desludging work before the weather prevents so. Demobilization is not the concern should this be an issue we would work with the contractor.

Do you know what the % solids content of sludge in each lagoon/pond.

We do not know the % solids.

Can the work be completed in the Spring of 2020?

No, this work must be completed Fall 2019.

Regarding Appendix B, Section 4 - there is no line item for mobilization and demobilization - would you like to see the mobilization and demobilization costs combined with the dredging and dewatering work in the single line provided for Septage Lagoon 1?

Yes please include in line item, as mentioned you would only need to include mobilization for lagoon 1 (assuming we complete lagoon 2 and the pond) you would already be on site.

If you wish to show within the RFP the costs separated it would be helpful.

- Are there any aeration systems or other structures in the lagoons that could impede sludge removal?

The septage lagoons do not have aeration…the equalization pond does.

- Are you able to provide us with the dimensions of the existing laydown area?

I do not have exact dimensions but there are 8 geotubes laying very close together within the existing laydown area.

- When will the existing dewatering bags be removed from the laydown area? The RFP states that the successful bidder is to be responsible for ensuring that the existing pad for dewatering

bags are adequate. We won't be able to confirm integrity of the existing system until the existing dewatering bags are removed.

They are in the process of being removed now. We anticipate the area will be adequate but everyone has their own opinion. We have heavy equipment on site should any minor improvements be needed

- can filtrate from the dewatering bags/dewatering pad area be allowed to return to Septage Lagoon #1 during the proposed dewatering work?

Yes

- you mention that the lagoons/pond are at capacity now; can you perform a seasonal discharge within your permit conditions to lower the water levels in the lagoons/pond prior to desludging?

No

- to establish the most practical methodology and refine costs we would like to perform dewatering trials on samples of material collected from the lagoons/pond. Will you be able to have samples collected/sent to our lab in Ontario in advance of proposal submission?

No, we are not equipped to sample but any proponent can access the site to sample.

- Are there as-built drawings available for the lagoons/pond? This would help in establishing a benchmark for sludge removal/substantial completion of work.

They have not been provided.

- You indicate that the lagoons/pond are to be "empty". Are you intending that they are free of sludge and water at the completion of our work? If so, what's to be done with the water?

No, empty of sludge only.

- Were there any dewatering reports prepared during the 2011/2014 work? Any existing reports/records may contain useful information, like %solids during dewatering, previous polymers used, etc.

- Looking at aerial imagery it appears as though there are several lagoons/ponds on Site. Is the marked-up snip below correct wrt scope for this RFP?

It goes 1, 2 and 3 is the equalization pond

- Is the waste material screened before it goes into the Primary lagoon?

No

- Are we able to use water from the Site for polymer make down water?

Yes, depending on quality and quantity of water – we have sedimentation ponds nearby and fire truck we use.
