• Buyer default – Seller gets deposit and Buyer’s third party reports. That’s it.
• Cross default – default under one = all
Why Read the “Boilerplate”?
• Assignment – Only to SPE majority controlled/owned by Buyer. Buyer remains obligated. No flipping.
• Limited liability – principals excluded.
