A RESOLUTION relating to the subregional opportunity fund, clarifying the eligibility criteria for use

of the subregional opportunity fund; amending Section 9 of Resolution FCD2008-15.2; amending

Section 3 of Resolution FCZD2008-10.2; adding a new Section 9 to Resolution FCZD 2008-10.2;

amending Section 2.2 of Attachment A to Resolution FCD2009-02.1; and authorizing the District

WHEREAS, the King County Flood Control Zone District ("District") adopted

the 2013 work program, budget, operating budget for King County, capital budget, and

sub-regional opportunity fund allocations in FCD 2012-09.3, and

WHEREAS, Attachment F for the budget included the correct total amount of

$687,864, but the allocation between categories underfunded legal and accounting

services; and.

WHEREAS, pursuant to RCW 86.15.140, the District held a public hearing on the

budget items proposed in this resolution on _______;

A RESOLUTION amending the interlocal agreement between 1

WHEREAS, King County ("County") and the King County Flood Control Zone 4

District ("District") have entered into an “Interlocal Agreement Between King County 5

and the King County Flood Control Zone District Regarding Flood Protection Services”; 6

and 7

WHEREAS, the County and the District have amended the Interlocal Agreement 8

twice pursuant to Resolution FCD2009-04.1 and Resolution FCD2010-41.2; and 9

WHEREAS, the County and the District desire to amend the Agreement to extend 10

its term to December 31, 2013 and modify certain provisions; 11

NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF 12

SUPERVISORS OF THE KING COUNTY FLOOD CONTROL ZONE DISTRICT: 13

SECTION 1. The Board of Supervisors approves the Third Amendment to the 14

“Interlocal Agreement Between King County and the King County Flood Control Zone 15

District Regarding Flood Protection Services,” which is Attachment A to this resolution, 16

and authorizes the Chair of the Board of Supervisors to sign the amendment. 17

THIRD AMENDMENT TO INTERLOCAL AGREEMENT BETWEEN

KING COUNTY AND THE KING COUNTY FLOOD CONTROL ZONE DISTRICT REGARDING FLOOD PROTECTION SERVICES

THIS THIRD AMENDMENT to the “Interlocal Agreement Between King County and the King County Flood Control Zone District Regarding Flood Protection Services”, including all amendments thereto (“Agreement”), is entered into by KING COUNTY, a home rule charter County in the State of Washington (“County”) and KING COUNTY FLOOD CONTROL ZONE DISTRICT, a quasi-municipal corporation of the State of Washington (“District”), and shall be effective upon execution by both Parties. The Parties agree to amend the Agreement as follows: 1. Section 13.1 is amended as follows:

13.1 This Agreement shall take effect January 1, 2009 and shall remain in effect through December 31, 20102013. The District may extend this Agreement once for two (2) years by sending notice to the County of its intention to extend the Agreement on or before December 31, 2010.

2. A new Section 13.4 is added as follows:

13.4 If the Legislature adopts a bill that authorizes the County to assume (abolish) the District unilaterally, and the County desires to assume the District, the County shall give to the Chair of the District Board of Supervisors and to the District's contact person in Section 15.1 of this Agreement written notice of its intent to assume the District. The County may give the notice only after the effective date of the bill. The notice shall state an effective date of the proposed assumption, which shall be at least sixty (60) days after the date of the notice. Before approving the assumption by ordinance, the County Council shall hold a public hearing on the proposed assumption. The approval ordinance shall provide for all aspects of the assumption, including but not limited to vesting of District assets and property in the County.

3. Section 7 is amended as follows:

7. Public Outreach and Media Relations. To ensure clear and consistent communications with the public and outside agencies, all communications with the public and outside agencies regarding District and County flood protection services and programs shall identify such services and programs as “District” services and programs, and shall be handled in accordance with communications protocols developed by the District and the County.

4. Section 10.1 is amended as follows:

10.1. The County shall submit invoices for the cost of services and capital costs provided to the District to implement the annual work program. The invoices shall include all actual costs, plus administrative overhead costs, and

shall be in a form and shall contain information and data as required by the District Executive Director substantially in the form of Attachment B to this Agreement.

5. Section 10.2 is amended as follows:

10.2. The County will submit invoices within thirty (30) days after the closing of the billing month in which the services are provided. The District will review and pay the invoice within sixty (60) thirty (30) days of receipt in accordance with procedures established by District resolution, if any. However, the District may postpone payment of the invoice if it is inaccurate or incomplete, in the opinion of the District. The District shall notify the County of any inaccurateness or incompleteness within thirty (30) days of receipt of the invoice. The County shall provide the requested information within thirty (30) days of the request. The District shall pay an invoice within thirty (30) days of the submittal of all requested information, and invoices that are not paid within that time are subject to statutorily-authorized interest charges.

interests of the District to extend the Contract through December 31, 2013;

KING COIJNTY FI-]OOD CONIROL Z)NE DISTRICT

This 2013 AMENDMENT amends Sections l, 2 arrd 3 of the Contract for Consultant

Services ("Contract") between the King County Flood Control Zone District, King County,

Washington, a municipal corporation of the State of Washington ("District") and Lund Consulting,

Inc. ("Consultant") as follows:

A. Amendment of Section I . Effective January l, 2013 , Section I of the Contract,

as amended by the 2012 Amendment, is further amended as follows:

1. Scope of Services to be Performed by Consultant. The Consultant

shall perform the services described in Exhibit "4" to the ?slZ2013 Amendment.

In performing the services, the Consultant shall comply with all federal, state, and

local laws and regulations applicable to the services. The Consultant shall perform

the services diligently and completely and in accordance with professional

standards of conduct and performance'

B. Amendment of Section 2. Effective January 1,2013, Section 2 of the Contract, as

amended by the 2012 Amendment, is further amended as follows:

2. Compensation and Method of Payment. The Consultant shall

request payment for work performed using the billing invoice form at Exhibit*8."

The District shall pay Consultant according to the rates and in the total

amounts as stated in Exhibit "4" to the ?€I2 2013 Amendment; provided, that

the total amounts paid shall not exceed annual budget appropriations for the

services.

C. Amendment of Section 3. Section 3 of the Contract, as amended by the 2012

Amendment, is frrther amended as follows:

3. Duration of Agreement. This Agreement shall be in full force and

effect for a period commencing on May 5, 2008 and ending December 31,

2013æ+2, unless sooner terminated or extended under the provisions of thisAgreement. Time is of the essence of this Agreement in each and all of itsprovisions in which performance is required.

A RESOLUTION authorizing the chair to enter into an amendment

to the contract for legal services between the King County Flood

Control Zone District and Inslee, Best, Doezie & Ryder, P.S.

WHEREAS, the King County Flood Control Zone District ("District") entered

into an Agreement for Special Counsel Legal Services ("Agreement"); and

WHEREAS, the Board of Supervisors desires to establish the 2013 hourly rates

for the Agreement;

2013 AMENDMENT TO AGREEMENT FOR SPECIAL COUNSEL LEGAL SERVICES

THIS 2013 AMENDMENT amends Section II.A of the Agreement for Special Counsel Legal Services (“Agreement”) between the King County Flood Control Zone District, King County, Washington, a municipal corporation of the State of Washington (“District”) and Inslee, Best, Doezie & Ryder, P.S. (“Law Firm”) as follows: A. Amendment of Section II.A. Effective January 1, 2013, Section II.A of the Agreement, as amended by the 2012 Amendment, is further amended as follows:

II. Services and Fees.

A. The District shall pay the Law Firm, as sole compensation for the services performed under this Agreement, such sums of money as are arrived at by computing the actual number of hours expended in the performance of this Agreement and multiplying such total hours by the hourly rates in Exhibit A to the 20132012 Amendment. The total amounts paid for compensation shall not exceed annual budget appropriations for the services.

LEGAL SERVICES RATES (2013)

1. Junior Municipal Group Partners (Partners who have practiced for less than 23 years: currently Rosemary Larson, Dawn Reitan, Kathy Weber and Eric Frimodt) -- $250.00 per hour. 2. Senior Municipal Group Partners (Partners who have practiced for 23 or more years: currently Rod Kaseguma and John Milne) -- $270.00 per hour. 3. Associates and Law Clerks -- Regular Law Firm hourly rates established on January 1 of each year, or special municipal hourly rates if applicable (these rates shall be less than the rates for Municipal Group Partners). 4. Non-Municipal Group Partners and Contract Attorneys -- 10 percent less than regular Law Firm hourly rates established on January 1 of each year, or special municipal hourly rates if applicable, rounded to the next lowest $5.00 increment. 5. Paralegals -- $125.00 per hour. The hourly rates will be adjusted on January 1, 2014, pursuant to a new or amended Agreement between the District and the Law Firm, to take into account any increases or decreases in the consumer price index and the Law Firm’s cost of providing services. The District shall be responsible for third party costs (e.g., expert witness fees). Except for unusual cases, the Law Firm will not advance funds to pay third party costs, and invoices for those costs will be forwarded to the District for payment. The Law Firm will bill the District for out-of-pocket expenses incurred on the District’s behalf, including but not limited to court fees, deposition costs, photocopying, long distance telephone, special mailing or courier, telecopying, telex, travel expenses and computerized legal research.

the best interests of the District to extend the Contract through December 31, 2013;

2013 AMENDMENT TO CONTRACT FOR ACCOUNTING SERVICES

KING COUNTY FLOOD CONTROL ZONE DISTRICT

THIS AMENDMENT amends Sections 1, 2 and 3 of the Contract for Accounting Services between the King County Flood Control Zone District, King County, Washington, a municipal corporation of the State of Washington ("District") and Francis & Company, PLLC ("Accountant"), as follows:

A. Amendment of Section 1. Effective January 1, 2013, Section 1 of the Contract, as amended by the 2012 Amendment, is further amended as follows:

1. Scope of Services to be Performed by Accountant. The Accountant shall perform the services described in Exhibit "A" to the 20l21. Amendment. In performing the services, the Accountant shall comply with all federal, state and local laws and regulations applicable to the services. The Accountant shall perform the services diligently and completely and in accordance with professional standards of conduct and performance.

B. Amendment of Section 2. Effective January 1, 2013, Section 2 of the Contract, as amended by the 2012 Amendment, is further amended as follows:

2. Compensation and Method of Payment. The Accountant shall request payment for work performed using the billing invoice form at Exhibit "B." The District shall pay the Accountant according to the rates set forth in Exhibit "A" to the 2M2013 The total compensation shall not exceed annual budget appropriations for the services.

The Accountant shall complete and return to the District Exhibit "C," Tax Identification Number," prior to or along with the first billing invoice. The District shall pay the Accountant for services rendered within ten (10) days after voucher approval by the Executive Committee Chair.

C. Amendment of Section 3. Section 3 of the Contract, as amended by the 2012 Amendment, is further amended as follows:

3. Duration of Agreement This Agreement shall be in force and effect for a period commencing on March 16, 2009 and ending December 31, Qj unless sooner terminated or extended under the provisions of this

Agreement. Time is of the essence of this Agreement in each and all of its provisions in which performance is required.

Scope and Fees

A RESOLUTION relating to the subregional opportunity fund, re-

allocating unexpended opportunity funds of the City of

Snoqualmie; and authorizing a new opportunity fund project for

the City of Snoqualmie.

WHEREAS, the King County Flood Control Zone District ("District") established

a subregional opportunity fund program for King County and King County jurisdictions

through resolution FCZD2008-10.2; and

WHEREAS, the City of Snoqualmie and the District have executed an “Interlocal

Cooperation Agreement Between the King County Flood Control Zone District and the

City of Snoqualmie for Opportunity Fund Projects,” as authorized by Resolution FCD

2009-02.1 (“Interlocal Cooperation Agreement”); and

WHEREAS, after completing the opportunity fund projects authorized by the

Interlocal Cooperation Agreement, the City of Snoqualmie has an unexpended balance of

$71,416 from opportunity fund distributions in the years 2008 through 2012; and

WHEREAS, the City of Snoqualmie desires to use most of the unexpended

balance for a feasibility study and partial design of an engineered solution to a serious

erosion problem at Sandy Cove Park on the Snoqualmie River; and

WHEREAS, the City of Snoqualmie has requested the District to approve a re-

allocation of $65,350 of the unexpended balance for a new opportunity fund project,

called the Sandy Cove Park project, which is contained in the City of Snoqualmie's

approved Hazard Mitigation Plan and conforms to the subregional fund eligibility

criteria; now, therefore

BE IT RESOLVED BY THE BOARD OF SUPERVISORS OF THE KING

COUNTY FLOOD CONTROL ZONE DISTRICT:

SECTION 1. The Board of Supervisors approves the City of Snoqualmie

subregional opportunity fund the Sandy Cove Park project in the amount of $65,350. The

Sandy Cove Park project shall comply with requirements and procedures of the Interlocal

Cooperation Agreement.

SECTION 2. The Board of Supervisors authorizes the Executive Director to

prepare and attach to the Interlocal Cooperation Agreement an additional attachment that

includes the name, description and funding amount of the Sandy Cove Park Project.
