BACKGROUND/DISCUSSION:
• On 12/28/99, a Right-of-Way Use Permit (see attached) was issued to Mr. Jeff Gravely for roadway
construction within the Highlands Subdivision.
• In conjuction with the Right-of-way Use Permit, a Letter of Credit as Defect Security (see attached)
has also been filed with the Clerk of the Circuit Court in the amount of $7,500.00 for a period of 24
months, to cover costs of any defects from the date of the County's acceptance of the
improvements.
• Construction is now complete and a final inspection was made by County personnel on 6/16/00.
• All construction was in accordance with County Standards and is being recommended for
acceptance into the County maintained system.
RECOMMENDATIONS:
• Staff recommends favorable action.

SUBJECT: Panther Ridge (Highlands)
I want to inform you that on June 26, I rode in the highlands of Panther Ridge area. I have one
concern. The southern berm of retention is in dire need of sod due to erosion and the start of the
rainy season which is upon us. Every thing else looks great.

SUBJECT: Highlands at Panther Ridge
As-Built Submittal
Per your request, I have contacted Don Stillwell to see if he is satisfied with the completed
construction at the above referenced location. Attached, please find a copy of a memo from Keith
Sinkler stating that he has no concerns with the areas he is responsible for. However, he did note
that erosion along a retention area bei-m has occurred. It is my understanding that the contractor has
been informed that sodding is needed in this area. Based upon Keith's memo, I recommend
acceptance of the improvements. I will prepare a draft agenda package for maintenance acceptance
for your review and approval.
Should you need further assistance or additional information, please advise.

Funds under this Credit are available and will be paid promptly to the County
hereunder not exceeding in the aggregate the amount of this Credit/ against the
County's sight draft on us mentioning this Letter of Credit, accompanied by a
statement purporting to be signed by a County Engineer to the effect that the
Developer has failed to complete the Required improvements within the time
period specified, and that such funds are required to exercise the County's right
to complete the Required Improvements and to pay costs incidental thereto.
The amount of any draft drawn under this Letter of Credit shall be endorsed on
the reverse side hereof.
This letter of Credit is subject to the Uniform Commercial Code Article 5
governed by the laws of the State of Florida.

AGREEMENT AND LETTER OF CREDIT
AS DEFECT SECURITY WARRANTING REQUIRED IMPROVEMENTS
FOR COUNTY-MAINTAINED ROADS
WHEREAS, Panther Ridge Communities,
Ltd.___________ (Developer) has
constructed certain required Improvements as a condition of issuance ofRight-of-Way
Utilization Permit Number 238-99-19^^ The Highlands at Panther Ridge
; and
WHEREAS, in connection with the Project, the Developer has submitted "plans" for the
Required Improvements which are on file with and have been approved by Manatee County,
Florida (County); and
WHEREAS, Manatee County requires this Security, which represents an amount equal to ten
percent (10%) of the average calculated installation costs of the minimum County required road
and drainage construction (Required Improvements), as determined by the County, be executed
as a condition of a Right-of-Way Use Permit under the Right-of-Way Use Ordinance (Ordinance
89-11, as amended); and
WHEREAS, Manatee County requires an additional warranty to be established by the
developer's prime contractor (Contractor) and the development's Homeowners Association
(HOA) to Manatee County; and
NOW, THEREFORE, the Developer herewith tenders unto the County a Letter of Credit in
the amount of Seven Thousand five hundred

Florida, to be held by the Clerk of the Circuit Court of the County, in escrow, for the specific
benefit of the County in accordance with the conditions set forth herein.
1. CONDITIONS OF THE DEFECT SECURITY FOR THE BENEFIT OF THE
COUNTY:
a. This Security is posted for the purpose of correcting any construction, design or
material defects or failures of, or in, the Required Improvements which the
Developer constructs in accordance with Right-of-Way Utilization Permit
9'58 QQ 1 QR_ Number (Defects") which appear within twenty-four (24) months from
the date of substantial completion and written acceptance by the Director of
Transportation but not less than twenty (20) months from the date of the County's
acceptance of the work by vote of the Board of County Commissioners to accept
the roads into the County system. Defects shall not include routine maintenance
of the roads or drainage improvements.
b. After identifying any such Defects, the County, after providing at least twenty
(20) days written notice to the Developer, Contractor and HOA by certified mail,
return receipt requested, may exercise its right to liquidate the Security for the
purpose of correcting or causing the correction of the Defects and paying all costs
thereof as provided herein. Upon notice to the County within said twenty (20)
day period. Developer, Contractor and HOA shall have the right to correct or
cause the correction of the Defects within a reasonable time prior to the County
liquidating the aforementioned Security. The costs for which the Security may be
used shall include all costs of correcting the Defects, including without limitation
all engineering, legal and contingent costs, together with any and all claims, costs,
expenses and damages, either direct or consequential, which the County may
sustain on account of the Defects and correction thereof. Any portion of the
Security not used by the County or claimed by the County pursuant to this
section, may be released to the Developer not sooner than twenty-six (26) months
following the Board of County Commissioners' acceptance of the roads into the
County system.
Contractor and HOA, jointly and severally, warrant the required improvements to be free
of defects, and agree to indemnify and pay to the County the full cost of any defects
appearing within twenty-four (24) months of the date from the County's acceptance of
work without regard to the amount of the letter of credit. The County shall provide the
Contractor with the option to complete all defects prior to the HOA. The parties agree to
the use of the funds by the County as provided herein.
