2017 H2OMG FESTIVAL / ARIZONA COPPER CUP SPONSORSHIP TERMS OF AGREEMENT

This Agreement is entered into between H2OMG Fest LLC, an Idaho limited liability company, referred

to hereafter in this Agreement as "COMPANY,” and ___________________

of______________ referred to herein as "SPONSOR." COMPANY and SPONSOR

agree as set forth below:

1. The COMPANY is an Idaho limited liability company that is organizing an event called the H2OMG

Festival that features the Arizona Copper Cup 2017 hydroplane championship races. The event will be

held at Lake Pleasant, Arizona from February 23-26, 2017.

2. Subject to the terms of this Agreement, SPONSOR agrees to become a SPONSOR for the Arizona

Copper Cup 2017. SPONSOR's obligations are as described on Addendum A hereto. Addendum A is a

listing of all financial donations, service donations, or material donations that SPONSOR agrees to provide

for the Arizona Copper Cup 2017 under the terms of this Agreement in consideration of the sponsorship.

3. In consideration for SPONSOR's commitment to the terms described on Addendum A, SPONSOR

shall be afforded certain privileges, benefits, and rights as a SPONSOR, all of which are described on

Addendum A hereto.

4. The ability to expense the costs of any of said sponsorship on the part of SPONSOR is likewise a

determination to be made by SPONSOR's accountant. The COMPANY makes no representations with

respect to the deductibility or expensing of said sponsorship.

5. SPONSOR acknowledges that the COMPANY is relying upon SPONSOR and other similarly­

situated sponsors, to uphold and adhere to their sponsorship commitments. Accordingly, the parties agree

that the sponsorship contributions to be made by SPONSOR, as set forth on Addendum A hereto, shall

become non-cancellable and non-refundable ten (10) days from the date this Agreement is executed by

SPONSOR.

6. The rights of either party under this Agreement may not be transferred or exchanged to any third party or

person without the prior written consent of all parties hereto.

7. The terms of this Agreement may not be disclosed by either party to any third-party or person save and

except for each party's employees, accountants, or attorneys.

8. The parties desire to amicably resolve any disputes that may arise under the terms of this Agreement,

if any. To that end, the parties agree that any dispute hereunder shall be submitted to binding arbitration

in Maricopa County. Should the parties be unable to amicably resolve their differences, if any, under

this Agreement, then upon the request of either party, arbitration shall be commenced through a written

request from one party to the other. In the event the parties are unable to agree upon an arbitrator, either

party may petition the Maricopa County District Court for the appointment of an arbitrator, who will

have the full authority to arbitrate any dispute under the terms of the Arizona Revised Statutes § 12-

133. Any arbitration hereunder shall, by agreement of the parties, be conducted on an expedited

basis so as to conclude no later than sixty (60) days from the initiation of the arbitration process

through a request by either party.

9. For purposes of facilitating performance under the terms of this Agreement, the parties designate

their primary representatives and their representatives' contact information as follows:
