April 9, 2012 Mr. Roger Yamagata Maui Disposal 301 Papa Avenue Kahului, Hawaii Dear Mr. Yamagata, This will set forth the agreement by and between Maui Disposal Company, Inc., a Hawaii corporation with offices at 301 Papa Avenue, Kahului, Hawaii (“Maui Disposal”), and The Berry Company, LLC (“Berry”) on behalf of Hawaiian Telcom Yellow Pages (“HTYP”) for the duration of the 2012 Think Yellow, Go Green Recycling Program. Berry will be utilizing its public relations team at Red Rocket to facilitate this partnership and for all advertising and public relations efforts on behalf of Berry. NOW THEREFORE, the parties agree as follows: EFFECTIVE DATES: The Think Yellow, Go Green School Directory Recycling will be held during the period from April 25, 2012 through May 25, 2012. The Agreement between Maui Disposal and Berry shall take effect upon execution and will terminate when Maui Disposal submits the final collection log which details the weight of directories collected by each of the participating schools, and completes the collection and delivery of the telephone directories from Kahului to Young Brothers, LLC for shipment to the Oahu port, no later than June 25, 2012. The shipping charges from Kahului to Oahu and storage charges, if any, will be paid by Berry. DESCRIPTION OF WORK: Berry will be directing people to recycle their expired HTYP directories and other old directories at participating Maui County schools identified on a list to be compiled by SBC PR and provided to Maui Disposal. Maui Disposal will pick up one 40’ container (40 foot) from Young Brothers and provide labor and equipment to receive old telephone books from the public and participating schools at 301 Papa Avenue, Kahului, Hawaii. Should it be necessary, Maui Disposal shall obtain additional 40 foot shipping containers plus 4.166% gross excise tax per container, and invoice Berry separately for any additional containers. Maui Disposal shall accept directories from June 25, 2012 through May 25, 2012 as follows: on Tuesdays from 8:00 a.m. to 12:00 p.m., Thursdays from 8:00 a.m. to 12:00 p.m., and on Saturdays from 8:00 a.m. until 12:00 p.m. Maui Disposal agrees to maintain a collection log for each Maui County participating school and provide a receipt to each school at the time of delivery and collection at Maui Disposal’s collection site. The receipt shall include the name of the school, date of delivery, and the total weight of the books collected. Within seven days of the end of the contest (May 31, 2010), Maui

Disposal shall fax the collection log to Courtney Kessler, fax number 614-918-2637. Maui Disposal shall be responsible for ensuring that collected directories are delivered to Young Brothers for shipment to the Oahu port upon completion of the recycling period. COMPENSATION: After the completion of the Think Yellow, Go Green School Directory Recycling and after Maui Disposal completes the requirements set forth above, Maui Disposal shall send an invoice with its FEIN to Courtney Kessler (via email: courtneykessler49@gmail.com, or via fax: 614-918-2637), for payment in the amount of $7,812.45 (seven thousand eight hundred and twelve dollars and forty five cents). Payment will be made to Maui Disposal within 60 days of receipt of the invoice.
