EMPLOYMENT CONTRACT THIS AGREEMENT, made and entered into on the l4 day of 2012, by and between the TOWN OF EAST HAVEN (hereinafter called the "Town"), a municipal corporation organized and existing under the laws of the State of Connecticut, acting herein by Joseph Maturo, Jr. its mayor, and Brent B. Larrabee (hereinafter called the "Employee".) WITNESSETH WHEREAS, the Town desires to employ the services of said Employee in the position of lnterim Chief of Police until the Town can appoint a permanent Chief of Police, and WHEREAS, the Employee desires to accept said employment, and WHEREAS, it is the mutual desire of the parties to establish the Employee's terms and conditions of employment, NOW THEREFORE, IN CONSIDERATION OF THE MUTUAL CONVENANTS HEREIN CONTAINED, THE PARTIES AGREE AS FOLLOWS: SECTION 1. WITNESSETH

WHEREAS, the Town desires to employ the services of said Employee in the

of Police, and

WHEREAS, the Employee desires to accept said employment, and

WHEREAS, it is the mutual desire of the parties to establish the Employee's

SECTION 1. DUTIES

Town hereby agrees to employ said Employee as Interim Chief of Police

Chief of Police as set forth in the Town's Charter and to perform other related

work as required.

SECTION 3. COMPENSATION

The Town agrees to pay Employee the annual compensation in the amount of

ninety-eight thousand dollars ($98,000.00) payable in installments consistent withother Town management employees.

The Town agrees to increase Employee's annual compensation on July 1 of

each fiscal year in an amount no less than that received by other Town non-

union management employees.

SEGTTON 4. VACATION, SIGK AND PERSONAL LEAVE BENEFITS

A. Vacation: The Employee shall receive twenty (20) vacation days per fiscal

year which shall accrue at the rate of 1.67 days a month. Unused

vacation days may be carried over from year to year and any unusedvacation time will be paid to Employee upon the Employee's separation

from employment.

B. Sick Leave. Employee shall receive fifteen (15) sick days per fiscal year

which shall accrue 1.25 days a month. Unused sick leave may be carried

over from year to year.

C. Personal Leave. Each fiscal year, Employee shall be entitled to three (3)

personal days. Unused personal days cannot be carried over from year to

year. Unused personal days will not be paid to Employee upon separation

from employment.

D. Holiday, Bereavement, and other paid leaves. Employee shall be entitled

to the Same level of holiday, bereavement, and any other paid leave as

other non-union management employees of the Town.

E. Any leave time provided in lump sum shall be pro-rated from the signing of

this Agreement until the beginning of the fiscal year.

SECTION 5. HEALTH AND LIFE INSURANCE

Employee shall not be eligible to participate in the Town's health and dentalinsurance benefits provided to other non-union management employees.

Town agrees to provide Employee with term life insurance in the amount of

$100,000 at no cost to Employee.

Town agrees to provide Employee with Accidental Death and Dismemberment

lnsurance in the amount of one times his salary and long term disability insurance

at no cost to Employee.

SECTION 6 VEHICLE USE

The Town agrees to provide a suitable vehicle for the Employee's exclusive and

unrestrictive business and personal use at all times during the term of this

Agreement. Town agrees to insure the vehicle as well as provide maintenance and

repairs of said vehicle and all operating cost, including fuel.

SECTION 7. RETIREMENT BENEFITS

Employee waives any right to participate in any pension plan provided for Town

employees and/or members of the Police Department. ln consideration for the

Employee's wavier of this right, Town agrees to match Employee's contributions to

a 457 Deferred Compensation Plan up to $ per year.

SECTION 8. UNIFORM ALLOWANCE

Town agrees to provide Employee with a uniform allowance of one thousand

dollars $1000.00 to be used for the purchase and cleaning of uniforms.

SECTION 9. PROFESSIONAL LIABILITY

The Town shall provide professional liability insurance for Employee and shall

indemnify Employee with regard to financial loss and expense associated with any

claim, demand, suit or judgment arising out of his employment.

SECTION 10. PROFESSIONAL DEVELOPMENT

Town shall permit Employee to attend Chiefs conventions and other professional

development and/or police training seminars as part of his work duties and to

reimburse him for reasonable expenses incurred during his attendance, at the

discretion of the Mayor.

Town agrees to pay membership fees/dues for professional associations including

but not limited to the lnternationalAssociation of Chiefs of Police, the New England

Association of Chiefs of Police and the Connecticut Police Chiefs Association.

SECTION 11. PHONE

Town agrees to provide Employee with suitable phone and/or personal digital

assistant (PDA) at no cost to Employee.

SECTION 12. ENTIRE AGREEMENT

The provisions of this Agreement represent the entire agreement between theparties with respect to the employment of Employee, However, this Agreement

may be amended or modified by the parties at any time by mutual agreement,provided, the amendment is in writing.

SECTION 13. GOVERNING LAW

This Agreement shall be construed in accordance with the laws of the state of

Connecticut.
