Dear Sir or Madam:

Reference is made to the lease agreement dated [Date (ie. December 1, 2001)] (the "Lease") between [Name of Landlord] (the "Landlord") and [Name of Tenant] (the "Tenant") by which the

Landlord leased to the Tenant certain leased premises comprised of approximately [Size of 

Leased Premises in Square Feet] square feet of warehouse space located at [Address of Leased

Premises] (the "Leased Premises").

We understand that [Name of Manufacturer] (the "Manufacturer") is entering into an agreement(the "Warehousing Agreement") with the Tenant by which the Tenant is providing certain

warehousing and distribution services (the "Services") to the Manufacturer. We also understand

that as a condition of entering into the Warehousing Agreement, the Manufacturer has requestedthe Tenant to obtain from the Landlord a commitment by the Landlord to permit the

Manufacturer to continue to use the Leased Premises in providing the Services, for a temporary

 period of time, should the Tenant default under the terms of the Lease.

Accordingly, the Landlord hereby agrees that in the event that the Tenant defaults under the

Lease (i) the Landlord will give to the Manufacturer a copy of any notice of any such defaultgiven to the Tenant, and (ii) if the Landlord wishes to exercise any right or remedy which would

have the effect of depriving the Tenant of the ability to carry on performing the Services from the

Leased Premises, including but not limited to terminating the Lease or distraining against the property of the Tenant, then the Landlord shall give to the Manufacturer an option to continue

using the Leased Premises for a period not exceeding sixty (60) days after exercising such right,

for the purposes of permitting the Manufacturer to carry out the Services on its own behalf andwinding down its warehousing and distribution activities at the Leased Premises; provided

however, that the Manufacturer pays to the Landlord reasonable usage charges for the Leased

Premises (at the rates set out in the Lease) during the period of usage by the Manufacturer.

The Landlord acknowledges that the Manufacturer is relying upon this letter in engaging the

Tenant to carry out the Services.
