THIS AGREEMENT made and entered into this 13th day of November,
2012 by and between the Manatee County doing business as Manatee
County Civic Center Authority, acting by and through its Director,
hereinafter referred to as CENTER, and the Crosley Estate
Foundation, Inc. a Florida not for profit corporation - P 0 Box
6051, Bradenton, Fl 34281, hereinafter referred to as LICENSEE.
WITNESSETH
CENTER, for ten dollars and other good and valuable
consideration, including the terms and conditions contained in this
Agreement, grants to LICENSEE a non-assignable right for LICENSEE
to use and occupy that portion of CENTER's facilities described as
Crosley Estate (hereinafter the Space), for the sole purpose of
"fundraising events" (hereinafter the Event).
1) Date and Times- Agreement allows the LICENSEE to hold a
variety of arts and cultural events for fund raising purposes for
the Powel Crosley Foundation. The specific room(s) which include
the estate and the Carriage House and event dates are to be
mutually agreed upon by both parties.
2} Exclusive use- LICENSEE understands CENTER may conduct usual
business during the events which includes showing of the Crosley
Estate for potential users.
3} Charges- No charge for facility rent, CENTER owned equipment
or the full-time manager on duty will be accessed to the LICENSEE;
however charges for labor beyond the manager on duty will be
charged to the LICENSEE. Bartender fees may or may not be charged
at the discretion of CENTER management.
4} Payment Schedule- Any charges due will be invoiced and paid
following the event.
5} Quantities and Rates for Additional Facilities, Products and
Services - CENTER agrees to make available the following additional
facilities, products and services in the quantities and at the
rates specified below, subject to the provisions of the General
Conditions and provided payment is made to CENTER ten (10) days
prior to the event. Additional items ordered at the time of event
setup will be the rate listed in the rate resolution in effect at
that time.
Facilities, Products and Services
Bartender- $150- up to an eight hour period; Alcohol deposit for
open bar- $20 per person General Labor- $15.00 per hour (four hour
minimum)
6} Food and Beverage- Food and beverage service provided by or
through the CENTER will be provided by a separate agreement.
Kitchen rental is not available. Only the In-House Caterer and
caterers included in Center's Caterer Program (the Program) may
provide food and beverages at the Center. Licensees planning to use
catering services are asked to review the Program, fees and Caterer
list before entering into this agreement. Caterers pay fees to do
business with us. Center does not imply or guarantee the services
of the Caterer, but only maintains the Caterer Program to assure
compliance with Center's requirements and policies. Caterers who
fail to comply with the Program will be removed from the Caterer
List. All alcoholic beverages are to be purchased and provided by
CENTER and must be consumed on the premise. Bar service will end 30
minutes prior to the end of the event time. The failure to enter
into an agreement for any of these items shall not be cause for
either party to terminate the Agreem~ to be considered a breach of
default. Third party caterer will be exempt from catering
commission due CENTER. Initials
7} Insurance- CENTER shall provide LICENSEE with a certificate
evidencing insurance coverage at no charge.
8} Designees- The CENTER and LICENSEE agree that authority to
sign any Addenda or supplementary writings is provided by LICENSEE.
LICENSEE may delete or add designees by providing written notice to
CENTER.
9} Entire Agreement - The understanding of the parties consists
of this Agreement, the General Conditions provided in Attachment 1
and the Facility Use Regulations provided as Attachment 2 which are
made part of this agreement as if they were attached as exhibits
hereto and incorporated by reference as a part of this agreement.

10} Carriage House- The Powel Crosley Estate property includes
the mansion and the Carriage House. These two buildings share
parking on the estate property. Public and private events may take
place simultaneously at the two separate buildings.

Refunds; "U" regarding Alcoholic Beverages; "D" regarding Catering
and Ticket Sales and "K" regarding indemnity.
