Investment basically refers to the process of utilizing the current resources in a manner by which potential for value appreciation is attempted by an investor. Deriving income, preservation of capital, capital appreciation, liquidity, safeguarding assets financial flexibility, etc. are the factors that induce investment apart from the tax benefits that comes incidentally. Securities refer to financial representation of ownership in a stock or publicly traded Corporation reflecting the related property rights, which can be sold, purchased or exchanged under various financial transactions. Though investing and securitizing financial interests are not a new concept to our economy, it has gained new impetus with the advent of globalization. To achieve a clarity over the changing faces of the market, a number of laws governing

investment and securities transactions are enacted and different controlling authorities have been established.

The importance of imparting knowledge of these laws and regulatory framework to create trained professionals in this area is the need of the hour. Unfortunately, there have been no serious attempts made by Universities and other educational institutions to develop a course curriculum in the field of Investment and Securities Laws. The Maharashtra National Law University (MNLU), Mumbai, one of the premier institutions of excellence in legal education in India and the National Institute of Securities Markets (NISM), one of the premier institutions of professional development and training patronage by the Securities and Exchange Board of India (SEBI), have joined hands to take up the historic responsibility and the result is this unique LL.M. program in Investment and Securities Laws.

The first batch of our students will be completing the course soon and I am happy to say that the program got overwhelming response in the first year itself, despite the pandemic. The National Institute of Securities Markets (NISM) is a public trust established in 2006 by the Securities and Exchange Board of India (SEBI). From spreading awareness about the securities market among the common investors to skill development of market professionals, the institute carries out a wide range of capacity building activities at various levels. NISM’s six schools of excellence and the National Centre for Financial Education work in synergy towards professionalizing securities markets.

The LL.M. Program in Investment and Securities Laws creates new age securities market professionals and equips them with expertise to meet the enhanced expectations through its uniquely positioned academic programs.

The LL.M. program in Investments and Securities Laws is an advanced program of legal study that is customized to the needs of the individual student and working legal professionals. Having committed to providing the highest quality of education in the field of securities markets, NISM has entered into a collaboration with India’s premier Law University, Maharashtra National Law University (MNLU), Mumbai for offering this program in Investment and Securities Laws. This specialized LL.M. program, designed primarily for the law students intending to work in the financial markets, offers full-time, intensive academic training in the legal regulation of securities and investments in India.

In line with NISM’s mission for academic excellence, the course offers a depth of background in a broad array of topics arising out of corporate law and securities regulation including the regulation of issuance of securities, secondary trading of securities, market regulation, enforcement issues, corporate finance, investment by a person resident outside India, investment advisers, derivatives, regulation of banking and financial institutions, competition law and insolvency laws. This course offers an introduction to the three most important securities laws: the Securities Contract (Regula-tion) Act of 1956, the Securities and Exchange Board of India Act of 1992 and the Depositories Act of 1996. The LL.M. in Investment and Securities Laws also explores the scope of more than 36 regula-tions framed by SEBI and its impact on structured growth of securities markets in India. The course also focuses on learning the tools in the deals and documents related to the securities market trans-actions, which would be helping in understanding the nature of disputes that arise in a financial market.

The students undergo classes with a joint team of expert faculties from NISM and MNLU. The course engages some of the nation’s leading advocates in the field of corporate law and securities laws, as well as officers from regulators, whose work is oriented more towards practice and the profession as a visiting faculty. The course also offers practical smart lab training to the students to make them aware of the various processes and use of the technology in the securities markets.

Dedicated to enhancing an interdisciplinary legal and securities market education for the academic community, as well as for experienced legal and business practitioners related to financial markets, the LL.M. in Investment and Securities Laws provides a scope towards the sharpening of skills and learning the tools to be an effective business lawyer.

The E-Cell of the National Institute of Securities Markets is at the forefront of this business translation.

The NISM’s E-Cell is a student organization that aims to incubate the pioneering spirit of students who are destined to be the business leaders of tomorrow. The E-Cell focuses on helping students advance their entrepreneurial outlook by empowering students with valuable tools, such as providing them a platform to grow their business ideas while also broadening their perspectives through a variety of workshops, industry interactions, student activities that lead to a well-rounded entrepreneur with a risk appetite and awareness that is on par with business players across the globe.

Placement Process

The Placement Committee (TPC) ensures that all potential recruiters receive assistance while conducting the Recruitment Process. In performing the recruitment process, recruiters are asked to follow the steps below (which are neither necessary nor exhaustive):

1. Pre-Placement TalksRecruiters can perform Pre-Placement Talks before conducting Pre-Interview Screening to highlight the organization's profile, job description, career prospects, compensation packages, and other details.

2. Screening ProcessRecruiters have the option of conducting a Pre-Interview Screening Process at any time prior to the final interview. TPC will submit the Curriculum Vitae of all interested students to the recruiter, and the recruiters will be free to set their own screening policy.

3. InterviewRecruiters will perform final interviews with all shortlisted students following the Pre-Interview Screening Process. TPC must receive a list of selected students as well as a waitlist of students.

4. Declaration of ResultsThe outcomes of all phases of the recruitment process will be announced at the end of the process by the TPC.

The following criteria should be followed during the recruiting process to ensure that no recruiter or student is prejudiced:

1. Recruiters would be able to provide information to interested students only via a structured channel, namely TPC.2. Recruiters will be asked to inform TPC of all process outcomes, which will then be communicated to the students.3. Any offer made to the applicants will be made exclusively via the TPC.4. Recruiters are also asked to provide a waitlist as well as a list of applicants who have been selected. The waitlisted

candidates would become eligible for the final offers if there are competing offers in parallel recruitment processes.

Pre-Placement TalksRecruiters may use video conferencing to engage students in an interactive session, outlining the organization's key features, the work profile being provided, remuneration, terms and conditions of jobs, and other pertinent details as the recruiter sees fit. Recruiters may talk about the developing and niche areas of law that might interest the candidates. Recruiters are encouraged to notify the TPC of their desired dates for such talks at least a week in advance, either by e-mail or telephone contact.

Recruitment DayRecruiters are free to follow their own hiring procedures, which typically include group discussions, written assessments, and informal interviews. The TPC serves as an unbiased judge, ensuring that the procedures are carried out with the utmost honesty and transparency, which is the university's hallmark and that the recruiters are aided at any stage of their assessment process.

Recruiters may also conduct interviews over the phone or via video conference. Recruiters are asked to inform the TPC of their chosen dates in advance as well as the earliest possible final recruitment plan.

The students of NISM have been groomed to work in the Legal and Compliance departments of various Organizations engaged in corpo-rate restructuring, corporate transactions, matters of capital market and securities law as well as in the field of litigation before various Courts, Tribunals, Regulators and Authorities. The students have undergone an internship program for a period of one month in the summer of 2021.
