INSTRUCTION TO BIDDERS

3.0 GENERAL INSTRUCTIONS

The bidders are requested to familiarize themselves with the use of the e-Tendering portal of

Government of Maharashtra well in advance. To view E-Tender Notice, Detailed Time Schedule,

Tender Document for this Tender and subsequently purchase the Tender Document and its supporting

documents, kindly visit following e-Tendering website of Government of

Maharashtrahttps://mahatenders.gov.in

The bidders participating first time for e-Tenders on GoM e-tendering portal will have to complete the

Online Registration Process for the e-Tendering portal. A link for enrolment of new bidders has been

provided on https://mahatenders.gov.in

All bidders interested in participating in the online e-Tendering process are required to procure Digital

e-Token having 1 certificate inside it, one for Signing/Verification. The tender should be prepared &

submitted online using individual’s Digital e-Token. e-Tendering Bidder Manual Kit(detailed Help

documents, designed for bidders) has been provided on e-Tendering website in order to guide them

through different stages involved during e-Tendering such as online procedure for Tender Document

Purchase& Bid Submission.

Bidders will have to pay cost of Tender Document through online modes of payment such as Net

Banking during Tender document Download stage. This payment will not be accepted by the

department through any offline modes such as Cash, Cheque or Demand Draft. Bidders will have to

select Earnest Money Deposit through online modes of payment such as Net Banking during Bidding

Stage.

For a bidder, online bidding process consists of following 3 stages:

1. Online Tender Document Purchase and Download

2. Online Technical & Commercial Document Upload

3. Online Bid Submission

All of 3 stages are mandatory in order for bidders to successfully complete Online Bidding

Process. TENDER DOCUMENT PURCHASE AND DOWNLOAD

The tender document is uploaded / released on Government of Maharashtra, (GOM) e-tendering

website https://mahatenders.gov.in Tender document and supporting documents may be purchased and

downloaded from link of Maharashtra Maritime Board(sub portal) on e-Tendering website of

Government of Maharashtra, https://mahatenders.gov.in by making any applicable payment through

Online Payment mode i.e. Net Banking.

If for any reason a bidder fails to select payment through online modes, system won’t allow the bidder

proceed further for next stage resulting in his/her elimination from Online Bidding Process.

There will not be any payment acceptance by the department through any offline modes such as Cash,

Cheque or Demand Draft. Bid has to be submitted online ONLY as per the schedule. The Tender form will be available online

only. Tender form will not be sold or issued manually from Maharashtra Maritime Board office.

The bidders are required to download the tender document within the prescribed date & time

mentioned in online tender schedule. After expiry of the date and time for tender document download,

Department/Board will not be responsible for any such failure on account of bidders for not

downloading the document within the schedule even though they have paid the cost of the tender to the

Department /Board. In such case the cost of the tender paid by the bidders will not be refunded.

SUBMISSION OF BIDS Both the Tenders (Technical as well as Commercial) shall have to be submitted online only. Tenders

not submitted online will not be entertained. ONLINE BID SUBMISSION

In Bid Submission stage, bidders get access to Online Technical and Commercial Envelopes where

they require uploading documents related to technical eligibility criteria and quote commercial offer

for the work/item in respective online envelopes.

Note: During this stage, bidders won’t have any capability to make any kind of changes or editing into

technical as well as commercial data. EARNEST MONEY DEPOSIT (EMD)

Bidders are required to select Earnest Money Deposit through Online Payment modes i.e. Net

Banking during Submission Stage. If for any reason a bidder fails to select this payment online modes,

system won’t allow the bidder to complete Bid Submission stage resulting in his/her elimination from

Online Bidding Process. EMD option is mandatory to all the bidders for a tender, offers made without

EMD shall be rejected. TECHNNICAL BID

Documents in PDF format should be uploaded under Online Technical Envelope. These documents

need to be digitally signed by individual contractor’s digital signature and uploaded during Online Bid

Submission stage.

The list of documents for Technical Envelope is given afterwards. COMMERCIAL BID All commercial offers must be prepared online (An online form will be provided for this purpose in

Online Commercial Envelope, during Online Bid Submission stage).

Any bidder should not quote his offer anywhere directly or indirectly in Technical Envelope, failing

which the Commercial Envelope shall not be opened and his tender shall stand rejected.

Note: During Online Bid Preparation stage, bidders are allowed to make any change or modifications

in the bid data uploaded by them in Technical as well as Commercial envelope. 4.0 INSTRUCTION TO BIDDERS FOR ONLINE BID PREPARATION & SUBMIMSSION

Bidders are required to select Earnest Money Deposit through Online Payment modes i.e. Net

Banking during Bid Submission Stage. If for any reason a bidder fails to make this online payment

modes, system won’t allow the bidder to complete Bid Submission stage resulting in his/her

elimination from Online Bidding Process. Hence, it is strongly recommended to bidders to initiate this

payment well in advance prior to expiry of Bid Preparation stage in order to avoid elimination from

Online Bidding Process on grounds of failure to make this payment.

During the activity of Bid Submission, bidders are required to upload all the documents of the

technical bid by scanning the documents and uploading those in the PDF format making all together a

single file. Apart from this, bidders will have to quote commercial offer for the work/item, for which

bids are invited, in an online form made available to them in Commercial Envelope. This activity of

Bid Preparation should be completed within the pre-scribed schedule given for bid preparation.

The date and time for online submission of envelopes shall strictly apply in all cases. The tenderers

should ensure that their tender is prepared online before the expiry of the scheduled date and time and

then submitted online before the expiry of the scheduled date and time. No delay on account of any

cause will be entertained. Offers not submitted online will not be entertained.

If for any reason, any interested bidder fails to complete any of online stages during the complete

tender cycle, department/board shall not be responsible for that and any grievance regarding that shall

not be entertained.

Any amendment to the tender will be placed on sub portal of the Department, who have invited the

bids, on e-tendering portal of the Govt. of Maharashtra. The tenderer will not be communicated

separately regarding the amendment. OPENING OF BIDS

The bids that are submitted online successfully shall be opened online as per date and time given in

detailed tender schedule (if possible), through e-Tendering procedure only in the presence of bidders

(if possible).

Bids shall be opened either in the presence of bidders or it’s duly authorized representatives. The

bidder representatives who are present shall sign a register evidencing their attendance. Only one

representative per applicant shall be permitted to be present at the time of opening the tender. TECHNICAL ENVELOPE First of all, Technical Envelope of the tenderer will be opened online through e-Tendering procedure to

verify its contents as per requirements.

At the time of opening of technical bid the tenderer should bring all the original documents that have

been uploaded in the Online Technical Envelope so that same can be verified at the time of opening of

technical bid.

If the tenderer fails to produce the original documents at the time of opening of technical bid then the

decision of the committee taken on the basis of document uploaded will be final and binding on the

tenderer.

If the various documents contained in this envelope do not meet the requirements, a note will be

recorded accordingly by the tender opening authority and the said tenderers Commercial Envelope will

not be considered for further action but the same will be recorded.

Decision of the tender opening authority shall be final in this regard.

The right to accept or reject any or all tenders in part or whole without assigning any reason thereof is

reserved with Tender Opening Authority and his decision(s) on the matter will be final and binding to

all.

The commercial bids shall not be opened till the completion of evaluation of technical bids. The

commercial Bids of only technically qualified Bidders as mentioned above will be opened. COMMERCIAL ENVELOPE

This envelope shall be opened online as per the date and time given in detailed tender schedule (if

possible), through e-Tendering procedure only. PRICE SCHEDULE

Note: Commercial Offer has to be entered online only. Rates have to be quoted by bidders against

columns in Schedule of Rates in PDF format during Online Bid Submission stage.

5.0 TECHNNICAL BID

Following documentsin PDF format should be uploaded under Online Technical Envelope. These

documents need to be digitally signed by individual contractor’s digital signature and uploaded during

Online Bid Submission stage. The list of documents for Technical Envelope is as follows:

a. The agency must be a registered Company in India.

b. The Bidding Company should have Service Tax Registration Certificate.

c. The Bidding Company should have PAN Card.

d. The Bidder Company should be a registered contractor with Government of Maharashtra PWD

/Any other state / Central Government organization / PSU etc.

e. The tenderer should have a maximum annual financial turnover (in all classes of Civil

Engineering works/ Dredging work only) of Rs. 21.5 Cr. (Rupees Twenty One Crore Fifty Lac

Only) or more in any of the last three years at price level of 2015-2016. (The scan copy of

details of work done in all classes of civil Engineering / Dredging works during last three

years with the value of unfinished work (Information to be given in Form No.1,) and should be

supported by work done certificate signed by the Authority with whom the contractor has

executed the work.)

f. The Bidding Company should have successfully completed any of the Dredging work in last 7

years i.e. One Dredging work of Rs.12,88,80,000/-(Rupees Twelve Crore Eighty Eight Lac

Eighty Thousand Only) (OR) Two Dredging work of Rs.8,05,50,000/-(Rupees Eight Crore

Five Lac Fifty Thousand Only) (OR) Three Dredging Work of Rs.6,44,40,000/-(Rupees Six

Crore Forty Four Lac Forty Thousand Only) Experience of the said works should be of any

government agency or PSU only. The certificate of completed works of the same should be

issued by the Executive Engineer or equivalent or higher officer. (information to be given in

Performa of Form No.2)

g. The bidder should have carried out at least 10,000 cu m of dredging in Hard Rock/ Submarine

Rock. ( Bidder to submit Work Order and Work Completion certificate)

h. Bidding Company should own equipment as mentioned in Annexure III.

i. Bidding company should have Technical Personnel as mentioned in Annexure IV.

j. Undertaking for not being blacklisted by any Government Organizations earlier.

k. The scan copy of an up to date audited Balance Sheet along with Profit and Loss Account

verified by a Chartered Accountant, True copy of Acknowledgement of the latest income tax

return filed duly attested by a Gazette officer.

1. Balance sheet for last 3 years

2. Profit and loss account for last 3 years

3. Income Tax returns for last 3 years.

(NOTE: In case profit and loss account shows negative result, the firm is liable for

disqualification.)

l. List of Litigation/ Arbitration history during last 7 years. The bidder must submit NIL litigation

certificate(s) in case of no litigation.

COMMERCIAL BID

All commercial offers must be prepared online (An online form will be provided for this purpose in

Online Commercial Envelope, during Online Bid Submission stage).

See Annexure –II (To be uploaded in pdf format during commercial bid)

6.0EARNEST MONEY DEPOSIT (EMD):

The Earnest Money Deposit (EMD) of Rs. 8, 05,500/- (Rupees Eight Lac Five Thousand Five Hundred

Only) to be paid through Online Payment Modes i.e. Net Banking, NEFT / RTGS during Tender

Document Upload Stage. The earnest money will be refunded in due course in the case of tenderers

whose tender are not accepted. The amount of Earnest Money will be forfeited in case the successful

contractor does not pay the amount of initial security deposit within specified time limit. Earnest

Money of the unsuccessful tenderers will be refundable only after an intimation of rejection of their

tender is sent to them or on the expiry of the validity period whichever is earlier.

7.0 PRE-BID MEETING:

A pre bid meeting will be held on 16 Dec 2016 at 1500 hrs in the office of the Chief Executive

Officer, M.M.B., Mumbai to discuss regarding various technical aspects and clarification will be given

to the tenderer about their comments. Any queries for Pre bid meeting to be sent in writing to Marine

8.0 DEFINITIONS:

In the contract, the following words & expression shall, unless context otherwise requires, have the

meaning thereby respectively assigned to them:

Contract: means the documents forming the tender and acceptance thereof and the formal agreement

executed between the competent authority on behalf of the Hon. Chief Executive Officer, Maharashtra

Maritime Board (MMB), Mumbai and the contractor, together within the documents referred to therein

including these conditions, the specifications, designs, drawings and instructions issued from time to

time by the Marine Engineer & Chief Surveyor (MECS) and all these documents taken together shall

be deemed to form one contract and shall be complementary to one another.

Contract sum; means the amount arrived at by multiplying the quantities shown in the schedule of

quantities and price by the respective item rates as allowed.

Contractor: means the successful tenderer who is awarded the contract to perform the work covered

under these tender documents and shall be deemed to include the contractor’s successors, executors,

representatives or assign approved by the Marine Engineer & Chief Surveyor (MECS).

Employer: means the Hon. CEO, MMB, Mumbai and his successors.

MMB/ Authority/ Department/ Owner shall mean the Maharashtra Maritime Board, Mumbai which

invites tenders on behalf of the Hon. CEO, MMB and includes therein-legal representatives, successors

and assigns.

Marine Engineer & Chief Surveyor (MECS) means the Marine Engineer officer authorized to

execute, supervise and be In-charge of the works for the purpose of this contract who shall supervise,

monitor and be in charge of the work for contract management.

Marine Engineer & Chief Surveyor (MECS) representative shall mean any officer/Staff of the

Authority nominated by the MECS/ Hydrographer for day to day supervision, checking, taking

measurement, checking bills, ensuring quality control, inspecting works and other related works for

completion of the project.

Hon. CEO: means Hon. Chief Executive Officer, Maharashtra Maritime Board (MMB),

Work Order means a letter from the Authority conveying the acceptance of the tender/offer subject to

such reservations as may have been stated therein.

Day: means a calendar day beginning and ending at mid-night.

Week: means seven consecutive calendar days

Month: means the one Calendar month.

Site means the creek, channel, estuary, river, inland water etc. through which the works are to be

executed.

Vessel: Any inland vessel / dredger operating in the Inland limits including the dredging units of

MMB.

Drawings: means the drawings referred to in the specifications and / or appended with the tender

document, any modifications of such drawing approved in writing by the MECS and shall also include

drawings/ charts issued for actual execution of the work time to time by the MECS.

Urgent Works: means any urgent nature which in the opinion of the MECS become necessary at the time of execution and / or during the progress of work to obviate any risk or accident or failure or to obviate any risk of damage to the vessel structure, or required to accelerate the progress of work or which becomes necessary for security or for any other reason the MECS may deem expedient Work/ works: means work / works to be executed in accordance with the contract.

Schedules referred to in these conditions shall mean the relevant schedules annexed to the tender papers.

Tendered value means the value of the entire capital/maintenance dredging work as stipulated in the

letter of award.

9.0 SCOPE OF WORK:

Dredging in the approach channel to jetty at Satpati Dist. Palghar, to achieve Navigation Channel of

2.0 meters depth & width varying from 100 mt to 210 mts, from the specified section as per the area

and depths mentioned on the hydrographic chart , to the levels and slopes specified in the drawing in

all type of soils, silt marine soft/stiff clay loose boulders, pebbles soft rocks dredgeable by suitable

dredging equipment like cutter suction dredger or Grab/ Backhoe type dredger including all lifts and

leads conveying and deposition of the same at dumping area located at an average distance of 3 km in

deep sea in case Cutter Suction Dredger is employed or 9 km in case Grab/ Backhoe Dredger and

Hopper Barges are employed, including all necessary arrangements with crew, fuel oil tools plants

equipment, machinery and labour including all accessories assembling, mobilising demobilising all

plant and equipment required including cost of pre and post dredging survey etc. complete to the

satisfaction of the Engineer in charge of the work. It includes Mobilisation & Demobilization also.

Work to be completed in the period of six months.

10.0 ADDITIONAL SPECIFICATION:

The Initial levels shall be taken before commencement of work with reference to permanent

benchmark established on shore. The levels shall be taken before and after excavation jointly with

authorized representative of the contractor and the quantities shall be worked out on the level basis.

The representatives of the contractor shall be asked to remain present on the days of taking levels. If

the contractor’s representatives are unable to remain present even after informing him/them on due

dated time, the expertly level shall be taken which shall be binding on the contractor. The cross

sectional area shall be calculated in square metre and quantity shall be worked out in cubic metre up to

two places of decimal excavated stuff shall be disposed off in deep sea at a distance about 3 kilometre

as directed by engineer in charge of the work. The initial and final levels are to be taken jointly by with

your representative and Hydrographer, Maharashtra Maritime Board and will be at the cost of

contractor.

11.0 TERMS & CONDITIONS:

The tender terms & conditions include but to not limited to the following:

1. The work involves removal of over burden if any and excavation in hard rock in sub merged

conditions.

2. The working hours are restricted due to tidal effect. Therefore, work will have to be carried out

even at odd hours.

3. Due care shall be taken for removal of dredged material. Hence removal shall be monitored as

directed by the engineer in charge of the work

4. The method of excavation shall be approved from the Engineer in charge of the work. A minimum

quantity of the flow through the channel at all the time is necessary, for running water transport.

5. To reduce the velocity of the low tidal water and for working platform, a coffer dam and approach

road may be constructed by the contractor at no extra cost and contractor shall dismantle the same

after the completion of the work.

5 The contractor shall also note that no extra payment shall be made to his employees over and above

the accepted tender rate for components of work which are deemed to be part of the respective

tender items.

6 For cleaning the sites and restoring the levels after completion of work as directed by the Engineer

in charge of the work.

7 The excavated material shall be disposed off by the contractor as directed by the Engineer in

charge of the work in a manner as to keep the stream free from obstruction

8 The excavated material will not be deposited in such way as to obstruct the stream or spoil its

regime or in any way adversely affect the same during or after the excavation.

9 The work will include provision and maintenance of temporary approaches within the area of

operation and removal thereof on completion of work as approved by engineer in charge of the

work.

10 The contractor shall obtain mandatory permission for keeping barge and machinery in creek from

Maharashtra Maritime Board Mumbai police department etc. as directed by engineer in charge of

the work.

11 The contractor shall enable all the arrangement for monitoring the dredged material excavated

under the guidance of the Engineer in charge of the work.

12 The contractor shall provide insurance coverage for the life, Machinery, structures in the vicinity

and property and third party coverage

13 The contractor shall provide lighting etc. or such other items of work as required for the execution

of work as per requirement of the Engineer in charge of the work.

14 The contractor shall acquaint himself with all the laws and regulations concerning transport

handling and the use of machinery and any other law, rules and safety codes as any other law, rules

and safety codes as are currently force from time to time and these shall be binding on the

contractor.

15 The provisions in the specification are supplementary to the above laws and rules and regulations.

Further the engineer may issue modifications, alteration and new instructions from time to time if

required. The contractor shall comply with the same without any extra cost to the department

16 All supervisor and workman in charge of handling storage shall be adequately insured by the

contractor. The contractor shall have to produce a security for the person in charge of machinery if

and when required by the Engineer in charge, the civil authorities and Maharashtra Maritime Board

Mumbai.

17 The Contractor shall make sure that his supervisor and work man are fully conversant with all the

rules to be observed in storing handling and use of the machinery. It shall be ensured that the

supervisor in charge is thoroughly acquainted with the details of the machinery and tools and plants

and work to be executed.

18 The contractor shall make all necessary storage facility for the storage of the dredged material as

per rules of the local authorities and government of India.

19 The contractor shall at his own expenses obtain such licenses as may be necessary for storing using

of oils, fuels etc. The department shall not be responsible for the above storage or use of fuels on

the site of any accidents or occurrence what so ever in connection therewith. The responsibilities

and risk there of shall be solely with the contractor.

20 Validity: Offers must be valid for the minimum period of 120 days (One Hundred and Twenty

days) counted from the opening of the financial bid. Offers without the minimum validity period

will be liable for rejection. In the absence of any categorical mention regarding the validity of the

offer, it will be construed that the offer is valid as called for in the covering page and it will be

incumbent on the bidders to accept the order if any when placed within such validity.

21 Banking charges: All the banking charges will be to the bidder’s account for scrutiny and

evaluation of proposals.

22 SITE VISIT: It is considered necessary that the Bidder should visit the site and get the clear idea

about the work involved, before quoting. The Bidder / Contractor are therefore advised to visit the

site and study all the particulars of the site and the nature of the work. For any doubts /

clarifications, if required, the Bidder / Contractor may contact our Office.

23 The bidder shall submit a methodology to demonstrate as to how design depths& width will be

achieved so as to complete Maintenance Dredging work amounting 3,00,000 cubic meter

(approximately) as per the chart provided by the MMB within the stipulated contract period of 06

months.

24 The Bidder must furnish originals of all scanned documents submitted by them for verification

on demand by MMB officials.

25 Additional required terms & conditions will be included in the agreement. The terms of the

Agreement will always prevail over the terms & conditions of this tender.

12.0 TIME OF COMPLETION

The Time period for completion of work as described in scope of work is 6 month from the date

of letter of acceptance (LOA) for this tender.

13.0SECURITY DEPOSIT:

The contractor shall pay 4% of the Total value of the work order towards security deposit as per the Letter of Acceptance (LOA). 2% of the security deposit shall be deposited within 10 days from date of issue of LOA and remaining 2% shall be recovered from running bills in the due course.

No interest will be paid on Security Deposit.

The security deposit will be paid in the form of Demand Draft / Bank Guarantee(should be valid for

03 months beyond the completion date of the contract & to be extended in such manner in case contract period is extended for any reason) in favour of Chief Executive Officer, MMB on any nationalized bank payable at South Mumbai.

50% of the security deposit shall be refunded to the contractor along with the final bill after successful completion of the work and remaining 50% of the security deposit shall be held back by MMB until the defect liability period of 12 months is completed.

14.0 PAYMENT TERMS:

Interim bills shall be submitted by the contractor monthly on or before the date fixed by the MECS for

the items of work completed. The MECS shall then arrange to have the bills verified with reference to

the measurements recorded / pre or post dredging survey charts and quantity calculations.

Payment on account for amount admissible shall be made by the MECS certifying the sum to which

the contractor is considered entitled by way of interim payment for the work executed, after deducting

there from the amount already paid, the security deposit and such other amounts as may be withheld,

deductible or recoverable in terms of the contract.

Payment of the contractor's bills shall be made by the Authority only in Indian Rupees within 30 days

from the date of submission of the bill subject to the acceptance of the MECS.

Payments due to the contractor shall be made by crossed cheque by the MECS/MMB or his/its

authorized representative. Such cheques shall be issued direct to the contractor on furnishing a stamped

receipt for the amount of the cheque or to his constituted attorney duly authorized to receive such

payments from the MECS. Alternatively payment, due to the contractor shall be made by electronic

bank transfer / RTGS.

Any interim certificate given relating to work done or materials delivered may be modified or

corrected by any subsequent interim certificate or by the final certificate. No certificate(s) of the

MECS supporting an interim payment shall itself be conclusive evidence that any work or materials to

which it relates is / are in accordance with the same.

Should there be a request for extension of date of completion, pending its consideration interim

payments shall continue to be made as provided herein.

TDS at the applicable rates shall be deducted at source from any payment made to the contractor

against this contract.

15.0 RESPONSIVENESS OF PROPOSAL: A responsive proposal is one which conforms to all

the requirements of the Bid Document. A proposal shall be treated non-responsive for any of the

following reasons:

Non-submission of the duly filled formats as in Annexure –I, II, III, IV, Form no.1 and 2.

The validity of the proposal is not confirmed.

The proposal and supporting documents show significant variations and or inconsistency/ies.

Proposal not duly signed by the authorized signatory.

Bid Rejection Criteria: The bidders are informed about the bid rejection criteria stated as below:

Bids received after the tender closing date and time.

Bids received without EMD as a specification in the tender.

Following bid rejection criteria may render the bids liable for rejection with the approval of

Tender committee:

Incomplete/Misleading /ambiguous/conditional bids in the considered opinion of MMB

Bidders not agreeing to furnish required Security Deposit as mentioned tin Tender documents.

Validity period indicated by the bidder is shorter than as specified in the tender document.

Bidders not meeting the qualification parameters stipulated in the tender document.

Bidders have made Misleading or false representations in the Statements attachments submitted in

proof of the qualification requirements.

MMB will reserve the right to accept / reject any offer either in full or in part or accept any offer other

than the lowest offer without assigning any reason whatsoever.

16.0 LIQUIDATED DAMAGES:

Timely completion of all the work/job and providing the required

personnel/material/equipment/services covered in the contract as per the timelines stipulated in the

work order shall be the essence of the contract. In the event of failure to execute the contract within the

scheduled time, liquidated damages will be levied on the total value of the contract at the rate of 0.5%

per week or part thereof, subject to a maximum of 5% of the total contract value, at the discretion of

the authority. Further, EMD & Security Deposit will be forfeited followed with blacklisting the

contractor. In such case, Tender will be re-floated provided the next lowest bidder (L2) is unwilling to

accept the lowest rate that had been quoted by the lowest bidder (L1). Any decision pertaining to this

will be at the discretion of Hon. Chief Executive Officer, MMB.

17.0 CONTRACTOR'S LIABILITY:

Except as otherwise expressly provided, neither MMB nor its servants, agents, nominees, shall have

any liability or responsibility whatsoever to whomsoever for loss or damage to the equipment and/or

loss or damage to the property of Contractor and/or its sub-contractors, irrespective of how much loss

or damage is caused unless caused by willful and gross negligence of MMB and/or its servants, agents,

nominees, assignees.

The Contractor shall protect, defend, indemnify and hold harmless MMB from and against such loss or

damage and any suit, claim or expense resulting therefrom.

Neither MMB nor its servants, agents, nominees, assignees, subcontractors shall have any liability or

responsibility whatsoever for injury to, illness, or death of any employee of the successful bidder

irrespective of how such injury, illness or death is caused unless caused by willful and gross

negligence of MMB and/or its servants, agents, nominees, assignees. The successful bidder shall

protect, defend, indemnify and hold harmless MMB from and against such loss or damage and any

suit, claim or expense resulting therefrom.

The Contractor shall, as may be directed in writing by the MECS, re-execute the works lost or

damaged, remove from the site any debris and so much of the works as shall have been damaged and

carry the Authority's Plant and Equipment, Material etc. to the Authority's store. The cost of such re-

execution of the works, removal of damaged works and carrying of Authority's store shall be

ascertained in the same manner as for deviations and this shall be ascertained in the same manner as

for deviations and be added to the contract sum. Provided always that the Contractor shall, at his own

cost, repair and make good so much of the loss or damage as has been occasioned by any failure on his

part to perform his obligations under the contract or not taking precautions to prevent loss or damage

or minimize the amount of such loss or damage, Final assessment of loss or damage shall be decided

by the MECS and his decision shall be final and binding.

The contractor shall take special precautions to see that public places and roads adjacent to contractor's

yard are not blocked at any time either by his material or by his workmen. The roads are to be kept

always clear and no equipment/materials shall be stacked.

The navigable waterways shall not be blocked by Contractor's vessels. The anchors dropped in the

waterways shall be properly marked and removed after done with.

18.0DEFECT LIABILITY PERIOD:

If during the period of 12 months from the date of completion as certified by the Marine Engineer &

Chief Surveyor , in the opinion of the Marine Engineer & Chief Surveyor, the said work is defective

in any manner whatsoever the contractor shall forthwith on receipt of notice in that behalf from the

Marine Engineer & Chief Surveyor, duly commence execution and completely carry out at his cost in

every respect all the work that may be necessary for rectifying and setting right the defects specified

therein.

In the event of the contractor failing or neglecting to commence execution of the said rectification

work within the period prescribed Therefore in the said notice and / or to complete the same as

aforesaid as required by the said notice, the Marine Engineer & Chief Surveyor get the same executed

departmentally or by any other agency at the risk, on account and at the cost of the contractor. The

contractor shall forthwith on demand pay to the Maharashtra Maritime Board the amount of such cost,

charges and expenses sustained or incurred by the Maharashtra Maritime Board of which the certificate

of the Chief Executive Officer shall be final and binding on the contractor. Such costs, charges and

expenses shall be deemed to be arrears of land revenue and in the event of the contractor failing or

neglecting to pay the same on demand as aforesaid without prejudice to any other rights and remedies

of the Government the same may be recovered from the contractor as arrears of land revenue. The

Maharashtra Maritime Board shall also be entitled to deduct the same from any amount which may

then be payable or which may thereafter become payable by the Maharashtra Maritime Board to the

contractor either in respect of the said work or any other work whatsoever or from the amount of

security deposit retained by Government.

19.0 FORCE MAJEURE:

In the event of either of the parties being rendered unable, wholly or in part by force majeure to carry

out its obligations under the agreement when entered into, it is agreed that on such party giving notice

and full particulars of such force majeure in writing or by telegram / telex / fax to other party as soon

as possible (within maximum one week), after the occurrence of the cause relied on then the

obligations of the party giving such notice with proper documentary evidence so far as they are

affected by such force majeure, shall be suspended during the continuance of any inability so caused

but for no longer period, and such cause as far as possible be remedied with all reasonable effort.

The term “Force Majeure" as used herein shall mean ‘Acts of God’ including Landslides, Lightning,

Earthquake, Fires, Storms, Floods, declared Wars, Blockades, insurrection, riots, Government

regulations etc., which are not within the control of the party claiming suspension of its obligations

within the meaning of the above Clause and which renders performance of the contract by the said

party completely impossible.

The contract arising out of this tender shall be interpreted in accordance with and governed by the laws

of India. The personnel employed by the successful bidder shall be the sole responsibility and liability

of the successful bidder and also expenses in connection with their employment shall be borne by the

successful bidder. MMB shall not bear any responsibility or have liability whatsoever arising out of

this contract, including the liability under the Workmen’s Compensation Act or any other Act (s)

applicable. The successful bidder shall comply with provisions of various labour laws enacted by the

Central /State Government, as amended from time to time.

All statutory requirements / obligations there under, as may be applicable to the contract labour, will

have to be adhered to by the successful bidder and any failure on his part on this account shall be the

responsibility of the successful bidder. The successful bidder will abide by rules, regulations, by-laws,

and statutes, imposed by the Government and other local authorities etc. The Successful bidder has to

ensure that the payment of wages / salaries / allowances / overtime etc. shall be subject to the

minimum wage rates notified by the State Govt. from time to time. The payment of wages shall be

made directly by the successful bidder to his staff and not through VENDORS or any other party or

person. No amount shall be deducted from the wages of the workmen by way of commission of any

nature whatsoever, except for statutory deductions.

Any financial Liability on account of non-observance/noncompliance of any statutory requirement

shall be the responsibility of the successful bidder. The successful bidder shall keep MMB indemnified

for any claims/ damages / disputes that may arise under any provision of law at any point of time

during the currency of the contract or thereafter for the relevant period.

20.0 ARBITRATION:

All disputes and differences whatsoever arising between the parties out of or relating to the

construction, meaning and operation or effect of this Tender and consequent Contract or the breach

thereof shall be mutually settled. However, in case no such mutual settlement is arrived at, the matter

shall be settled by arbitration in accordance with the provision of arbitration of the Indian Arbitration

& Conciliation Act, 1996 and any statutory modification or re-enactment thereof and the Rules made

there under and for the time being in force. The venue of arbitration shall be at Mumbai unless

otherwise agreed by MMB.

21.0 APPLICABLE LAW:

The contract arising out of this tender shall be interpreted in accordance with the Law of India.

22.0MISCELLANEOUS:

MMB, in its sole discretion and without incurring any obligation or liability, reserves the right,

at any time to:

Suspend and/or cancel the Selection Process and/or amend and/or supplement the Selection Process or

modify the dates or other terms and conditions relating thereto;

Consult with any Applicant in order to receive clarification or further information;

Retain any information and/or evidence submitted to the Authority by, on behalf of and/or in relation

to any bidder; and/or

Independently verify, disqualify, reject and/or accept any and all submissions or other information

and/or evidence submitted by or on behalf of any bidder.

The bidder has to submit upload scanned copy of all the documents in pdf format in support of the undermentioned documents required for technical

21.5 Cr. (Rupees Twenty One Crore Fifty Lac Only) or more in any of the last three years at price level of 2015-2016. (The scan copy of

details of work done in all classes of civil Engineering / Dredging works during last three years with the value of unfinished

work(Information to be given in Form No.1) and should be supported by work done certificate signed by the Authority with whom the

contractor has executed the work.)

f. The Bidding Company should have successfully completed any of the Dredging work in last 7 years i.e. One Dredging work of

Rs.12,88,80,000/-(Rupees Twelve Crore Eighty Eight Lac Eighty Thousand Only) (OR) Two Dredging work of Rs.8,05,50,000/-(Rupees

Eight Crore Five Lac Fifty Thousand Only) (OR) Three Dredging Work of Rs.6,44,40,000/-(Rupees Six Crore Forty Four Lac Forty

Thousand Only) Experience of the said works should be of any government agency or PSU only. The certificate of completed works of

the same should be issued by the Executive Engineer or equivalent or higher officer. ( information to be given in Performa of form no.2)

g.The bidder should have carried out at least 10,000 cub mt of dredging in Hard Rock/ Submarine Rock. ( Bidder to submit work order and

work completion certificate)

h.Bidding Company should own equipment as mentioned in Annexure III.

j. Undertaking for not being blacklisted by any Government Organizations earlier.
