Contractor shall assure full supervision of all work and such supervisor shall be able to communicate in fluent English. 1.1 LICENSES AND CERTIFICATIONS: Contractor shall have and maintain and update annually a valid State of California C-27 Landscape Contractor's License, Pest Control Applicator's License, Landscape Architect's License, Qualified Irrigation License, and be certified by The International Society of Arboriculture as a Certified Arborist. 1.2 INSURANCE: Contractor shall maintain General Liability, Automobile Liability, and Worker's Compensation Insurance. LANDSCAPE MAINTENANCE SPECIFICATIONS FOR WOODBRIDGE PARKSIDE MAINTENANCE ASSOCIATION

1.0 GENERAL REQUIREMENTS: The Contractor shall provide all labor, materials, equipment, tools, transportation, hauling, disposal, proper protection, and all items needed to perform the landscape maintenance work as outlined in the following specifications for Woodbridge Parkside Maintenance Association. 1.1 LICENSES AND CERTIFICATIONS: Contractor shall have and maintain and update annually a valid State of California C-27 Landscape Contractor's License, Pest Control Applicator's License, Landscape Architect's License, Qualified Irrigation License, and be certified by The International Society of Arboriculture as a Certified Arborist.

1.2 INSURANCE: Contractor shall maintain General Liability, Automobile Liability, and Worker's Compensation Insurance. Certificates of insurance will be furnished annually.

1.3 SCOPE OF WORK: The Contractor shall furnish all labor, equipment, tools, services and special skills required to perform the landscape maintenance as set forth in these attached specifications, and in keeping with the standards of current Horticultural Practices. The Contractor shall present written proactive landscape maintenance recommendations, as necessary, for information and approval.

Monthly Board of Director meeting: Contractor shall attend monthly Board meetings after hours to review and advise as to upcoming landscape projects and recommendations.

Arborist Reports: Quarterly arborist reports shall be submitted by an International Society of Arborists Certified Arborist. These will include any tree decline, recommendations, risk assessments, and recommendations for treatments.

1.5 COMPLAINTS AND EMERGENCY RESPONSE

Communications: Contractor shall provide and maintain a current list of emergency numbers for 24-hour emergency response. Contractor shall initiate remedial action within one (1) hour from the time of the notification. Contractor shall notify the management representative of any action taken. Concerns shall be communicated to the Contractor through the management representative. Contractor shall maintain a log describing the nature of the concerns, date and time the call was received, and date and time of the action taken to resolve the concern. A copy of the current month's calls will be included with the monthly inspection report.

Irrigation system: Contractor shall adjust irrigation system to the requirements of the plant material and the weather. All irrigation systems will be turned off during heavy rains. Efficient application of water shall be a top priority when adjusting the irrigation system.

l. 7 EXTRA WORK/CHARGES: Except for recurring charges and incidentals, extra charges shall be approved by the Owner.

Plant material: If a plant dies as a result of Contractor's negligence, excluding acts of God and/or preexisting conditions inherent to the plant, Contractor shall replace it at "No Charge."

Unit costs: includes mulch, fertilizer, labor, stakes, and ties. Trees are including root barrier.

1.8 CLEAN UPffRASH DISPOSAL: All litter and debris generated during the performance of landscape maintenance work shall be removed from the common area the same day it is generated and disposed of off-site in the proper manner and at the Contractor's expense. Trash and litter will be removed during each visit.

1.9 PROPOSAUCONTRACT: This agreement is made on April26, 2018 by and between Master Landscape & Maintenance, Inc., hereinafter called the "Contractor" and Woodbridge Parkside Maintenance Association, hereinafter called the "Owner." This agreement provides landscape maintenance services on the project described.

2.0 TERMS: The initial term of this contract shall be one (1) year, from May 1, 2018 to April30, 2019. After this period, the contract will extend automatically each year. This contract may be terminated by either party after a thirty (30) day written notice of termination is sent by Certified Mail.

2.1 PAYMENT: Owner agrees to pay the Contractor the sum month for landscape maintenance services as detailed in the Specifications 1.0 to 2.3 for Woodbridge Parkside Maintenance Association in Irvine, CA. Contractor shall bill on the 20th of each month; payment must be received on or before 15 days from the date the invoice is received. Owner agrees to pay the Contractor for all authorized extra work upon completion.

2.2 OWNER CONTRACTOR LIAISON: Owner hereby designates Lisa Terry CCAM from Total Property Management, Inc. as the Owner's authorized Agent. The Owner agrees that the Contractor may have all dealings with the authorized Agent to the exclusion of any person or entity.

2.3 ACCEPTANCE: Living plants, turf, shrubs, trees, ground cover, their composition, appearlince, size and shape, are an integral part of the value of the property. Protect and enhanced your asset with a professional landscape management company- Master Landscape & Maintenance, Inc.

SECfiON I

SPECIAL CONDITIONS

1. The number of man-hours required for the on-site performance of this work is not considered a part of the specifications but contractor will maintain a daily staff Monday to Friday (6:30am to 3:00pm) to review and inspect all landscape areas. Contractor will submit monthly current staff names and days of service for review (sample attached). It is agreed that the Contractor will perform the maintenance in accordance with the highest current horticultural standards, keeping the properties herein described in frrst-class condition.

2. During periods of inclement weather, the Contractor will still provide service to the properties. Debris removal, irrigation shut downs, drain inspection, and general clean-up will be performed when standard service cannot be performed.

3. During holidays, the Contractor will still be responsible to maintain the properties in first-class condition and will adjust the schedule to still provide service.

4. Contractor shall be responsible for immediate replacement of plant materials that die due to lack of water or neglect, at the Contractor's expense. Contractor also will guarantee any plant material recommended and installed by contractor for the life of this contract.

S. Contractor will meet with individual homeowners only at the request of property manager or Board of Directors. Contractor will also act as a "liaison" to assist and aid other vendors as directed by Property Manager or Board of Directors.

6. Contractor will continuously advise and report on plant disease and decline. A licensed pest control advisor and a certified horticulturalist will aid in determination and recommended treatment.

7. Contractor will advise and recommend appropriate plant material installations utilizing and augmenting the current landscape architectural plan from Stan Smith.

8. Specific areas will be identified and cleaned weekly regardless of the continual route schedule. These areas routinely have trees and plants that generate excessive debris and require additional service to keep clean and maintained free of leaf litter.

9. Excluded labor and material are as follows: a Annual color b. Replacement of dead trees, shrubs, etc, which are not the result of Contractor's negligence. c. Replacement of stolen or vandalized materials such as, but not limited to irrigation heads, time clocks, drain

inlets, plants, etc. d. Maintenance and/or repairs of electrical time clocks, valves, main line, lateral line breaks, sprinklers, etc. e. Rodent control of non-landscape pests such as rats and mice. f. Organic fertilizers and pesticides.

SECTIONll

GENERAL MAINTENANCE CONDITIONS

1. Scope of Work: The Contractor shall provide all labor, material, equipment, tools, transportation, hauling, disposal, proper protection and all items needed to perform the landscape maintenance work as listed in the following sections:

2. Location of Work: The location of work is as follows: Woodbridge Parkside Maintenance Association, as specified in attached map. Addition and/or deletions of the location is subject to the change clause of the service agreement document.

3. Authorized Representatives: The work shall be performed under the general direction of the Owner, who will designate an authorized person or persons for such pwposes. Such authorized persons shall be available at all reasonable times and shall have authority to act on behalfofthe Owner, except in matters that would result in an increase of price or change the terms and conditions of this contract.

4. Specification Interpretation: In the event of a conflict in interpretation between the Owner and the Contractor, a licensed Landscape Architect mutually selected will arbitrate the conflict.

S. Workmanship: The Contractor agrees that work performed under this contract shall be subject to inspections and acceptance by the Owner's authorized representative. If any work does not meet the standards specified, the Contractor shall, immediately upon request, rework to authorized representative's satisfaction, and such rework shall be performed at no additional cost to the Owner. Failure to rework requested areas shall result in nonpayment for the total site or the Owner shall secure others to perform such rework, and deduct those costs from the monthly payment.

6. Contractor Personnel: One week prior to assigning the Contractor's personnel to perform work on the subject property, the Contractor will provide the Owner's authorized representative with a list of the Contractor's area Supervisor's cell phone, pager, and after hours phone number.

7. Responsibilities for Damages: The Contractor is responsible for any and all damages to the Owner's property that was caused by the Contractor's equipment or personnel.

8. Contractor Supervision: The Contractor shall have a competent Supervisor on the site at all times, who is in communication with the Contractor at all times.

9. Landscape Storage Area: The Contractor shall not store materials or equipment at the job site without prior written approval from the Owner.

10. Qualified Personnel: It is the intent for these specifications to be administered and interpreted by a professional licensed Landscape Contractor and not by a layperson.

SECTIONID

LANDSCAPE MAINTENANCE

1. Scope of Work: The Contractor shall provide all labor, equipment, tools, transportation, hauling, dumping, proper protection, debris removal, and all other items required, or directed, to maintain turf, shrubs beds, slopes and irrigation systems as described herein:

A. Turf

1. Contractor shall provide all labor, materials and equipment required to mow, edge, roll, seed or reseed, water, aerate, and maintain all turf areas to a neat, clean green appearance.

2. All turf shall be kept weed-free and clear of surface debris, i.e., crabgrass, watercress, mallow, dandelion, mustard, spurge, oxalis, etc.

3. All turf shall be mowed once per week under normal weather conditions. During the slow growth season, (winter) turf may be mowed less often. Typically turf will be mowed weekly during the months of April to September and bi-weekly during October to March. All cuttings of the turf shall include the use of a catcher and the Contractor shall dispose ofthe cuttings off site at their own expense.

4. All turf shall be edged where areas meet curbs, sidewalks, trees, sprinkler heads, concrete headers, valve boxes, fences or beams. Edging shall be done at least every two weeks and all trimmings and cuttings shall be disposed of. No grass clippings will be allowed to remain on sidewalks, streets, driveways or gutters overnight.

5. Bare spots in turf shall be reseeded with seed matching the existing turf, at no additional charge. All such reseeded areas shall be maintained in the same manner as any newly planted lawn area.

B. Sbrub beds and slopes

1. Measures to eliminate undesirable conditions such as erosion shall be performed in accordance with recognized and accepted landscape maintenance standards.

2. Trimming, pruning, thinning and training of ornamental plants, excluding trees, shall be done as needed or required to maintain a pleasing appearance. Most shrubs should be lace trimmed and not sheared. Specific plant material requirements will be identified by Horticulturist. Plant materials under stress shall be trimmed to reduce transpiration. This is typically done as a monthly task during May to August and is required bi-monthly during September to April, depending on the plant material type.

3. Contractor shall properly care and maintain all drought tolerant plant material accordingly. Woodbridge Parkside has many areas that currently have been updated with specific and delicate plant material requiring of a higher level of maintenance by well trained staff.

4. Soil in all shrub beds shall be maintained in a weed free condition at all times. Weeds are to be mechanically removed and non-organic herbicide will not be used. Tree suckers and "volunteers" shall be treated as undesirable weed growth and removed. Monthly mulching in all non-turf landscape maintenance areas is included in the monthly base fee.

S. Deep water all trees as necessary during the summer hot season.

6. Tree stakes shall be secured and monitored for girdling. Tree stakes shall be maintained in a vertical position and shall be straightened or replaced as required. All trees will be double staked, tree rings established, and mulch placed at the tree base.

C. Paved Areas

1. All paved areas including driveways, parking bays, alleyways, and streets shall be airbroomed weekly and litter removed.

2. All paved areas shall be kept weed-free.

3. Weeds growing around or through paved areas may be treated with ONLY organic herbicide as necessary.

D. Planting Areas: General

1. Control of landscape rodents by trapping or chemical measures is at the discretion of the Contractor.

3. Irrigation Maintenance:

A. Scope of Work: All labor, material, equipment and services necessary to properly maintain, operate, adjust and perform minor repairs to the irrigations system. Contractor shall have repair kits on the job site at all times and spare parts for plastic pipes. Turf build-up, shrub and groundcover growth shall require the raising of heads to clear turf.

1. Irrigation controllers including "Smart Timers" will be programmed and utilize all automated updates. Contractor is responsible to, and have technical expertise, to install and initialize base line program.

2. Irrigation controllers will be monitored and adjusted every other week. Contractor will manually operate all irrigation systems and inspect and repair any broken components every other week.

3. Irvine Ranch Water District utilizes a multiple tier billing system. Contractor shall maintain water use within the "conservation" rates of these tiers. Contractor shall prepare and submit proper documentation for any adjustments for water penalties to IR WD for reimbursement to the association.

4. All irrigation water meters will be read and compared for proper usage weekly. Water shall be applied within current evapotranspiration rates and a weekly report submitted to the property manager.

5. Contractor will have a certified irrigation technician on site a minimum of 5 days per week. Irrigation Technician will perform weekly irrigation adjustments and proactive irrigation repairs.

6. Contractor will provide an Irrigation Technician to meet and review with Irvine Ranch Water District staff as required to certifY and inspect all irrigation systems as an extra cost item.

7. All irrigation repairs will be billed as an extra cost item.

SECTION IV

FERTILIZATION PROGRAM

1. Scope of Work: The contractor shall furnish all labor, materials, equipment and all services required to perform a fertilization program as follows.

2. Description of Work:

A. All turf areas shall be fertilized every other month ( six times per year) using 1 lb. of actual nitrogen per 1 ,000 sq. ft. Contractor shall adjust nitrogen rate according to the season. An organic fertilizer shall be utilized instead of synthetic fertilizer two of these times per year and billed as an extra cost item.

B. All shrubs, beds, and groundcovers shall be fertilized in July; organic in October.

C. Fertilize newly planted trees with agriform planting tablets 20-15-0: two tablets per inch of tree trunk; tablets to be placed in root zone.

D. For plants requiring acid conditions, from May to September, apply acid food per manufacturer's directions.

E. Fertilize newly planted turf, shrubs, ground cover, etc. at the time of planting, per industry standard.

SECTIONV

TREE PRUNING PROGRAM

1. Scope ofWork: The Contractor shall provide all labor, material, equipment, transportation, and hauling to provide tree pruning on trees up to 15 ft. in height as part of this contract.

2. Description of Work:

A. The Contractor shall prune trees and large shrubs in their proper season, per current horticultural practices.

B. All trimmings shall be removed and disposed of off-site by Contractor.

C. All plant material requiring support is to be inspected monthly or as necessary to eliminate the girdling or loss from storms. Contractor shall replace loss of plant material due to Contractor neglect at no cost to Owner.

D. The Contractor shall prune all plants adjacent to walls, buildings in an informal espalier shape.
