NOTICE TO SHAREHOLDERSTransfer of Equity Shares of the Company to Investor

Education and Protection Fund (IEPF) AuthorityIn terms of Section 124(6) of the Companies Act, 2013 ("Act") read withRule 6 (3) of Investors Education and Protection Fund Authority(Accounting, Audit, Transfer and Refund) Rules, 2016 ('Rules'). Notice ishereby given to the shareholders of PNB Gills Limited ("the Company") asunder-As per said Rules, if a shareholder does not claim the dividend amount fora consecutive period of seven years or more, then the shares held byhim/her shall be transferred to the demat account of the InvestorsEducation and Protection Fund Authority ("IEPFAuthority") constituted inaccordance with the Rules. Accordingly, shares of all those shareholders,who haven't claimed the dividends for the last seven consecutive years ormore, are now due for transferto de mat account of IEPF Authority.Adhering to the various requirements set out in the Rules, the Companyhas already communicated individually to the concerned shareholderswhose shares are liable to be transferred to IEPF Authority under the saidRules for laking appropriate action(s). The full delails of suchshareholders including their names, folio no. or DP ID & Client ID andshares due for transfer are also posted on the website of the Company l.e.www.pnbgilts.com. The concemed shareholders are thus requested toclaim the unclaimed dividend by sending us a written application alongwith a cancelled cheque & copy of PAN Card and the original un-encashedDividend warrant or a duly filled in indemnity bond available on our websitewww.pnbgilts.com to the Company's Registered Office l.e. PNB GiltsLimited, 5, Sansad Marg, New Delhi-l1 0 001. The said application shouldreach the company on or before 20.08.2019 so that riecessary applicationcan be sent to bankers for release of dividend by 30.08.2019. In case,dividends are not claimed by the said date, necessary steps will beinitiated by the Company to transfer the shares which are due for transferto IEPF without further notice, in accordance with the Rules, in thefollowing manner-• In physical form - new share certificate(s) will be issued and transferred

in favour of IEPF on completion of necessary formalities. The originalshare certificate(s) which stand registered in the name of shareholderwill be deemed cancelled and non-negotiable.

• In demat fcirm- the company shall inform the depository by way of corporateaction for transfer of shares lying in demat account in favour of IEPF.
