Dear Fellow MBA Members,

I would like to introduce myself as your new President of the Marin Builders Association. I have been a member of the MBA for many years and have served on the board for 6 years. I am honored to serve for the next year.

I have the privilege of following one of the hardest working Presidents we’ve ever had, Aimi Dutra. Aimi spent her term promoting the MBA, volunteering the Quarry for several functions and putting her special touch on our member get-togethers. Hopefully you all had a chance to attend at least one of the functions she oversaw. As great as those social functions were, Aimi’s most valuable contribution was starting our new publication, the Marin Home magazine, where she works tirelessly as Editor-in-Chief. I would like to thank Aimi for all of her efforts and know that she is going to continue to promote the excellence of the MBA.

We all know this has been a difficult time for our industry. While the economy shows signs of a possible recovery, the residual effect will stay with us for awhile. Here at the MBA the effects have also been felt. Our membership numbers are on the decline and changes in the workers compensation and employee benefits programs have affected our profitability. Because of these issues, we have been forced to look at the functioning of our entire organization. Over the past few years we have taken several steps to address those issues. We have re-organized the MBA staff, resulting in cost savings to our payroll. We purchased the Marin Home Expo for the purpose of increasing the exposure of The MBA, and we have kicked off the Marin Home Magazine, again to reach out to the community and “brag” about the many worthwhile efforts of the MBA.

The Board of Directors is continuing to look at options to improve our service to the building community. You will see some more changes take place down the road with the purpose of assisting our members in navigating the changing Health Care, Workers Comp and regulatory world. We appreciate the support that you, our members, have given us over the years. However, we are going to ask that you do more. We have new Health Care and Workers Comp programs in affect. They are dynamic programs that should be attractive to many of you and are designed to improve with time and participation. We ask that you take the time to review them and see if these programs might work for you.

We would also love to see all of you at our membership functions. There will be a membership mixer on March 27th. Rob Scerri of Golden State Lumber has generously volunteered to host this event at their building in San Rafael. At our annual Crab Feed we raised $13,000 for the Scholarship Fund and those in attendance had a great time. Also, we have our Bocce Ball and Golf Tournaments coming up soon.

Work includes accessibility upgrades to the site and community center por-tion of the building, plumbing and electrical system upgrades, new and repaired interior and exterior finishes, new windows, new doors, new kitchen and associated work. Scope in-cludes a voluntary seismic upgrade to the entire building and the existing fire alarm system will be revised and upgraded. Site work will involve a parking space, new access path and ramp, new landscaping, new patio and associated grading. The contractor shall possess a valid Class “B” license at the time the contract is awarded. The Engineer’s Estimate for the base bid is $895,000.

Larry Monestier

Larry Monestier passed away Feb 14th, 2013, peaceful-

ly and at home, surrounded by the family he so dearly

loved.

Born Feb 28, 1937, a second generation San Franciscan,

Larry celebrated the opening of the Golden Gate Bridge

as an infant in a stroller pushed by his Grandmother.

After attending elementary school in San Francisco, his

family moved to Marin where he attended Drake High

and College of Marin. Following a stint in the CA na-

tional Guard and employment at Glass & Sash in San

Rafael, he met and married wife Sally. Side by side,

they owned and operated Eagle Glass Co., Inc in San

Rafael for over twenty years. Retirement years were

spent in Lake Wildwood in Penn Valley.

Although family was the driving force in Larry’s life,

when not at his favorite spot in front of the grill, he

also enjoyed fishing, kayaking and tennis, but loved

baseball. A life long Giants fan, attendance at Spring

Training in Scottsdale, AZ was a regular and much

anticipated road trip.

Larry is survived by his wife of 35 years, Sally;

daughters Michelle Johnson and Therese (Doug)

Laudenslager; grand children Kayleen, Dylan and Paige

Johnson; Katie, Mathew and Jenna Laudenslager; and

great grand daughter, Chloe Wilson.

Donations may be made in his name to Hospice of the

Foothills, nevada County. At his request, no services

will be held. A celebration of his life will occur daily

with his surviving family.

The Capitol Connection Q&A for Contractors By Shauna Krause, Capitol Services, Inc.

How often have you heard something that later turned out to be untrue or way off base? You’d be surprised at how often we do, but for contractors getting it right is the only way to profit. That’s why our first contractor may be a little unhappy with the truth. We map out the directions on LLC operations and take a ‘prime’ cut at subcontractor paydays…

Q: I would like to get a contractor’s license but I lack the required 4 years of work experience. My buddy told me that I could use a retired contrac-tor or someone who isn’t currently using their license as Qualifier on my license. Do you know how that works?

A: You can hire an individual who has already gone through the CSLB application process to act as your Qualifying Individual, however be aware that this individual must exercise direct supervision and control of your construction activities. Many times contractors are looking to act as your Responsible Managing Employee (RME) or Responsible Managing Officer (RMO) for a fee, but without the intention of taking part in the every day operations of the business.

In a recent newsletter, the CSLB warned contractors about the risk of using “absentee Qualifiers” and stated that they are aware of “retired” licensees who are serving as Qualifying Individuals for a monthly fee, but do not have direct involvement in the company’s construction activities. The article stated that the “CSLB is aggressively and stringently taking enforce-ment actions against those involved in this trend, and is in the process of legislatively enhancing violations to make them a criminal offense.”

Q: We are applying for a contractor’s license for our Limited Liability Company (LLC). We currently have a license for our corporation so I am familiar with the terms RMO and RME. However in addition to those titles, the LLC application also has “Responsible Managing Member” and “Responsible Managing Manager.” What is the difference between the two?

A: The difference between a member and manager is that members have ownership/equity in the LLC, similar to a shareholder of a corporation, and Managers are individuals who don’t necessarily have ownership, but are chosen to manage the everyday operations of the business, similar to Offi-cers or Directors of a corporation. Whether your LLC is member-managed or manager-managed is usually outlined in your LLC operating agreement. I am not a legal advisor, so you may also want to consult with an attorney when making these decisions.

Q: Can you please tell me what the current law is with regards to contrac-tors withholding money from subcontractors on public and private jobs for current contracts?

A: I believe what you are referring to is B&P Code Section 7108.5, requir-ing a prime contractor to pay their subcontractors no later than 7 days after receipt of each progress payment, unless otherwise agreed to in writing. In the event that there is a good faith dispute over all or any portion of the amount due on a progress payment, the prime contractor may withhold no more than 150 percent of the disputed amount. According to the statute, any violation of this can constitute a cause for disciplinary action and can also subject the licensee to a penalty payable to the subcontractor, of 2% of the amount due per month for every month that payment is not made. Further, with any action to collect funds that are wrongfully withheld, “the prevailing party shall be entitled to his or her attorney’s fees and costs.”

Regulation Training and: Large Spark-Ignition (LSI) Fleet Regulation Training

“Buddy, can you spare some wall space?” That’s what all employers with 50 or more employees are going to be asking in order to display an updated federal family leave poster starting March 8th.The final rule outlining the requirement was issued just last week by the U.S. Department of Labor (DOL) to implement federal laws expanding Family and Medical Leave Act (FMLA) protections.FORTUnATELY, the FMLA applies to employers with 50 or more employees. The FMLA changes were legislated by the national Defense Authorization Act for Fiscal Year 2010 and the Airline Flight Crew Technical Corrections Act (signed in 2009).

Family Leave Notice ChangeThe final regulation requires a change to the federal FMLA notice/poster entitled “Employee Rights and Responsibilities Under the Family and Medical Leave Act,” prepared by DOL.

This is “notice C” on the California Chamber of Commerce California and Federal Employment notices Poster.

All covered employers (50+ employees) must display the poster summarizing the major provisions of the FMLA and telling employees how to file a complaint.

The poster must be displayed in a conspicuous place where employees and applicants for employment can see it. A poster must be displayed at all locations even if there are no eligible employees.

The FMLA includes a special leave entitlement that permits eligible employees to take up to 26 weeks of leave to care for a covered service member during a single 12-month period.

Definition ClarifiedThe revised federal FMLA poster clarifies that in addition to those currently serving, a “covered service member” also includes veterans

discharged in the last five years.

Among the mandatory revisions on the federal poster is a note that the FMLA definitions of “serious injury or illness” for current service members and veterans “are distinct from the FMLA definition of ‘serious health condition.’”

Although the new poster has a revision date of February 2013, the DOL specifically noted that employers may either start using the new poster immediately or may use the old FMLA poster through March 7, 2013.Changed requirements taking effect on March 8, according to the DOL, include “military caregiver leave for a veteran, qualifying exigency leave for parental care, and the special leave calculation method for flight crew employees.”

Revised PosterThankfully, you can obtain this poster and all other required posters directly online through the California Chamber of Commerce. The mandatory changes to the FMLA Notice C affect: private-sector employers, with 50 or more employees in 20 or more workweeks in the current or preceding calendar year, including a joint employer or successor in interest to a covered employer; public agencies, including a local, state, or federal government agency, regardless of the number of employees; or public or private elementary or secondary schools, regardless of the number of employees.

California Chamber Customers who purchased the Poster Protect® option will receive a replacement poster, paying no shipping, handling or tax for the FMLA notice update (I strongly recommend this option for all employers).

CARB Offers New Off-Road Diesel Training CoursesThe California Air Resources Board (CARB) is now offering new dates for Course 504: In-Use Off-Road Diesel Vehicle Regulation Training and for Course 505: Large Spark-Ignition (LSI) Fleet Regulation Training. Course 504 provides an overview of the Off-Road regulation, including applicability, requirements currently in effect, future compliance requirements, and an overview of the Diesel Off-Road Online Reporting System (DOORS). Course 505 provides an overview of the LSI Fleet Regulation, including applicability, requirements currently in effect, compliance extensions, and enforcement activities. ARB staff will also be available after the classes to answer individual questions. There is no charge for these courses.

BACKgROUNDARB’s regulation for In-Use Off-Road Diesel Vehicles (Off-Road regulation) became effective under California law on June 15, 2008. This regulation is intended to reduce harmful emissions from diesel powered construction and mining vehicles operating in California. Fleets were required to initially report their off-road diesel vehicles to ARB in 2009 via the Diesel Off-road On-line Reporting System (DOORS). In addition, fleet owners are subject to restrictions on unnecessary idling and will be subject to accelerated replacement requirements. On May 25, 2006, ARB adopted the In-Use Off-Road Large Spark-Ignition Engine Fleet Regulation (LSI Fleet Regulation or Regulation). The LSI Fleet Regulation establishes fleet average emission level standards for operators of in-use fleets of forklifts, industrial tow tractors, industrial sweeper/scrubbers, and pieces of airport ground support equipment (GSE) powered by LSI engines. Adjusting to Your New Work Environment A walk through other areas of the workplace is a common occurrence, but it can also be dangerous if you don’t stay alert. This is particularly true for employees leaving their old, familiar departments and moving into new roles in other areas. New employees receive instructions regarding training and safety precautions. However, when transitioning roles to another area, it can operate very differently; procedures and equipment may be different and safety precautions may vary as well. Safety in New Surroundings Before entering another area, familiarize yourself with any special rules or procedures necessary for your safety. This might mean wearing special personal protective equipment or meeting certain regulations concerning employee actions. During the transition to your new area, be on the guard at corners and close to machinery, and watch for power and hand trucks on the move. Although equipment operators have their own safety regulations to follow, which include watching for pedestrians, be cautious and ready to move. Look both ways before stepping out into an aisle. In aisles wide enough for truck or other equipment traffic, use extreme caution. Don’t try to beat an oncoming forklift or other machinery; you could easily misjudge its speed and fall in front of it. Don’t walk while you’re looking in another direction, you could bump into another employee or a

machine. If you can’t watch where you’re walking, wait until you can. Watch out for slip, trip and fall hazards. Misplaced tools, pieces of materials or other objects pose hazards. Keep floors and aisles clear of these dangers. In addition, do not take shortcuts, regardless of how much time they save. Shortcuts are not approved routes and taking them can cause very serious injuries. At times, it may be necessary to restrict your admittance to certain areas. Whether the restrictions are temporary or permanent, don’t enter the area unless authorized to do so. Safety Precautions Stay safe when transitioning into a new work environment by remembering these basic safety precautions:

Watch out for moving equipment. Look both ways before stepping

into an aisle. Use handrails. Keep your eyes open for slip, trip

and fall hazards. Don’t take shortcuts. Stay out of restricted areas. Ask for direction regarding

unfamiliar safety guidelines.

A new work environment requires employees to keep basic safety precautions top of mind.

The insurance industry stresses-us-out with all the letters! HSA, FSA, CDHC, HRA, ACA, etc. etc. etc.

In hopes of easing your stress around the terms “high-deductible health plan” or HSA compatible, below are my ramblings.

Often, when I am speaking with MBA members about health insurance, I hear, “what’s the deal with those HSA compatible plans…….aren’t they use-it-or-lose-it?” Well, no, they aren’t. You can keep your money for health-care and possibly make it grow.

HSA compatible plans are super-popular. Why? Because we need a break on health care cost! (and generally, HSA compatible plans are the most affordable option).

If you have spent any time in a casino you know – the house always wins. Yea, I know, everyone has a friend who actually did………walk away from the table. Personally, my donations to the establishments around Tahoe/Vegas have come from the “let it ride” mentality. I understand that a casino and an insurance company are different animals but in my headspace, they feel similar. Both institutions have protections that make it unwise to “bet against the house”.

Everyone’s health and health care expense are usually a game of chance. You may hit three cherries, triple 7’s, or my favorite, a triple diamond slot. This represents a good year. no new medications, surgeries or pathologies. And even though it was a good year for your health, the “house” also won. You paid premiums with little or no claim activity.

BUT wHAT IF THINgS gO THe OTHeR wAY? You know, you play the same slot-machine for 3 hours (and several watered-down drinks) with nothing to show. Then, some creepy lady takes your vacated chair and hits a monster. !@#$ Translated into health care, you just got two new medica-tions and a knee surgery. As an individual health-plan participant, your cost of care was greater (to the insurance company) than the premiums you paid. Without the “being sick” part, this sounds pretty good. That is to say, it is nice when I “get more outa something than I put in.”

So, to my point, the casinos are hurting these days because, “now is not a great time for me to lose a bunch of money.” I view my health plan the same way. now is really not the time for me to choose a plan that pays for bionic arms and legs. Although that would be cool, I don’t anticipate the need. With this in mind, the insurance companies (since 2003) have of-fered a plan (in my own thoughts) that offers a more competitive cost while I take some responsibility for the unknown. We know the “house” gener-

ally wins……but let’s have a game-plan so the complimentary breakfast is nOT our only concession. A HSA plan represents the game-plan. Therefore, in brief, the HSA compatible plans offer a way to pay lower premiums and save some money on Federal taxes. More specifically, I pay a lower monthly premium but accept more responsibility when/if I have a “bad year.” In theory, I take the premium savings and establish a “kitty” or bank account that is used for qualified health expenses. These ex-penses range from outpatient surgery to medically necessary braces for the children. Health savings accounts are like personal savings accounts but the money in them can only be used for health care expenses. If you play by the rules the money remains yours. The money you deposit into the account also reduces your Federal taxable income (up to $3,250 if single or $6,450 family). For example, a family could save over $1,800 while fund-ing a “rainy day” account. (medically speaking). To be eligible to open a health savings account, you must have a special type of health insurance called a high-deductible plan. Sometimes referred to as HSA compatible. High-deductible/HSA plans act like a safety net if you need medical care.

Although I could have cut-to-the chase with this point……both of the MBA approved carriers (Kaiser and Anthem) offer this plan type. As an Association member, you have access to these health plans (along with other more traditional programs).

If you want to see if these programs serve your needs, give us a call. Employer groups of 1-1,000 are eligible and because we work together, we may have an approach that you cannot find anywhere else.
