TRADE PRESS STANDAGRITECHNICA offers publishers from the „agricultural technology products and crop growing“ sector the option of displaying specialist publications at a central trade press stand at the trade fair.The AGRITECHNICA press stand is located in Hall 21 in the area of the „DLG International Visitors‘ Lounge“.

• All publishers/specialist publications of the industry can participate, as long as they are exhibitors at AGRITECHNICA 2019 and are present for the professional visitors

• The number is limited to a maximum of three specialist publications per publisher. No publications from other sectors may be displayed (calculated requirement for the trade fair: 600 - 700 copies, any excess copies will be disposed of after the trade fair by the organisers)

• The press compartments will be supervised by our stand personnel and will be refilled several times a day

DLG Service GmbH (hereinafter „DLG Service“) is the sole legal and economic agent of AGRITECHNICA (hereinafter „Event“) in Hanover, Germany, which will be organised by DLG e.V. in November 2019. In this context, DLG Service will produce advertising materials (hereinafter „Advertising materials“), which will be distributed free of charge during AGRITECHNICA (2019).

1. Object of Regulationa. The following conditions govern the sponsoring of the advertising materials

by the sponsor.b. DLG Service shall become the contractual partner of the sponsor.

2. Conclusion of agreementa. The condition for the conclusion of the agreement is the characteristic of

exhibitor of the sponsor.b. DLG Service shall provide the sponsor with the sponsoring possibilities

regarding the advertising materials to be produced at the website https://portalagritechnica.dlg.org. They shall be made available electronically and can only be selected online via the AGRITECHNICA exhibitor portal.

c. The provision of the sponsoring possibilities and sponsoring conditions do not represent a binding offer on the part of DLG Service.

d. The sponsor can select the possibility/possibilities that come into question for it from the sponsoring possibilities presented to it by clicking on one of the activation fields located next to the possibilities in each case. By selecting a sponsoring opportunity and clicking on the field “Send binding enquiry”, the Sponsor submits an offer that is binding for him to DLG Service. The offer submitted by the Sponsor is not binding for DLG Service. In the event of an insufficient number of sponsors, DLG Service reserves the right not to implement sponsorings that can be selected in the Exhibitor-Service-Portal.

e. After sending its offer, the sponsor shall receive a confirmation of receipt from DLG Service at the e-mail address it has specified. The confirmation of receipt does not represent a conclusion of contract. The sponsoring agreement is not concluded until a sponsoring confirmation is received by the sponsor. Until then, the sponsor shall be bound by the offer it has sent. If the content of the sponsoring confirmation differs insignificantly from the content of the offer, then the contract shall be concluded according to the sponsoring confirmation. In case of more than only insignificant deviations, the contract shall be concluded according to the sponsoring confirmation, provided the sponsor does not object within 7 days after receipt of the sponsoring confirmation in writing.

3. Rights and Obligations of Sponsora. aFollowing receipt of the sponsoring confirmation, the sponsor shall

provide DLG Service with its logos and/or images in a suitable form.b. The sponsor is the sole owner of the brand of its logo. It holds the rights of

use and exploitation for the images submitted. It shall grant DLG Service the right to use/utilise the logo/the images of the sponsor as part of the services to be provided by DLG Service.

c. In the internal relationship, the sponsor shall release DLG Service from any claims for compensation of third parties which result as part of the use and exploitation of the logo/images.

d. The sponsor shall be obligated to pay DLG Service a one-time sum of money in the amount of the offered sponsoring plus the resulting value-added tax resulting from it in the legal amount.

e. The payment of the sponsoring amount is due 14 days after the date of the invoice and shall be transferred to the account of DLG Service at DZ Bank AG, IBAN DE89 5006 0400 0000 1438 38 BIC GENOD- EFFXXX.

4. Rights and Obligations of DLG Servicea. DLG Service shall provide the services for this sponsor which it ordered at

the AGRITECHNICA exhibitor portal, and in particular the organisation and production of advertising materials. The specifically owed service results from the catalogue of services in the respectively valid version at the time of conclusion of the contract. DLG Service can expand or reduce this catalogue of services at any time.

b. The organisation and production of the advertising materials and the costs resulting in this context are the responsibility of DLG Service.

c. DLG Service reserves the right not to accept individual parts of an offer. In this case, the agreement between the parties shall be concluded in accordance with clause 2 e. seven days after receipt of the sponsoring confirmation by the sponsor, provided it does not contradict this in writing within this period.

d. DLG Service reserves the right to unilaterally adapt the services specified in clause 4 a., provided this is necessary for urgent reasons.

e. DLG Service can make a selection from all submitted offers if the offers exceed the capacities of the respective advertising materials. If DLG Service cannot take a submitted offer into account, it shall notify the affected sponsor of this fact immediately.

f. DLG Service shall be obligated to use the logos and images provided to it by the sponsor exclusively for the advertising materials agreed upon. Before use, it has the right to check the logos and images provided by the sponsor for their suitability and compatibility with the image of DLG Service and with the companies related to it. If they are not suitable or are incompatible with its image, DLG Service can reject their use. In case of a rejection, it shall inform the sponsor of this fact immediately and shall give it the opportunity to make improvements.

g. DLG Service is prohibited after reaching an agreement with the sponsor from altering permissible advertising information of the sponsor in whole or in part. In particular, it may not remove the logo or other markings of the sponsor, or partially or completely conceal advertising information of the sponsor.

5. Liabilitya. DLG Service excludes any liability for any cases of liability whatsoever,

unless DLG Service, its legal representatives or vicarious agents act with gross negligence or intent. Furthermore, this limitation of liability does not apply in case of a loss of life, limb or health, even if it is due to minor negligence, as well as in case of a failure to fulfil such obligations due to minor negligence, which enable the proper execution of the contract in the first place, and the violation of which jeopardises the achievement of the purpose of the contract and upon whose compliance the client may regularly rely. In particular, beyond carrying out the services it is obligated to provide, DLG Service shall not be liable for any non-achievement of the communicative goals pursued by the sponsor with the conclusion of this agreement, unless DLG Service has impeded or prevented their realisation by culpably breaching fundamental contractual obligations or through grossly negligent behaviour.

b. The parties agree that the sponsor is involved in neither the organisation nor the production of the advertising materials and therefore bears no responsibility for this. The liability of the sponsor for immediate actions by itself and its vicarious agents toward third parties shall remain unaffected.

6. Term The agreement shall become effective upon receipt of the sponsoring

confirmation by the sponsor and shall end with the ending of the event without notice of termination being required.

7. Legal Consequences if Event is Cancelleda. If the event is ended prematurely due to circumstances for which DLG

Service is not responsible or due to force majeure, or does not take place at all, then no party shall be obligated to render services. Partial services shall be remunerated. Advanced payments shall be refunded if they exceed the services to be remunerated.

b. DLG Service shall be obligated to inform the sponsor immediately about the cancellation or premature termination of the event.

8. Premature termination of event, restitution of servicesa. Ordinary termination is excluded. The right of the parties to the agreement

to extraordinary termination for an important reason shall remain unaffected by this.

b. Notice of termination must be given in writing.

9. Confidentiality The parties shall be obligated to treat the mutual obligations and the entire

content of the sponsoring agreement as confidential when dealing with third parties. The disclosure of the agreement in any way to third parties shall only be permissible due to compulsory legal provisions or to protect the interests warranting protection of one or both parties. These obligations continue to apply between the parties after termination of the agreement.

10. SeverabilityShould individual provisions of these conditions or parts thereof be or become

ineffective, then this shall not affect the validity of the remaining provisions and the agreement concluded under inclusion of these conditions for participation as a whole.

11. Limitation Period, Written Form, Placed of Performance, Place of Jurisdictiona. All claims of the sponsor against DLG Service shall be asserted in writing

within one month after the end of the event.b. Any changes, additions and deviations shall be made in writing.c. German law shall apply exclusively.d. The place of performance and the place of jurisdiction are Frankfurt am

Main, Germany. However, DLG Service reserves the right to assert its claims before the court of the place at which the sponsor has its registered office.
