Trustees to order at 5:06 p.m. after determining that a quorum was present.

II. PLEDGE OF ALLEGIANCE: Dr. Scott led the Board and guests in reciting the Pledge of Allegiance.

III. CERTIFICATION OF THE POSTING OF THE NOTICE OF THE MEETING:

Chancellor Head confirmed that the Notice for the meeting had been properly posted. No action was required. A copy is attached as Exhibit “A”.

VII. INTRODUCTIONS, SPECIAL GUESTS AND RECOGNITIONS: Dr. Head thanked Dr. Lee Ann Nutt for hosting the board meeting at the LSC-Tomball. Dr. Nutt introduced the LSC-Tomball ambassadors working at the board meeting: Amanda Ortiz, Destini Pendleton, Emily Ponce Camacho, Donald Richardson, Layce Williams, Tarell Jenkins, Latasha Riley, Hugo Guerrero, Georgia Palmer, Casey Johnson, Kim Wilson, Abbey Taylor, Ashley Rodriguez, LaNora Lee, Daniel Starr, Caitlynn Crippen, Regan Herron, and Erin Fleming. Nicole Aboltin, director of client relations for college services presented the winners of the Chancellor’s Faculty Technology Innovation Grant (CFTIG): Start Close, Go Far, Stay Near. Connecting our Students to Learning with Nearpod, LSC-Tomball Latoya Hardman Lewis, Sarah Stewart, Caroline Jamroz, LSC-Montgomery: Shuang Zhao; Training for Careers in Bio-Medical, Industrial and Environmental Chemistry, LSC-Tomball, Ira L. Goldknopf, Ph.D., Marvin Brandon Lowery, Mohammed Mojibul Haque, Ph.D., Muslim D. Shahid, Ph.D., Doug Lamppin, M.D., William J. Simcik, Ph.D., LSC-Montgomery, Daniel Kainer, Ph.D., Janeu Houston, Ph.D.; Anatomage: Virtual Life Size Human Dissecting/Learning Platform, LSC-North Harris, Tammy Edmonds, Indrani Rajani, Ph.D., and Mary S. VIII. WORKSHOP: Quentin Wright, special assistant to the chancellor gave a presentation on African American Success Trends. The overview discussed enrollment, graduate and college readiness trends. Dr. Wright indicated that key factors in completion are income level, college readiness and campus engagement. Dr, Wright highlighted the Student Success Institute and how this program has expanded and how it is affecting student success. IX. APPROVAL OF THE MINUTES OF THE SEPTEMBER 6, 2018 WORKSHOP AND REGULAR MEETING OF THE BOARD OF TRUSTEES: upon a motion by Dr. Scott and a second by Mr. Vogt, the board approved the minutes of the September 6, 2018 Workshop and Regular Meeting of the Board of Trustees. Dr. Holsey abstained.

X. SPECIAL REPORTS AND ANNOUNCEMENTS:

1. Chancellor: Dr. Head thanked Mario Castillo and his staff for the successful fundra iser that raised $500,000 for LSC Promise Scholarship for Hispanic students. Another LSC promise fundraiser to raise money for African American students will be planned at a future date. Dr. Head, Jesse Ayala, associate vice chancellor of government relations and Trustees Murillo, Smith and Saldivar went to Washington, DC to meet with the Department of Education to discuss issues with financial aid applications and workforce education grants through the Department of Labor. Dr. Head testified at legislative hearings – September 12th on dual credit and September 19th to report on the impact of Hurricane Harvey and what the state can do improve on their services.

2. College Presidents: Rebecca Riley, president of LSC-Montgomery gave a presentation

on The Typical Atypical Student. Dr. Riley gave an overview of the change in the typical student attending Lone Star College.

3. Vice Chancellors: None.

4. Faculty Senate Presidents: Janeu Houston, faculty senate president, LSC- Montgomery gave a presentation on Living Online Learning Online and online success model for student success.

5. Board Members: Dr. Scott congratulated Dr. Holsey on participating in the world

triathlon in Australia. He placed 16th in the world and placed in the top 8 in the United States.

Mr. Murillo attended the recent fundraiser to raise money for LSC Promise Hispanic student scholarships. Ms. Saldívar thanked Dr. Quentin Wright and Dr. Gerald Napoles for their work in the community and shared the excitement of residents in the new East Aldine Center area for the center opening.

XI. CITIZEN PARTICIPATION: Ms. Gemini Wahhaj, representing AFT, addressed the board on grievance and appeals. Mr. Earl Brewer, representing AFT, addressed the board about adjunct compensation. Ms. Leah Kirell, representing AFT, addressed the board about counseling programs for students and campus safety. Mr. Chris Partida, representing

AFT, addressed the board about collaborative governance. Mr. John Burghduff, representing AFT, spoke to the board proposing possible policies.

XII. CONSIDERATION OF THE CONSENT AGENDA: Item numbers 2, 5, 6 and 10 were removed from the agenda to be considered separately. Chair Smith proceeded with the Consent Agenda. Dr. Holsey made a motion to approve Action Items 1, 3, 4, 7, 8, 9, 11, 12, 13, 14, 15, 16, 17, 18, 19, 20, 21, and 22. Dr. Scott seconded the motion and the Board unanimously passed the Consent Agenda. A copy is attached as Exhibit “B”.

XIII. POLICY REPORTS AND CONSIDERATIONS:

1. Consideration and Review of the Recommended Revision of the Lone Star College (the

“College”) System Board Policy Manual Section III.D.1.3. Purchases Requiring Board Approval (FIRST READING): the Board of Trustees considered and reviewed the proposed revision to the College’s Board Policy Manual Section III.D.1.3. The revision clarifies which contracts and leases require Board approval. A copy is attached as Exhibit “C”.

2. Consideration and Review of the Recommended Revision of the Lone Star College (the “College”) System Board Policy Manual Sections V.A.6. Dual Credit and V.C.2. Prior Learning Assessment (“PLA”) Credit (FIRST READING): the Board of Trustees considered and reviewed revisions to the College’s Board Policy Manual Sections V.A.6. and V.C.2. to comply with current Texas laws regarding dual credit programs and granting prior learning assessment credit. A copy is attached as Exhibit “D”.

3. Consideration and Review of the Recommended Revision of the Lone Star College (the

“College”) Board Policy Manual Section VIII Information Security Policy (FIRST READING): the Board of Trustees considered and reviewed revisions to the College’s Board Policy Manual Section VIII Information Security Policy. A copy is attached as Exhibit “E”.

4. Consideration and Approval of the Recommended Revision of the Lone Star College (the “College”) Board Policy Manual Section IV.D.3. Retirement Plans (ACTION ITEM 1): the Board of Trustees considered and approved revisions to the College’s Board Policy Manual Section IV.D.3. Retirement Plans, which describes employee retirement plan eligibility. This item was passed in the Consent Agenda. A copy is attached as Exhibit “F”.

5. Consideration and Approval of the Recommended Revision of the Lone Star College

(the “College”) System Board Policy Manual Section VII. Legal Affairs (ACTION ITEM 2): the Board of Trustees considered and approved revisions to the College’s Board Policy Manual Section VII. regarding legal affairs and the Office of the General Counsel. This item was passed in the Consent Agenda. A copy is attached as Exhib it “G”.

Consideration of Approval for Board of Trustees Travel (ACTION ITEM 3): the Board of Trustees authorized Dr. Alton Smith, Art Murillo, Ken Lloyd and Myriam Saldívar to attend the Association of Community College Trustees Annual Leadership Congress on October 24-27, 2018 in New York, NY. This item was passed in the Consent Agenda. A copy is attached as Exhibit “H”.

XIV. FOUNDATION REPORTS AND CONSIDERATIONS:

1. Ratify and Approve the Appointment of LSC Foundation Board Members (ACTION ITEM 4): the Board of Trustees ratify and approve the appointment of the LSC Foundation Board Members listed on the following page for the positions indicated. The attached list represents those individuals selected by the LSC Foundation Board of Directors at their June 28, 2018 meeting. This item was passed in the Consent Agenda. A copy is attached as Exhibit “I”.

XV. FINANCIAL REPORTS AND CONSIDERATIONS:

1. Consideration of Approval of Resolution and Ordinance Levying the Interest and Sinking (“I&S”) Component of the Ad Valorem Tax Rate for Tax Year 2018 (ACTION ITEM 5): Dr. Smith moved that the interest and sinking property tax rate remain the same as last year’s rate by the adoption of a tax rate of $0.0278/$100. Mr. Murillo seconded the motion and Dr. Smith proceeded with a roll call vote. Voting aye: Ken Lloyd, Myriam Saldívar, Dave Holsey, Alton Smith, Kyle Scott, David Vogt, Lind Good and Art Murillo. The board unanimously adopted the resolution and ordinance levying the I&S component of the ad valorem tax rate for tax year 2018 at $.0278 per $100 assessed valuation. A copy is attached as Exhibit “J”.

2. Consideration of Approval of Resolution and Ordinance Levying the Maintenance and Operations (“M&O”) Component of the Ad Valorem Tax Rate for Tax Year 2018 (ACTION ITEM 6): Dr. Smith moved that the maintenance and operations property tax remain the same as last year’s rate by the adoption of a tax rate of $0.0800, which is effectively a .65% increase in the total tax rate. Mr. Murillo seconded the motion and Dr. Smith proceed with a roll call vote. Voting aye: Mr. Murillo, Linda Good, David Vogt, Kyle Scott, Alton Smith, Dave Holsey, Myriam Saldívar and Ken Lloyd. The board unanimously adopted the resolution and ordinance levying the M&O component of the ad valorem tax rate for tax year 2018 at $.0800 per $100 assessed valuation. A copy is attached as Exhibit “K”.

3. Consideration of Approval of Investment Broker/Dealers to Act on Behalf of Lone Star

College (the “College”) for FY 2019 (ACTION ITEM 7): the Board of Trustees approved the attached recommended list of investment broker/dealers for FY 2019. This item was passed in the Consent Agenda. A copy is attached as Exhibit “L”.

4. Consideration of Approval to Purchase Promotional Products for Lone Star College

(the “College”) (ACTION ITEM 8): the Board of Trustees approved the purchase of promotional products for the College from the attached list of recommended providers

for a cumulative sum not exceeding $3,300,000 over a five-year period. This item awas passed in the Consent Agenda. A copy is attached as Exhibit “M”.

5. Consideration of Approval to Authorize the Chancellor or Designee to Negotiate and Execute a Contract on Behalf of Lone Star College (the “College”) for Delinquent Tax Collection Services (ACTION ITEM 9): the Board of Trustees authorized the Chancellor or designee to negotiate and execute a contract on behalf of the College with the top-ranked firm, Linebarger, Goggan, Blair & Sampson, LLP (“Linebarger”), 4828 Loop Central, Suite 600, Houston, TX 77081, for delinquent tax collection services. The term of this award is for a five-year period with an initial three-year period and the option to renew for two additional one-year periods. The Chancellor recommends that the firm with the highest evaluation score be awarded the contract. Also, if negotiations cease for any reason with Linebarger, that the Board authorize the Chancellor or designee to negotiate with the next firm in the order of selection ranking with a score of not less than 70 until a contract is executed. . This item was passed in the Consent Agenda. A copy is attached as Exhibit “N”.

6. Consideration of Approval to Authorize the Chancellor or Designee to Negotiate and Execute a Contract on Behalf of Lone Star College (the “College”) to Purchase Real Estate and to Negotiate and Execute Agreements and Easements Related to the Property for the Lone Star College-Montgomery (“LSC-Montgomery”) Satellite Center (ACTION ITEM 10): upon a motion by Dr. Holsey and a second by Dr. Scott, the Board of Trustees authorized the Chancellor or designee to negotiate and execute a contract on behalf of the College to purchase real estate in Magnolia, Texas for the LSC-Montgomery Satellite Center. The property will be purchased at or below appraised value for a sum not exceeding $3,000,000. In addition, that the Board of Trustees authorize the Chancellor or designee to negotiate and execute any required Agreements and Easements with the property owner, improvement district, munic ipa l utility district, and utility providers necessary for access and utility service to the LSC-Montgomery Satellite Center. A copy is attached as Exhibit “O”.

7. Consideration of Approval to Authorize the Chancellor or Designee to Negotiate and

Execute a Contract on Behalf of Lone Star College (the “College”) to Purchase Services from an Oil and Gas Consultant Firm (ACTION ITEM 11): the Board of Trustees authorized the Chancellor or designee to negotiate and execute a contract on behalf of the College to purchase oil and gas rig consultant services from Kingston Systems, LLC, 55 Candle Pine Place, Suite 100, The Woodlands, TX 77381. The term of this award is for a not to exceed five-year period with a sum not exceeding $300,000. The Chancellor recommends that the firm with the highest evaluation score be awarded the contract if the firm and the College can agree on the requisite contract terms. If negotiations cease for any reason with Kingston Systems, the College may proceed to negotiate with the next firm in the order of selection ranking with a score of not less than 70 until a contract is executed. This item was passed in the Consent Agenda. A copy is attached as Exhibit “P”.

Consideration of Approval to Authorize the Chancellor or Designee to Negotiate and Execute Contracts on Behalf of Lone Star College (the “College”) to Purchase Deliverables Based Information Technology Services (ACTION ITEM 12): the Board of Trustees approved the purchase of deliverables based information technology services from the following firms for a sum not exceeding $5,000,000 for a five-year period: Astute Business Solutions, 4637 Chabot Dr. #220, Pleasanton, CA 94588; Cognizant Technology Solutions Corporation, 211 Quality Circle, College Station, TX 77845; GlobalSource, Inc. dba GlobalSource IT, 2835 N. Mayfair Road, Milwaukee, WI 53222; GP Strategies Corporation, Maverick Solutions Division, 3150 Rogers Road, Suite 200, Wake Forest, NC 27587; Infojini, Inc., 10015 Old Columbia Road, Suite B215, Columbia, MD 21046; Kastech Solutions, LLC. 9. Consideration of Approval to Authorize the Chancellor or Designee to Negotiate and

Execute a Contract on Behalf of Lone Star College (the “College”) to Purchase Virtual Dissection Tables for the Anatomy and Physiology Programs at Lone Star College-Tomball (“LSC-Tomball”) (ACTION ITEM 13): the Board of Trustees authorized the Chancellor or designee to negotiate and execute a contract on behalf of the College with Anatomage, 303 Almaden Blvd., Suite 700, San Jose, CA 95110, to purchase two virtual dissection tables in a sum not exceeding $136,500. This item was passed in the Consent Agenda. A copy is attached as Exhibit “R”.

10. Consideration of Approval to Authorize the Chancellor or Designee to Negotiate and

Execute a Contract on Behalf of Lone Star College (the “College”) for Construction Services with Gadberry Construction for Lone Star College-University Park (“LSC-University Park”) (ACTION ITEM 14): the Board of Trustees authorized the Chancellor or designee to negotiate and execute a contract on behalf of the College for construction services with Gadberry Construction Company, Inc., 13231 Champion Forest, Suite 210, Houston, TX 77069 for the LSC-University Park Commons Build ing Student Services Remodel Project in a sum not exceeding $495,000. This item was passed in the Consent Agenda. A copy is attached as Exhibit “S”.

11. Consideration of Approval to Authorize the Chancellor or Designee to Negotiate and

Execute a Contract on Behalf of Lone Star College (“the College”) for Commercia l Leasing and Real Estate Property Management Services for Lone Star College-University Park (“LSC-University Park”)ACTION ITEM 15): the Board of Trustees authorized the Chancellor or designee to negotiate and execute a contract on behalf of the College with the top ranked firm, Caldwell Watson Real Estate Group, Inc. d/b/a Caldwell Companies, 7904 N. Sam Houston Pkwy. W., 4th Floor, Houston, Texas

77064 for Commercial Leasing and Real Estate Management Services. The Chancellor recommends that the firm with the highest evaluation score be awarded the contract if the firm and the College can agree on the requisite contract terms. If negotiations cease for any reason with Caldwell Companies, the College may proceed to negotiate with the next firm in the order of selection ranking with a score of not less than 70 until a contract is executed. That the Board of Trustees also waive Board Policy section III.D.2.9 Contract Term Limits and Non-Availability of Funds Provision to allow the contract to extend beyond five years. The term of the contract will be for a period not to exceed 15 years. This item was passed in the Consent Agenda. A copy is attached as Exhibit “T”.

12. Consideration of Approval to Authorize the Chancellor or Designee to Negotiate and

16. Consideration of Approval to Authorize the Chancellor or Designee to Negotiate and

Execute a Contract on Behalf of Lone Star College (the “College”) to Purchase Audio Visual Equipment for Lone Star College Kingwood (“LSC-Kingwood”) Including Express Delegation of Authority or Express Adoption of an Exception for this Contract (ACTION ITEM 20): the Board of Trustees authorized the Chancellor or designee to negotiate and execute a contract on behalf of the College to purchase audio visual equipment for LSC-Kingwood to replace equipment damaged by Hurricane Harvey in six buildings. A bid process is currently being conducted in which the firm with the highest evaluation score will be selected. If negotiations cease for any reason with that firm, the College may proceed to negotiate with next firm in order of selection ranking with a score of not less than 70 until a contract is executed. The College estimates that this purchase will exceed $1,000,000; therefore, the Chancellor recommends that the Board of Trustees expressly delegate authority to the Chancellor or designee to exceed $1,000,000 for this contract or expressly adopt an exception to the general statutory requirement that the Board specifically approve any College contract for more than $1,000,000This item was passed in the Consent Agenda. III.D.1.3. Transactions Requiring Board Approval Notwithstanding any other policy section, the following contract types require Board approval unless the Board has expressly authorized approval delegation to the Chancellor or designee: (a) Employment contracts;

(b) Finance agreements;

(c) Purchases or sales of real property;

V.A.6. Dual CreditThe College offers students in high schools within its service area the opportunity to take dualcredit courses. Dual credit courses are courses for which students receive college credit andhigh school credit while still enrolled in high school or homeschooling. Except for coursesthat are part of an approved early college education program established under the TexasEducation Code or any other early college program that assists a student in earning a certificateor an associate degree while in high school, the College only offers dual credit for courses inits core curriculum, for career and technical education courses, and for foreign languagecourses. The curriculum content and rigor of dual credit courses are equivalent to the collegecourse standards and requirements. The faculty must meet the same SACSCOC qualificationsas non-dual credit courses and programs. See the College’s annual course catalog for currenttuition and fee information. Students and parents should also consider that although thesecourses are taught to high school students, the College will treat these dual-credit students ascollege students when enrolled in college courses—regardless of the individual student’s age.

Any agreement entered into or renewed on or after September 1, 2018 between the College and a school district to provide a dual credit program shall adhere to the requirements of Texas Education Code § 28.009 or its successor statute and any state regulations adopted thereunder. All such agreements will be posted on the College’s website.

V.C.2. Prior Learning Assessment (PLA) CreditStudents may obtain Prior Learning Assessment credit. Approved methods include receivingrecognized scores on the ACT, SAT, College Level Examination Program (CLEP)examinations, International Baccalaureate (IB) Diploma Program examinations, AdvancedPlacement (AP) Program examinations, Avant language proficiency assessments, andDANTES Subject Standardized Tests. Students may also receive PLA credit under AmericanCouncil on Education equivalency guides including for military transcripts, high schoolarticulation agreements, the College’s challenge examinations, portfolio reviews, skillperformance examinations, industry certification or licensure, or by successfully completingone or more dual credit courses.

Depending on the subject and course level, to receive PLA credit a student must score between 46 and 55 or higher on a CLEP examination, at least 3 on an AP examination, or at least 3, 4, or 5 on an IB examination.

The College grants up to 24 semester credit hours for the completion of an IB Diploma program with a minimum score of 4 on all exams. The College also grants from 1 to 5 semester credit hours (dependent upon the related course hours) for successfully completing a dual credit course or for receiving a required score on a IB examination, CLEP examination, or AP examination. PLA credit may not exceed 75% of a student’s overall certificate or associate degree coursework.

VIII.A.1. Information Security PolicyThe College preserves Information security, confidentiality, integrity, and availability. The College employs a risk management philosophy that ensures all Information is identified, valued, assessed for risk, and protected, consistent with the College’s needs. Improper Information disclosure, modification, or destruction may harm the College’s mission-supporting operations. The College therefore engages a hierarchical set of industry best practices and frameworks that help users and administrators define and mitigate risks, maintaining a trade-off between information value and the cost of risk mitigation.

Users are responsible for acceptable use. All users must abide by the College’s Information policies, procedures, and standards, as an access condition. Failure to do so may result in immediate and unconditional complete or partial access termination, without prior notice. The user may be subject to disciplinary actions and or criminal prosecution, where applicable. Section VIII controls as regards Information security, confidentiality, integrity, and availability.

VIII.A.1.2. Definitions(a) Information means definable data stored in any manner recognized as valuable to theorganization.

(b) User means the person accessing Information for the purposes of generating, sending,receiving, storing, viewing, controlling, managing, or otherwise processing the content of theInformation.

(c) IT Systems means all computer systems, programs, networks, hardware, intellectualproperty, databases, operating systems, Internet websites, website content and links, andequipment used to process, store, maintain, and operate data, information and functions used in,intended to be used in, or held for use in the College’s day-to-day business.

VIII.A.1.3. Policy ScopeThis Section covers all Information transmitted using the College’s resources. Transmissionmethods include the following non-exhaustive list: electronic media; social media; desktop andlaptop computers; servers; network infrastructure; telephones; facsimiles; printers; and mobilecomputing devices. This policy applies to all individuals and processes that access, view, use, orcontrol College Information. Covered individuals include, but are not limited to, faculty, staff,students, volunteers, contractors, university and K-12 partners, and any other groups, entities orindividuals using College resources.

VIII.A.1.4. Prohibited UseThe College prohibits Users from engaging in the following when using College resources:

(a) Anonymous or forged email messages.

(b) Unauthorized attempts to access another person’s email or similar electroniccommunications; use of another’s name or email address; or sending unauthorized email or similar

(c) Using College email or any other College-owned Information transmission method for commercial purposes or personal financial gain.

(d) Attempted or actual access to any restricted computing resource without authorization.

(e) Transmitting copyrighted materials without the written permission of the author or creator through College email or any other College-owned Information transmission method in violation of U.S. copyright law.

(f) Using College email or any other College-owned Information transmission method in a manner that disrupts the College’s work or educational mission, such as improper access and use of College global email address lists or other messaging.

(g) Using College computing resources to store, download, upload, display, print or email computer images that constitute obscene materials as defined by Texas Penal Code § 43.21, regardless of whether such information is related to or required for a specific educational course or research directly related to an educational program.

(h) Displaying or transmitting messages, images, cartoons, or other displays that are sexually explicit or demean a person on the basis of race, ethnicity, sex, national origin, disability, religion, or sexual orientation.

(i) Uploading or downloading confidential or proprietary College data or College-work product to an unauthorized cloud service is prohibited. Authorized cloud services are third party vendor services with which the College has entered into a contract.

(j) Sharing your individual account, password, or other authentication means.

(k) Attempted or actual access to compromise any College or external computer resource via unauthorized access and or in an unauthorized manner.

(l) Removing installed computer management software or security-related software (e.g., antivirus software). This includes installing software that conflicts with College-installed security software or overriding such software.

(m) Attempting to circumvent or subvert the College’s Information system’s security measures. This includes (1) password decrypting or cracking tools; (2) Denial of Service or Distributed Denial of Service; (3) harmful activities (e.g., IP spoofing, port scanning, disrupting services, damaging files, or intentional destruction of or damage to equipment, software, or data);(4) unauthorized access (e.g., using another user’s account, using a special purpose account, escalating own privileges); or (5) unauthorized monitoring (e.g., keyboard logging, network packet capturing). This does not preclude the use of security tools by appropriately authorized personnel.

User Responsibilities The Office of Technology Services (OTS) creates security controls and procedures that appropriately and reasonably prevent, detect, contain, and identify risks to Information confidentiality, integrity, and availability. Users, however, are also responsible for protecting the College’s Information. Specific Responsibilities. (1) Users must uphold Information confidentiality and integrity of all Information in their control; (2) Users are prohibited from accessing, copying, altering, or destroying anyone else’s information without proper authorization; (3) Users are individually responsible and accountable for any use of their account and password. (4) Uniquely identifiable information (i.e., passwords) should not be shared under any circumstances; (5) Users cannot run, or otherwise configure, software or hardware that intentionally allows unauthorized access to College Information resources; (6) any IT System created within the College environment must be reviewed by the College’s Information Security Officer (ISO) for security standards, data classification ranking, and by OTS Technical Service for hardware requirements, capacity planning, and ongoing support the hardware and application.

(a) Confidentiality. The College cannot guarantee the privacy or confidentiality of electronic documents, messages, or information. A person that requires such assurances should not communicate over unsecured, shared networks and or via the email system. (b) Message Standards. Messages sent as electronic mail should meet the same standards for distribution, display, and retention as if they were tangible documents or instruments. As with all records maintained by the College, and to the extent required by law, files saved as College Information, including email, may be subject to public disclosure in response to a public information request. (c) Overloading. The College may intercept and stop email messages, computer programs, or websites, which have the capacity to overload any computer resource. Overloading encompasses use of computational resources, such as bandwidth, disk space, or CPU time that adversely impact the College’s information assets. (d) Electronic Signatures. A User authorizes use of their electronic signature by signing on to the College’s network with valid College credentials. VIII.A.1.6. Email Privileges Access to College Email is a privilege—not a right—generally extended to current employees, students, and former College retired employees that are in good standing. Email services may be revoked when employment ends, during administrative leave, for violating policies or procedures, or with the failure to re-enroll in a College educational program. The College may access the email system to engage in routine computer maintenance and housekeeping, carry out internal investigations, prepare responses to requests for public information, disclose messages, data, or files to law enforcement authorities, or for any other legitimate business purpose.

Fourth Edition VIII.A.1.7. Logging Information All access to networked systems must be logged. When determined to be critical to the College, transaction logging must be included regardless of the operating platform. Log data must be classified as sensitive. These logs must be retrievable through clearly defined procedures and must be maintained for time periods prescribed for audit, legal, and recovery purposes. As new applications, platforms, mediums, or other technical changes to system operations are made—and if practical and or technically affordable—logging requirements and availability must be considered. Requirements for logging data must be clearly established as system, architectural, technical, or network designs. VIII.A.1.8. Safeguarding Information The Chancellor, or designee, serves as the Information Security Officer (ISO). The ISO is responsible for assisting in governance, creating procedures, identifying roles and responsibilities, risk assessment, awareness, and communicating the Information security program. The ISO, through the Office of Technology Services, is responsible for establishing strategies for implementing and enforcing security policies and for advising on security-related issues.

(a) Business Continuity & Disaster Recovery. Disaster Recovery (DR) is comprised of plans and activities designed to recover technical infrastructure and restore critical business applications to an acceptable condition. DR is a component of Business Continuity Planning (BCP), which is the process of ensuring essential business functions continue to operate during and after a disaster. OTS is responsible for the College’s Disaster Recovery. Business Continuity Plans must be developed with requirements based on specific risks associated with the process or system. All staff must be made aware of the Business Continuity Plan and their own respective roles. Each college and administrative unit is responsible for their respective Business Continuity Plans. (b) Incident Response. Incident Response is a predefined response process that establishes Information security requirements if an unplanned computer system event occurs, including network intrusions, denial of service, computer virus outbreaks, and other outages that negatively impact the availability of College systems, applications, and or information assets. Information security incident response procedures must include, but are not limited to, the following: (1) specific roles and responsibilities; (2) key contact information; and (3) high-level guidelines for investigating, documenting, and reporting security incidents.

(c) Third Party Access. Access to College Information systems by third parties (i.e., contractors, partners, vendors, lessees) requires appropriate controls. All third parties that have access to College Information must comply with College information security policies and may be required to show proof of such compliance at any time. (d) Security Audits. The ISO conducts periodic reviews and revisions of security controls, policies, and procedures. Additionally, the ISO periodically assesses Information technology systems and processes to ensure that evolving risks are appropriately addressed.

(e) Privacy Officer. The General Counsel is the College’s Privacy Officer. The Privacy Officer issues guidelines regarding use of social security numbers, educational records, health care

(d) Training. The College shall ensure that employees are properly trained as regards Information security.

IV.D.3. Retirement Plans

IV.D.3.1. Policy The College offers comprehensive retirement plans and optional income tax deferrals to eligible employees. As a Texas institution of higher education, the College’s retirement plans are governed by the State of Texas. Indeed, the State of Texas is the final authority on plan eligibility, contribution levels, and other plan-related details. Every College employee eligible for TRS participates in TRS or in ORP, if eligible for ORP and if a timely ORP election is made. Employees not eligible for TRS must enroll in TIAA if they are eligible for TIAA, except that active Social Security retirees may choose not to participate in TIAA.

(a) Teacher Retirement System of Texas (TRS) TRS is a defined benefit plan controlled and governed by the State of Texas. TRS contributions are housed in a State-controlled trust fund and managed by investment professionals. TRS is available to all benefits-eligible employees.

(b) Optional Retirement Program (ORP) ORP is a defined contribution plan that allows certain eligible participants to select a College-approved financial institution for retirement fund investment. Benefits-eligible employees must enroll in either TRS or ORP within 90 calendar days of employment. This is an irrevocable decision. If a benefits-eligible employee fails to make such a decision, the benefits-eligible employee will be automatically enrolled in TRS.

(c) TIAA TIAA is a defined contribution plan. College employees not eligible for TRS must participate in TIAA if eligible, except that active Social Security retirees may choose not to participate in TIAA. For TRS-ineligible, TIAA-eligible employees not participating in TIAA, the College will withhold from these employees’ paychecks the employee portion of Social Security payroll taxes and remit these amounts with the employer portion of Social Security payroll taxes as required by federal law.

(d) Tax Deferred Annuity (TDA) TDA allows employees to set aside tax-deferred income. TDA is optional and available to all College employees. Contribution levels are subject to current federal income tax laws.

(e) Deferred Compensation Plans Deferred compensation plans allow employees to defer certain compensation, taxable at distribution. The College’s deferred compensation plans are optional and available to certain College employees.

VII.A. OFFICE OF THE GENERAL COUNSEL

VII.A.1. PolicyThe Office of the General Counsel (“OGC”) provides legal services to the College. The GeneralCounsel serves as the College’s chief legal officer. OGC protects the College’s interests byproviding responsible legal advice. OGC employs all appropriate means to protect and advancethe College’s legitimate rights, claims, and objectives. The relationship between OGC and theCollege is that of attorney and client. OGC manages outside legal counsel and related serviceproviders for the College. OGC does not provide legal advice or representation to College officers,employees, or agents on personal legal matters. To the extent that the College’s legal interests arenot aligned with the legal interests of College employees, OGC represents only the College. OGCis the ultimate arbiter of Board Policy as between the various officers and employees of the Collegewhen an opinion cannot be rendered by or solicited from the Chancellor or the Board of Trustees.

VII.A.2. Definitions(a) Legal Opinion means any formal request for a recommendation or interpretation regarding theapplication of any legal authority to the College, including the legal advantages and disadvantagesof proposed College actions.

VII.A.3. Contract ManagementAll College contracts must be in writing and require OGC review. The College will comply withTexas Education Code § 51.9337(d) or any successor statute. OGC maintains a registry of writtenauthority delegations. Position vacancies nullify written authority delegations.

VII.A.4. Requests for Legal OpinionLegal opinion requests should be submitted to OGC. Requests for legal opinions from the Boardof Trustees should be directed to the Office of the Chancellor and to OGC.

VII.A.5. LitigationThe Chancellor delegates authority to OGC to manage College litigation.

VII.A.6. PrivacyThe College strives to ensure that confidential information is effectively managed and protectedin accordance with applicable laws and regulations. The General Counsel serves as the College’schief privacy officer. The chief privacy officer collaborates with various College divisions increating and issuing confidential information guidelines, required privacy notices, safeguards, andcontrols regarding the release, use, display, and transmission of confidential information.

Rationale: The Public Funds Investment Act (“PFIA”), Texas Government Code § 2256, requires that the Board approve firms to transact investment business with the College each year.

At the October 3, 2016 meeting, the Board of Trustees approved the attached list of recommended firms through a Request for Qualifications (“RFQ”) #448 process in compliance with Texas Government Code § 2254.

The six highest-ranking firms were recommended as the College’s investment broker/dealers in FY 2017 for a three-year period, to be evaluated annually and submitted for approval again prior to the second and third years. Coastal Securities is no longer in business and has been removed from the list. The performance of the remaining five firms has been evaluated by the Finance and Operations staff and is now being presented to the Board for its third year of approval.

In compliance with the College’s policy and Texas State law, each firm received a copy of the College’s investment policy. The College will complete the certification process for each of the recommended broker/dealers for the coming fiscal year. The certification process documents their understanding of the PFIA and the suitability of investments in compliance with the College’s investment policy.

Request: Consideration of Approval to Purchase Promotional Products for Lone Star College (the “College”)

Chancellor’s Recommendation:

That the Board of Trustees approve the purchase of promotional products for the College from the attached list of recommended providers for a cumulative sum not exceeding $3,300,000 over a five-year period.

Rationale: Departments throughout the College require promotional products for events, conferences, fundraisers, employee motivation, job fairs, and student recruitment/completion programs. The promotional items bear the College’s name and logo to build goodwill and promote the College.

In compliance with Texas Education Code §44.031 (a), a Request for Proposals (“RFP”) #590 was publicly advertised and fourteen responses were received. The evaluation of the proposals was conducted based on cost, qualifications, experience, and service needs met; references; quality of services; the extent to which certified historically underutilized business (HUB), minority and/or veteran or women-owned business are utilized; past performance; long-term cost; and enhanced services, completeness, and thoroughness of response.

The Chancellor recommends that the Board approve the award of the services required to a pool of fourteen vendors. All vendors will provide quotes.

Fiscal Impact: Funds for these purchases are included in the FY 2019 operating budget. Funds for subsequent years will be included in future proposed budgets. Average annual costs are estimated to be $660,000 based on the College’s annual purchases in prior years.

Chancellor’s Recommendation:

That the Board of Trustees authorize the Chancellor or designee to negotiate and execute a contract on behalf of the College with the top-ranked firm, Linebarger, Goggan, Blair & Sampson, LLP (“Linebarger”), 4828 Loop Central, Suite 600, Houston, TX 77081, for delinquent tax collection services. The term of this award is for a five-year period with an initial three-year period and the option to renew for two additional one-year periods. The Chancellor recommends that the firm with the highest evaluation score be awarded the contract. Also, if negotiations cease for any reason with Linebarger, that the Board authorize the Chancellor or designee to negotiate with the next firm in the order of selection ranking with a score of not less than 70 until a contract is executed.

Rationale: The firm will collect property taxes owed to the College and to any other taxing unit whose taxes are assessed and collected by the College. It will prepare and send notices to delinquent taxpayers as may be required by law and/or as may be advisable for the purpose of expediting collections. The firm will file lawsuits against delinquent taxpayers to foreclose tax liens and otherwise facilitate collection of delinquent taxes. All actions by the firm, on the College’s behalf, will be reviewed and approved by the College’s Office of the General Counsel.

In compliance with Texas Education Code §44.031 (a), a request for Proposal (“RFP”) #607 was publicly advertised and two responses received. Rationale: The College is required to construct the LSC-Montgomery Satellite Center included in the General Obligation Bond program approved by the voters November 4, 2014. The Center will include classrooms, computer labs, offices, a data center, and collaborative workspaces allowing students to experience real-world work environments.

The College will retain professional engineering and surveying firms to perform due diligence on the property. Additionally, a market analysis and appraisal will be performed.

Rationale: Consulting services are needed in the development of a technical statement of work to be used in a formal bid process to request proposals for an oil and gas training center with a training rig as its centerpiece. The technica l statement of work will focus on the procurement of oil rig equipment and operation.

In compliance with the provisions of Texas Government Code §2254.003, a Request for Qualifications (“RFQ”) #578 was issued for the purpose of soliciting responses from firms interested in performing oil and gas consultant services. The College received four responses. The evaluat ion of qualifications was conducted using a two-step process. For step one, the evaluation of qualifications was conducted based on the firm’s qualifications, experience, reputation, quality, past performance, and extent to which certified historically underutilized businesses (“HUB”), minority and/or veteran or women-owned businesses are utilized.

In compliance with the provisions of Texas Education Code §44.031 (a), a Request for Proposal (“RFP”) #586 was publicly advertised and twenty-one responses were received. Upon review and evaluation of the proposals, the decision was made to award eleven firms master consulting agreements because of the firms’ varied skills, expertise and cost structure. The firms understand that the services under these master consulting agreements are on a non-exclusive basis and the College provides no guarantee that the firm will be awarded services under a scope of work agreement. This approach will add value to the College by containing costs and increasing the efficiency of the Office of Technology Services in meeting the College’s needs. As required consulting services are identified by the College, a request for quote will be made from two or more firms for the specific services. Should the firm’s quote be selected for the project, the parties will enter into a fully executed scope of work agreement before the work commences. Consulting services with an estimated cost of $50,000 up to $500,000 will require quotes from three vendors based on the skill sets required. Rationale: The LSC-Tomball Health and Science Department provides classes in Anatomy and Physiology, which support health occupation workforce education programs. The Anatomage Virtual Dissection Tables will allow anatomy and physiology students to perform dissections on a life-size cadaver. The students will be able to dissect reconstruction and cross-sectional planes of human clinical cases. They will also be able to compare normal and abnormal pathologies. The tables’ software also has features for students to answer questions and take quizzes to enhance their learning of anatomy and physiology in order to prepare for their health occupation programs.

In compliance with Texas Education Code §44.031 (a), a Request for Proposals (“RFP”) #608 was publicly advertised and one response was received. Rationale: A Master Agreement with a Master Tenant providing Leasing Services is necessary for LSC-University Park, Buildings 9 and 10 for the existing tenants and for leasing the vacant spaces that will increase the overall occupancy, net operating income, and overall net profit while effectively managing capital costs and operating expense for the College.

Rationale: The financial aid eligibility verification program is a U.S. Department of Education mandated requirement. The College’s financial aid program has grown and currently supports 38,000 students who receive a variety of financial aid awards, including PELL grants, state and local grants, scholarships, and federally sponsored low interest loans. The significant increase in financial aid awards has stretched campus resources to capacity. Collection of student documents and subsequent verification of those documents occur primarily during peak enrollment periods and require-s an extensive knowledge of financial aid regulations. Consequently, hiring additional qualified staff for those peak periods is problematic.

Rationale: The initial Lease Agreement between the College and Spring ISD was dated March 1, 2015, for the purpose of providing space for the Continuing Education Transportation Institute. The Lease Agreement has been amended four times to extend the term and will currently expire on February 28, 2019. The new Lone Star College-Corporate College Transportation Institute Facility is scheduled for completion in Fall 2019. The extension of the Lease Agreement until November 30, 2019 will allow the program to continue at the Spring ISD location until the new facility is completed.

Fiscal Impact: The rental expense is $5,000 per month. The nine-month extension will be $45,000 and will bring the cumulative sum of the expense to $285,000 for the Spring ISD rental. Funds for this purchase are included in the FY 2019 operating budget.

Request: Consideration of Approval to Authorize the Chancellor or Designee to Purchase Computers, Printers, and Accessories on Behalf of Lone Star College (the “College”) for Lone Star College-Kingwood (“LSC-Kingwood”)

Chancellor’s Recommendation:

That the Board of Trustees authorize the Chancellor or designee to execute one or more contracts to purchase computers, printers, and accessories on behalf of the College from Netsync, 2500 West Loop South, Suite 410, Houston, Texas, 77027 for a total sum not exceeding $1,121,389.

Rationale: Computer equipment and supplies are needed to replace items damaged by Hurricane Harvey in five buildings at LSC-Kingwood: Classroom Building A, Classroom Building B, Fitness Center, Health Science Building, and Performing Arts Center.

In compliance with Texas Education Code § 44.031(a), a Request for Proposals (“RFP”) #592 was publicly advertised and one response was received. The proposal was evaluated based on price, qualifications, experience, and service needs met; references; quality of the goods and services; the extent to which certified historically underutilized business (“HUB”), minority and/or veteran or women-owned business are utilized; past performance; long-term cost; and value added services, completeness, and thoroughness of response.

Fiscal Impact: Funds for these purchases are available from Fund 35. Subsequent reimbursement of Fund 35 will occur from insurance proceeds, FEMA Public Assistance proceeds, bond funds as deemed appropriate, and operation fund cash reserves, in this order.

Request: Consideration of Approval to Authorize the Chancellor or Designee to Negotiate and Execute a Contract on Behalf of Lone Star College (the “College”) to Purchase Audio Visual Equipment for Lone Star College-Kingwood (“LSC-Kingwood”) Including Express Delegation of Authority or Express Adoption of an Exception for this Contract

Chancellor’s Recommendation:

That the Board of Trustees authorize the Chancellor or designee to negotiate and execute a contract on behalf of the College to purchase audio visual equipment for LSC-Kingwood to replace equipment damaged by Hurricane Harvey in six buildings. A bid process is currently being conducted in which the firm with the highest evaluation score will be selected. If negotiations cease for any reason with that firm, the College may proceed to negotiate with next firm in order of selection ranking with a score of not less than 70 until a contract is executed.

The College estimates that this purchase will exceed $1,000,000; therefore, the Chancellor recommends that the Board of Trustees expressly delegate authority to the Chancellor or designee to exceed $1,000,000 for this contract or expressly adopt an exception to the general statutory requirement that the Board specifically approve any College contract for more than $1,000,000.

Rationale: On May 3, 2018, the Board approved the purchase of specialty equipment, lab equipment, furniture, IT equipment, and IT Infrastructure for LSC-Kingwood in a sum not exceeding $19,000,000. Nevertheless, state law prohibits the College from entering into any contract for more than $1,000,000 unless the Board (1) approves the specific contract; (2) expressly delegates authority to exceed that amount; or (3) expresslyadopts an exception for that contract.

The Chancellor requests the pre-approval of this purchase due to the time constraints of getting the equipment purchased and delivered prior to the re-opening of LSC-Kingwood’s main campus in January 2019.

Fiscal Impact: Funds for these purchases are available from Fund 35. Subsequent reimbursement of Fund 35 will occur from insurance proceeds, FEMA Public assistance proceeds, bond funds as deemed appropriate, and operating fund cash reserves, in this order.

2014 General Obligation Bond Program Projects Summary

LSC-CyFair

• Westway Park Technology Satellite Center: A 54,000 sf renovation of an existing building, this project will support technology programs such as information systems and related support. The Board has approved the selected contractor and contract negotiations are in progress. Construction began in April and is scheduled to be completed in the fourth quarter of 2018.

LSC-Kingwood

• Healthcare Instructional Building: A new 60,000 sf building to be built on the

Kingwood campus will support a healthcare instructional program. AutoArch has been awarded as the architects and Tellepen Builders will be the construction manager. Programming was completed and schematic design commenced in July 2018 with a planned completion of construction in the Summer of 2020.

LSC-North Harris

• East Aldine Satellite Center: A new 65,000 sf facility located in the Aldine School District, this building will offer general curriculum studies and workforce instruction as well as an Early College program partnership with Aldine ISD. The Guaranteed Maximum Price (GMP) was approved at the March 2018 Board Meeting. A Notice to Proceed was issued in April 2018 with a Substantial Completion scheduled for Summer of 2019.

• Central Plant Upgrades: The maintenance replacement of an existing cooling tower and chiller are necessary to support HVAC conditioning for the campus during the peak cooling season. The contractor has been released for equipment procurement and installation in March of 2018. The project is expected to be completed in third quarter of 2018.

• Winship Re-roof: The maintenance replacement of the existing roof on the Winship Building is needed. The Board has approved the selected contractor. Demolition of the existing roof began in March of 2018.

LSC-Montgomery

• Student Services Building: A new 60,000 sf building to be built on the Montgomery campus will expand student service capabilities. Contract negotiations are in progress with the Construction Manager. The architect, Harrison Kornberg, began programming third quarter of 2018 with a planned completion of construction in the Spring of 2020.

LSC-Tomball

• South Entrance Drive: Discussions are in progress with TxDot and LSC regarding the new main entrance monument sign, irrigation and landscaping. Negotiations are

underway to purchase property for the sign location. The survey is in progress for the proposed location.

LSC-University Park

• Buildings 12 & 13 Entrance Canopy and Parking: Construction began December 2017 for a new entrance to buildings 12 & 13. The entrance will provide a drop off location for vehicular traffic off of Compaq Center W Drive. The project received Certificate of Occupancy August 17, 2018 and opened for the public for classes for Fall of 2018.

• Student Life Renovation, Commons Building Level 2: Based on construction plans prepared by the Architect, RdlR, proposals are being received for an interior renovation of the Student Life and Commons area in building 12.

• Instructional Arts Building: A new 40,000 sf building to be built on the University Park campus will support an instructional arts program. Studio Red Architects will be the design firm. Programming Kick-off commenced in May 2018 with a planned completion of construction in the Summer of 2020.

Hurricane Harvey Recovery

• LSC-Kingwood Main Campus: A CMAR contract for build back has been awarded to Anslow Bryant. Design is ongoing for the build back construction for six buildings. Elevator rebuild and other minor repairs required for access to level two (L2) classrooms in the Administration and Library buildings are complete. The Modular Classroom buildings are complete and are being utilized for Fall 2018 classes. Fireproofing, framing and sheetrock walls began in July 2018 with a planned opening for Spring semester 2019.
