GENERAL INFORMATION THE DFW BOAT EXPO shall be an exposition of new boats, and related equipment, supplies, and services available to the public. Used equipment is not eligible for exhibit unless it is required to demonstrate a specific service or product. Used equipment shall be allowed to be exhibited in non-static displays, such as informational photo walls, handouts, electronic presentations or other. LOCATION Amon G. APPLICATION DEADLINE The application deadline is FEBRUARY 22, 2019. A completed application & 50% deposit are required to hold space. The final deadline for all applications is MARCH 6, 2019. All assignment of space will be made on a first come first served bases. NO SPACE ASSIGNMENTS OR HOLDS WILL BE MADE WITH OUT DEPOSIT! PAYMENTS The designated payment schedule is as follows, NO EXCEPTIONS: • First payment, 50% of total rental fee, must accompany application for space • Final payment, representing the remaining balance, is due on or before March 6, 2019. • Late fee of 1.5% of the amount due will be applied to any payment not received by the due date. Late fee will be applied per month • Payment schedule for applications received after March 6, 2019 deadline will be provided by management on a case by case basis.

If exhibitor must cancel space for good and sufficient reasons, after application has been approved and accepted, and written notification of such cancellation is delivered to show management, exhibitor is obligated to pay the agreed upon rental costs as followed:

• Cancellations received 60 days or more prior to show date will be refunded the full amount paid, less a $50 cancellation fee • Cancellations received 59-30 days prior to show date will be refunded 50% of deposit paid, less a $50 cancellation fee • No refunds will be given for cancellations received after 30 days prior to show date

• There is a $35 fee for all returned checks. Exhibitors with any returned checks must pay balance by credit card, cash or cashier’s check only. Show Management reserves the right to request any payments made after March 7, 2018, must be made by credit card, cash or cashier’s check. ASSIGNMENTS OF SPACE No spaces will be assigned without a completed application and the first 50% of the total rental fee. Booth Spaces for the 2019 Fort Worth Boat Show are chosen by exhibitors and assigned on a first come first served bases. Open spaces for the 2019 Fort Worth Boat Show will be assigned by Exhibitor Draw. Booth spaces for the 2018 and future shows will be assigned by seniority basis controlled by a first right of refusal. Space will be assigned by Show Management in the following order:

1) Previous exhibitors from Any DFW Boat Show who have returned their application and deposit by the determined due date. Seniority (first right of refusal) is forfeited by the company for the future assignment process if their application is received after this deadline or if no deposit is included.

2) All other applicants will be assigned booths on space remaining basis after the initial due date, in the order their applications are received. Management reserves the right to limit the amount of space occupied by any exhibitor, and to amend the floor plan if it is in the best interest of the show. Management may relocate any exhibit at any time with the understanding that if the exhibitor does not agree with such relocation, his payment for space will be refunded.

INSTALLATION A schedule of designated times that exhibitors can stage, install, and dismantle their exhibit booths will be provided via email and fax three weeks prior to the show. • Open Space Exibitor Move-In begins on Monday, March 11, 2019, at 8:00am • 10 x 10 Booth Space Exhibitor Move in will begin on Wednesday, March 13, 2019 at 8:00am (10 x 10 Special Move in will be assigned by Show Management depending on needs, if you need early entry into the hall for any 10 x 10 b00th set up, permission and assignment of time, must be made by show management no later than Wednesday, March 6, 2019. DISMANTLE No exhibit shall be disassembled, packed, or removed during the continuance of the show. Exhibits must remain in place until after 5:00pm, Sunday, March 18, 2018. Vehicles for loading & removing equipment may enter the exhibit floor following the removal of equipment adjacent to the drive-in doors. Dismantle and move-out is scheduled as follows: • Sunday, March 17, 2019 – 5:30pm – 11:00pm • Monday, March 18, 2019 – 8:00am – 5:00pm • Deadline for removal – 5:00pm on Monday, March 18, 2019. GUEST TICKETS • There will be no VIP or Guest Tickets available through the show. The show is FREE to the public. EXHIBITOR BADGES There will be no exhibitor badges distributed for the event, admission is FREE for the entire evet.

Rules and Regulations – Page 3 MANUFACTURER REPRESENTATIVES Manufacturer badges will not be given. The admission to the entire show is FREE. STAGING & PARKING Information on an official staging area will be given to exhibitors after registration and is included in the official show Exhibitors Kit supplied by Show Management. BOOTH EQUIPMENT Management provides without charge for each 10x10 booth; one (1) 7” x 44” identification sign displaying company name (as it appears on the Contract for Space). One (1) 8-Ft. high draped background; and two (2) 3-Ft. high draped divider rails will be provided to inline booths. Pipe and drape will not be provided to large exhibit booths unless it is required as a divider between exhibitors, at the discretion of Show Management. All other equipment must be furnished or arranged for by the Exhibitor, at their expense. Order forms for on-site services will be provided by the show’s exclusive decorator. ELECTRICAL Electrical service is provided through a third party contractor (included in the Exhibitor Kit) for an additional charge depending upon usage. The electrical service order form and pricing will be included in the Exhibitor Service Kit, prior to the event. INSURANCE Management carries no insurance on Exhibitor’s property, and will not be liable for loss or damage by any cause. Exhibitor agrees to procure and to maintain in force during the entire period of Exhibitor's presence at the Show: Policies of Automobile and Commercial General Liability Insurance, including Products and Completed Operations, with limits of not less than $500,000 per occurrence for bodily injury, personal injury and property damage, etc. Workers Compensation Insurance to satisfy the statutory requirements of the State of Texas. A broad form policy of property insurance covering all risks of physical loss, including coverage for fire, theft, vandalism, and all extended coverage perils, on Exhibitor's property in the full amount of the replacement value thereof, endorsed such that the insurer waives its rights of subrogation against The Boat Show, Show Management, the owners of the facility, and their employees, so that UBDNT, Show Management, the owners of the facility, and their employees shall never become responsible for loss to or damage of Exhibitor's property. Show Management requires receipt of an acceptable certificate of insurance before Exhibitor will be permitted to move into the Show. All 10’ x 10’ booth exhibitors and others approved by Show Management may sign an Insurance Waiver if the above coverage cannot be met. SECURITY Management will employ competent and reputable security during the course of the Show .

SUBLEASING Exhibitors may not assign or sublet any space allotted to them, and may not advertise, display, or promote goods other than those manufactured or sold by them in the regular course of their everyday business. Any special events or promotions within exhibitors booths will not be promoted via the Dallas Market Hall PA system. AMENDMENTS Management reserves the right to make or amend these rules and regulations, as it deems proper and to make final determination of all matters of interpretation and enforcement of these rules and any amendments made thereto. Management reserves the right to deny a potential exhibitor space if products are not related to or used within the subject of the show. DAMAGE TO THE BUILDING • The Exhibitor shall be responsible for all damage to the floor, walls, or other parts of The Amon G. Carter Exhibits Center caused by the Exhibitor, its employees, agents, or representatives, and by all contractors, erectors, delivery persons, suppliers and persons furnishing services, delivery, work or materials at the instance of the Exhibitor. Exhibitor shall promptly pay for all costs of repairs arising out of such damages. • Exhibitors will not be permitted to fasten equipment or any part of display (including signs) to walls, columns, drapes, ceiling, or floor. Nothing shall be pasted, tacked, or otherwise attached to the building. Exhibitors will be held liable for any damage. • Exhibitors are responsible for restoring the exhibit floor to its original condition. This includes the removal of all tapes or adhesives, which may be used to secure carpets or other floor coverings. Exhibitor will be held liable for any damage to the building. DEFAULTS • Any exhibit space assigned to an Exhibitor for which rent has not been paid in full by final payment deadline date, may be reclaimed by Management without notice, and may be reassigned to a different firm or utilized at the discretion of Management for any purpose. Rent paid for such space will be forfeited without recourse or refund. • Exhibit space leased to an Exhibitor but not fully prepared the show’s official opening, shall be considered forfeited and subject to use by Management for any purpose whatsoever, and rent paid for such space will be forfeited by the Exhibitor without recourse or refund. EXHIBITOR RESTRICTIONS & EXHIBITOR CONDUCT In the rear one-half of each booth, display material of any nature may not exceed 8-feet from the building floor (including signs). In the front one-half of each booth, no display material shall exceed a height of 4-feet from the building floor. This rule, however, shall not apply in the case of equipment placed in position comparable to actual utilization for its intended purpose. In no case shall display materials obstruct the view of adjacent booths, or

EXHIBITOR RESTRICTIONS & EXHIBITOR CONDUCT (continued) infringe upon the rights of neighboring exhibitors. a. No signs shall be suspended or extend beyond the booth limits or in any way interfere with the rights of any exhibitor. All signs are subject to approval of Management. b. All exposed parts of display partitions must be finished or covered so they do not present an unsightly appearance to adjoining booths or aisles. c. Exhibit booths must be staffed by qualified representatives throughout the Show hours. d. Exhibitors are expected to keep their exhibit space clean and attractive during show hours. Management will clean aisles and public areas only. Exhibitors are responsible for cleaning their individual exhibit areas, prior to the Show opening and daily during the Show. e. Demonstrations and distribution of promotional materials must be made from within the Exhibitor’s assigned space, and must directly relate to the exhibit. Companies not assigned space are not permitted to advertise or solicit business within the Show or on the premises. f. No exhibit or demonstration shall be permitted, nor anything be distributed if it is considered a source of danger or annoyance. Management reserves the right to prohibit, modify, and regulate any display not in keeping with the policies of the Show, or objectionable from its point of view. g. Any demonstration or activity that results in obstruction of aisles or prevents ready access to nearby booths is prohibited. Sound effects or speakers used to convey a message must be kept in the range of normal conversation, and in no way be permitted to annoy adjoining exhibitors or attract persons walking the aisles. The following fire and safety regulations are contained in the Dallas City Fire Code governing Exhibitions and Special Events and will be enforced during the Show. 1. All paper and other flimsy materials used for decorative purposes, including flameproof paper are prohibited. The use of heavy cardboard shall be permitted in limited amounts. 2. All cloth used for decorative purposes, including drapes, table covers, floor covering and bunting shall be fire-retardant and approved by the Fire Marshall’s office. 3. Cut trees, branches, and shrubs are prohibited. They will be permitted, however, maintained in their natural state with root system maintained 4. The use, handling, and storage of liquefied petroleum gas shall be prohibited unless otherwise approved by the Fire Marshall. 5. All gasoline-propelled vehicles or combustion fuel operated machinery for display purposes shall be inspected prior to their being allowed to be displayed in the facility. Batteries shall be disconnected. 6. All gasoline tanks shall be equipped with a locking gas cap or taped shut. 7. Fuel tanks shall be drained to less than 1/4th of tank capacity. The use of open flame, including fire acts or storage and handling of flammable liquids, chemicals or harmful caustic substances, are prohibited unless approved by the Fire Marshal. Permit from the Fire Marshal’s office will be required for any tent or air supported structures used for exhibit purposes and fees paid by the exhibitor. Spray painting inside the building is prohibited (including aerosol cans). No flammable/combustible liquids, substances, or materials of any nature, including decorative materials, use of which is prohibited by National, State, or City Fire Regulations, may be used in any booth. h. Selling or distributing of food and beverages in booths is strictly prohibited.

EXHIBITOR RESTRICTIONS & EXHIBITOR CONDUCT (continued) i. No helium-filled balloons will be permitted. j. No adhesive-backed stickers may be distributed. k. Raffles, drawings, or contests of an appropriate and audited nature are allowed when no money changes hands. Under the laws governing games of chance, every exhibit operating games of chance, lotteries, and the like, is charged with the knowledge of National, State and local legal restrictions for such operations. l. Playing of music (live, recorded, radio, or otherwise) is prohibited, due to the current licensing requirements of the American Society of Composers, Authors and Publishers (ASCAP), Broadcast Music, Inc. (BMI), and the Society of Stage, Authors and Composers (SESAC). m. Exhibitors selling equipment during the Show should obtain local and state licenses as required to engage in any retail business in the State of Texas and the City of Dallas. The appropriate agencies should be contacted for further information or for filing licenses and paying fees. Management is not responsible for enforcement of these restrictions and purpose of this section is to provide referral information so exhibiting firms can obtain any license applicable from the appropriate agency and pay taxes collected during the show. INDEMNIFICATION Exhibitor shall indemnify, defend, and hold harmless United Boat Dealers of North Texas, Dallas Market Hall, Show Management, and their respective officers, directors, agents and employees from and against any and all losses, liabilities, claims, damages, and expenses (including reasonable costs of investigation and attorney’s fees (collectively, the “losses”) arising from (Exhibitor’s failure to comply with any and all federal, state, local, and municipal regulations, ordinances, statutes, rules, laws, and constitutional provisions (collectively, the “Laws”) applicable to the Exhibitor’s performance of this Agreement, (ii) any unlawful acts on the part of the Exhibitor or its officers, directors, agents, employees, or subcontractors, (iii) personal or bodily injury to or death of persons or damage to the property of UBDNT, Amon G. Carter Exhibit Hall, Show Management. to the extent caused by the negligent acts, errors and/or omissions or the willful misconduct of the Exhibitor or its officers, directors, agents, employees, or subcontractors, or (iv) the material breach or default by Exhibitor or its officers, directors, agents, employees, or subcontractors of any provisions of this Agreement.

ELIGIBILITY TO EXHIBIT -An Exhibitor desiring to exhibit boats/services and offer same for sale at retail during any UBDNT event must: 1. Be an active retail dealer in the North Texas area 2. Be

established for at least one year prior to the show at a business location which includes service facilities sufficient to perform usual and customary warranty work on boats sold locally. 3. Be the current factory/manufacturer’s authorized dealer for the lines that will be displayed. 4. Conduct business in a way not to damage the reputation and good standing of UNITED BOAT DEALERS OF NORTH TEXAS. Final assignments of space will be made by the management of UNITED BOAT DEALERS OF NORTH TEXAS, who will set forth and implement space allocation procedures to improve show's acceptance. UNITED BOAT DEALERS OF NORTH TEXAS reserves the right to deny any entity exhibit rights for any and all UBDNT events. MEMBERSHIP BENEFITS: United Boat Dealers of North Texas is a “for profit” corporation registered in the state of Texas for the purpose of producing boat shows in the North Texas Region as well as the overall betterment of the Boating Lifestyle in the same region. Membership is open to all companies providing goods and/or services to the boating industry. Members must maintain “good standing” at each membership level to qualify for exhibitor discounts as well as space allocation preference. “Good Standing” for Associate Membership is defined as, 1. Fully paid membership dues in a timely matter as set forth by the association. 2 Possession of no outstanding of debt to UBDNT. 3. Actions of good faith for the association in regards to strong business morals and ethical practices representative of the association. “Good Standing” for Founding Membership is defined as, 1. Fully paid membership dues in a timely matter as set forth by the association. 2. Part icipation in all UBDNT events at levels set forth by the association. 2. Possesses no outstanding debt nor delinquencies of any additional monies as set forth by the association. 4. Actions of good faith for the association in regards to strong business morals and ethical practices representative of the association USAGE OF EXHIBIT SPACE -The space of the Exhibitor is to be used solely for the purposes set out in its contract with UBDNT, and it is agreed that the Exhibitor will not assign, sublet, or apportion the whole or any part of the space allotted. Any such assignment or subletting in violation of this agreement shall forfeit all rights of Exhibitor under this agreement and Exhibitor's property and all other property occupying such space shall be subject to removal forthwith from the space at Exhibitor's own proper cost and expense. Exhibitors are not permitted to display used boats in the show nor any new boat older than one year without specific written approval by Show management. No factory direct selling is permitted in open area exhibits. No catalog sales are permitted. No automobiles may be displayed without specific written approval by Show Management. No boats, campers or RV's will be permitted to remain in the immediate parking lots during show hours. For securi ty reasons, the building must be vacated one hour after the Show closes. Exhibitors shall conduct their business, distribute promotional material only within the confines of their exhibit space. The Exhibitor shall not allow nails, screws, or tacks to be driven into the building walls or pillars, nor deface the same in any way. Any assigned open or booth area may be moved to another location at any time by Show Management without any damages or refunds. If there is no other location to which said Exhibitor may be moved, UBDNT will refund all monies paid by said Exhibitor and shall be released from any and all claims of damages, loss, cost, or expenses sustained or incurred by the exhib itor by reason of such cancellation. No open space exhibit may have dividers, drapes, foliage or any constructed barrier in excess of 6'. No signage or banners may be hung from the ceiling over any open space. All accessible areas of all open spaces must be carpeted. Open spaces are defined as all areas other than 10'x 10' booths. Closing booths may not exceed 6' in height . 10' x 10' booth Exhibitors must have a legitimate exhibit in booth areas. Exhibitors are not allowed to set up with only table and signs to solicit names and prospects. 10’ x 10’ booth displays may not exceed 10’ in height across the back, nor may they extend out, on either side, further than 5’ from the back, at a height greater than 4’. No display may obstruct the aisle view, from either direction, or another display. The booth price of this contract includes 8’ high back drape, 3’ high divider drape and a 7” x 44" ID sign. Electrical service is not furnished by the show. but may be obtained on a rental basis from the exclusive Electrical contractor of the hall. Disturbing noises or other objectionable forms of attaining attention to an exhibit will not be allowed. The usage of loud speakers, amplification devices or other noise making devices is prohibited . All fire regulations must be adhered to in accordance with the local, state and federal specifications. All display materials, including props, decorations and all fabrics or other materials used in decoration must be Flame-proofed and electrical equipment must meet specifications of all codes. The Sale of Food or Beverage items for on or off premises consumption requires special permission from Show Management . Food or Beverage items may be sampled within Show Premises only when approved by Show Management. NO ALCOHOLIC BEVERAGE may be brought into the premises during the contract period. PAYMENT FOR AND CANCELLATION OF EXHIBIT SPACE - Exhibitor agrees to pay in full the contracted price no later than the dates specified on the contract. In the event that the full price for this space is not paid, DBS shall have the right to re-let this space to another party for such prices as it may then be able to obtain and Exhibitor shall be liable to UBDNT for the difference between the contracted price and any lesser price it may obtain. In the event that the contracted prices is not paid and this contract is placed in the hands of an attorney for collection, or suit is brought on same, or the same is collected through Probate, Bankruptcy, or other judicial proceedings, then Exhibitor agrees and promises to pay all attorney fees. UBDNT shall have a lien for the payment of all sums due under the terms of this contract upon any and all personal property of the Exhibitor, which is or may be put in the building in which the Show is presented, and such lien may be enforced by and at the option of the Show Management for the non-payment of any sum

due by the taking and sale of said property at public or private sale after ten days notice in writing of the time and place thereof has been given by registered mail to the Exhibitor at the address of the Exhibitor set out in this contract. In the event the Exhibitor does not occupy contracted space, or fails to comply in any other respect with the terms of this contract, UBDNT shall have the right, without no tice to the Exhibitor, to occupy or cause said space to be occupied in any manner it deems best, without such occupancy working a forfeiture of the sums to be paid and the covenants to be performed by the Exhibitor under the terms of this contract. However, in the event Exhibitor decides to cancel its exhibit and notifies UBDNT of its intention not to display in the space, the following refund provisions will apply: if written notice of such Intention is received by UBDNT 90 days or more prior to the first day of show move-in, any amount paid in excess of 25 percent of the total contract obligation will be refunded to Exhibitor. If wri tten notice of such Intention is received by UBDNT 89-30 days prior to the first day of show move-in, any amount paid in excess of 50 percent of the total contract obligation will be refunded to Exhibitor. If written notice of such Intention is received by UBDNT less than 30 days prior to the first day of show move-in, nothing will be refunded to Exhibitor. CONTESTS, PROMOTIONS AND MODELS. No giveaways, raffles, donations or other promotional measures are allowed unless by written authorization of Show Management. Uniformed attendants, models, and other employees must be dressed in good taste and remain in spaces occupied by their employers.

INSTALLATION AND DISMANTLING OF EXHIBITS. In installing, conducting, and removing exhibits, the Exhibitor is to comply with local Union regulations of the Building in which the Show is presented. Exhibits are to be completely installed by the time indicated by Show Management. Exhibits are to be installed and removed at the expense of the Exhibitor. All exhibits shall remain in place and shall not me dismantled until after the official closing of the Show. All exhibits, displayed products and other material and property of the Exhibitor must be removed by Exhibitor after the close of the Show no later than the time indicated by Show Management. Any failure to comply with any of the above shall result in Exhibitor losing the right to exhibit in future UBDNT events. MUSIC AND OTHER COPYRIGHTED MATERIAL .Each exhibitor is responsible for obtaining all necessary licenses and permits to use music, photographs or other copyrighted material in Exhibitor's booth or display. Exhibitor is hereto made aware that licensing agencies have the right to impose stiff fines and legal cost on exhibitors using licensed music. UBDNT will not assume any such fines or costs. UBDNT reserves the right to remove from the exhibit hall any or all parts of the Exhibit which incorporates copyrighted material for which the Exhibit or fails to produce proof that the Exhibitor holds all required licenses. The Exhibitor shall remain liable for all loss, cost, claims, causes of action, suits, damages, liability, expenses and attorney fees, arising from or out of any violation (or claimed violation) by Exhibitor. EXHIBITORS INSURANCE & WAIVER REQUIREMENTS. Exhibitor agrees to procure and to maintain in force during the entire period of Exhibitor's presence at the Show: Policies of Automobile and Commercial General Liability Insurance, including Products and Completed Operations, with limits of not less than $500,000 per occurrence for bodily injury, personal injury and property damage, etc. Workers Compensation

Insurance to satisfy the statutory requirements of the State of Texas. A broad form policy of property insurance covering al l risks of physical loss, including coverage for fire, theft, vandalism, and all extended coverage perils, on Exhibitor's property in the full amount of the replacement value thereof, endorsed such that the insurer waives its rights of subrogation against United Boat Dealers of North Texas, Show Management, the owners of the facility, and their employees, so that UBDNT, Show Management, the owners of the facility, and their employees shall never become responsible for loss to or damage of Exhibitor's property. UBDNT requires receipt of an acceptable certificate of insurance before Exhibitor will be permitted to move into the Show. CONTINGENCIES. UBDNT reserves the right to cancel this contract in case of specified premises shall be destroyed or so damaged as to render them un-tenantable or unfit for use for the purpose specified, by fire, Acts of God, the elements or any other cause, or should any occurrence of circumstances beyond the control of UBDNT make impossible the fulfillment of its part of this contract, provided, however, that in the event of such cancellation, all payments previously made on this contract after deducting there from a pro rata share of actual expenses incurred in connection with said Show, are to be promptly returned to the Exhibitor by UBDNT, and upon the return of the same UBDNT is to be released from any and all claims for damages, loss, costs, or expense sustained or incurred by the Exhibitor by reason of such cancellation. UBDNT shall not be held responsible for loss, claims of loss, suits or expenses incurred, resulting from fire, storm, acts of God, Building failure or any occurrence of circumstances beyond the control of UBDNT, that in any way delay

the timely opening of the show or interrupt the scheduled duration of the show. LIMITATION OF LIABILITY. The exhibitor agrees to indemnify and hold harmless United Boat Dealers of North Texas and Market Hall, in which this exhibit ion is being held, and their Officers, Agents, and Employees against all claims, losses, suits, and damages, judgments, expenses, costs, and charges of every kind resulting from its occupancy of the space herein contracted for by reason of personal injuries, death, property damages, or any other cause sustained by any persons or others. UBDNT shall not be responsible for loss or damage to displays or goods belonging to exhibitors, whether resulting from fire, storm, Acts of God, air conditioning or heating failure, theft, or any other causes. All such items are brought to the Exhibition and displayed at Exhibitor's own risk. The Exhibitor agrees to indemnify UBDNT against and hold it harmless for any claims and for all damages, costs, and expenses, including without limitation, attorney's fees, and amounts paid in settlement incurred in connection with such claims arising out of the acts or negligence of Exhibitor, his Agents or Employees. LEGAL. Any controversy or claim between the parties hereto arising out of or related to the provisions of this Agreement or the breach thereof, shall be settled by arbitration by one arbitrator in Dallas in accordance with the Rules of the American Arbitration Association, and the judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. The Laws of the State of Texas shall govern the interpretation, validity, performance and enforcement of this Agreement. Venue for any action under this agreement shall be Dallas County. If any provision of this Agreement should be held to be invalid or unenforceable, the validity and enforceability of the remaining provision shall not be affected. SALE OR TRANSFER OF EXHIBITOR.S BUSINESS. In the event of the sale or transfer of a substantial portion of the assets of Exhibitors business or of the controlling stock interest in Exhibitor's business, or in the event of a substantial change in management of the Exhibitor, Exhibitor shall communicate in a timely fashion this fact to UBDNT, which wil l determine in its sole discretion whether to terminate the previous contract and request the successor firm to file a new application.
