    The John G. and Marie Stella Kenedy Memorial Foundation reserves the right to accept or reject any and all bids

    OverviewThe John G. and Marie Stella Kenedy Memorial Foundation (KMF) Ranch is seeking bids for the right to construct a

    cabin and acquire a hunting lease on KMF mudflat lands. Up to 35,000 acres of KMF lands are available for lease

    west of the Gulf Intracoastal Waterway from north of El Toro Island south to Gladys Hole. The winning bidder will

    be required to build a cabin at a site in the mudflats selected by the bidder and approved by KMF. With KMF

    approval, the winning bidder will determine the size of the cabin and the number of acres to be leased. The winning

    bidder will be required to enter into a lease agreement with the KMF. In addition to some of the best fishing in

    South Texas, wildlife crossing spoil islands in the mudflats include nilgai, white-tail deer, and water fowl. Access to

    the leased property may be by boat or through the KMF Ranch from U.S. Highway 77. The deadline to submitbids

    is August 31, 2016.

    LocationThe acreage is composed of spoil islands and submerged wetlands excluding the KMF Ranch Mesquite Rincon

    uplands. The leased acreage will be accessible by boat or through the KMF Ranch from U.S. Highway 77

    (approximately 15 miles south of Sarita, 60 miles south of Corpus Christi). Vehicle access through the KMF Ranch

    will be limited to a dedicated route on KMF Ranch roads that takes approximately 45 minutes to get the leased

    acreage. The lessee will have access to a KMF boat ramp that is located in a channel north of Gladys Hole. The maps

    on page 5 and 6 identify the lease area and show the dedicated access route and boat ramp. Boat access from Baffin

    Bay boat ramp takes about one hour. A Google Earth file of the area can be requested through the contact

    information at the bottom of page 4.

    Lease AgreementAll hunting and fishing activities permitted under the lease will be governed by an agreement with KMF that includes

    the following guidelines:

    1.

    The lease term shall be for a period of 5 years. Lessees in compliance at the end of the 5-year term may

    receive lease extensions at the discretion of the KMF.

    2.

    KMF must approve the cabin location and construction method and any subsequent major modifications

    that alter the authorized dimensions. The winning bidder will be required to build a cabin within 9 months

    of the agreement effective date. Any structures constructed under the lease will be the property of the

    Kenedy Memorial Foundation.

    3. Access to the Leased property may be by boat or through the KMF Ranch from U.S. Highway 77. Access will

    be limited to those individuals designated on an access roster by the Lessee and approved by the KMF. All

    individuals approved for access on the KMF Ranch are required to complete KMF release documentation

    prior to access on the KMF Ranch, whether by land or water. The access roster for this lease will be limited

    to 5 individuals at all times.

    4. Lessee shall comply with all relevant laws, rules, and regulations set forth by federal, state, and local

    regulatory agencies, and KMF Ranch Rules. This includes applicable laws, rules and regulations regarding

    construction of structures, piers and docks. It is the responsibility of the winning bidder to obtain any

    necessary permit(s) from the US Army Corps of Engineers or General Land Office.

    5.

    All structures shall be kept in a clean and sanitary condition and shall be maintained in good repair and safe

    condition acceptable to the KMF. Sanitary systems must be entirely self-contained and portable (can be

    removed from the property at any time). Under no circumstances may any human waste be disposed of in

    the water or on KMF lands.

    6. The Lessee shall be responsible for reimbursement of all ad valorem taxes assessed against the cabin

    improvements and leased acreage. Lessee shall be responsible for its pro-rata share of maintenance

    expenses for road used to access the leased acreage and the boat ramp.

    7. No ALL TERRAIN VEHICLES (ATVs) (i.e., quad/4-wheelers designed for 1 rider) are allowed on the leased

    premises unless agreed upon in writing by the KMF and the lessee. UTILITY VEHICLES (UV) (i.e., more than

    1 rider) used on the leased premises must have seat belts for all passengers and equipped with rollover

    protection. The Lessee shall insure the operation of the UVs under all applicable insurance policies,

    including but not limited to its general liability insurance.

    8. The Lessee will indemnify and release the KMF, its Directors, and employees. The Lessee shall maintain

    commercial and general liability insurance with the following coverages: $1 million for combined single

    limit of liability for bodily injury and property damage; $2 million for each occurrence; and $2 million annualaggregate umbrella policy. The Lessee shall also have and maintain comprehensive automobile liability in

    a form acceptable to the KMF for all vehicles operated on the leased premises by the Lessee and

    employees, contractors, agents, and guests of the Lessee with the following coverage: $500,000 for bodily

    injury and property damage and $5,000 for personal injury protection. Workers' compensation at statutory

    limits and employee liability insurance of $500,000 shall be maintained at all times. All contractors hired

    by the Lessee shall carry liability insurance of at least $500,000 for injury or death of persons and $500,000

    for property damage. Lessee's insurance shall provide a waiver of subrogation of any claim against KMF

    and have KMF named additional insured. Lessee shall be required to provide proof of insurance to KMF.

    The Lease may not be sub-leased or assigned.

    9. The Kenedy Memorial Foundation reserves the right to accept or reject any and all bids at its sole discretion.

    Bidding RequirementsThe winning bid will be a non-refundable amount separate from the bidders construction costs and lease payment.

    Bidders are required to submit bids wit h the informat ion listed below by August 31, 2016.

    1. Name of the organization/individual(s), or agent representing the entity submitting the offer, along with

    mailing address, telephone number, and email. Name(s) of those expected to be on the access roster.

    2.

    Total bid offer with the following:

    a. Bonus payment for right to negotiate a lease. Theminimum bonus bid to be considered is $20,000.

    b.

    Number of acres desired to lease and bid offer for annual rent for the cabin and leased acreage.Construction costswill be solely borne by the winning bidder and shall be separately itemized from

    the bid offer for annual rent. The minimum bid for annual rent to be considered is $22,500.

    c. All bidders are required to submit a non-refundable $500 fee for each bid submitted. No bids will

    be accepted without this fee. The winning bidder will receive $500 credit against the first annual

    rent payment. Bidders submitting all information in this packet and the $500 fee will have the

    opportunity to inspect the acreage available for lease.

    d. Top view diagram of the proposed cabin and all accessory structures including pier. All accessory

    structures, such as generator shed, water storage, sanitary sewer disposal, piers, walkways, etc.

    shall be shown on the diagram including dimensions.

    3.

    Name of at least three references for the organization/individual submitting the offer, with the following

    for each: relationship to the organization/individual, mailing address, telephone number and email address.

    4. Description of hunting and wildlife background of the organization/individual submitting the offer.
