Let’s take a step back and look at the idea of the music-artist-

icon. Then let’s picture those who have dominated the public opinion. Although it

seems like the commercialized image has become engrained into the expectation of an artist, we know

music just doesn’t work like that. The natural born, inherently driven musicians will always remain. Scot Ryder is exactly that. He is a fingerstyle acoustic guitarist with a passion for every aspect of the creative process.

Scot’s bloodline contains a rather extensive history of musicians. As a child, Scot spent much of his time with his grandparents enjoying classical music. His grandfather was a pianist, and often played the organ they owned. His great grandmother was a violinist, and great grandfather was a pianist. These classical influences had a big impact on Scot. He continues this tradition today by actively involving his son in music.

Throughout his life, he’s always dabbled with sound, music and instruments; but it was in high school that he realized he might want to make it into a career. He became infatuated with creating music., “I never really had any interest in school… except for the music programs. I excelled

in music. During tests, I would put the test aside, and pull out my guitar… play instead,” he explains with a laugh. In high school, Scot played guitar for the orchestra, and then followed that up with the school’s classical guitar ensemble.

Being familiar with the organ and listening to classical music has helped Scot discover his own way of fine-tuning his solo ‘style of expression’. When he’s creating his music, he breaks down the pieces of his musical compositions much like classical composers write a symphony: layers of instruments in harmony. The more intricate the composure, the more captivating it sounds. Scot doesn’t leave any genre influences out when it comes to writing, producing, recording,

or performing. When Scot plays his music, he combines all these details into his own unique style of music that moves the crowd. His first album ‘Inspiration’ was released in 2011.

“Sometimes it can be tricky for you to distinguish who is really concerned about you. In this industry, everyone wants a piece of something,” Scot explains. “Being a musician is kind of a lonely thing. Relationships don’t really go too well. You’ll find you actually have fewer friends than you think you do. Everyone wants to be your friend… but you have to distinguish what a true friend is. I have been fortunate enough to have a couple of very, very, good friends… the two that I play with in ‘Enchanted Realms.’ They have been very supportive with some of the troubles I’ve had, particularly in the last year”. In 2003, the folklore group ‘Enchanted Realms’ was born. Scot founded this three member folklore arrangement, collaborating styles with the amazing abilities of Rachel Amov and Theresa Rochelle-Ross. Together they create a unique harmony that brings peaceful, positive energy. While fingerstyle is what Scot loves to do this folklore group is what he ultimately desires to get more exposure within the U.S. The focus of the group is to find the fans that are genuinely interested in what they do: story-telling through music. Their focus is to leave a strong positive impression on the fans because through their support, they become friends; after all, the fans are the ones the music must be made for. They are the ones who share the music with their world. ‘Enchanted Realms’ is currently getting prepared to start recording their first full-length album in the summer of 2012, with a projected release around the end of year.

Scot remains ambitious and will continue pushing forward with his music. “I’ve made money, and I’ve lost money. For me, it’s not so much about the money. You have to make money to live… but for me, it’s about the passion of playing. You walk into a crowd/venue, and afterward

you see the smiles of people’s faces and it makes it well-worth it.” Scot often expresses his appreciation of having people in his life that have supported him along the way, and remains thankful to each and every one of them along the way.

There is something very moving about seeing a family who uses their love for music to demonstrate more than just their love for music. Like keystrokes of a grand piano piercing silent air, the strength of their bond is powerful and almost tangible. One such band is Breath of Fire. Based in Hawaii, this group really blurs the lines between genres and is well known on the islands for the positive vibe they create at any event.

Breath of Fire was formed in 2003 and consists of two brothers; Jai (the lead guitarist, lead vocals) and Daniel (drums, vocals) with the help of their music professional father, Buck Rodgers. Buck has been in the music business for most of his life, and his sons share his passion for performance, and entertainment. Their family has always been musically

inclined, but there was a point in time that both Daniel and Jai were actively pursuing other forms of entertainment art. They landed casting gigs in the movie Lost when it was being filmed in Hawaii. It wasn’t long before they decided to further their musical pursuit and get back to their band.

Their first home studio album was titled “Living in Hawaii” which earned them recognition and local radio-airplay. In 2005, they release an EP titled Genuine which featured other local acts. The most notable in the song ‘Sounds So’. In 2006 they released their full album with the hit “Simmer Down” that provided them even more accreditation from local radio, and has been used in other venues of social awareness. It was picked up to be used in an anti-bullying intervention throughout their local schools and proved to be a very successful project.

Breath of Fire has professionally ‘made it’ in Hawaii, but they won’t stop there. They continue to pursue opportunities to perform on the mainland. Breath of Fire performed live at B.B. Kings in Universal Studios, California. Back at home, they are frequently at Mai Tai’s where they perform as an acoustic duo, or as a band. In 2010, they were finalists in the “Mai-Tai Rumble”

competition where they successfully demonstrated their abilities in full. Then, in June of 2011 they won the MMA Expo Battle of the Bands. Breath of Fire will be taken to Las Vegas to record, with promotions provided by Hawaii Pacific Entertainment.

Their family is actively involved with every step of the process and the boys are motivated to make enjoyable and meaningful music. The music you hear from Breath of Fire is hard to describe when speaking in terms of conformity. It’s no doubt that there’s a touch of reggae music with the panache of a rock band… yet it still contains an island feel. There’s nothing that can really define what they do by ‘normal’ standards. It’s a style that’s been long overlooked, and semi-misunderstood. It attunes the ‘punk rock scene’ to an ‘island flavor,’ with peace and love being the ultimate message behind the melody. It’s the kind of music that can move nations, if given a good ear and the right attitude.

Jai and Dan give the utmost appreciation to their fans. “We couldn’t do it without all your support” Jai explains. Breath of Fire makes music with the desire “to inspire people of all ages, and backgrounds, around the world to unite through the power of music…” Their goals consist of making the music that people can unite to. They aspire to traveling the world to perform it. The newest song to be released is titled ‘I Got You’ and they are looking forward to releasing another album soon. You won’t want to miss it. Vonette grew up around “oldie-goldies” music and soulful doo-wop groups on the street corner. This R & B influence was a very big part of her desire to sing. She comes from a vibrant and musical family who is always singing and preforming. This has helped her recognize and pursue the musical talent within herself. As a young lady she travelled with a choir and participated in musical events throughout high school. During these years, she ventured to the Bahamas for the first time. It was then that she knew she wanted to create a life for herself on the islands.

Vonette became a business major and around age 28, she sought out to start a business in Washington D.C. Around this same time a friend was graduating. He asked her how she felt about moving to the Caribbean to start the business. She was ecstatic. Vonette decided this was something she would take a chance with. During her time in the Caribbean, Vonette owned and operated a salon full-time. She also did a bit of professional modeling. Modeling is another aspect of her interest in the arts. She wound up landing a gig in Elle magazine, but ultimately didn’t get published. The magazine decided they couldn’t use her in the spread because of her non-native status to the Caribbean. Although this was somewhat of a disappointment to her, she didn’t stop there. Through each of her endeavors Vonette has learned more about herself: her strengths and her niche in the music industry. She uses her love for singing to uplift herself in times of despair, and hopes to always provide this comfort to her audience.

Vonette truly enjoys making music particularly during times of loss or struggle. It is through personal experiences that she understands how much motivation is needed to bring light back to people during times of distress. To Vonette, recording is like cooking a good meal: the more attention given to each and every ingredient, the more savory and delicious the final resulting dish will be. Food is best with quality ingredients. Likewise, music is best with quality lyrics, detailed instrumentals and quality mastering.

To be a good artist you must be familiar with the music you’re making, as well as the necessary commercial marketing aspects. “The more you’re out there, the more you’re responsible for

carrying on what people like. Performers become so much more involved and responsible to carry

that out.” Says Vonette. She candidly expresses

her thoughts about the influence of music on life.

“…It heals. It feels. It restores. It sets moods, creates atmosphere for productivity, for healing, for laughter. It’s very powerful.”

Some artists are more engaged with their creativity, and less interested in the commercial details of the industry. Vonette relishes both worlds because she’s not afraid to get into the technical details when pursuing her passion. As her studies and experience would suggest, she’s excelled with Business Administration. This businesslike attitude creates a stark contrast when compared to her love for singing Gospel music and the creative arts. In fact, the only thing she finds herself unmotivated to do is the visuals. Vonette likes to handle the vocals, get a good track recorded, and delegate the management of her voice. When it comes to the graphics she’s perfectly OK with having another artist’s input for the outcome.

To paraphrase something Vonette said: while it’s fun being a musician, there are still some challenges. Being an independent artist can be tough. The industry is eroding away. Like a great mountain being cleft in two by a powerful rushing river. As consumers feel the pressure of financial burden, piracy skyrockets. If consumers won’t pay for a commercial album, what’s the likelihood they’ll seek out independent artists? This is something that every person with an appreciation for music has the power to change. We just need to take a look at who, and what we are willing to support.

Vonette has an ultimate goal of operating a music-oriented business that helps provide for senior citizens and their livelihood. After the passing of her dear grandmother she felt the desire to really give back to the elderly and for the betterment of the entire community. She hopes to utilize the proceeds to provide better living conditions and entertainment for them on a consistent basis. If they’re able, Vonette also plans to provide them with an opportunity to expand on their own musical talents.

There’s nothing more real for an artist who knows that every note they strive to hit is for the listener’s pleasure. Vonette lives to love, and she loves through her music. He was born in Washington D.C., literally, brought into the world in the basement of his grandmother’s house. His grandmother lived within the actual perimeters of the Washington District of Columbia. You see, a lot of people represent the D.C. area, but they weren’t actually born there. Infa Redz can say with ease that he is 100% native to the 68 square miles that is Washington D.C.

He has practiced rhyming from an early age and he accredits all of his skills to his grandma. “When I was little she would say,

There are artists that are liked because of who they sound like and there are artists who are known for the style that they created when they broke –out onto ‘the scene’. Infa Redz is an artist that continues to keep bringing true-life experience with every rhyme he writes.

‘hey there, I see another car. It’s white.’ And I would say, ‘Well… I hope it don’t stop at this light.’… She’s the one who got me started and to this day she’ll take credit for it.” He recognizes his grandmother for always being a huge support, always encouraging him every step of the way. Infa received the opportunity to showcase his talents at The Apollo, when he was 12. She was there to make sure he made it to the performance. His family, as a whole, has a wide and diverse musical background, full of entertainers, musicians and artists. In fact, he’s the nephew of Don Covay, a professional singer/song-writer that has worked with many chart-topping artists like Aretha Franklin and Marvin Gaye.

Infa Redz grew up listening to a lot of hardcore gangster-rap. He was coming of age when it was most popular. “To me it was more like ‘reality rap’ because their raps were my reality. The things they were talking about were the things that I was going through... Nowadays, they’re rapping about stuff that I can’t even relate to… All they talk about is money, I can’t relate to it. I can’t talk about 10 bathrooms. I thought I was getting old, but I think people are just talking about a whole different subject.”

Infa Redz is proud to say that he lives up to his zodiac-sign, the Gemini. The Gemini Twins is a sign commonly known for being the ‘Jack of all Trades’ type. Infa finds himself captivated with many different outlets. He owns three tattoos shops. He’s a barber, a certified welder, invested in real estate and he’s getting ready to begin his education in law. When it comes to his personal motto, Infa explains, “…They ask me, ‘well, what don’t you do?’ and I say ‘Men.’” He’s a father; pushing to be the best entrepreneur he can be to support his kids. It’s never a dull moment.

The industry’s standards for a rap artist have changed dramatically. It used to be a requirement to speak directly to the streets about what they can relate to. Infa Redz considers himself to be a ‘Real-Rap’ artist, someone who is dedicated to bringing the truth about one’s reality back to the rap-scene. The way he sees it, “…They don’t have the music that sends chills down your spine anymore. You get that more with other genres, now, like rock music. I started listening to a lot more rock, only because they’re talking about things that we’re going through. All the rappers want to be millionaires.”

Infa currently has three albums out; Infa-Structure, Infa Ready, and The Good Hair Project. Each album provides the audience with a different taste of who Infa Redz is, and he doesn’t fail to shine. He’s dedicated to bringing real music back to the scene and showing people that it can be accomplished with the hard work that it takes to succeed. Additional Membership Agreement Terms and Conditions: Introduction: Music That Pays (“we”, “us” or “Network”), is a Utah Corporation which sells and distributes music, comedy and other related talent services performed by people referred to as “Artists” represented by us or by our Affiliates. Each individual composition (a "Work") is sold in compact discs, tapes, downloads and other media (with various “Works” combined to form an "Album") as we determine and pursuant to contract with the Artists. Members shall be entitled to receive magazines (by ordered hard-copy or downloaded digital copy online), brochures and other online materials which we distribute from time to time to the Members at our own discretion. You may become a Network Member by filling out the Member Registration Application for the Network or by a hard-copy agreement containing these contract provisions. By such registration, you agree to the following Terms and Conditions (“T&C”) governing the Network and the general principles for web pages of the Network and of its Affiliates. We retain the right to the final interpretation and enforcement of all policies contained herein. Scope: Before you may become a Member of the Network, you must read and accept all of the terms in, and linked to, this Music Distribution and Marketing Network Agreement. If you are joining the Network through execution of a hard-copy Agreement, the provisions contained on the Network web page are incorporated as terms of that Agreement. We strongly recommend that, as you read this Agreement, you also access and read all linked information. By accepting this Agreement, you agree that this Agreement will apply for all of your dealings with the Network and its other Members. Joining the Network: You shall become a Network Member by: (1) filling out the registration form on our web page or by hard-copy Agreement; (2) receiving Membership acceptance by Music That Pays or Network Affiliates. Music That Pays and all Affiliates reserve the right to reject any Membership within ten (10) days after registration. If we do not reject your membership application within that ten (10) day period, your membership application shall be deemed to be accepted. You must be at least age 18 to become a Member. Alternatively, you may become a Member upon written consent of your parent or legal guardian. Upon filling out the registration information, and by clicking the "acceptance" box or signing a hard-copy of this Agreement, you agree to be bound by all of the T&C of this Agreement. Except for the initial required purchase of an Album, you will not be obligated to pay any money to become a Member. You will, however, be obligated to abide strictly with the provisions of this Agreement, as modified from time to time at our discretion. Unless there is an authorized written agreement between the Member and Network, the Member is required to make all Album purchases through the Network website. At the time of registration, you also will be asked on the application to identify any other Member who is responsible for referring you to the Network. You will then become a Sub-Member of that person. We are entitled to rely upon any information provided by you and by any other Member. If any dispute is submitted to us as to the appropriateness of the designation of a Member or Sub-Member, we shall have the final discretion to resolve that dispute. If you are entering into this Agreement by signing a hard-copy, we may or may not, at our sole discretion, retain and offset any applicable taxes and shipping and handling fees from any future amounts payable to you. Term: This agreement shall take effect upon the date this agreement is signed and shall remain in full force and effect indefinitely, unless terminated by either party. The terminating party must give written notice at least thirty (30) days prior to the date of intended termination. By purchasing other products or services through the Network, the Member agrees to adhere to the additional T&C that apply to those purchased products and services, if any. Upon termination, all open invoices will be considered due. Ordering and Paying for Albums: The process and procedure for placing of Album orders, and the manner of payment, are set forth on the Network web page. All payments to us are non-refundable. Credits: There are three types of credits generated and usable by Members with us. CrazyNSane (“CNS”) credits are generated:

o Through Retail Gift Card purchases; o To Affiliates when payment is received from referred Network advertisers. Advertisers are Artists or

Businesses that purchase web or magazine advertising from us. CNS credits are usable for any product purchase from us.

Promotion credits (“PC”) are generated through Promotional Gift Card and discount credit upload purchases. PC credits are usable on the purchase of Up-and-Coming Artists’ albums from us.

Redemption credits (“RC”) are generated as 50% of endorsement and Affiliate commission payout. RC credits are usable on the purchase of Up-and-Coming Artists’ albums from us.

Types of Artists: There are two types of Artist albums available for purchase from us. Up-and-Coming Artists have signed an Artist Contract with CrazyNSane Records. Purchase of Up-and-

Coming Artist albums can be completed with any credit type. Established Artists have NOT signed an Artist Contract with CrazyNSane Records. Purchase of Established

Artist albums can be completed with CNS credits. Balances: You will receive a monthly bill on any unpaid balances; all balances that are not paid within twelve (12) months shall accumulate fifteen percent (15%) interest annually from the commencement of the agreement. You will be assessed a five dollar ($5.00) billing fee with each billing. This fee can be waived if you set up an auto ACH debit or charge card payment plan. Music that Pays has discretion to utilize any outside agency to collect any past due balances. You will be held liable for all reasonable attorney’s fees or collection costs associated with the collection of any outstanding accounts. Using the Network Sites, Services and Tools: While using the Network’s sites, services and tools, you will not: post content or items in inappropriate categories or areas on the web page; violate any laws, third party rights or Network policies; use Network sites, services or tools if you are not able to form legally binding contracts, are under the age of

18 without parent or legal guardian consent, or are temporarily or indefinitely suspended from using Network sites, services or tools;

post false, inaccurate, misleading, defamatory, or libelous content (including personal information); take any action that may undermine the Network programs (such as displaying, importing or exporting

information off of the web page or using it for purposes unrelated to the Network); transfer your Membership account (including feedback) and User ID to another party without our consent; distribute or post spam, unsolicited or bulk electronic communications, chain letters, or pyramid schemes; distribute viruses or any other technologies that may harm the Network, or the interests or property of

Members; copy, modify or distribute rights or content from the Network site, services or tools or our copyrights and

trademarks; or harvest or otherwise collect information about Members, including e-mail addresses, without their consent. Abusing the Network: We and our Members work together to keep our services working properly and the Membership safe. Please report to us any problems, offensive content and policy violations. Without limiting other remedies, we may limit, suspend or terminate your Membership and user account, prohibit access to the Network sites and their content,

services and tools, delay or remove hosted content and take technical and legal steps to keep users off the sites if we think that they are creating problems, possible legal liabilities or acting inconsistently with the letter or spirit of Network policies. We also reserve the right to cancel unconfirmed accounts or accounts that have been inactive for a long period of time or to modify or discontinue Network sites, services or tools. Limitation of Liability: You will not hold us responsible for any claims you may submit because of any other Members’ or users' content, actions or inactions, or listed information. You acknowledge that the Network is designed for the promotion, sale and distribution of all Artist Albums. Except as otherwise specifically listed on the Network website, we are not involved in any transaction between or among Members or with other users. While we may help facilitate the resolution of disputes through various programs, we have no control over and do not guarantee the quality of any Work, the truth or accuracy of Members’ or other users’ content or listings, the ability of Members to sell Albums, or the ability or willingness of buyers to pay for Albums. We do not guarantee continuous or secure access to the Network sites, services or tools, and operation of these sites, services or tools may be interfered with by numerous factors outside of our control. Accordingly, to the extent legally permitted, we exclude all implied warranties, terms and conditions. We are not liable for any loss of money, goodwill or reputation, or any special, indirect or consequential damages arising, directly or indirectly, out of your use of or inability to use Network sites, services and tools. Some jurisdictions do not allow the disclaimer of warranties or exclusion of damages, so such disclaimers and exclusions may not apply to you. Regardless of the previous paragraphs, if we are found to be liable, that liability to you is limited to the greater of: (a) the total money you paid to us in the 12 months prior to the action giving rise to the liability, or (b) $100. Release: If you have a dispute with one or more Members or other users, you release us (and our officers, directors, agents, subsidiaries, Affiliates, joint ventures and employees) from claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with such disputes. If you are a California resident, you waive California Civil Code §1542, which says: "A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which if known by him must have materially affected his settlement with the debtor." Privacy: We do not sell or rent your personal information from our website to third parties for their marketing purposes without your explicit consent. Unless you have allowed us to do so by a separate agreement (such as a separate agreement with an Artist for whom we are promoting Works or Albums), your information is used only as described in this Agreement and on the Network web page. We view protection of Members’ privacy as a very important community principle. The Network stores and processes your information on computers located in the United States that are protected by physical as well as technological security devices. You can access and modify the Network information you provide and choose not to receive certain communications by signing-in to your account and changing the applicable fields. If you object to your information being transferred or used in this way, please do not use the Network services. Indemnity: You will indemnify and hold us (and our officers, directors, agents, subsidiaries, Affiliates, joint ventures and employees) harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your breach of this Agreement, or your violation of any law or the rights of a third party. Relationship of Parties: This agreement shall not be construed to create any employment relationship, agency relationship, joint venture, partnership, or franchiser-franchise between Network and Member/Affiliate/Business/Artist. All Members shall use pre-approved material and services on behalf of the Network as an independent contractor and shall be responsible for all income taxes. Members are not allowed to alter any term or condition of agreements issued by the Network. Member agrees to take full responsibility for any claims or damages arising from false representations of Network, altering of terms, making commitments, promises, unauthorized sales material, or mis-representation of any kind. Notices: Except as explicitly stated otherwise, legal notices shall be served on us by service on our Utah registered agent (whose name and address are available on the records of the Utah Division of Corporations and Commercial Code); and service may be made on you at the e-mail address you provide during the registration process (or a subsequent e-mail address you provide to us). Notice shall be deemed given 24 hours after email is sent, unless the e-mail address is invalid. Alternatively, we may give you legal notice by mail to the address provided during the registration process or updated through written notice to us. In such case, notice shall be deemed given three (3) days after the date of mailing. Law and Forum for Disputes: This Agreement shall be governed in all respects by the laws of the State of Utah as they apply to agreements entered into and to be performed entirely within Utah between Utah residents, without regard to conflict of law provisions. You agree that any claim or dispute you may have against us must be resolved exclusively by a state or federal court located in Salt Lake County, Utah. You agree to submit to the personal jurisdiction of the courts located within Salt Lake County, Utah, for the purpose of litigating all such claims or disputes. You also waive any jury trial. Additional Terms: Each of these policies may be changed from time to time at our own discretion. Changes take effect when we post them on the Network web page. When using particular services on Network sites, you are subject to any posted policies or rules applicable to services you use through the sites, which may be posted from time to time. All such policies or rules are hereby incorporated into this Agreement. Severability: If any part or parts of this Agreement shall be held unenforceable for any reason, the remainder of this Agreement shall continue in full force and effect. If any provision of this Agreement is deemed invalid or unenforceable by any court of competent jurisdiction, and if limiting such provision would make the provision valid, then such provision shall be deemed to be construed as so limited. Notice: Any notice required or otherwise given pursuant to this Agreement shall be in writing and mailed certified return receipt requested, postage prepaid, or delivered by overnight delivery service. Headings: The headings for section herein are for convenience only and shall not affect the meaning of the provisions of this Agreement. Entire Agreement: This Agreement and other Agreements, including the Affiliate Agreement, Artist Contract and Business Contract, where applicable, constitute the entire agreement between Network and Member concerning the subject matter hereof. There are no warranties, representations, covenants or agreements, expressed or implied, between the parties except those expressly set forth in the noted agreements. General: If at any time there is a breach of T&C, you agree that it will be at the discretion of the Network to cancel Membership and additional benefits. Any failure by us to act with respect to a breach by you or others does not waive any right to act with respect to subsequent or similar breaches. Additional Affiliate/Website Affiliate Agreement Terms and Conditions: THIS AGREEMENT (the “Agreement”) is made as of the signature date on front, by and between Music That Pays, (the “Company”) a Utah Corporation, and the signer (the “Affiliate”) and collectively, the “Parties”. WHEREAS Affiliate wishes to include certain materials promoting Company and to include a link to Company’s website within those materials on Affiliate’s website; NOW THEREFORE, in consideration of the mutual promises, covenants, warranties, and other good and valuable consideration set forth herein, the Parties agree the following Terms and Conditions (“T&C”): 1. Promotional Materials.

a. Company shall make available to Affiliate certain banner advertisements, button links, text links, and/or other graphic or textual material for display and use on the Affiliate website (the “Promotional Materials”). Affiliate shall display the Promotional Materials on Affiliate’s website prominently and as Affiliate sees fit, provided that the manner of display shall be subject to the T&C of this Agreement. Affiliate shall also include a link from the Promotional Materials to Company’s website, as specified by Company.

b. Use of Promotional Materials. The Affiliate’s use and display of the Promotional Materials on the Affiliate’s site shall conform to the following terms, conditions and specifications:

c. Affiliate may not use any graphic, textual or other materials to promote Company’s website, products or services other than the Promotional Materials, unless Company agrees to such other materials in writing prior to their display.

d. Affiliate may only use the Promotional Materials for the purpose of promoting Company’s website (and the products and services available thereon), and for linking to Company’s website.

e. The Promotional Materials will be used to link only to Company’s website, to the specific page and address as specified by Company.

f. Affiliate will not alter, add to, subtract from, or otherwise modify the Promotional Materials as they are prepared by Company. If Affiliate wishes to alter or otherwise modify the Promotional Materials, Affiliate must obtain prior written consent from Company for such alteration of modification.

2. License. Company hereby grants to Affiliate a nonexclusive, nontransferable license (the “License”) to use the Promotional Materials as specified under the T&C of this Agreement. The term of the License shall expire upon the expiration or termination of this Agreement.

3. Intellectual Property. Company retains all right, ownership, and interest in the Promotional Materials, and in any copyright, trademark, or other intellectual property in the Promotional Materials. Nothing in this Agreement shall be construed to grant Affiliate any rights, ownership or interest in the Promotional Materials, or in the underlying intellectual property, other than the rights to use the Promotional Materials granted under the License, as set forth in Section 2.

4. Relationship of Parties. This Agreement shall not be construed to create any employment relationship, agency relationship, or partnership between Company and Affiliate. Affiliate shall provide services for Company as an independent contractor and shall be responsible for all income taxes. Affiliate shall have no authority to bind Company into any agreement, nor shall Affiliate be considered to be an agent of Company in any respect.

5. Membership Inclusion. The Affiliate is required to be a Member of the Company. By signing this Agreement Affiliate also agrees to the T&C set forth by the Music That Pays Membership Agreement.

6. Term. This agreement shall take effect upon the date this agreement is signed and shall remain in full force and effect indefinitely, unless terminated by either party. The terminating party must give written notice at least thirty (30) days prior to the date of intended termination. By purchasing other products or services through the Company, the Affiliate agrees to adhere to the additional T&C that apply to those purchased products and services, if any. Upon termination, all open invoices will be considered due.

7. Balances: You will receive a monthly bill on any unpaid balances; all balances that are not paid within twelve (12) months shall accumulate fifteen percent (15%) interest annually from the commencement of the agreement. You will be assessed a five dollar ($5.00) billing fee with each billing. This fee can be waived if you set up an auto ACH debit or charge card payment plan. Music that Pays has discretion to utilize any outside agency to collect any past due balances. You will be held liable for all reasonable attorney’s fees or collection costs associated with the collection of any outstanding accounts.

8. Commissions. a. In exchange for Affiliate’s display of the Promotional Materials, and for Affiliate’s

compliance with and performance of the T&C of this Agreement, Company shall pay to Affiliate a commission (the “Commission”) in the amount of: 4% of retail sales for the first layer of referrals, 3% for the second layer, 2% for the third layer, 1% for the fourth layer and 1% for the fifth layer.

Example: If you refer someone who purchases product, you would receive 4% commission of the product purchase. Anyone they refer would pay you 3% of their product purchases, etc up to 5 layers deep. This same structure shall apply to future purchases. NOTE: Commissions do not get paid on Affiliate Registrations or Business Supply purchases. There is no product purchase required with Affiliate Registration.

b. Commissions will be paid to the Affiliate as: i. 50% Cash

ii. 50% Redemption Credit (use of which is detailed in the Membership Agreement) c. Company shall keep accurate and up-to-date records of the data used to determine the total

amount of Commissions owed to Affiliate. Affiliate shall be given reasonable access to these records upon request. Any discrepancy between the amount of Commissions owed according to these records, and the actual amount of Commissions paid to Affiliate in any period or periods, shall be rectified by Company within fourteen (14) days of discovering such discrepancy.

d. Shipping & Handling costs for products or Promotional Materials that was not paid for upfront may, at Company’s discretion, be held out of Affiliate’s income proceeds. We encourage you to check the website often for all of the latest information.

e. In the event that Affiliate materially breaches this Agreement and Company terminates this

Agreement within thirty (30) days of such breach, then any accrued and payable Commissions owing to Affiliate shall be forfeited, and Company shall not be obligated to pay such Commissions to Affiliate.

9. Affiliate’s Representations and Warranties. Affiliate represents and warrants the following: a. Affiliate has the legal authority to enter into this Agreement and to be bound to the

promises, covenants, and other duties set forth in this Agreement. b. Affiliate’s website does not contain any materials that are:

i. Sexually explicit, obscene, or pornographic; ii. Offensive, profane, hateful, threatening, harmful, defamatory, libelous, harassing, or

discriminatory (whether based on race, ethnicity, creed, religion, gender, sexual orientation, physical disability, or otherwise);

iii. Graphically violent, including any violent video game images; iv. Or solicitous of any unlawful behavior.

c. Affiliate has obtained any necessary clearances, licenses, or other permission for any intellectual property used on Affiliate’s website. Nothing on Affiliate’s website infringes upon the intellectual property rights of any person or entity. No person or entity has brought or threatened an action claiming such infringement, nor does Affiliate have any reason to believe that any person or entity will bring or threaten such a claim in the future.

d. Affiliate is at least eighteen (18) years of age or has consent from a parent or legal guardian and has a right to enter this agreement.

e. Affiliate will not use the Promotional Materials in any manner other than those set forth in Section 2 above.

f. Affiliate will not make any claim to ownership of the Promotional Materials, copyright, trademark, or other intellectual property therein.

g. Affiliate will not publish or otherwise distribute any advertising materials on Affiliate’s website that reference Company or Company’s website unless Company gives prior written consent to the distribution of such materials. Affiliate will not use Company’s name (or any name that is confusingly similar to Company’s name) for any purpose on its website, in its Promotional Materials, or in any other context except to promote Company’s website as specified in this Agreement. Affiliate will not register any domain name that incorporates Company’s name, or that is confusingly similar to Company’s name.

h. Affiliate will not engage in the distribution of any unsolicited bulk emails (spam) in any way mentioning or referencing Company or Company’s website.

i. Affiliate understands Affiliate is an independent contractor and does not represent Company. Affiliate understands the signing up or referrals of others are subject to the Company’s T&C. Affiliate cannot alter, or misrepresent any of those T&C. Affiliate agrees not to use sales materials outside of what Company supplies. Affiliate agrees to take full responsibility for all claims or damages arising from the altering of terms, commitments, promises, or misrepresentations of any kind, or from the use of unauthorized materials.

10. Indemnification. Affiliate shall indemnify Company and hold harmless Company from any claim, damage, lawsuit, action, complaint, or other costs arising out of any breach of Affiliate’s warranties set forth in Section 3 above. Affiliate shall also indemnify and hold harmless Company for any damage, loss or other cost arising out of the use or misuse by Affiliate of the Promotional Materials.

11. Relationship of Parties. This agreement shall not be construed to create any employment relationship, agency relationship, joint venture, partnership, or franchiser-franchise between Company and Member/Affiliate/Business/Artist. All Members shall use pre-approved material and services on behalf of the Company as an independent contractor and shall be responsible for all income taxes. Members are not allowed to alter any term or condition of agreements issued by the Company. Member agrees to take full responsibility for any claims or damages arising from false representations of Company, altering of terms, making commitments, promises, unauthorized sales material, or mis-representation of any kind.

12. Confidentiality. Any information that Affiliate is exposed to by virtue of its relationship with Company under this Agreement, which information is not available to the general public, shall be considered to be “Confidential Company Information”. Affiliate may not disclose any Confidential Company Information to any person or entity, except where compelled by law, unless Affiliate obtains prior written consent for such disclosure from Company.

13. Refunds and Returns. a. Non-personalized Business supplies can be returned within twelve (12) months as long as

they are in re-usable, re-stockable condition. b. Registration fees are non-refundable.

14. Governing Law. This Agreement shall be construed in accordance with, and governed in all respects by, the laws of the State of Utah, without regard to conflicts of law principles.

15. Counterparts. This Agreement may be executed in several counterparts, each of which shall constitute an original and all of which, when taken together, shall constitute one agreement.

16. Severability. If any part or parts of this Agreement shall be held unenforceable for any reason, the remainder of this Agreement shall continue in full force and effect. If any provision of this Agreement is deemed invalid or unenforceable by any court of competent jurisdiction, and if limiting such provision would make the provision valid, then such provision shall be deemed to be construed as so limited.

17. Notice. Any notice required or otherwise given pursuant to this Agreement shall be in writing and mailed certified return receipt requested, postage prepaid, or delivered by overnight delivery service.

18. Headings. The headings for section herein are for convenience only and shall not affect the meaning of the provisions of this Agreement.

19. Entire Agreement. This Agreement and other Agreements, including the Membership Agreement, Artist Contract and Business Contract, where applicable, constitute the entire agreement between Network and Member concerning the subject matter hereof. There are no warranties, representations, covenants or agreements, expressed or implied, between the parties except those expressly set forth in the noted agreements.

IN WITNESS WHEREOF, the parties have caused this Agreement to be executed upon the signing date listed on front.

You only get one chance to make a first impression. This statement is especially true in the music industry and most industry professionals will tell you that your first impression needs to be remarkable.

If you’re an independent artist or band looking to book gigs or land a record deal, an EPK is basically your resume. EPKs have quickly become the industry standard for submitting information to record labels, booking agents, promoters, venues and members of the media. EPKs are also widely used throughout the industry by artists, record labels and distribution companies for the promotion of new album releases.

EPK is an acronym. It stands for Electronic Press Kit. In the past, press kits were expensive to produce and were primarily comprised of printed promotional material and an audio submission such as a record, cassette or compact disc. With the advent of the internet and other supporting technologies, creating an extraordinary EPK has become relatively simple and inexpensive.

A high-quality EPK that demands attention should include a series of items like:

A brief, yet insightful bio where you talk all •about yourself and your motivesA set list conveying song titles, skits and •projected performance time.All contact information necessary for booking •and dates of availability.Any positive press that you have received•Photos and videos•

Discuss your fan demographics. Explain the •type of person your music targets.Established performance dates and venues.•Links to your social networking sites.•Sometimes EPK’s even include an online •store where music and merchandise can be purchased. A breakdown of what you charge for products •and performances.

EPKs can take on many forms. Some artists use their website. Others may use email marketing solutions. There are several online social networks that allow enough customization of a profile or page that they are suitable to use as an EPK. Though online solutions for creating and presenting an EPK are very popular, many artists prefer to have their EPK on a CD, DVD or USB flash drive for ease of distribution. Many record labels and venues may also like having something tangible.

MusicThatPays.com has plans to offer artists an online EPK creation studio due in the near future. Until then, we strongly encourage you to take full advantage of the resources that are already available to you. There are several online platforms you can use to create an outstanding EPK. Many of which are free, and very simple to use.

Still not sure if you need an EPK? Then consider this: music industry professionals expect your submission to be professional. Artists and bands who use EPKs book on average four times as many performances, as those who do not. With this in mind, we encourage you to work long and hard on your EPK.

As we progress forward into the digital age, we see a decline in physical CD sales. This has driven many artists away from shelling out big bucks for professional studio time. Along with this increase in technology we have seen prices for recording equipment drop and become more affordable for an independent artist. Although you will not really achieve studio quality with a home set-up, you can get good sounding recordings with the right equipment.

For those looking to jump into the home recording world here are a few things to consider. In this article I’m going to focus on the first step, which is to plan and build your main recording system. This includes a computer, recording software and an audio interface.

Let’s start with the audio interface. A simplified explanation would define the audio interface as the hardware you connect to your computer. This is to bridge the analog world with the digital world. Whether you are building a professional recording studio or just setting up a home studio, you should have a good quality interface.

Next we need to discuss software. There are many options for recording software that ranges from free, to very expensive. However, not all software is equal. The industry standard for both professionals and independent recordings is Pro Tools recording software. You can find different software packages that can fit most budgets. Many of these packages include an audio interface. Pro Tools LE is geared toward the home studio and independent musician. Most of the larger music retailers should have this software available for around $500 USD. The software is compatible with both PC and Mac. Keep in mind the importance of researching the package to be sure it will offer all the tools you will need before you buy. I strongly suggest a set-up that offers at least 2 XLR input ports and the ability to record at least 2 tracks simultaneously.

The last piece is the computer. You have two main options: A PC or a Mac. Macintosh is the industry standard for computer-based recording. This is widely due to their ease-of-use. Once selected, you then get to decide if you want a desktop, or a laptop/notebook computer. The MacBook Pro is the more popular choice for those who want a more portable recording set-up. If it’s within your budget, I would suggest you have a computer dedicated exclusively for recording.

Once you have your main recording system together you will need to look at microphones. There are many great mics available; however this is a step you don’t want to go cheap on. A good mic is critical to a great sounding recording as is the mic placement. If you are on a tight budget then take a look at the AKG Perception series condenser mics. These are popular for lower budget demo recordings. If you have a few extra dollars to spend I would highly recommend looking at Neumann mics. These are top of the line and offer the best

sound. I use a few different Neumann models for acoustic guitar as well as vocals. A good Neumann mic will run anywhere from $1,500 to $3,500 USD, but will be worth every penny. The U87 is a very popular model but if you want to save a few dollars and still have that high quality, then look at the TLM 102 or TLM 103. Both are great mics and work well for both vocal and acoustic instrument recordings. If you are an instrumental artist I recommend picking up a pair of the Neumann KM series. These work very well for acoustic guitar as well as most stereo mic applications.

Now that you have your recording system and microphones, you need to connect it all together. I see many artists that spend thousands of dollars on great equipment then buy the cheapest cables possible. Cables are not created equal. You want to have the cleanest, most pure signal from your mic/instrument to your recording system. The analog world is greatly affected by the physical state of your cables. Quality analog cables can make a difference.

For all the connections with the recording software, we are working in the digital world. Digital cables are not as susceptible to the physical quality issues as analog, so spending more dollars on digital isn’t as important. Common FireWire cables give you a very clean signal and fast data transfer rates.

Before you jump headlong into the recording world, be sure to do as much research as possible. Try visiting websites for info on products. Read reviews, but take them with a grain of salt. Many bad reviews are posted by users that did not research, investigate and understand the equipment they were buying and these reviews are just another person’s opinion. You may even want to consider contacting your local professional recording studio to book a few hours and have the engineer give you a crash course on how the system works; or give tips for both setting up and recording.

Recording is an art and although you can take classes, most of your knowledge will come from trial and error. The key to a great sounding recording is having a good ear and to get the mic placement just right.
