There is a substantial volume of literature covering business valuation methods, but a relatively limited volume of literature covering practice
mechanisms that can be used to reconcile materially different going-concern business valuation indications derived from multiple going-concern
business valuation methods. The prevailing practice mechanisms focus on ‘averaging’ separate business valuation indications derived from multiple
methods and/or ‘informed judgment’ applied without a defined practice framework. Regarding the use of ‘averaging’, leading professional business
valuation, accounting organizations, and scholars have not produced research supporting its use. IRS Revenue Ruling 59-60 states that “no useful
purpose is served by taking an average of several factors.” Regarding the use of ‘informed judgement’, the literature offers no guidance or
practice-framework on its application to reconcile materially different going-concern business valuation indications derived from multiple
methods. This session introduces an “Alternative Practice Mechanism” (APM) that is the subject of a Doctoral study being completed by the
presenter, Roy Salter. The APM is comprised of procedural, theoretic, and mathematical-elements that augment and organize prevailing going-
concern business valuation theories and methods that enable going-concern business value indications from multiple methods to be in-sync,
while concurrently providing an approach to address those issues introduced in The Dividend Puzzle (Black, 1976). This session will summarize the
literature and survey findings from Mr. Salter’s doctoral study research question that asks if a practice mechanism, reflecting the characteristics
of the APM introduced in his study, reduce the vague and conflicting guidance of the literature’s prevailing practice mechanisms used to
reconcile materially different going-concern business value indications derived from multiple going-concern business valuation methods?
Roy Salter is a Senior Advisor at FTI Consulting, Inc. where he is a leader in FTI’s global Valuation and Financial Advisory Services (VFAS) group and FTI Capital Advisors’ Fairness and Solvency Committee. He joined FTI Consulting by FTI’s acquisition of The Salter Group (TSG) in December 2012. Since 1988, Mr. Salter has led or overseen over 4,500 engagements, with a particular focus on entertainment, media, and other IP businesses, having completed projects with combined values in excess of US$250 billion. Mr. Salter is a Clinical Research Professor
with the School of Film and Television at Loyola Marymount University. He previously taught undergraduate and MBA courses at UCLA, Harvard Business School, Cal-Tech, Cal State University at Northridge (CSUN), and the European Media Business School in Spain. He is a Doctoral candidate at Grenoble E’cole de Management in France, holds an LMU MBA, and a CSUN BS in Business Administration. Mr. Salter is a non-executive chairman and founder of One Community, LLC, and a board advisor to Crunch Digital, LLC and Royalty Review Council LLC.

The official role of the valuation or financial litigation expert is to assist the trier of fact in interpreting and understanding the financial evidence. Many experts, however, are blindsided in the courtroom when they find out that their professional opinions are laden with landmines in the form of unverified evidence, unreasonable assumptions, risky leaps of faith, inappropriate protocol, and inadvertent departures from professional standards. In this session, Judges Gonzalez, Platt, and Yates will share the challenges that they have encountered with financial professionals and offer guidelines and approaches to solidify our opinions and persuasiveness in the legal environment.
Honorable Judge Elizabeth GonzalezDistrict Court of Clark County of 8th Judicial District
Judge Elizabeth Gonzalez is the Presiding Judge
of the Civil Division of District Court, handling business, civil, and criminal cases. She was appointed to the district court in July 2004. Prior to taking the bench, she practiced predominantly in complex civil litigation that included business, mass tort, and construction defect litigation. Judge Gonzalez currently is the President of the American College of Business Court Judges. She previously served on the Judicial Council of the State of Nevada, Supreme Court Jury Improvement Commission, the Supreme Court Access to Justice Commission, and the State of Nevada Ethics Commission. Judge Gonzalez has given numerous seminars on business and construction defect litigation including the subjects of evidence, civil discovery, insurance issues, dispute resolution, and construction defect issues.
Honorable Judge Steven I. Platt (Ret.)The Platt Group, Inc.
Judge Steven I. Platt (Ret.) retired as a full-time Circuit Court Judge on January 15, 2007. He
has since been approved by the Court of Appeals to be recalled in all eight Circuits and the Court of Appeals to try cases and conduct settlement conferences as a recalled judge. He is also engaged in private mediation, arbitration, and neutral case evaluation of complex civil litigation, including: medical malpractice cases, legal malpractice cases, product liability cases, construction litigation, and business disputes. Judge Platt is a trained mediator having completed the basic 40-hour course, as well as advanced courses. He serves as a panel arbitrator and mediator for the American Arbitration Association (AAA), International Institute for Conflict Prevention and Resolution (CPR), Resolute Systems (RS), and Financial Industry Regulatory Authority (FINRA), as well as his own company, The Platt Group, Inc.
Honorable Judge Christopher P. YatesCircuit Court the 17th Judicial Circuit of Kent County
Judge Christopher Yates was appointed to the Kent County
(Michigan) Circuit Court on April 22, 2008. He has served in both the Criminal/Civil Division and the Family Division of that court. He currently runs the specialized business docket for the court. Judge Yates received a BA from Kalamazoo College in 1983, and a JD and an MBA from the University of Illinois in 1987. As an attorney, Judge Yates served as a law clerk to a federal trial-court judge and a federal appellate judge, as a federal prosecutor in Detroit, as an attorney-advisor in the Office of Legal Counsel at the U.S. Department of Justice in Washington, as Chief Federal Public Defender for the Western District of Michigan, and as a partner in two private law firms.

Seminar Cancelations:Cancelations received in writing two weeks prior to the first day of the training event will be eligible for a prompt refund. A $100 administration fee will be charged for all live training event cancelations when a refund is requested. A $150 administration fee will be charged for the NACVA and the CTI’s Annual Consultants’ Conference cancelations when a refund is requested. Credit requests for all live training event cancelations are not subject to an administration fee. Training may be rescheduled up to three times with no charge. Trainings rescheduled more than three times will be subject to a $75 rescheduling fee. If requesting a refund, any credit vouchers and/or Pacesetter® Points applied to the original purchase will be forfeited. The controversy recently sparked conflicting articles in Business Valuation Update and Financial Valuation and Litigation Expert. This session delves into both sides of the debate, including a survey of the relevant professional standards, trends in the case law, and how they have been accepted/rejected by the courts. Attendees will receive insight on how to recognize the opportunities and threats with these types of cases while protecting themselves along the way.

The presenters will discuss levered cost of capital, unlevered cost of capital, and relevered cost of capital; with an emphasis on when it is appropriate to relever cost of capital and how to apply the results. They will explain when and how to use the regression equation method to calculate the additional size premium for your subject company when it is smaller than the 25th portfolio. They will also discuss company specific risk premium and alternatives to frequently used guestimates. The Cost of Capital Conundrum session will use case study examples from Navigator to help explain the output available from Navigator.

This session will present a practical review of recent court cases and valuation issues providing guidance for maintaining compliance with tax code, regulations, and court decisions. It will also address IRS Section 199A which provides many taxpayers a deduction for qualified business income from a qualified trade or business operated directly or through a pass-through entity. Valuation issues relating to the Tax Cuts and Jobs Act will be addressed along with SSARS 21-24, which focuses on CPAs compliance with standards for reviews, compilations, and engagements when preparing financial statements.

Integrating the balance sheet into the analysis is a critical component of a thorough valuation engagement. This session will review the major parts of the balance sheet and how they relate to the valuation in order to provide more complete results and reports. We will provide techniques to estimate the “business valuation working capital”, identify excess operating and non-operating assets, and evaluate the capital structure to better support the assumptions used to develop a conclusion of value. The attendees will be provided with an appreciation of and tools for how the balance sheet can be utilized with other analyses to improve and support their opinions.

Each attendee will participate as a testifying and consulting expert in a trial involving financial testimony or family law issues. Attendees will learn the art of delivering effective testimony and how to withstand grueling cross-examination. As consulting experts, attendees will learn how to dissect and critique the reports and opinions of the testifying experts and how to prepare counsel for the expert segments of trial. Each attendee will be coached and guided by members of our faculty of seasoned experts and trial attorneys. The bootcamp culminates in a courtroom setting during which each program attendee, as a testifying expert, presents and defends his or her own expert opinions on the witness stand.
