Your account will be served by a single point ofcontact servicing the needs of the accounts in their area. Basedacross Europe, they are also responsible for field visits. EachRegional manager will:

1. Conditions /Definitions1.1 In these Conditions the following expressions have the following meanings:

1.1.1 ‘Conditions’ means these terms and conditions of sale;

1.1.2 ‘Products’ means metal models, plastic models, paint brushes, paints, paper products andother hobby wargame products, excluding POS, as manufactured by GW;

1.1.3 ‘Buyer’ means any purchaser of Products from GW;

1.1.4 ‘GW’ means Games Workshop Limited;

1.1.5 ‘POS’ means all and any advertising, display and promotional material supplied by GW toBuyer in respect of the Product, including but not limited to posters, racking, leaflets,stickers, shelving strips and banners;

1.1.6 ‘Contract of Sale’ means any contract made between Buyer and GW in accordance withthese Conditions;

1.1.7 ‘Credit Policy’ means GW’s written credit policy document as amended from time to timeand as available to Buyer upon request; and

1.1.8 ‘Delivery’ means the unloading of the Products at the address set out in the relevantpurchase order.

1.2 These Conditions will govern and shall be incorporated into each contract for the sale of anyProducts by GW to the Buyer and will supersede all prior representations, warranties andagreements between the parties relating to the sale of the Products.

1.3 Any alteration to these conditions will only be effective if made in writing and signed on behalf ofGW by a director thereof.

1.4 For the purposes of these Conditions, each purchase order accepted in writing by GW willconstitute the formation of a separate contract.

1.5 For the avoidance of doubt no conditions may be imposed by the Buyer, nor do any of the Buyer'sterms or conditions apply to any order unless confirmed in writing by a director of GW.

1.6 Acceptance of the Products by the Buyer under any contract shall be conclusive evidence ofacceptance of these conditions in respect of the same.

1.7 No rights or licenses (whether express or implied) are granted by GW to the Buyer under or bythe virtue of these Conditions except those which are explicitly set out herein.

2. Acceptance 2.1 No order shall be deemed to be accepted by GW until accepted by a duly authorised officer of

GW. No revision or amendment to any contract of sale made pursuant to these Conditions shallbe valid unless in writing and signed by a duly authorised officer of GW.

2.2 For the avoidance of doubt, save in respect of Products that do not conform to the termshereunder, Products listed in Clause 2.3, or in respect of Products that breach relevant locallegislative requirements, GW does not accept product returns and all sales of Product by GW toBuyer are deemed final and Buyer will not return the same to GW.

2.3 For a period of forty two (42) days, such period starting on the forty third (43rd) day afterDelivery of the relevant Product (“Return Period”), GW will accept returns of unsold copies of theperiodical entitled “White Dwarf” in return for credit PROVIDED ALWAYS THAT:

2.3.1 Buyer returns the front covers of said unsold periodicals, along with relevant paperwork,to an address specified by GW in writing to Buyer within the Return Period; and

2.3.2 the total amount of such returns does not exceed twenty five percent (25%) of the totalnumber of periodicals sold to Buyer in the relevant month.

3. Products3.1 The quantity and description of the Products shall be those set out in GW's delivery note.

No specification in relation to the Products shall be binding upon GW except with GW's priorwritten consent.

3.2 GW reserves the right to make any changes in the specification of the Products which are requiredto conform to any applicable safety or statutory requirements.

3.3 Buyer will not alter, divide nor break down the Products into their component parts. For theavoidance of doubt the Buyer will sell the Products to third parties only as provided by GW toBuyer for that purpose.

4. Price and Payment 4.1 The price payable for Products by the Buyer will be the prices as stated from time to time in GW's

current trade literature (“the Price”).

4.2 Subject to Clause 4.3, the monies payable by the Buyer to GW for the Products will be reduced inaccordance with the GW price reduction policy which is available from GW upon request.

4.3 For the avoidance of doubt the discounts under clause 4.2 will not apply and will not be bindingin circumstances where the Buyer owes GW any monies under any contract of sale.

4.4 The value of the Buyer’s initial order for Product from GW (“Initial Order”) must exceed€500/£350/3,500DKR/4,250SKR.

4.5 Other than the Initial Order the value of each order for Product by Buyer must exceed€150/£100/1,000DKR/1,300SKR.

4.6 GW will deliver all Products with an order value of over €150.00 (“Carriage Paid Level”) at GW’sexpense.

4.7 All invoices are payable by Buyer in accordance with GW’s Credit Policy

4.8 GW will be entitled to charge the Buyer interest on all overdue payments at an annual rate of 4per cent above the Central European Bank’s base rate from time to time prevailing. Such interestshall accrue daily and be calculated on a daily basis on all overdue accounts from the date whenthe payment first became due until the date that payment is made in full.

4.9 The price for the Products does not include sales and services or similar tax, all of which shall bethe sole responsibility of the Buyer.

4.10 The Buyer will pay all of GW’s costs of collection of overdue payments, including, withoutlimitation, GW’s legal fees.

4.11 For the avoidance of doubt Recommended Retail Prices (RRPs) are not binding in any way uponthe Buyer. The Buyer is entirely free to select its own retail prices for GW’s products.

5. Delivery Date Not of Essence5.1 Every effort will be made to adhere to any stipulated delivery dates however the time of delivery

shall not be of the essence of any Contract of Sale.

6. POS6.1 POS will be used by Buyer in accordance with GW's instructions from time to time

6.2 POS will be kept in good order and condition at the risk of the Buyer

6.3 Notwithstanding any other provision in these Conditions:

6.3.1 the Buyer agrees and warrants that it will not alter, amend or reproduce (electronically orotherwise) any POS;

6.3.2 the Buyer is not entitled to use any intellectual property owned by GW of any type of kindwhatsoever unless permitted by the terms of these Conditions;

6.3.3 the Buyer will only use POS (and intellectual property thereto) as provided by GW toBuyer in the form given by GW; and

6.3.4 the Buyer will not use any products or materials not manufactured by GW in conjunctionwith any POS supplied by GW

7. Acceptance by Buyer7.1 Products are deemed accepted by the Buyer in the event that communication to the contrary has

not been received by GW within 5 days of delivery of Products to the Buyer.

8. Warranty8.1 GW warrants that the Products shall be free from defects in materials or workmanship for a

period of 24 months from the date of delivery. GW shall at its option either refund the purchaseprice or repair or replace at GW's own cost any Products which its examination confirms aredefective provided that:

8.1.1 the Buyer notifies GW immediately upon becoming aware of the defect;

8.1.2 the Products have been used and stored in accordance with any instruction orrecommendation by GW;

8.1.3 the Products have not been altered or repaired by any third party (other than inaccordance with any instructions or recommendations of GW; and

8.1.4 the Products are returned to GW provided that if GW acknowledges that the Products inquestion are defective it shall reimburse such costs of returning the Products to the Buyer.

8.2 The express terms of this agreement is in lieu of all warranties, conditions, terms, undertakingsand obligations implied by statute, common law, custom, trade usage, course of dealing orotherwise, all of which are excluded to the fullest extent permitted by law.

9. Limitation of Liability9.1 GW specifically excludes and shall not be liable for any losses arising out of, or in connection

with, this Agreement that constitute:

9.1.1 consequential loss;

9.1.2 indirect loss;

9.1.3 loss of profits;

9.1.4 loss of revenue;

9.1.5 loss of future earnings;

9.1.6 loss of opportunity; or

9.1.7 loss of savings.

10. Passing of Title and Risk10.1 Legal and beneficial title to any Products shall pass to Buyer upon receipt by GW of full payment

in cash or cleared funds of all sums due to GW in respect of those Products.

10.2 Until title of any Products has passed to the Buyer, the Products shall be stored separately fromany Products belonging to the Buyer and shall be identified as GW's Products.

10.3 In the absence of clear identification of particular Products to particular invoices it shall beconclusively presumed that Products retained by the Buyer of the type referred to in outstandinginvoices are the Products for which payment has not been made up to the full invoice value forsuch Products and GW shall have full right to select which of such Products to repossesspursuant to its rights.

10.4 Risk in the Products will pass to the Buyer upon payment of the Price for the Products by Buyer orupon Delivery, whichever is the sooner and the Buyer shall insure the Products against all risks totheir full value until title in the same has passed in accordance with Clause 10.1.

10.5 Products in the possession of the Buyer but remaining the property of GW shall at all times bepreserved in good condition by the Buyer in their original packaging and with any identification marksand shall not be exposed to risk or loss or pilfering or damage and shall not be made the subject of anycharge, lien or other encumbrance and shall be retained in the possession or control of the Buyer.

11. If the Buyer defaults11.1 If the Buyer makes defaults in the payment of any invoice (pursuant to any contract whatsoever)

or if any judgment is obtained against the Buyer or execution levied against its stock or it entersinto a compromise or arrangement with its creditors or gives notice of voluntary winding up or apetition for its compulsory winding up is filed, or a receiver, administrative receiver oradministrators is appointed over the Buyer's assets then GW may by written notice to the Buyerterminate existing contracts with the Buyer made pursuant to these conditions, whereupon:

11.1.1 notwithstanding any Credit Policy, all outstanding monies due to GW from Buyer, willimmediately become due and payable by Buyer to GW;

11.1.2 the Buyer or any liquidator, receiver, administrator or trustee thereof will forthwith upondemand deliver up all Products in the possession or control of the Buyer or suchliquidator, receiver, administrator or trustee, which remains the property of GW pursuantto these conditions and failing such delivery GW by its authorised servants, agents orrepresentatives may peaceably enter any premises wherein such Products may be for thepurposes of repossessing the same;

11.1.3 upon such delivery and repossession GW shall, after deducting the costs and expenses(including legal costs between solicitor and client) as have been incurred by GW inexercising its rights and remedies hereunder (including (without limitation) all checking,repackaging and other costs incurred by GW in arranging for the resale of the Products)give to the Buyer credit for the invoices price of such Products less any amountoutstanding to GW on any account. To the extent that any credit due to the Buyer underthis condition is less than the costs and expenses payable to GW, the Buyer shall pay suchcosts and expenses forthwith to GW; and

11.1.4 If the Products which GW is entitled to repossess under this condition exceed in invoicevalue the amount due from the Buyer GW may select which Products it wishes torepossess for the purposes of this condition and if the credit to which the Buyer is entitledas above extinguishes any outstanding liability of the Buyer as aforesaid all other Productsin the possession of the Buyer including any excess removed by GW as aforesaid shallbecome the property of the Buyer.

12. Company’s Rights at Law not restricted12.1 The rights and remedies of GW under these Conditions shall in no way minimise GW’s rights and

remedies at law; all such rights and remedies shall be cumulative (not exclusive) and GW shallnot be bound to exercise any such rights and remedies in any particular sequence.

13. Force Majeure13.1 GW shall not be liable to the Buyer or be deemed to be in breach of any Contract of Sale by reason of

delay in performance, or failure to perform any of GW’s obligations in relation to the Products, if thedelay or failure was due to any cause beyond GW’s reasonable control including but not limited to an:

13.1.1 explosion, flood, tempest, fire or accident;

13.1.2 war or threat of war, sabotage, insurrection, civil disturbance or requisition;

13.1.3 acts, restrictions, regulations, laws, prohibitions, or measures of any kind on the part of anylocal or federal governmental authority;

13.1.4 import or export regulations or embargoes;

13.1.5 strikes, lock-outs or other industrial actions or trade disputes (whether involvingemployees of GW or of a third party);

13.1.6 difficulties in obtaining raw materials, labor, fuel, or parts of machinery; or

13.1.7 failure or breakdown in machinery.

14. Governing Law14.1 The formation, existence, construction, performance, validity and all aspects whatsoever of any

Contract of Sale made pursuant to these Conditions shall be governed by the law in the relevantEuropean jurisdiction.

CONDITIONS OF SALE

The Conditions of Sale and Trading of the Games Workshop Group of Companies
