NYCLA CLE INSTITUTE GENERAL INFORMATIONACCREDITED PROVIDER STATUS - New YorkCounty Lawyers’ Association has been certified bythe New York State Continuing Legal EducationBoard as an Accredited Provider of continuing legaleducation in the State of New York from March 8,2004 through March 7, 2007 (Renewal applicationpending).
REFUNDS /TRANSFERS - Written notice of can-cellation or transfer must be received by NYCLA nolater than one hour prior to the start of the program.A $35 processing fee per course will be deductedfrom the refund for cancellations received less thanfive calendar days prior to the course date. Norefunds will be issued after the program start time;program materials will be shipped within two weeksafter completion of the program to registrants whohave not notified the Institute of cancellation in atimely manner. A $15 transfer fee will be chargedfor all transfer requests.
LIMITATIONS ON CLE CREDIT AWARDS -The NYS CLE Board has ruled that CLE credits maynot be awarded for attending part of a course session.Late arrivals or early departures from courses willaffect the amount of credits awarded.

Appellate courts usually do not consider issues raised for the first time onappeal, so it is important for attorneys to make an appropriate record before thetrial court regarding an issue to preserve it for appeal.
This course will present 12 test-case legal issues that criminal trial practition-ers need to understand to make appropriate records in the trial courts, so thatthe issues will be preserved for appellate review. Course Overview:Trade secrets are a viable mode of protection in the IP field. While they can beused in lieu of patents, more importantly, they can, and should, be relied upon atthe same time to protect any given invention, as well as the volumes of collateralknow-how. With patents and trade secrets it is possible to cover additional subjectmatter, strengthen exclusivity, invoke different remedies in litigation and have onesurvive when the other becomes invalid or unenforceable. Similarly, licenseagreements have become the preferred instruments for technology transfer, and“hybrid” patent/trade secret agreements are being used to protect patented tech-nologies once they become commercial products.
Learn from Professor Karl Jorda, a noted expert in the field, how to exploit theoverlap between patents and trade secrets and utilize both routes for optimal pro-tection, maximizing of profits and development of rational IP management andlicensing strategies. Emphasis will also be placed on clauses used in “hybrid”agreements to maintain trade secrecy for the benefit of the trade secret owner andthe appropriate limits that can be placed in license agreements to protect tradesecret licensees.
Professor Jorda was a corporate patent and trademark lawyer at Miles Laboratories (nowBayer) in Indiana, and the Chief IP Counsel at CIBA-GEIGY Corporation (now Novartis)in New York. He is a former President of the NY Intellectual Property Law Association andthe Pacific Intellectual Property Association (PIPA), as well as the recipient of the 1989PIPA Medal for “Outstanding Contributions to International Cooperation in the IntellectualProperty Field.” Professor Jorda is also a former member of the Board of Directors,Council, or Executive Committee of: the American Intellectual Property Law Association;the American Bar Association, Intellectual Property Section; the Association of CorporatePatent Counsel; Intellectual Property Owners; the International Trademark Association; andthe International Intellectual Property Law Association (AIPPI United States).

This expert panel addresses currenttax issues, as well as the treatment of traditionally corporate mechanisms, likewarrants, options and anti-dilution provisions in the LLC context.
Some of the topics to be discussed include:
• an examination of the technical requirements for the formation of limited liabili-ty companies, including the tax implications for ownership and operation of singleand multiple member LLCs;
• a comparison of the formation and operation of an LLC with the formation andoperation of other organizational structures, including corporations (bothSubchapter C and Subchapter S), limited partnerships, partnerships and other lim-ited liability entities; and

This course is useful to both experienced and newly admitted attorneys,providing an overview of NYS and federal laws governing the formationand operation of non-profit, charitable organizations and the administra-tion of charitable assets.
