ARGUMENT

I. American Express Reaffirmed Topco.

The Blues make a game attempt to portray Ohio v. American Express Co.,

138 S. Ct. 2274 (2018), as anything other than the latest in a line of unbroken

precedent reaffirming the essential holding of Topco: that horizontal market

allocation is always unlawful per se. In doing so, however, they merely confirm

that they are asking this Court to abrogate Supreme Court precedents that the

Supreme Court has cited only with approval. A court of appeals cannot do this.

Evans v. Sec’y, Fla. Dep’t of Corr., 699 F.3d 1249, 1263 (11th Cir. 2012).

The first piece of supposed support for the Blues’ position is the statement in

American Express that “‘promotion of interbrand competition’ … ‘is … the

primary purpose of the antitrust laws.’” 138 S. Ct. at 2290 (quoting Leegin

Creative Leather Prods., Inc. v. PSKS, Inc., 551 U.S. 877, 890 (2007)). The quoted

language from Leegin was in the context of vertical restraints, just as American

Express is a case about vertical restraints. Leegin, 551 U.S. at 890; American

Express, 138 S. Ct. at 2284. Topco and Sealy, however, rejected the promotion of

interbrand competition as a reason not to apply the per se rule to horizontal market

allocation. Provider Respondents’ Answer at 7–8 (discussing Topco and Sealy).

And Leegin explicitly reaffirmed this holding: “Restraints that are per se unlawful

include horizontal agreements among competitors to fix prices or to divide

markets.” 551 U.S. at 886 (citations omitted). The fact remains that the Supreme

Court has never questioned the central holdings of Sealy and Topco, much less

overruled them.

The second piece of supposed support is closely related to the first: the

Court’s rejection of the plaintiffs’ argument that Topco “forbids any restraint that

would restrict competition in part of the market.” American Express, 138 S. Ct.

at 2290 n.10. Here, the Court was referring to an attempt by the American Express

plaintiffs to apply Topco’s per se prohibition on horizontal market allocation to the

admittedly vertical restraints at issue in American Express. See Brief for Petitioners

and Respondents Nebraska, Tennessee, and Texas, 2017 WL 6205796, at *30, 42.

Again, rejecting Topco’s application to a vertical restraint says nothing about its

holding “that a horizontal agreement between competitors was unreasonable per

se,” as the Court recognized: “A horizontal agreement between competitors is

markedly different from a vertical agreement that incidentally affects one particular

method of competition.” American Express, 138 S. Ct. at 2290 n.10. The

fundamental holding of Topco is as strong as ever.

II. The Blues Admittedly Ask This Court to Review the District Court’s Factual Findings on a 1292(b) Petition.

Even if Topco and Sealy remain binding precedent, which is impossible to

deny with a straight face, the Blues ask the Court to grant review nevertheless

because “the district court’s formulation does not bind this Court, as certification

brings the entire order before this Court for appellate review.” Reply at 4. That is

not how Section 1292(b) works. Yes, after a petition has been granted, the Court

may review the entire order. No, the prospect of plenary review after the petition

has been granted is not a reason to grant the petition in the first place. This Court

could not have been clearer in McFarlin that “Section 1292(b) appeals were

intended, and should be reserved, for situations in which the court of appeals can

rule on a pure, controlling question of law without having to delve beyond the

surface of the record in order to determine the facts.” McFarlin v. Conseco Servs.,

LLC, 381 F.3d 1251, 1259 (11th Cir. 2004). Thus, the Blues have confirmed what

the Respondents have said; that the Blues are asking the Court to grant their

petition in order to revisit not only disputed issues of fact, but also factual findings

made against them. That is a plainly impermissible reason to grant review.1

The Blues’ reliance on the antitrust laws’ promotion of interbrand

competition as a reason to grant review further confirms that the Petition is an

invitation to overrule the District Court’s factual findings. The District Court

found, based on an extensive evidentiary record, that the “National Best Efforts”

rule “specifically restrains the Plans’ ability to compete under non-Blue brands”—

that is, interbrand competition. Op.46. their restraints of trade promote interbrand competition (which, as Topco holds, is

irrelevant), this Court would have to revisit the record and reverse the District

Court’s finding. This is just one example among many of factual findings this

Court would have to reverse or resolve before even beginning to consider the

Blues’ arguments. That is not what a 1292(b) appeal is for.

III. Waiting to Resolve the Certified Question Will Be More Efficient Than Taking an Appeal Now.

The Provider Respondents have challenged the Blues’ conduct under both

Section 1 and Section 2 of the Sherman Act. Because all Section 2 claims are

judged under the rule of reason, the Provider Respondents intend to prove their

claims under that standard, even if they are allowed to proceed on their per se

claims. Because the standard of proof is lower under the per se than the rule of

reason, any additional work associated with proceeding under both standards now

will be minimal. Provider Respondents’ Answer at 16–19; see also Subscriber

Respondents’ Answer at 20–22. The Provider Respondents understand that the

District Court disagreed, but this Court independently reviews whether

interlocutory appeal will “materially advance the ultimate termination of the

litigation.” McFarlin, 381 F.3d at 1262 (determining that interlocutory appeal

would not materially advance the ultimate termination of the litigation, and

denying the petition). For the reasons explained in the answers, this litigation will

likely end more quickly, and at less expense, without an immediate appeal.

CONCLUSION
