Notice is given by Chad Griffin (IP Number: 9528), Andrew Johnson (IP Number: 17670) and Simon Kirkhope (IP Number: 9303) of FTI Consulting LLP, 200 Aldersgate Street, Aldersgate, London, EC1A 4HD, under paragraph 46 of Schedule B1 of The Insolvency Act 1986 and rule 3.27(3) of The Insolvency (England and Wales) Rules 2016, that we were appointed Joint Administrators of Debenhams plc on 9 April 2019. The affairs, business and property of Debenhams plc are being managed by the Joint Administrators, Chad Griffin, Andrew Johnson and Simon Kirkhope. The Joint Administrators act as agents of the Company and contract without personal liability. The Joint Administrators are authorised to act either jointly or separately. This notice of appointment is made in accordance with the requirements of rules 3.20 and 3.21 of

the Insolvency (England and Wales) Rules 2016 (IR 2016) and paragraph 18(1)(a) of Schedule B1 to

the Insolvency Act 1986 (respectively Schedule B1 and IA 1986.) References in this notice of

appointment to rules and sections are, unless expressly provided otherwise, respectively references

to rules of the IR 2016 and to sections of the IA 1986.

1. GLAS Trust Corporation Limited of 45 Ludgate Hill, London, EC4M 7JU (the appointer)hereby appoints and thus has appointed Chad Griffin, Andrew Johnson, and Simon Kirkhope ofFTI Consulting LLP, 200 Aldersgate Street, London, EC1A 4HD as administrators of the companyand notice that this appointment has been made is hereby given.

2. The appointer is the holder of a qualifying floating charge in respect of the company's property thatis now enforceable. The qualifying floating charge was dated 29 March 2019 and registered on 1April 2019 and the charge is not limited to a maximum amount.

3. There is no prior floating charge which satisfies paragraph 14(2) of Schedule B1.

4. The company is not, at the date of this notice, the subject of insolvency proceedings.

5. The company is not an Article 1.2 undertaking (as defined in rule 1.2).

6. The proceedings flowing from the appointment will be a main proceeding and a statement for thereasons for stating this is in the appointer's possession.

7. The appointer undertakes to deliver to the court the following documents on the next occasion onwhich the court is open:

(a) All documents in the appointer's possession referred to at paragraphs 6 and 8.

(b) A hard copy of the email giving the time and the date of the email and the out ofhours court address to which this notice of appointment was sent.

(c) The statement of reasons for out of hours filing (including why it would have beendamaging to the company or its creditors not to have so acted.)

8. The proposed administrators consent to act, and copies of the administrators' consents to act arein the appointer's possession.

9. This appointment is in accordance with Schedule B1.

10. For the purposes of paragraph 100(2) of Schedule B1 the administrators may exercise any of the

powers conferred on them by the IA 1986 jointly or individually.
