I BRYAN WEBSTER of Level 31, 525 Collins Street, Melbourne in the state of Victoria,

Certified Practising Accountant and Registered Liquidator, AFFIRM:

Unless otherwise defined, capitalised terms used in this affidavit have the same

meaning as in my affidavit affirmed on 30 August 2Q17 and filed in these proceedings

(First Affidavit).

I am, together with Mark Mentha, Cassandra Mathews and Martin Madden, a joint

and several deed administrator of each of the Second Plaintiffs, excluding the Arrium

Sale Entities. I was, along with Mr Mentha, Ms Mathews and Mr Madden, a joint and

several deed administrator of the Arrium Sale Entities from 4 November 2016 to

31 August 2017.

From 12 April 2016 to 4 November 2016, the date when each of the Second Plaintiffs

executed a deed of company arrangement, I was, along with Mr Mentha,

Ms Mathews and Mr Madden, a joint and several voluntary administrator of each of

the Second Plaintiffs.

I make this affidavit on behalf of myself, Mr Mentha, Ms Mathews and Mr Madden.

ReferenCes in this affidavit to "We", "uS", "our" or "ourselves" are references to

Mark Mentha, Cassandra Mathews, Martin Madden and myself'

Except where I otherwise indicate, I make this affidavit from my own knowledge.

Where I depose to matters from information and belief, I believe those matters to be

true.

Amended lndemnity Deed

At paragraphs [93]-[95] of my First Affidavit, I referred to and exhibited at Tab 13 of

Exhibit BW-2 the lndemnity Deed executed on 30 August 2Q17 on behalf of the

Arrium Sale Entities.

On 30 August 2017, we provided a copy of the lndemnity Deed to the Buyers.

On 31 August 2017 we negotiated amendments to the terms of the lndemnity Deed

with the Buyers and their lawyers, Clayton Utz.

As a result of those negotiations, and prior to completion of the Sale Transaction

under the SSA, we agreed with the Buyers to amend and replace the lndemnity

Deed, A copy of the revised lndemnity Deed that was agreed with the Buyers and

executed on 31 August 2017 is at Annexure BW-l.

Gompletion of the SSA and Termination of Arrium Sale Entity DOCAs

10 I refer to paragraph l72l of my First Affidavit, The Sale Transaction under the SSA

completed on 31 August 2017.

11 On 31 August 2017, we executed a notice of termination of the DOCA for each of the

Arrium Sale Entities. On and from the time that we executed those notices, the

Arrium Sale Entities came under the control of their directors and we ceased to

control the Arrium Sale Entities, Copies of the notices of termination of the DOCAs in

respect of the Arrium Sale Entities which were lodged with ASIC are at Annexure

BW.2.

Arrium Committee of Creditors

12 As set out further below, we have given notice of the application to the members of

the Arrium Committee of Creditors.

13 The Arrium Committee of Creditors is a composite committee in the sense that it

consists of creditors who have claims against various Arrium Administration Group

companies. The members of the Arrium Committee of Creditors represent the major

creditor groups and interests that make up the body of creditors of the Arrium

Administration Group companies.

Clause 11 of the Distribution DOCA regulates the role, functions and meetings of the

Arrium Committee of Creditors during the Deed Administration period, The members

of the Arrium Committee of Creditors are set out in Schedule F of the Distribution

DOCA and comprise:

(a) Steve Cook (representing the non-union employees);

(b) The Australian Workers Union;

(c) Australian Council of Trade Unions;

(d) Bis lndustries Ltd;

(e) The Lucas Group Pty Ltd;

(f) K&S Freighters PtyLtd;

(g) Morgan Lewis as representatives of the US Private Placement Noteholders;

(h) Banco Bilbao Vizcaya Argentaria (BBVA);

(i) Westpac Banking Corporation Ltd;

0) NationalAustralia Bank Ltd;

(k) Commonwealth Bank of Australia Ltd;

(l) Australia and New Zealand Banking Group Ltd;

(m) State Government of South Australia; and

(n) Commonwealth of Australia (Department of Employment).

The employees of the Arrium Administration Group companies are represented on

the Arrium Committee of Creditors by:

(a) Mr Steve Cook, who represents the non-union employees; and

(b) The Australian Workers Union (AWU) and the Australian Council of Trade

Unions (ACTU), who represent the union employees.

As set out in paragraph [57] of an affidavit that I affirmed on 21 October 2016 in a

related Federal Court proceeding in respect of the Arrium Administration Group

(Proceeding No. VID 126012016)'.

(a) about 3,500 employees are not affiliated with the unions and are represented

on the Arrium Committee of Creditors by Mr Steve Cook;

(b) about 2,500 employees are members of unions, with the majority (about

2,000) being members of the AWU;

(c) the ACTU plays a general coordinating role on behalf of the various unions in

relation to the administrations of the Arrium Administration Group companies

and the employee members those unions represent.

Further communications with interested parties

I refer to paragraph [1 16] of my First Affidavit. I also refer to the Affidavit of Susanna

Ford, a partner of Arnold Bloch Leibler, affirmed 31 August 2Q17 (Ford Affidavit),

As set out in the Ford Affidavit, on 30 August 2017 and 31 August 2017 we gave

notice of this application and copies of the Court documents (excluding confidential

exhibits) to:

(a) the Buyer (through its lawyers Clayton Utz) (paragraph [3] of the Ford

Affidavit);

(b) members of the Arrium Committee of Creditors (paragraphs [4], [5] and [6] of

the Ford Affidavit); and

(c) ASIC (paragraph [7] of the Ford Affidavit)

19 On 1 September 2017, this proceeding came before the Court. At that hearing,

Justice O'Callaghan made orders:

(a) relieving us from compliance with certain cash handling requirements of the

lnsolvency Practice Schedule (Corporations) at Schedule 2 of the

Corporations Act 2001(Cth) that came into effect on 1 September 2017; and

(b) that certain exhibits to my First Affidavit be kept confidential

20 The balance of the Originating Process was adjourned for further hearing at 10,15am

on 8 September 2017.

21 On 1 September 2017 we provided a weekly Update Report to the Arrium Committee

of Creditors in which we notified committee members that:

(a) the Court had made orders relieving us of certain of the requirements of the

new /nso/yency Practice Schedule relating to funds handling arrangements in

respect of the Arrium Administration Group companies; and

(b) that the balance of the hearing had been adjourned to 8 September 2017

On 2 September 2017, our solicitors, Arnold Bloch Leibler, provided a copy of the

unsealed orders made on 1 September 2017 by email to ASIC and Clayton Utz, the

solicitors for the Buyers. Copies of Arnold Bloch Leibler's emails to ASIC and

Clayton Utz attaching the form of orders made on 1 September 2017 are at

Annexure BW-3.

23 On 5 September 2017, we sent a circular letter to

(a) the contracting parties; and

(b) lessors of property and equipment;

listed in Annexures A and B of the Originating Process notifying them of this

application (Gircular Letter) with the exception of three lessors who we expect to

notify today.

24 ln the course sending the Circular Letter we identified two additional lessors of

property to Arrium Sale Entities to whom we also sent the Circular Letter on

5 September 2017, namely:

(a) Aurizon Pty Ltd who lease a property at 146lngram Rd, Acacia Ridge, QLD to

Austube Mills Pty Ltd; and

(b) NSW Department of Lands who lease a property at 132 West Dapto Rd

Kembla Grange, NSW to OneSteel Trading Pty Ltd.

25 ln total, we will have sent the Circular Letter to 209 recipients by email and to the

remaining 15 recipients by post (where we did not have an email address). The

Circular Letter informed the recipients that they could access the Court documents

filed in this application from the KordaMentha or Arnold Bloch Leibler websites or,

alternatively, request to have the Court documents emailed to them. A copy of the

Circular Letter is at Annexure BW-4.

26 On 5 September 2017 Arnold Bloch Leibler provided a copy of the Circular Letter to:

(a) ASIC; and

(b) Paul James of Clayton Utz, the lawyers acting for the Buyers.

Copies of Arnold Bloch Leibler's emails to ASIC and Clayton Utz dated 5 September

2017 are at Annexure BW-S.

On 5 September 2017, I emailed a copy of the Circular Letter to the Arrium employee

representatives on the Arrium Committee of Creditors:

,'Beneficiary" means the Deed Administrators or any one of them and their Personnel.

',Buyer" means SIMEC Group Limited (Company number 1651874) of Suite 22A2-22Q4,

The Landmark Building, 11 Pedder Street, Central, Hong Kong and each entity

nominated by the Buyer to purchase shares in a Sale Entity.

,,Claim" means any allegation, claim, notice, demand, action, proceeding, litigation,

investigation or judgement however arising and whether present or future, fixed or

unascjrtained, actual or contingent, and whether arising under statute, at law or in equity

brought by the Buyer or its successors,

"Corporations Act" means lhe Corporations Act 2001 (Clh).

,,Arrium Distribution Fund" means the fund established in accordance with clause 16 of

the deed of company arrangement entered into by the Arrium Creditor Distfibution

Company pty Limited (formerly SSX Pty Limited and no_w known as AC Distribution

Company Pty Limited) (ACN 082 1Bl 726) on 4 November 2016.

,'Liability" means any liability or obligation to the Buyer or its successors (whether actual,

contingent or prospective) iirespective of when the acts, events or things giving rise to

the liability occurred.

,,Loss" means any debt or other monetary liability (including for tax) or penalty, fine or

payment or any damages, losses, costs, charges, outgoings or expenses, including legal

coits 1on an indemnity basis) owed to the Buyer or its successors.

,,personnet" includes a party's Officers (as that term is defined in section 9 of the

Corporations Act), employees and parlners.

2 Gondition precedent

2.1 Subject to clause 2,2, this Deed will be of no effect unless and until the Deed

Administrators obtain an order from the Federal Court of Australia pursuant to section

447D of the Corporations Act, or section 90-15 of Schedule 2 to the Corporations Act, to

the effect that they are justified in causing each Sale Entity to execute this Deed,

The condition precedent in clause 2.1 may be waived in the sole discretion of the Deed

Administrators, in which case this Deed will come into effect from the date such waiver is

communicated by the Deed Administrators to the $ale Entities,

3 lndem nity

3.1 To the fullest extent possible, each Sale Entity indemnifies and will keep indemnified

each of the Beneficiaries from and against all Claims and Liability and from any Loss

incurred by a Beneficiary of whatsoever nature in relation to or in connection with the

voluntary administration and the administration under the respective deeds of company

arrangement of a Sale Entity or the sale of the shares in the Sale Entity to the Buyer,

excepl to the extent such Claims, Liability or Loss have arisen as a direct result of the

gross negligence, recklessness, fraud or wilful default of the Beneficiary, including legal

costs (on-an indemnity basis) of a Beneficiary that have been incurred or may be incurred

in defending or disputing a Claim or Liability, with such legal costs to be paid by the Sale

Entities in advance.

The obligations of the Sale Entities under this Deed Poll are absolute, unconditional and

irrevocable. The liability of the Sale Entities under this Deed Poll extends to and will not

be affected by any circumstance, act, omission or thing which, but for this clause, might

otherwise affect it at law or in equity'

Further assurances

Each Sale Entity must do or cause to be done all things necessary or reasonably

Governing law and jurisdiction

This Deed will be governed by and construed in accordance with the laws in force in the

State of Victoria anO tne Sale Entity submits to the exclusive jurisdiction of the Federal

Court of Australia (Victorian Registry) in that regard'

You have advised that at the hearing scheduled for tomorrow, the deed administrators will only proceed with their

application for a direction under Division 65, or alternatively pursuant to section 90-15 of Schedule 2 of the

Corporations Act 2001 (Bank Account lssue) in relation to bank accounts, cash and securities of the Arrium

Administration Group companies. You further advised that the rest of the deed administrators' application will be

adjourned to a date in the future.

ASIC considers that the Bank Account lssue is properly left for the determination of the Court and confirms that it

does not propose to intervene in the application or seek leave to appear at the hearing scheduled for tomorrow.

ASIC's decision is based on the principles set out in ASIC lnformation Sheet 180 AS/C's approach to involvement in

private court proceedtngs, includ ing:

1. whether intervention is of strategic regulatory significance;

2. whether the benefits of intervention outweigh the costs of doing so;

3. whether issues specific to the case warrant intervention; and

4. whether alternatives are available, including appearing as amicus curiae or taking action ourselves.

This letter should not be taken as an expression of support for, or opposition to, the orders sought in the application to

be heard tomorrow.

We act for Mark Mentha, Cassandra Mathews, Bryan Webster and Martin Madden in their capacities as the Deed

Administrators of ACN OiOq Afi 833 (formerly Arrium Ltd) (Subject to Deed of Company Arrangement) and the 93

related companies that form the Arrium Group.

ln the interests of keeping ASIC abreast of developments in the Arrium Group administrations, please see attached

the following documents that have been lodged with the Federal Court of Australia this evening:

1. Originating Process dated 30 August 2017;

2. Affidavit of Bryan Webster affirmed 30 August 2017; and

3. Affidavit of Susanna Ford affirmed 30 August 2017.

The application has been listed for a directions hearing at the Federal Court of Australia in Melbourne before Justice

Davies at 9.30am on Friday 1 September 2017 '

The application primarily seeks relief to limit the personal liability of the Deed Administrators in respect of their trading

of the'Arrium Group companies listed in Scheduie 2 of the Originating Proces_s (Arrium Sale Entities) whose shares

are being sold to SiVleC Group Ltd and Liberty House Pte Ltd pursuant to a Share Sale Agreement dated 5 July

2017. 2

ln summary, the Deed Administrators are seeking orders to the following effect:

1. Limiting their personal liability in relation to contracts entered into or varied during the voluntary administration

period (from 7 April 20i 6 to 4 November 2016) by excluding personal liability for any debts or liabilities incurred in that

period which fall due for payment after the completion of the sale of the Arrium Sale Entities.

2. Limiting their person-at tiaOitity for rent or other amounts payable by the Arrium Sale Entities in connection with

property and equipment used, occupied or possessed by the Arrium Sale Entities during the voluntary administration

perioO by excluding personal liability for any amounts, debts, claims or liabilities which have not been paid as at the

completion of the sale of the Arrium Sale Entities

3. Amending the Transaction Support DOCAs to correct a typographical error in clause 7.11(c) and clause

7.11(d).4. Amending clause 18.4(c) of each DOCA to nominate a different foreign exchange benchmark for the

conversion of Oebts in the proof of debt adjudication process, to account for the fact that the Commonwealth Bank no

longer provides the rate specified in the DOCAs and the Corporations Act.

S. That the Deed Administrators are justified in causing the Arrium Sale Entities to execute a deed of indemnity

(which is exhibited to the affidavit of Bryan Webster) under which the Arrium Sale Entities agree to indemnify the

Deed Administrators for any claims that may be made by the purchasers of the shares in the Sale Entities in relation

to the sale.

6. Authorising the Deed Administrators to continue dealing with bank accounts, cash and securities of the Arrium

Administration Group companies in accordance with the procedures established prior to 1 September 2017.

Arrium Group Companies (Subject to Deed of Company Arrangement)Arrium Sale Entities as listed in Schedule I

We are pleased to advise that the sale of the shares of Arrium Sale Entities to the GFG Alliance

com'pleted on Thursday 31 August 2017.

As a consequence of the sale, the Deed Administrators are no longer in control of the Arrium Sale

Entities: control now rests with the GFG Alliance. Under the terms of the sale agreement, the GFG

Alliance is responsible to ensure payment of all Arrium Sales Entities liabilities arising after

7 April2016, and allfuture liabilities, under contracts with the Arrium Sale Entities.

Creditors are requested to remove the words '(Subject to Deed of Company Arrangement)' from

their accounts and all future correspondence with the Arrium Sale Entities.

Given that the GFG Alliance control and are responsible for the liabilities of the Arrium Sale

Entities, the Administrators have made an application to the Federal Court to:

. Exclude the Voluntary Administrators' personal liability for;

- Debts which falldue for payment after 31 August 2017 which were incurred during the

period of voluntary administration from the date of their initial appointment to

4 November 2016 (when each of the Arrium Sale Entities executed a deed of company

arrangement) in respect of goods bought or services rendered.

- Amounts payable in connection with property and equipment used by the Arrium Sale

Entities during the voluntary administration period (7 April 2016 to 4 November 2016) and

which have not been paid as at 31 Augusl2017.

. Amend certain clauses of the deeds of company arrangement for the Arrium Group

Companies to correct typographical errors and to nominate a different foreign exchange

benchmark.

. Obtain a direction that the Administrators are justified in causing the Arrium Sale Entities to

indemnify them for any claims that may be made by GFG Alliance in relation to the sale of

shares in the Arrium Sale Entities

. Relieve the Administrators of aspects of the new lnsolvency Practice Schedule that came into

effect on 1 September 2017.

The application was part-heard on 1 Septem ber 2017 . The Court made orders in relation to the

I nsolvency Practice Schedule.

You have advised that at the hearing scheduled for tomorrow, the deed administrators will only proceed with their

application for a direction under Division 65, or alternatively pursuant to section 90-15 of Schedule 2 of the

Administration Group companies. You further advised that the rest of the deed administrators' application will be

adjourned to a date in the future,

ASIC considers that the Bank Account lssue is properly left for the determination of the Court and confirms that it

Administrators of ACN OO4 410 833 (formerly Arrium Ltd) (Subject to Deed of Company Arrangement) and the 93

related companies that form the Arrium Group.

ln the interests of keeping ASIC abreast of developments in the Arrium Group administrations, please see attached

the following documents that have been lodged with the Federal Court of Australia this evening:

1. Originating Process dated 30 August 2017;

2. Affidavit of Bryan Webster affirmed 30 August 2017; and

3. Affidavit of Susanna Ford affirmed 30 August 2017

The application has been listed for a directions hearing at the Federal Court of Australia in Melbourne before Justice

Davies at 9.30am on Friday I September 2017.

The application primarily seeks relief to limit the personal liability of the Deed Administrators in respect of their trading

of the'Arrium Group companies listed in Schedule 2 of the Originating Process (Arrium Sale Entities) whose shares

are being sold to SIU[C Group Ltd and Liberty House Pte Ltd pursuant to a Share Sale Agreement dated 5 July

2017.

ln summary, the Deed Administrators are seeking orders to the following effect:

1. Limiting their personal liability in relation to contracts entered into or varied during the voluntary administration

period (from /npril2016 to 4 November 2016) by excluding personal liability for any debts or liabilities incurred in that

period which fall due for payment after the completion of the sale of the Arrium Sale Entities.

i. Limiting their person-al liability for rent or other amounts payable by the Arrium Sale Entities in connection with

property and 6quipment used, occupied or possessed by the Arrium Sale Entities during the voluntary administration

perioO by exctuOing personal liability for any amounts, debts, claims or liabilities which have not been paid as at the

completion of the sale of the Arrium Sale Entities.

3. Amending the Transaction Support DOCAs to correct a typographical error in clause 7.11(c) and clause

7.1 1(d).

4. Amending clause 18.4(c) of each DOCA to nominate a different foreign exchange benchmark for the

conversion of debts in the prooi of debt adjudication process, to account for the fact that the Commonwealth Bank no

longer provides the rate specified in the DOCAs and the Corporations Act.

S. That the Deed Administrators are justified in causing the Arrium Sale Entities to execute a deed of indemnity

(which is exhibited to the affidavit of Bryan Webster) under which the Arrium Sale Entities agree to indemnify the

Deed Administrators for any claims thai may be made by the purchasers of the shares in the Sale Entities in relation

to the sale.

6. Authorising the Deed Administrators to continue dealing with bank accounts, cash and securities of the Arrium

Administration Group companies in accordance with the procedures established prior to 1 September 2017.

Arrlum Group Companies (Subject to Deed of Company Arrangement)Arrium Sale Entities as listed in Schedule 1

We are pleased to advise that the sale of the shares of Arrium Sale Entities to the GFG Alliance

completed on Thursday 31 August 2017.

As a consequence of the sale, the Deed Administrators are no longer in control of the Arrium Sale

Entities: control now rests with the GFG Alliance. Under the terms of the sale agreement, the GFG

Alliance is responsible to ensure payment of allArrium Sales Entities liabilities arising after

7 April 2016, and allfuture liabilities, under contracts with the Arrium Sale Entities.

Creditors are requested to remove the words '(Subject to Deed of Company Arrangement)' from

their accounts and all future correspondence with the Arrium Sale Entities.

Given that the GFG Alliance control and are responsible for the liabilities of the Arrium Sale

Entities, the Administrators have made an application to the Federal Court to:

. Exclude the Voluntary Administrators' personal liability for;

- Debts which falldue for payment after 31 August 2017 which were incurred during the

period of voluntary administration from the date of their initial appointment to

4 November 2016 (when each of the Arrium Sale Entities executed a deed of company

arrangement) in respect of goods bought or services rendered.

- Amounts payable in connection with property and equipment used by the Arrium Sale

Entities during the voluntary administration period (7 April 2016 to 4 November 2016) and

which have not been paid as at 31 Augusl2017.

. Amend certain clauses of the deeds of company arrangement for the Arrium Group

Companies to correct typographical errors and to nominate a different foreign exchange

benchmark.

. Obtain a direction that the Administrators are justified in causing the Arriurn Sale Entities to

indemnify them for any claims that may be made by GFG Alliance in relation to the sale of

shares in the Arrium Sale Entities

. Relieve the Administrators of aspects of the new lnsolvency Practice Schedule that came into

effect on 1 September 2017.

The application was part-heard on 1 September 2017. The Court made orders in relation to the

I nsolvency Practice Schedule.

By way of further update in relation to the Court application we filed on 30 August 2017, our email below sent to the

Committee on 30 Augus't 2017 and the Court Application section included in last Friday's Deed Administrators'

update, please see attached, for your information, a circular letter we sent today.

The letter has been sent to:

(a) contracting parties; and

(b) lessors of property and equipment;

with the Arrium Administration Group entities whose shares were sold under the Share Sale Agreement dated 5 July

2017. We are also providing the letter to you as the representatives of the Arrium non-union employees and Arrium

employee members of the AWU and ACTU.

Dear Committee Member,

As flagged in last week's Committee meeting, the Deed Administrators are seeking orders in the Federal Court of

Australia on Friday.

Accordingly, we attach, by way of service, a copy of the following documents which were lodged with the Federal

Court of Australia today:

1.. An originating process.

2. Affidavit of Bryan Webster dated 30 August 20L7.

3. Affidavit of Susanna Ford dated 30 August 2017.

The documents contained in Exhibit BW-2 referred to in the affidavit of Bryan Webster (with the exception of the

The matter is listed for hearing at the Federal Court in Victoria at 9,30am on Friday 1 September 2Ot7.

The Deed Administrators are seeking orders to the following effect

L Limiting their personal liability in relation to contracts entered into or varied during the voluntary

administration period (from 7 April 2016 to 4 November 2016) by excluding personal liability for any debts

or liabilities incurred in that period which fall due for payment after the completion of the sale of the Arrium

Sale Entities.

2. Limiting their personal liability for rent or other amounts payable by the Arrium Sale Entities in connection

with property and equipment used, occupied or possessed by the Arrium Sale Entities during the voluntary

administration period by excluding personal liability for any amounts, debts, claims or liabilities which have

not been paid as at the completion of the sale of the Arrium Sale Entities.

3. Amending the Transaction Support DOCAs to correct a typographical error in clause 7.11(c) and clause

7.11(d).

4. Amending clause 1S.a(c) of each DOCA to nominate a different foreign exchange benchmark for the

conversion of debts in the proof of debt adjudication process, to account for the fact that the

Commonwealth Barrk no longer provides the rate specified in the DOCAs and the Corporations Act'

5. That the Deed Administrators are justified in causing the Arrium Sale Entities to execute a deed of indemnity

(which is exhibited to the affidavit of Bryan Webster) under which the Arrium Sale Entities agree to

indemnify the Deed Administrators for claims rJ33 OU the purchaser of the Sale Entities in relation to the

sale.

6. Authorising the Deed Administrators to continue dealing with bank accounts, cash and securities of the

Arrium Administration Group companies in accordance with the procedures established prior to 1September 2017.
