Amy seeks advice from her financial adviser, David, who suggests that given her current investments are concentrated in Australasia, it would be prudent to diversify by investing this money into funds that invest into overseas asset classes, such as international equities and international fixed interest.

What are the funds?

A selection of eight funds targeting specific asset classes.

The main asset classes include:

• Fixed interest: debt securities issued by entities such as governments, corporations, local authorities and banks (called issuers). The issuer generally pays a set (or fixed) interest rate for a set period of time.

• Equities: part-ownership of a company or similar entity. Equities include units and shares. Shareholders share any profits or losses of the relevant entity.

• Listed property: equities or units in listed property trusts or companies. Those trusts or companies own or invest directly in commercial property.

We also offer a multi-asset-class Balanced Fund that invests in the above asset classes, cash and cash equivalents, with a very small allocation to alternative assets.

A SNAPSHOT OF THE FUNDS

Flexible payment options

You can make regular payments

You can make regular fortnightly, monthly or quarterly payments straight from your bank account. The minimum regular payment per fund is $50.

You can make lump sum payments

If you do not want to make regular payments, you must make an initial lump sum payment of $500 or more when you first join a fund.

You can also make additional lump sum payments of $500 or more at any time, whether or not you have a regular payment set up.

Or, you can do both

The funds are flexible enough that you can make contributions on a regular basis as well as adding a lump sum investment.

You can withdraw at any time

You can request a withdrawal on any business day. You decide when and how much to withdraw.

You can also set up a regular withdrawal to supplement your income or support your lifestyle.

Each fund has a maximum fee

The annual fund charge is the total fee for your investment. The fee is a percentage of the net asset value of each fund, and is deducted from it.

You will not pay more than this fee.

Investing involves risks

Investing in the funds will involve taking some risk.

Your investment might not do as well as expected and you may not receive back the full amount you invested.

We recommend that you talk to your financial adviser about the investment options available to you.

Your payments

The payments you make can be regular or lump sum amounts.

Returns

Your investment can go up or down because of the performance of your fund.

Returns reflect gains or losses made when assets our funds invest in change in value or earn income.

Fees

There is an annual fund charge that varies depending on the fund you’re invested in.

It’s deducted straight from the fund.

Taxes

If you’re an individual or joint investor, taxes (or tax rebates) that apply to your investment are automatically deducted from (or added to) your account at the prescribed investor rate (PIR) you provide us with.

If you’re not an individual or joint investor, you may need to pay tax yourself.

OUR FUNDS AND EXTERNAL FUND MANAGERS

The single-asset-class funds invest into underlying funds that we manage. Each underlying fund focuses its investments on a specific asset class. We believe this management structure benefits you because it creates efficiencies and we have greater control of the overall cost to you.

The core asset classes we invest in and the external fund managers of our underlying funds are shown below. They may change from time to time.

Our multi-asset-class Balanced Fund invests most of its assets into our underlying funds. The Balanced Fund spreads its investment over hundreds of assets in local and international markets. Our investment team monitor and adjust the asset class allocation, depending on how they believe each will perform.

We set and adjust the mix of asset classes that make up each fund. Additionally we manage cash and cash equivalents, New Zealand fixed interest, Australasian listed property and some Australasian equities. We look for high-quality assets with an attractive return profile at a reasonable price.

Arnhem Investment Management Pty Limited (Arnhem), a delegate of BNP Paribas Investment Partners (Australia) Limited, manages a portfolio of Australian equities. Arnhem aims to invest in companies with above-average, sustainable earnings growth.

ANZ Investments

The Franklin Equity Group (Franklin), a part of Franklin Templeton Investments, manages a portfolio of international equities. Franklin aims to invest in quality companies with the potential to produce sustainable earnings and cash flow growth.

OUR SELECTION AND MONITORING PROCESS

Our investment team selects the assets for most of the Australasian assets. For the international assets, we select external fund managers who we believe are among the best in their class.

Our selection follows an extensive research process. A number of factors are considered, such as people (experience and stability of the team), process (consistency of philosophy and style), business and performance.

The managers’ performance, strategy and investment processes are monitored on a regular basis.

What is this?

This is a managed investment scheme. Your money will be pooled with other investors’ money and invested in various investments. ANZ New Zealand Investments Limited (ANZ Investments, we, us and our) will invest your money and charge you a fee for its services. The returns you receive are dependent on the investment decisions of ANZ Investments and the performance of the investments. The value of those investments may go up or down. The types of investments and the fees you will be charged are described in this document.

What will your money be invested in?

The OneAnswer Single-Asset-Class Funds (the funds) offers nine funds.

These investment options are summarised on pages 4–PDS to 7–PDS.

More information about the investment target and strategy for each investment option is provided at page 12–PDS.

Who manages the funds?

ANZ Investments is the manager of the funds.

See page 20–PDS for more information.

How can you get your money out?

You can request a withdrawal on any business day. Unless you’re making a full withdrawal, you must leave a minimum of $500 in your investment account. The minimum amount you can withdraw is:

• $500 if you’re making a lump sum withdrawal, or

• $100 per fund if you’re making a regular withdrawal.

We can defer or suspend withdrawals in certain limited circumstances.

Your investment in the funds can be sold but there is no established market for trading these financial products. This means that you may not be able to find a buyer for your investment.

How will your investment be taxed?

Each fund is a portfolio investment entity (PIE).

The amount of tax you pay in respect of a PIE is based on your prescribed investor rate (PIR). This can be 0%, 10.5%, 17.5% or 28%.

Where can you find more key information?

ANZ Investments is required to publish quarterly updates for each fund. The updates show the returns, and the total fees actually charged to investors, during the previous year. The latest fund updates are available at anzinvestments.co.nz/fundupdates. The manager will also give you copies of those documents on request.

2. HOW DOES THIS INVESTMENT WORK?

What are the main benefits?

Your investment is professionally managed

The funds are managed by our highly experienced investment management team. The team selects most of the Australasian assets. A small number of external fund managers select the international assets.

You can build a diversified portfolio

Each single-asset-class fund accesses a range of investments within its stated asset class. To gain diversification across asset classes, you will need to invest in a number of these funds or the Balanced Fund.

Your investment is actively managed

Active management aims to add value to your investment by varying the investment mix and investment selection.

You have access to a range of funds

The range of single-asset-class funds allows you to choose the combination that is best suited to you. Use the funds as your total investment solution or as your individual asset class solution, along with other investments you might hold.

Your investment is flexible

The funds provide you with flexible investment and withdrawal options. You can choose:

• which fund(s) your money is invested in

• how much, and when to, invest, and

• when to withdraw your money.

Your investment has a maximum fee

Each fund has an annual fund charge that is the total fee for your investment. This fee is a percentage of the net asset value of your fund and is deducted from it. You will not pay more than this fee.

Making investments

When you first join the funds, you must either set up regular investments, or make a lump sum investment.

Making regular investments

You can make regular fortnightly, monthly or quarterly investments by setting up a direct debit. The minimum regular payment amount per fund is $50. To set up a direct debit, you can either:

• complete the direct debit form at the back of the PDS and send it to us, or

• call us on 0800 736 034 or +64 9 356 4000.

You can increase, reduce or suspend your regular direct debit payments at any time by sending us a new direct debit form or by calling us.

The funds are a managed investment scheme, registered under the Financial Markets Conduct Act 2013 under the name ‘ANZ Investments Single-Asset-Class Scheme’. Each fund is a separate trust governed by a governing document dated 30 September 2016. This document appoints the manager, and the supervisor.

The OneAnswer Single-Asset-Class Funds has nine investment funds. Eight of these funds are single-asset-class funds, which focus on specific asset classes. We also offer a multi-asset-class Balanced Fund. Each fund has a different level of risk and expected return.

The funds generally invest in underlying funds that we manage. Each underlying fund focuses its investments on a specific asset class. The assets of the underlying funds are either selected by us or by carefully chosen external fund managers.

Your investment is pooled with other investors in the same fund. Every time money is put into your investment account, you receive units in the fund you’re invested in. The number of units you hold, when multiplied by the unit price, represents the value of your investment in a fund, not including any unpaid tax or tax rebates.

The price of a unit depends on the value of the relevant fund. As the value of the fund’s assets change each day, so will the price of your units.

The assets of one fund are not available to be applied to meet the liabilities of any other fund.

No distributions are made from the funds. Income is re-invested in the funds.

Reducing or suspending your regular payments is also subject to maintaining a minimum regular payment amount per fund of $50 and a minimum investment account balance of $500. If your investment account balance falls below $500, we can redeem your units.

Making lump sum investments

If you don’t want to make regular payments, you must make a lump sum payment of at least $500 when you first join.

You can also make additional lump sum payments of $500 or more at any time, whether or not you have a regular payment set up, by any of the following methods.

• Remember to include your surname, date of birth and investor number as the references when you make a payment.

• If you don’t provide us with the correct details, we can’t credit your investment account with the amount you pay.

• It usually takes up to three business days for a lump sum payment to reach your investment account.

• By making additional investments, you agree to be bound by the funds’ terms and conditions current at the time of making the investment, as set out in the application form, guide, PDS, offer register and governing document applicable at that time.

• We can change the minimum payment amounts and minimum investment account balance.

Withdrawing your investments

You can request a withdrawal on any business day. Unless you’re making a full withdrawal, you must leave a minimum of $500 in your investment account. The minimum amount you can withdraw is:

• $500 if you’re making a lump sum withdrawal, or

• $100 per fund if you’re making a regular withdrawal.

You can set up a regular monthly, quarterly, six-monthly or annual withdrawal. We can change the minimum withdrawal amounts.

To make a withdrawal, please send us a completed withdrawal form. You can download a copy of the form at anzinvestments.co.nz/documents, or call us on 0800 736 034 for a copy of this form.

We usually process withdrawals and make payment to your bank account within a week of receiving your request.

We can defer withdrawals, or suspend them for an unlimited period, in certain limited circumstances set out in the governing document.

We may separate out certain assets within a fund’s portfolio and make special arrangements for those assets, if doing so will protect investors’ interests. This may affect you accessing part of your investment.

You can transfer your units

You can sell some or all of your units to someone else. A transfer is treated as a withdrawal for the seller and a purchase for the buyer.

We don’t currently charge a fee for transfers. We don’t offer a secondary market for the sale of units, and we don’t believe there is one. We can refuse a transfer.

How to switch between funds

You can switch your investment from one fund to another fund. The minimum amount you can switch is $500. We can change the minimum switch amount.

To make a switch, complete the transaction form at the back of the PDS. Your financial adviser can assist you with the switching process.

We can set requirements for switching, including restrictions on redirecting contributions to another fund.

Our ability to defer or suspend withdrawals and separate out assets can affect switches (see above).

General investment risks

Some of the things that may cause a fund’s value to move up and down, which affect the risk indicator, are:

Market risk

Risk that an asset’s, or an asset class’s, market value may change due to a number of factors. These can include changes in the economy, the performance of individual entities, the regulatory environment, investor sentiment, political events, inflation, and interest and currency rates.

The level of market risk a fund is exposed to depends on the asset classes it invests in. For example, equities and listed property assets are considered to be more risky than cash and cash equivalents and fixed interest assets.

As most of the funds are single-asset-class funds, they’re exposed to the specific risks associated with the asset class in which they invest. They don’t benefit from diversifying investments across asset classes and poor performance within the asset class may have a significant effect on the fund.

Currency risk

Risk of changes in currency exchange rates. Assets denominated in foreign currencies face currency risk.

For example, for a fund with foreign currency exposure, if the New Zealand dollar increases in value against a given foreign currency, all else being equal, the New Zealand dollar value of the fund will fall.

Liquidity risk

Risk that an asset cannot be sold at the desired time (and at recent market value).

Such illiquid assets may impact your ability to withdraw, transfer or switch your investment.

Active management risk

Risk that arises from our, or our external fund managers’, active management of investments. All of the funds are actively managed.

For example, if we choose investments that underperform, or we mistime market changes, returns may be lower.

Derivative risk

Risk that arises from the use of derivatives where the value is derived from the performance of another asset, an index (such as a share market index or a commodity index), an interest rate or an exchange rate.

For example, investment losses could be caused by the other party to the derivatives contract failing to meet its contract obligations.

You will be charged fees for investing in the funds. Fees are deducted from your investment and will reduce your returns. If ANZ Investments invests in other funds, those funds may also charge fees. The fees you pay will be charged in two ways:

• regular charges (for example, annual fund charges). Small differences in these fees can have a big impact on your investment over the long term

• one-off fees (currently none).

The annual fund charge:

• is made up of our management fee, the supervisor’s fee, fund expenses, and fees and expenses of underlying funds

• is calculated as a percentage of the net asset value of the fund

• includes GST where applicable

• is calculated daily and will reduce a fund’s unit price (so you won’t see the annual fund charge on your annual statement).

The annual fund charge is capped, so you won’t pay more than the amount set out in the table above. However, the actual annual fund charge you pay may be lower than these amounts because, when calculating the cap, we estimate the expenses of the funds, and the fees and expenses of underlying funds.

We don’t currently charge any contribution, establishment, switching, termination or withdrawal fees.

They supervise how we manage the funds, for the benefit of you and other investors.

7. WHO IS INVOLVED?

Each of the funds is a portfolio investment entity. The amount of tax you pay is based on your prescribed investor rate (PIR). To determine your PIR, go to our application form after page 22–PDS. If you are unsure of your PIR, we recommend you seek professional advice or contact the Inland Revenue Department.

It is your responsibility to tell us your PIR when you invest or if your PIR changes. If you do not tell us, a default rate may be applied. If the advised PIR is lower than the correct PIR, you will need to complete a personal tax return and pay any tax shortfall, interest and penalties. If the default rate or the advised PIR is higher than the correct PIR, you will not get a refund of any overpaid tax.

In addition to your PIR, you also need to tell us your IRD number. If you do not tell us, the default PIR of 28% will apply.

We arrange for all taxes that apply to your investment account to be paid (or refunded). This is done by cancelling (or issuing) units in your investment account. We do this at the end of the tax year (following 31 March), or earlier if:

• you withdraw, transfer or switch all of your savings from a fund

• the value of your units is so low that it doesn’t meet your expected tax liability.

However if your PIR is 0%, you will need to pay any tax on your share of PIE income yourself.

* Your attributed PIE income or loss for an income year is the amount of income or loss attributed to you by PIEs (including the funds) in that income year, as recorded in the tax certificates issued by PIEs to you at the end of each income year. An income year generally runs from 1 April of the previous year to 31 March of the current year.

Conditions of this authority1. The Initiator:

(a) Has agreed to give advance notice of the net amount of each Direct Debit and the due date of the debiting at least 10 calendar days (but not more than 2 calendar months) before the date when the Direct Debit will be initiated. This notice will be provided in writing (including by electronic means and SMS where the Customer has provided prior written consent (including by electronic means including SMS) to communicate electronically). The advance notice will include the following message:

“Unless advice to the contrary is received from you by (date*), the amount of $……… will be directly debited to your account on (initiating date).”

* This date will be at least two (2) days prior to the initiating date to allow for amendment of Direct Debits.

(b) May, upon the relationship which gave rise to this Authority being terminated, give notice to the Bank that no further Direct Debits are to be initiated under the Authority. Upon receipt of such notice the Bank may terminate this Authority as to future payments by notice in writing to me/us.

(c) May, upon receiving an “authority transfer form” (dated after the date of this authority) signed by me/us and addressed to a bank to which I/we have transferred my/our bank account, initiate Direct Debits in reliance of that transfer form and this Authority from the account identi� ed in the authority transfer form.

2. The Customer may:

(a) At any time, terminate this Authority as to future payments by giving written notice of termination to the Bank and to the Initiator.

(b) Stop payment of any Direct Debit to be initiated under this Authority by the Initiator by giving written notice to the Bank prior to the Direct Debit being paid by the Bank.

3. The Customer acknowledges that:

(a) This Authority will remain in full force and e� ect in respect of all Direct Debits passed to my/our account in good faith notwithstanding my/our death, bankruptcy or other revocation of this Authority until actual notice of such event is received by the Bank.

(b) In any event this Authority is subject to any arrangement now or hereafter existing between me/us and the Bank in relation to my/our account.

(c) Any dispute as to the correctness or validity of an amount debited to my/our account shall not be the concern of the Bank except in so far as the Direct Debit has not been paid in accordance with this Authority. Any other disputes lies between me/us and the Initiator.

(d) Where the Bank has used reasonable care and skill in acting in accordance with this authority, the Bank accepts no responsibility or liability in respect of:

– the accuracy of information about Direct Debits on Bank statements; and

– any variations between notices given by the Initiator and the amounts of Direct Debits.

(e) The Bank is not responsible for, or under any liability in respect of the Initiator’s failure to give notice in accordance with 1(a) nor for the non-receipt or late receipt of notice by me/us for any reason whatsoever. In any such situation the dispute lies between me/us and the Initiator.

4. The Bank may:

(a) In its absolute discretion conclusively determine the order of priority of payment by it of any monies pursuant to this or any other Authority, cheque or draft properly signed by me/us and given to or drawn on the Bank.

(b) At any time terminate this Authority as to future payments by notice in writing to me/us.

(c) Charge its current fees for this service in force from time-to-time.
