ULTIMATE! SOFTWARE PRODUCTS LIMITED USE LICENSE AGREEMENT

This is a legal agreement between you, the end user, and Ultimate! Software Products, Inc. By opening this sealed disk package, you are agreeing to be bound by the terms of this license. If you do not agree to the terms of this agreement,

promptly return the unopened disk and the accompanying manuals to the place you obtained them for a full refund.

1. LICENSE. Ultimate! Software Products, Inc. (USPI) grants to you a non-exclusive, single-user license to use the enclosed program; Ultimate Call Accounting, Attention Shoppers, SPARK, On Time4Class, InnService

for the Strata® CIX, or Smoke Signal, Doctor Reminder, Software and Appointment Reminder Software (the

SOFTWARE). This license may be assigned to an individual person or to an individual single-user, non-

networked computer. If assigned to a computer, the SOFTWARE must be used only on that computer. If assigned to a person only that person may use the SOFTWARE, but he or she may use it on any computer so

long as no other person uses the SOFTWARE. You may not install the SOFTWARE on computers connected

with a network unless every user of the SOFTWARE obtains a license from USPI.

2. COPYRIGHT. The SOFTWARE is owned by USPI or its suppliers and is protected by United States

copyright laws and international treaty provisions. Therefore, you must treat the SOFTWARE like any other

copyrighted material (e.g. a book or musical recording) except that you may make one copy of the

SOFTWARE solely for backup or archival purposes. You may not copy the written materials accompanying the SOFTWARE.

3. OTHER RESTRICTIONS. You may not rent or lease the SOFTWARE, but you may transfer the

SOFTWARE and accompanying written materials on a permanent basis provided you retain no copies and recipient agrees to the terms of this Agreement. You may not reverse engineer, decompile, or disassemble the

SOFTWARE. If SOFTWARE is an update, any transfer must include the update and all prior versions.

4. DUAL MEDIA SOFTWARE. If the SOFTWARE package contains more than one copy of the software on different media, then you may use only the media appropriate for your single-user computer or LICENSED

COMPUTER NETWORK file server. You may not use the other disks on another computer or computer

network, or load, rent, lease, or transfer them to another user except as part of the permanent transfer (as

provided above) of all SOFTWARE and documentation.

LIMITED WARRANTY. USPI warrants that (a) the SOFTWARE will perform substantially in accordance with the

accompanying written materials for a period of one year from the date of receipt, and (b) any hardware accompanying

the SOFTWARE will be free from defects in materials and workmanship under normal use and service for a period of

one year from the date of receipt. Any implied warranties on the SOFTWARE and hardware are limited to one year. Some states do not allow limitations on duration of an implied warranty, so the above limitation may not apply to you.

CUSTOMER REMEDIES. USPI's entire liability and your exclusive remedy shall be, at USPI's option, either (a)

return of the price paid or (b) repair or replacement of the SOFTWARE or hardware that does not meet USPI's Limited Warranty and which is returned to USPI with a copy of your receipt. This Limited Warranty is void if failure of the

SOFTWARE or hardware has resulted from accident, abuse, or misapplication. Any replacement SOFTWARE will be

warranted for the remainder of the original warranty period or one year, whichever is longer. THESE REMEDIES ARE

NOT AVAILABLE OUTSIDE OF THE UNITED STATES OF AMERICA.

NO OTHER WARRANTIES. USPI disclaims all other warranties, either express or implied, including but not limited

to implied warranties of merchantability and fitness for a particular purpose, with respect to the SOFTWARE, the

accompanying written materials, and any accompanying hardware. This limited warranty gives you specific legal rights. You may have others, which vary from state to state.

NO LIABILITY FOR CONSEQUENTIAL DAMAGES. In no event shall USPI or its suppliers be liable for any

damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or other pecuniary loss) arising out of the use of or inability to use this USPI product, even if

USPI has been advised of the possibility of such damages. Because some states do not allow the exclusion or limitation

of liability for consequential or incidental damages, the above limitation may not apply to you.

VI. ON TIME4CLASS FEATURES

A. GUI INTERFACE- for basic operation

B. SCHEDULING On Time4Class has the ability to schedule a daily, weekend or weekly

tone, alarm or broadcast announcement (as indicated below)

On Time4Class – General Description

13

Each class, grade, or school grouping (or in the case of a factory; each office, floor, or area) can have a separate schedule, zone, and tone – reduces staff requirement and training costs while increasing flexibility.

Schedule up to 18 months in advance (as indicated below) – provides for long range planning.

On Time4Class picks its schedule at midnight every night - allows changes to be programmed prior to the next day

Override current schedule for special events – easy to change the schedule for a pep rally or a holiday.

Default daily, weekly, and weekend schedules – set up in advance, but flexibility is provided if a change is required.

Print the schedule as needed – make sure staff is informed.

Manual override – disable the automatic bell ringing schedule in case of an emergency.

C. PAGE ZONES Up to 100 zones – each can have its own schedule and sounds.

A zone can be as small as one room – customize the schedule for any teacher.

On Time4Class – General Description

14

Each zone can have a different tone – reduces the confusion in common areas such as cafeterias and lobbies.

Optional relay can ring existing “bells” – Existing hardware can be used with our up-to-date software.

Zones can use phone system codes and be specifically labeled (as shown below).

D. TONES There are approximately 40 pre-programmed tones – be up and

running within minutes.

Drag and drop new tones. Tones can be included from any .WAV file created by the user – add a new sound or tone.

Record your own tone – the school song could be used to indicate time for an assembly (or in the case of a factory or department store, a message can be played instead of an alarm).

There is no limit to the number of sounds that can be used.

On Time4Class – General Description

15

Each tone can be played to a different zone – campuses that have a grade school, a middle school and a high school (or in the case of a factory, different areas) can all have a unique sound.

Re-name the tone (as below) – makes it to easy to find or change it if needed.

E. ALERTS Preset alarms – examples: intruder alert, tornado alert.

Optional 911 alerts can be triggered and then alert data can be transmitted in a number of ways – this requires SMDR data from the phone system.
