Digital music and emerging countries

For many emerging countries the digital market and thus the assisted musical creation market can be a real vector of future development.ForexampletheNigeriandistributorofAfricandigitalmusic,iRocking,has75,000listenersand35,000indigenoustitles.Itisaimingtohave10millionlistenersby2018.

WecanalsothinkofIndia,MexicoorBrazilwhicharedynamiccountrieswithalargenumberofinhabitants.In these countries there are large bases of young people and a sense of expectation that everything is yet tocome.

Risk of a lack of interest in the project or distributed applications: There is a pos-sibility that the products may not be used by a large number of artists, companies, individuals...andthattheremaybelimitedpublicinterestinthecreationanddeve-lopmentofservices.Suchalackofinterestcouldimpactonthedevelopmentoftheprojectand,therefore,ontheusesorpotentialvalueofJAMs.

Risk that the project is not developed:themainrightassociatedwithJAMistherighttoaccessanduseourservices.ThevalueoftheJAMsisthereforeheavilycor-relatedwiththeexistenceofsuchservices,whichhasnotyetbeen implemented.JAMs may lose part or all of their value if services and/or products are never fully developed.

Risk of security weaknesses in the service’s core infrastructure software: the service‘scoresoftware isbasedonopensourcesoftware.There isa risk that thecompany team or other third parties, may intentionally or unintentionally introduce weaknessesorbugsintothecoreinfrastructureelementsofthedevelopments,byinterferingwiththeuseof,orcausinglossofJAMs.

Risk of weakness or exploitable breakthrough in the field of cryptography: ad-vancesincryptography,ortechnicaladvancessuchasthedevelopmentofquantumcomputers,maypresentrisksforcrypto-currenciesandourservices,whichcouldre-sultinthetheftorlossofJAMs.

Risk of the Platform failing to be used or adopted:whileJAMsshouldnotbeconsi-deredasaninvestment,theirvalueisboundtochangeovertime.Thisvaluemaybelimitedifservicesarenotsufficientlyusedandadopted.Insuchacase,therecouldbefewornomarketsattheprojectlaunch,whichwouldlimitthevalueofJAMs.

Risk of a tight market for JAM: there are currently no exchanges or trading facili-tiesonwhichJAMscouldbetraded.Ifsuchexchangesortradingfacilitiesdodeve-lop,theywillprobablyberelativelynewandsubjecttopoorlyunderstoodregulatoryoversight.Theymaythereforebemorevulnerabletofraudanddefaultthanthees-tablishedandregulatedexchangesthatexistforotherproducts.Shouldexchangesor trading facilities that represent a substantial part of the JAM trading volume be involved in fraud, security failures or other operational problems, the failures of such exchangesortradingfacilitiesmaylimittheJAM’svalueorliquidity.

Risk of an uninsured loss:unlikebankaccountsoraccountsinotherregulatedfi-nancialinstitutions,fundsheldthroughthecompanyaregenerallyuninsured.Atpre-sent,therearenopublicorprivateinsuranceagentsprovidingbuyerswithcoverageagainstalossofJAMs,otherCOIN’soralossofvalue.

Risk of winding-up of OpenJam’s project: for a number of reasons including, but notlimitedto,anunfavorablefluctuationinJAMandwallet’svalue,thefailureofbu-siness relationships or competing intellectual property claims, the OpenJam’s pro-jectmaynolongerbeaviableactivityandmaybedissolvedorsimplynotlaunched.

Risk of malfunction in the services: our services may be impacted by an adverse malfunction including, but not limited to, a malfunction that results in the loss of JAMsormarketinformation.
