A.1 PROJECT TITLE

The title of this project is as follows:

"NRC Fundamentals of Licensing Course"

A.2 BRIEF DESCRIPTION OF WORK (MAR 1987)

The Fundamentals of Reactor Licensing Course will address general knowledge of the Agency'sorganization, safety mission, licensing principles, and processes. The course will be attended by theOffice of Nuclear Reactor Regulation (NRR) and Office of New Reactor (NRO) employees that areworking on their position specific qualifications as well as employees who assist with reactor licensingactivities.

A.3 PERIOD OF PERFORMANCE (AUG 2011).

This order shall commence on December 19, 2011 and will expire on June 30, 2012.

The government will pay up to the rates specified in the Government Federal TravelRegulations (FTR) for travel destinations. Hotel reservations will be made by the contractor and willbe reimbursed for actual costs only, with back- up documentation/receipts attached to the invoice.

A.5 CONSIDERATION AND OBLIGATION-- ORDERS (AUG 2011)

(a) The ceiling of this order for services is $149,635.00. The total price authorized for thebase period is $130,641 which covers CLINs 001 and 002 in Section A.4.

(b) The amount presently obligated with respect to this order is $128,141.00. The obligated amountshall, at no time, exceed the order ceiling as specified in paragraph (a) above. When and if theamount(s) paid and payable to the Contractor hereunder shall equal the obligated amount, theContractor shall not be obligated to continue performance of the work unless and until the ContractingOfficer shall increase the amount obligated with respect to this order, in accordance with FAR Part 43- Modifications. Any work undertaken by the Contractor in excess of the obligated amount specifiedabove is done so at the Contractor's sole risk and may not be reimbursed by the Government.

SECTION B - STATEMENT OF WORK

STATEMENT OF WORKfor

FUNDAMENTALS OF REACTOR LICENSING

B.1.1 BACKGROUND

The U.S. Nuclear Regulatory Commission's (NRC) mission is to ensure adequate protection of thepublic health and safety, the common defense and security, and the environment in the use ofnuclear materials in the United States. The NRC's scope of responsibility includes regulation ofcommercial nuclear power reactors; test and training reactors; fuel cycle facilities; medical, academic,and industrial uses of nuclear materials; and the transport, storage, and disposal of nuclear materialand waste.

The Fundamentals of Reactor Licensing Course will address general knowledge of the Agency'sorganization, safety mission, licensing principles, and processes. The course will be attended byOffice of Nuclear Reactor Regulation (NRR) and Office of New Reactor (NRO) employees who areworking on their position specific qualifications as well as employees who assist with reactor licensingactivities.

B.i.2 CONTRACT OBJECTIVES

The primary objective of this contract is to obtain the services of a qualified contractor to developcurrent, state-of-the-art training using proven methods to cover the Study Activities outlined inAttachments 1, Attachment 2, Appendix A and B.

The contractor shall develop training to be taught by NRC staff using one or more of the followingmethods: direct instruction, hands-on activities, problem solving, group discussions, and teamexercises.

B.1.3 SCOPE OF WORK (TASKS)

The contractor shall furnish qualified personnel and services to develop a training course as well asdevelop training and presentation materials identified below.

B.1.3.1 TASK 1 - Participate in a Post-Award Meeting

Upon award of the contract, the contractor shall participate in a kickoff meeting (2-4 hours) with theNRC Project Officer and designated NRC technical representatives. The meeting may take place atthe NRC. The purpose of the meeting shall be to discuss the proposed course content, lessonobjectives, case studies, material preparation, schedule milestones, and target delivery date. SomeNRC individuals may participate via video- or tele-conference. The date and location for this meetingshall be mutually agreed upon between the contractor and the NRC Project Officer consistent with theContract Milestones specified in section C.6.

B.1.3.2 TASK 2 - Course Development Project Plan

The contractor shall develop a training course material using the Study Activities in Appendix A and Bof this document that will be taught by NRC staff. The course shall cover all of the Evaluation Criteriain the Study Activities listed in Appendix A representing approximately 24 hours of instruction timeand addition study activities listed in appendix B representing approximately 16 hours additionalhours of instruction. The contractor shall group the topics or activities and propose sub-tasks todevelop the chapters or modules for the course and provided an estimated time and cost for eachmodules.

B.1.3.3 TASK 3 - Course Contents Material Development

Materials developed by the contractor to be used for training in support of the lectures include:

1. Student Materials - including learning objectives, textual materials, PowerPoint Slides and copiesof visual aids used during the lecture presentations.

2. Instructor Lesson Plans - same material as for students, but with additional instructions for theinstructors and any student worksheets filled out and explained.

3. Quiz, test questions, and other immersive learning tools.

B.1.3.4 TASK 4 - OPTIONAL WORK FOR RESEARCH AND ANALYSIS

The majority of the required content can be readily developed from the references identified on theseappendices. In case there is a gap in information required to develop the course contents someresearch and analysis might be necessary. This task is primarily the responsibility of NRC personnel,however; on optional basis contractor assistance may be requested in selected areas. For this typeof work it is requested that the contractor provide a rate per hour for this type of optional work in casea need develops during development work.

B.2 SPECIFIC REQUIREMENTS

All materials developed are considered works-for-hire and become NRC property. All trainingmaterial developed will be considered non-proprietary and could be placed on public documentmanagement system in future by NRC.

B.3 CONTRACTOR QUALIFICATION REQUIREMENTS

The proposed contractor key personnel must have at least 10 years have experience in thedevelopment and presentation of training materials as appropriate. Experience in NRC reactorlicensing requirements and processes as well as instructional designer is desirable. Key personnelwho will prepare the course materials as described above must be identified and resumes ofeducation, training and experience provided.

The qualification of proposed development shall be based on the resumes and supporting informationprovided.

B.4 DELIVERABLES

It is anticipated that a series of custom deliverables will be developed under this agreement.Deliverables may include, but may not be limited to for following:

1. Duration of CourseIt is expected that the duration of course developed will be about three days (about 21 hoursof instruction time) of fundamental topic per appendix A and two days of advance topic perappendix B. This time can be adjusted if required. A detailed outline of how much time shouldbe spent on each Study Activity during the course can be found in Table 1: HoursApproximation, of attachment 1 and suggested grouping of topics is listed on attachment 2.

2. Material CompatibilityThe contractor shall provide all training materials in electronic compatible with Microsoft Office2007 software and one set of printed copy. NRC has training program procedures which willbe provided to the contractor as needed.

3. Course ContentsPresentation Slides in MS PowerPoint (with notes for instructor).Student handouts such as a booklet, list of references etcLearning exercises or quiz for interactive learning and discussion.Final multiple choice questions bank.

4. Course DeliveryProvide support services during delivery of pilot session such as monitoring effectiveness ofthe presentations and materials and collecting feedback. It is expected that NRC staff will bethe course instructors. The pilot session will be offered in February 2012. Some adjustmentand revision to the course content/presentation slides may be necessary based on thefeedback from pilot course. All revisions should be completed by March 30, 2012

5. Target AudienceThe course is expected to be attended by new NRC employees in the process of completingthe training and qualification program, and existing NRC employees attending as refreshertraining.

6. Level of DepthThe course shall provide an overview of the reactor licensing process, therefore level of depthis expected to be at the level of process awareness along with some application.

7. Content materialThe selected contractor shall take the study activities and references provided in theappendices, develop learning objective and training course contents.

8. Contractor InteractionThe contractor shall not accept any direction or tasking from anyone other than the ProjectOfficer or Contracting Officer as designated in the contract. If the contractor is contacted byanyone else regarding performance of work under this contract, the contractor shall refer theindividual to the Project Officer and notify the Project Officer of the contact via e-mail.

The selected contractor may propose different or additional deliverables subject to approval by NRC.All agreed upon deliverables shall be delivered to NRC in both draft and final versions.

B.5 CONTRACT MONITORING

The NRC Project Officer or an individual designated by the Project Officer may monitor courses toensure that the quality of instruction and the materials provided are adequate, up-to-date, and meetthe Agency's requirements.

B.6 MILESTONES

Contractor will develop a proposed project plan with key milestones prior to Kickoff meeting andsubmit a final project plan with sub-task schedule within one week after Kickoff meeting.

B.7 FINAL REPORT

The contractor shall furnish regular updates and progress report on weekly or monthly basis asagreed upon during the kick off meeting. A final report by the end date of the contract or within thirty(30) days of the final course presentation whichever is earlier. These reports (electronic preferred,paper copy acceptable) shall be sent to the Project Officer. The report shall include as a minimum:

a. A technical report of the work completed;

b. Any problems or delays encountered and their solutions; and

c. Recommendations for improvements.

The contractor shall also return to the Project Officer all government furnished materials and shalltransfer to the Project Officer all materials developed by the contractor at the expense of thegovernment. Training materials shall be provided in both electronic (original format such as Wordand PowerPoint not PDF), a corresponding PDF files for each document and a paper copy.

B.8 CONTRACTOR FURNISHED ITEMS

The contractor shall provide all necessary instructional materials including student texts, instructormanuals, case studies, handouts and audio-visual media for the conduct of the class. Copies of allthese materials shall be provided to the NRC Project Officer in both electronic format and hard copy.The software used by the contractor shall be compatible with the software used by the Project Officer(e.g., MS Word, Microsoft PowerPoint, Microsoft Excel, etc.) at the time the materials are provided.All of the materials used during the training shall be non-proprietary. All materials purchased orcreated by the contractor at the expense of this contract (e.g., manuals, case studies, visual aids etc)or obtained from the NRC for use in the presentation of these courses, shall become the property ofthe NRC at the termination of this contract. The NRC retains rights to these materials and maydistribute them to anyone without restriction.

The contractor shall designate an individual who shall be responsible for supervising the performanceof work under the contract and who shall perform quality assurance in meeting the objectives andgoals of the training. This designated individual is not required to be present during all training butshall be the focal point for any problems which may arise.

B.9 QUALITY ASSURANCE PLAN

The NRC Project Officer shall review the contractor's Course and Case Study developmentsubmissions to ensure that all materials meet contract requirements. The NRC Project Officer willalso review the Course Presentation Reports, student evaluations and the Final Contract Report.

The report is due within 15 calendar days afterthe end of the report period and must identify the title of the project, the contract number,appropriate financial tracking code specified by the NRC Project Officer, project managerand/or principal investigator, the contract period of performance, and the period covered bythe report. Each report must include the following for each discrete task/task order:

(a) A listing of the efforts completed during the period, and milestones reached or, ifmissed, an explanation provided;

(b) Any problems or delays encountered or anticipated and recommendations forresolution. If the recommended resolution involves a contract modification, e.g., change inwork requirements, level of effort (cost) or schedule delay, the contractor shall submit aseparate letter to the contracting officer identifying the required change and estimated costimpact.

(c) A summary of progress to date; and

(d) Plans for the next reporting period.

(3) In any way causes an increase or decrease in the total estimated contract cost, the fixed fee, ifany, or the time required for contract performance.

(4) Changes any of the expressed terms, conditions, or specifications of the contract.

(5) Terminates the contract, settles any claim or dispute arising under the contract, or issues anyunilateral directive whatever.

(d) All technical directions must be issued in writing by the project officer or must be confirmed bythe project officer in writing within ten (10) working days after verbal issuance. A copy of the writtendirection must be furnished to the contracting officer. A copy of NRC Form 445, Request for Approvalof Official Foreign Travel, which has received final approval from the NRC must be furnished to thecontracting officer.

(e) The contractor shall proceed promptly with the performance of technical directions duly issuedby the project officer in the manner prescribed by this clause and within the project officer's authorityunder the provisions of this clause.

(f) If, in the opinion of the contractor, any instruction or direction issued by the project officer iswithin one of the categories as defined in paragraph (c) of this section, the contractor may notproceed but shall notify the contracting officer in writing within five (5) working days after the receipt ofany instruction or direction and shall request the contracting officer to modify the contract accordingly.Upon receiving the notification from the contractor, the contracting officer shall issue an appropriatecontract modification or advise the contractor in writing that, in the contracting officer's opinion, thetechnical direction is within the scope of this article and does not constitute a change under the"Changes" clause.

(g) Any unauthorized commitment or direction issued by the project officer may result in anunnecessary delay in the contractor's performance and may even result in the contractor expendingfunds for unallowable costs under the contract.

(h) A failure of the parties to agree upon the nature of the instruction or direction or upon thecontract action to be taken with respect thereto is subject to 52.233-1 -Disputes.

(i) In addition to providing technical direction as defined in paragraph (b) of the section, the projectofficer shall: ;

(1) Monitor the contractor's technical progress, including surveillance and assessment ofperformance, and recommend to the contracting officer changes in requirements.

(2) Assist the contractor in the resolution of technical problems encountered during performance.

(3) Review all costs requested for reimbursement by the contractor and submit to the contractingofficer recommendations for approval, disapproval, or suspension of payment for supplies andservices required under this contract.

(4) Assist the contractor in obtaining the badges for the contractor personnel.

(5) Immediately notify the Security Branch, Division of Facilities and Security (SB/DFS) (via e-mail)when a contractor employee no longer requires access authorization and return of any NRC issuedbadge to SB/DFS within three days after their termination.

(6) Ensure that all contractor employees that require access to classified Restricted Data orNational Security Information or matter, access to sensitive unclassified information (Safeguards,Official Use Only, and Proprietary information) access to sensitive IT systems or data, unescortedaccess to NRC controlled buildings/space, or unescorted access to protected and vital areas ofnuclear power plants receive approval of SB/DFS prior to access in accordance with ManagementDirective and Handbook 12.3.

(7) For contracts for the design, development, maintenance or operation of Privacy Act Systems ofRecords, obtain from the contractor as part of closeout procedures, written certification that thecontractor has returned to NRC, transferred to the successor contractor, or destroyed at the end ofthe contract in accordance with instructions provided by the NRC Systems Manager for Privacy ActSystems of Records, all records (electronic or paper) which were created, compiled, obtained ormaintained under the contract.

(b) If one or more of the key personnel, for whatever reason, becomes, or is expected tobecome, unavailable for work under this contract for a continuous period exceeding 30 workdays, or is expected to devote substantially less effort to the work than indicated in theproposal or initially anticipated, the contractor shall immediately notify the contracting officerand shall, subject to the con-currence of the contracting officer, promptly replace thepersonnel with personnel of at least substantially equal ability and qualifications.

(c) Each request for approval of substitutions must be in writing and contain a detailedexplanation of the circumstances necessitating the proposed substitutions. The request mustalso contain a complete resume for the proposed substitute and other information requestedor needed by the contracting officer to evaluate the proposed substitution. The contractingofficer and the project officer shall evaluate the contractor's request and the contractingofficer shall promptly notify the contractor of his or her decision in writing.

(d) If the contracting officer determines that suitable and timely replacement of keypersonnel who have been reassigned, terminated, or have otherwise become unavailable forthe contract work is not reasonably forthcoming, or that the resultant reduction of productiveeffort would be so substantial as to impair the successful completion of the contract or theservice order, the contract may be terminated by the contracting officer for default or for theconvenience of the Government, as appropriate. If the contracting officer finds the contractorat fault for the condition, the contract price or fixed fee may be equitably adjusted downwardto compensate the Government for any resultant delay, loss, or damage.

C.5 2052.215- 2052.215-78 TRAVEL APPROVALS AND REIMBURSEMENT -

ALTERNATE 1 (OCT 1999)

(a) Total expenditure for travel may not exceed ($6,000) without the prior approval of thecontracting officer.

(b) The contractor will be reimbursed only for those travel costs incurred that are directlyrelated to this contract and which are allowable subject to the limitations prescribed in FAR31.205-46.

(c) It is the responsibility of the contractor to notify the contracting officer in accordance withthe FAR Limitations of Cost clause of this contract when, at any time, the contractor learns

that travel expenses will cause the contractor to exceed the travel ceiling amount identified inparagraph (a) ofthis clause.

(d) Reasonable travel costs for research and related activities performed at State andnonprofit institutions, in accordance with Section 12 of Pub. L. 100-5.79, shall be charged inaccordance with the contractor's institutional policy to the degree that the limitations of Officeof Management and Budget(OMB) guidance is not exceeded. Applicable guidance documents include OMB Circular A-87, Cost Principles for State and Local Governments; OMB Circular A-122, Cost Principlesfor Nonprofit Organizations; and OMB Circular A-21, Cost Principles for EducationalInstitutions.

C.6 ANNUAL AND FINAL CONTRACTOR PERFORMANCE EVALUATIONS (AUG 2011)

Annual and final evaluations of contractor performance under this contract will be prepared inaccordance with FAR Subpart 42.15, "Contractor Performance Information," normally at or near thetime the contractor is notified of the NRC's intent to exercise the contract option. If the multi-yearcontract does not have option years, then an annual evaluation will be prepared (state time forannual evaluation). Final evaluations of contractor performance will be prepared at the expiration ofthe contract during the contract closeout process.

The Contracting Officer will transmit the NRC Contracting Officer's Representative's (COR) annualand final contractor performance evaluations to the contractor's Project Manager, unless otherwiseinstructed by the contractor. The contractor will be permitted thirty days to review the document andsubmit comments, rebutting statements, or additional information.

Where a contractor concurs with, or takes no exception to an annual performance evaluation, theContracting Officer will consider such evaluation final and releasable for source selection purposes.Disagreements between the parties regarding a performance evaluation will be referred to anindividual one level above the Contracting Officer, whose decision will be final.

The Contracting Officer will send a copy of the completed evaluation report, marked "SourceSelection Information", to the contractor's Project Manager for their records as soon as practicableafter it has been finalized. The completed evaluation report also will be used as a tool to improvecommunications between the NRC and the contractor and to improve contract performance.

The completed annual performance evaluation will be used to support future award decisions inaccordance with FAR 42.1502 and 42.1503. During the period the information is being used toprovide source selection information, the completed annual performance evaluation will be releasedto only two parties - the Federal government personnel performing the source selection evaluationand the contractor under evaluation if the contractor does not have a copy of the report already.

C.7 COMPLIANCE WITH U.S. IMMIGRATION LAWS AND REGULATIONS (AUG 2011)

NRC contractors are responsible to ensure that their alien personnel are not in violation of UnitedStates immigration laws and regulations, including employment authorization documents and visarequirements. Each alien employee of the Contractor must be lawfully admitted for permanentresidence as evidenced by Permanent Resident Form 1-551 (Green Card), or must present otherevidence from the U.S. Department of Homeland Security/U.S. Citizenship and Immigration Servicesthat employment will not affect his/her immigration status. The U.S. Citizenship and Immigration

The NRC reserves the right to deny or withdraw Contractor use or access to NRC facilities or itsequipment/services, and/or take any number of contract administrative actions (e.g., disallow costs,terminate for cause) should the Contractor violate the Contractor's responsibility under this clause.

C.8 PACKAGING AND MARKING (AUG 2011)

(a) The Contractor shall package material for shipment to the NRC in such a manner that willensure acceptance by common carrier and safe delivery at destination. Containers and closuresshall comply with the Surface Transportation Board, Uniform Freight Classification Rules, orregulations of other carriers as applicable to the mode of transportation.

(b) On the front of the package, the Contractor shall clearly identify the contract number underwhich the product is being provided.

C.11 SECURITY REQUIREMENTS RELATING TO THE PRODUCTION OF REPORT(S)OR THE PUBLICATION OF RESULTS UNDER CONTRACTS, AGREEMENTS, ANDGRANTS (AUG 2011)

Review and Approval of Reports

(a) Reporting Requirements. The contractor shall comply with the terms and conditions of thecontract regarding the contents of the draft and final report, summaries, data, and related documents,to include correcting, deleting, editing, revising, modifying, formatting, and supplementing any of theinformation contained therein, at no additional cost to the NRC. Performance under the contract willnot be deemed accepted or completed until it complies with the NRC's directions. The reports,summaries, data, and related documents will be considered draft until approved by the NRC. Thecontractor/ grantee agrees that the direction, determinations, and decisions on approval ordisapproval of reports, summaries, data, and related documents created under this contract/grantremain solely within the discretion of the NRC.

(b) Publication of Results. Prior to any dissemination, display, publication, or release of articles,reports, summaries, data, or related documents developed under the contract/grant, thecontractor/grantee shall submit them to the NRC for review and approval. The contractor shall notrelease, disseminate, display or publish articles, reports, summaries, data, and related documents, orthe contents therein, that have not been reviewed and approved by the NRC for release, display,dissemination or publication. The contractor/grantee agrees to conspicuously place any disclaimers,markings or notices, directed by the NRC, on any articles, reports, summaries, data, and relateddocuments that the contractor/grantee intends to release, display, disseminate or publish to otherpersons, the public, or any other entities. The contractor/grantee agrees, and grants, a royalty-free,nonexclusive, irrevocable worldwide license to the government, to use, reproduce, modify, distribute,prepare derivative works, release, display or disclose the articles, reports, summaries, data, andrelated documents developed under the contract/grant, for any governmental purpose and to have orauthorize others to do so.

(c) Identification/Marking of Sensitive Unclassified Non-Safeguards Information (SUNSI) andSafeguards Information (SGI). The decision, determination, or direction by the NRC that informationpossessed, formulated or produced by the contractor/grantee constitutes SUNSI or SGI is solelywithin the authority and discretion of the NRC. In performing the contract/grant, the contractor/granteeshall clearly mark SUNSI and SGI, to include for example, OUO-Allegation Information or OUO-Security Related Information on any reports, documents, designs, data, materials, and writteninformation, as directed by the NRC. In addition to marking the information as directed by the NRC,the contractor shall use the applicable NRC cover sheet (e.g., NRC Form 461 SafeguardsInformation) in maintaining these records and documents. The contractor/grantee shall ensure thatSUNSI and SGI is handled, maintained and protected from unauthorized disclosure, consistent withNRC policies and directions. The contractor/grantee shall comply with the requirements to mark,maintain, and protect all information, including documents, summaries, reports, data, designs, andmaterials in accordance with the provisions of Section 147 of the Atomic Energy Act of 1954 as

amended, its implementing regulations (10 CFR 73.21), Sensitive Unclassified Non-Safeguards andSafeguards Information policies, and NRC Management Directives and Handbooks 12.5, 12.6 and12.7.

(d) Remedies. In addition to any civil, criminal, and contractua! remedies available under theapplicable laws and regulations, failure to comply with the above provisions, and/or NRC directions,may result in suspension, withholding, or offsetting of any payments invoiced or claimed by thecontractor/grantee.

(e) Flowdown. If the contractor/grantee intends to enter into any subcontracts or other agreementsto perform this contract/grant, the contractor/grantee shall include all of the above provisions in anysubcontracts or agreements.

C.12 WHISTLEBLOWER PROTECTION FOR NRC CONTRACTOR ANDSUBCONTRACTOR EMPLOYEES (AUG 2011)

(a) The U.S. Nuclear Regulatory Commission (NRC) contractor and its subcontractor are subject tothe Whistleblower Employee Protection public law provisions as codified at 42 U.S.C. 5851. NRCcontractor(s) and subcontractor(s) shall comply with the requirements of this Whistleblower EmployeeProtection law, and the implementing regulations of the NRC and the Department of Labor (DOL).See, for example, DOL Procedures on Handling Complaints at 29 C.F.R. Part 24 concerning theemployer obligations, prohibited acts, DOL procedures and the requirement for prominent posting ofnotice of Employee Rights at Appendix A to Part 24 entitled: "Your Rights Under the EnergyReorganization Act".

(b) Under this Whistleblower Employee Protection law, as implemented by regulations, NRCcontractor and subcontractor employees are protected from discharge, reprisal, threats, intimidation,coercion, blacklisting or other employment discrimination practices with respect to compensation,terms, conditions or privileges of their employment because the contractor or subcontractoremployee(s) has provided notice to the employer, refused to engage in unlawful practices, assisted inproceedings or testified on activities concerning alleged violations of the Atomic Energy Act of 1954(as amended) and the Energy Reorganization Act of 1974 (as amended).

(c) The contractor shall insert this or the substance of this clause in any subcontracts involving workperformed under this contract.

C.13 GREEN PURCHASING (JUN 2011)

(a) In furtherance of the sustainable acquisition goals of Executive Order 13514, "FederalLeadership in Environmental, Energy, and Economic Performance" products and services providedunder this contract/order shall be energy- efficient (Energy Star or Federal Energy ManagementProgram (FEMP) designated), water-efficient, biobased, environmentally preferable (e.g., ElectronicProduct Environmental Assessment Tool (EPEAT) certified), non-ozone depleting, contain recycledcontent, or are non-toxic or less toxic alternatives, where such products and services meet agencyperformance requirements. http://www.fedcenter.gov/programs/eo13514/

C.14 USE OF AUTOMATED CLEARING HOUSE (ACH) ELECTRONICPAYMENTIREMITTANCE ADDRESS (AUG 2011)

The Debt Collection Improvement Act of 1996 requires that all Federal payments except IRS taxrefunds be made by Electronic Funds Transfer. It is the policy of the Nuclear Regulatory Commissionto pay government vendors by the Automated Clearin House (ACH) electronic funds transferpayment system. Item 15C of the Standard Form 33 may be disregaraed.

C.15 OPTION PERIODS - TASK ORDER/DELIVERY ORDER UNDER A GSAFEDERAL SUPPLY SCHEDULE CONTRACT (MARCH 2007)

The Period of Performance (PoP) for this requirement may extend beyond the Offerors currentPoP on their GSA Schedule. Offerors may submit proposals for the entire PoP as long as theircurrent GSA Schedule covers the requested PoP, or their GSA Schedule contains GSA's"Evergreen Clause" (Option to Extend the Term of the Contract), which covers the requestedPoP if/when the option(s) are exercised. Offerors are encouraged to submit accurate/realisticpricing for the requirement's entire PoP, even if the proposed GSA Schedule does not includepricing for the applicable option years, etc.

For proposal evaluation purposes, the NRC assumes that applicable Evergreen Clause Option(s)will be exercised and the NRC will apply price analysis, as applicable. It is in the best interest ofthe Offeror to explain major deviations in escalation, proposed in any Evergreen Clause optionyears. Resulting GSA task/delivery order option years subject to the Evergreen Clause will beinitially priced utilizing the same rates proposed under the last GSA-priced year of the subjectGSA Schedule. Upon GSA's exercise of the GSA Schedule option year(s) applicable to theEvergreen Clause, the NRC will modify the awarded task/delivery order to incorporate either theproposed pricing for the option years or the GSA-approved pricing (whichever is lower).

It is incumbent upon the Offeror to provide sufficient documentation (GSA-signed schedule,schedule modifications, etc.) that shows both the effective dates, pricing and terms/conditions ofthe current GSA Schedule, as well as Evergreen Clause terms/conditions (as applicable).Failure to provide this documentation may result in the Offeror's proposal being foundunacceptable.

C.16 52.217-8 OPTION TO EXTEND SERVICES (NOV 1999)

The Government may require continued performance of any services within the limits and atthe rates specified in the contract. These rates may be adjusted only as a result of revisions toprevailing labor rates provided by the Secretary of Labor. The option provision may be exercisedmore than once, but the total extension of performance hereunder shall not exceed 6 months.The Contracting Officer may exercise the option by written notice to the Contractor within 60days.

C.17 2052.209-72 CONTRACTOR ORGANIZATIONAL CONFLICTS OF INTEREST(JAN 1993)

(a) Purpose. The primary purpose of this clause is to aid in ensuring that the contractor:

(1) Is not placed in a confli:.ting role because of current or planned interests (financial,contractual, organizational, or otherwise) which relate to the work under this contract; and

(2) Does not obtain an unfair competitive advantage over other parties by virtue of itsperformance of this contract.

(b) Scope. The restrictions described apply to performance or participation by the contractor, asdefined in 48 CFR 2009.570-2 in the activities covered by this clause.

(c) Work for others.

(1) Notwithstanding any other provision of this contract, during the term of this contract, thecontractor agrees to forego entering into consulting or other contractual arrangements with any firm ororganization the result of which may give rise to a conflict of interest with respect to the work beingperformed under this contract. The contractor shall ensure that all employees under this contractabide by the provision of this clause. If the contractor has reason to believe, with respect to itself orany employee, that any proposed consultant or other contractual arrangement with any firm ororganization may involve a potential conflict of interest, the contractor shall obtain the written approvalof the contracting officer before the execution of such contractual arrangement.

(2) The contractor may not represent, assist, or otherwise support an NRC licensee or applicantundergoing an NRC audit, inspection, or review where the activities that are the subject of the audit,inspection, or review are the same as or substantially similar to the services within the scope of thiscontract (or task order as appropriate) except where the NRC licensee or applicant requires thecontractor's support to explain or defend the contractor's prior work for the utility or other entity whichNRC questions.

(3) When the contractor performs work for the NRC under this contract at any NRC licensee orapplicant site, the contractor shall neither solicit nor perform work in the same or similar technicalarea for that licensee or applicant organization for a period commencing with the award of the taskorder or beginning of work on the site (if not a task order contract) and ending one year aftercompletion of all work under the associated task order, or last time at the site (if not a task ordercontract).

(4) When the contractor performs work for the NRC under this contract at any NRC licensee orapplicant site,

(i) The contractor may not solicit work at that site for that licensee or applicant during the periodof performance of the task order or the contract, as appropriate.

(ii) The contractor may not perform work at that site for that licensee or applicant during theperiod of performance of the task order or the contract, as appropriate, and for one year thereafter.

(iii) Notwithstanding the foregoing, the contracting officer may authorize the contractor to solicitor perform this type of work (except work in the same or similar technical area) if the contractingofficer determines that the situation will not pose a potential for technical bias or unfair competitiveadvantage.

(d) Disclosure after award.

(1) The contractor warrants that to the best of its knowledge and belief, and except as otherwiseset forth in this contract, that it does not have any organizational conflicts of interest as defined in 48CFR 2009.570-2.

(2) The contractor agrees that if, after award, it discovers organizational conflicts of interest withrespect to this contract, it shall make an immediate and full disclosure in writing to the contractingofficer. This statement must include a description of the action which the contractor has taken orproposes to take to avoid or mitigate such conflicts. The NRC may, however, terminate the contract iftermination is in the best interest of the Government.

(3) It is recognized that the scope of work of a task-order-type contract necessarily encompassesa broad spectrum of activities. Consequently, if this is a task-order-type contract, the contractoragrees that it will disclose all proposed new work involving NRC licensees or applicants which comeswithin the scope of work of the underlying contract. Further, if this contract involves work at alicensee or applicant site, the contractor agrees to exercise diligence to discover and disclose anynew work at that licensee or applicant site. This disclosure must be made before the submission of abid or proposal to the utility or other regulated entity and must be received by the NRC at least 15days before the proposed award date in any event, unless a written justification demonstratingurgency and due diligence to discover and disclose is provided by the contractor and approved by thecontracting officer. The disclosure must include the statement of work, the dollar value of theproposed contract, and any other documents that are needed to fully describe the proposed work forthe regulated utility or other regulated entity. NRC may deny approval of the disclosed work onlywhen the NRC has issued a task order which includes the technical area and, if site-specific, the site,or has plans to issue a task order which includes the technical area and, if site-specific, the site, orwhen the work violates paragraphs (c)(2), (c)(3) or (c)(4) of this section.

(e) Access to and use of information.

(1) If in the performance of this contract, the contractor obtains access to information, such asNRC plans, policies, reports, studies, financial plans, internal data protected by the Privacy Act of1974 (5 U.S.C. Section 552a (1988)), or the Freedom of Information Act (5 U.S.C. Section 552(1986)), the contractor agrees not to:

(i) Use this information for any private purpose until the information has been released to thepublic;

(ii) Compete for work for the Commission based on the information for a period of six monthsafter either the completion of this contract or the release of the information to the public, whichever isfirst;

(iii) Submit an unsolicited proposal to the Government based on the information until one yearafter the release of the information to the public; or

(iv) Release the information without prior written approval by the contracting officer unless theinformation has previously been released to the public by the NRC.

(2) In addition, the contractor agrees that, to the extent it receives or is given access to proprietarydata, data protected by the Privacy Act of 1974 (5 U.S.C. Section 552a (1988)), or the Freedom ofInformation Act (5 U.S.C. Section 552 (1986)), or other confidential or privileged technical, business,or financial information under this contract, the contractor shall treat the information in accordancewith restrictions placed on use of the information.

(3) Subject to patent and security provisions of this contract, the contractor shall have the right touse technical data it produces under this contract for private purposes provided that all requirementsof this contract have been met.

(f) Subcontracts. Except as provided in 48 CFR 2009.570-2, the contractor shall include thisclause, including this paragraph, in subcontracts of any tier. The terms contract, contractor, andcontracting officer, must be appropriately modified to preserve the Government's rights.

(g) Remedies. For breach of any of the above restrictions, or for intentional nondisclosure ormisrepresentation of any relevant interest required to be disclosed concerning this contract or forsuch erroneous representations that necessarily imply bad faith, the Government may terminate thecontract for default, disqualify the contractor from subsequent contractual efforts, and pursue otherremedies permitted by law or this contract.

(h) Waiver. A request for waiver under this clause must be directed in writing to the contractingofficer in accordance with the procedures outlined in 48 CFR 2009.570-9.

(i) Follow-on effort. The contractor shall be ineligible to participate in NRC contracts, subcontracts,or proposals therefore (solicited or unsolicited), which stem directly from the contractor's performanceof work under this contract. Furthermore, unless so directed in writing by the contracting officer, thecontractor may not perform any technical consulting or management support services work orevaluation activities under this contract on any of its products or services or the products or servicesof another firm if the contractor has been substantially involved in the development or marketing ofthe products or services.

(1) If the contractor, under this contract, prepares a complete or essentially complete statement ofwork or specifications, the contractor is not eligible to perform or participate in the initial contractualeffort which is based on the statement of work or specifications. The contractor may not incorporateits products or services in the statement of work or specifications unless so directed in writing by thecontracting officer, in which case the restrictions in this paragraph do not apply.

(2) Nothing in this paragraph precludes the contractor from offering or selling its standardcommercial items to the Government.

FIRM FIXED PRICE BILLING INSTRUCTIONS

General: During performance and through final payment of thic contract, the contractor isresponsible for the accuracy and completeness of data within the Central Contractor Registration(CCR) database and for any liability resulting from the Government's reliance on inaccurate orincomplete CCR data.

The contractor shall prepare invoices/vouchers for payment of deliverables identified in the contract,in the manner described herein. FAILURE TO SUBMIT INVOICESNOUCHERS IN ACCORDANCEWITH THESE INSTRUCTIONS MAY RESULT IN REJECTION OF THE INVOICENOUCHER ASIMPROPER.

Standard Forms: Payment requests for completed work, in accordance with the contract, shall besubmitted on the payee's letterhead, invoice/voucher, or on the Government's Standard Form 1034,"Public Voucher for Purchases and Services Other than Personal," and Standard Form 1035, "PublicVoucher for Purchases Other than Personal--Continuation Sheet."
